    E-Sky solutions enable Internetworking over EVOs existing Voice, Multimedia and Internet

    Our Hosted Telecom Solution leverages the above existing systems to allow low-risk and quick-

    to-market services. In order to offer service, the following equipment types will need to be

    deployed to support calling from your network:

    PSTN Gateway POP3 Interconnects with a national/local voice-switching network (PSTN). Communicates

    with national signaling (SS7/C7/ISDN) and requires an IP transmission network to the

    E-Sky global network.

    IP Gateway CPE3 Delivers service to customer premise and overlays customer access IP network. These

    can be in the form of a CISCO Linksys PAP2 or Sipura 2000 and Sipura3000

    Public Network Calling (PSTN)

    Customers dial an access number (can be toll-free, pre-fix, local), which is carried over thenational voice network to the PSTN gateway POP housed in EVO s facility. The access number

    (DNIS) triggers the call service application from E-Skys Hosted Telecom Platform to run therelevant call flow (calling card, direct dial, IVR branding, etc). Account, balance, and dialed

    number are authenticated by the Hosted Telecom Platform, which routes the call to the cost-

    effective PSTN gateway POP for termination. Caller ID (ANI/CLI) can be used to authenticatethe user without the need for an account number and PIN.

    Calling Card SolutionsE-Skys Solution offers you the opportunity to develop a revenue stream by offering highlycompetitive and flexible calling rates to your market using a service accessible from any

    telephone, including pay phone, home, work or mobile.

    Disposable Calling Cards3 EVO can launch a competitively priced prepaid disposable calling card originating in

    your operating region and terminating internationally.

    Rechargeable Calling Cards3 EVO can offer a prepaid calling card that allows the end-user to keep the same account

    and continue to add funds to it. Cards can be automatically recharged with a credit

    card or cash. Private-label or E-Sky Brand Opportunities

    3 EVO can either utilize the E-Sky name as the primary brand, or choose to use yourown brand. We can also Co-Brand for you.

    Post-paid calling cards3 EVO can market a solution for customer similar to standard telephone bills, allowing

    for post-payment as an option.

    ANI/CLI-recognition for home and mobile numbers3 Customers can bypass the need to enter an account/PIN by registering their telephone

    number either online or via an IVR. The E-Sky platform authenticates automatically on

    the number that they call from. Multiple-Origination Feature

    3 Many customers can share a single eNum account, with localized access and rates

    appropriate to their origination point. For example, a parent in your country and a

    child in the US can use the same account together, funded by either party. E-Sky has anexpansive US network that can be used for US originated or dual-originated calling

    card services. EVO would also have the option of implementing additional POPs in

    other countries where, for example, you have frequent travelers visiting so that you can

    service customers in any other geographic locations that are important. E-Sky have

    more than 7000 DID available for EVO to explore the market.

    Direct Dial Pre-fix Long Distance Dialing Service/Rechargeable Card

    3 EVO can launch a service that will serve as an alternative residential long distance

    service when dialing from home (and other locations that have pre-registered ANI/CLI)

    and a rechargeable calling card when dialing from other locations (Prefix LD).

    Carrier Services

    Wholesale origination and termination between networks3 EVO can also provide E-Sky with very attractive termination rates within their

    operating region, for example, Cambodia wholesale.

    The Business Model

    Deal Terms

    The next step is for the parties to work through a business model based on origination costs,

    traffic volume and distribution projections, retail pricing and other key factors that will drive the

    model for the rollout of the services outlined herein.

    The retail services will be based on a wholesale-retail model. The parties will negotiate a carrierservices arrangement that will include an A-Z list for per minute worldwide termination. In

    addition, E-Sky will customize a complete package, which includes the account managementsoftware fee, the platform, account management, and other services outlined in this document.

    The MOU will contain much more detail on the business model.

    Network Operations

    The MoIP Switching/Trunking POP requires coordination between EVO and E-Skys Network

    Operations departments.

    Facility Services- ( subject to the necessary if the system need to be set up in EVOscountry)3 EVO as an ISP will have to provide facility services, which consists of racks, power,

    and plus field engineering support. E-SKY will supply an implementation document to

    detail the support responsibilities of EVOs Field Engineering resources.

    Voice Services and Interconnects3 EVO is responsible to provision interconnect circuits and toll-free services. E-Skys

    Platform supports SS7, C7, and ISDN signaling standards. Additional signaling and

    numbering plan attributes will need to be defined to support transparency between

    networks. The initial design will focus on developing a POP to support retail services.

    It is assumed that a carrier service agreement will follow and the POP should bescalable to support traffic from E-Skys network into your operating region.

    IP Transmission Network3 Voice is transported as an IP packet; and ideally should utilize existing international IP

    backbones and transit links for transmission. In other words, the transmission network

    will have a similar business model to a traditional international carrier model of half-

    circuits while obtaining the network utilization benefits of IP. The transmission willbe captured by a E-Sky Core facility in the United States, Philippine, Hong Kong,

    Malaysia & Singapore. It is through this that we connect with global Tier 1 Providers.

    The initial evaluation will determine if EVOs existing International IP backbone andtransit link is engineered and maintained to support E-Sky recommended quality andreliability levels. EVO will have to do an analysis of the network topology and pre-

    qualification testing would determine if the existing network is adequate for retail

    services.

    If the existing network cannot properly support retail services, additional development

    activity would be required.

    MoIP Switching/Trunking POP3 The whole MoIP Switching /POP equipment is own by e-Sky and EVO is not

    responsible for the maintenances and operation of the system. If the equipment need beco-located in EVOs local data-center, our E-Skys 24/7 Network Operation Center

    (NOC) will manage the service remotely to maintain the service levels in order to

    minimize the operational cost of EVO. EVOs NOC will manage the service levelassociated with the products they supply (facility, voice interconnect, and IP

    networking from local ISP and datacenter). Typically, a POP consists of a Cisco 53xx

    gateway, Quintum or PCS Sip equipment, plus facility management equipment.

    2. PCS GATE 5500 Universal VOIP Gateway PSTN to VOIP

    This is not only a VOIP trunk gateway but also a UNIVERSAL VOIP GATEWAY. It navigates

    the calls in between H.323, SIP and PSTN freely, not simple PSTN to VOIP calls or vice verse.
