Now, let’s introduce you to XOOM Energy. XOOM Energy, LLC (“XOOM”) is a Delaware Limited Liability Company formed on March 15, 2011. Together with its wholly owned subsidiaries, XOOM will offer simple, integrated electric power, natural gas and related products and services to homes and businesses throughout deregulated markets in the U.S. XOOM sells energy services through ACN IBOs and other sales channels in order to maximize its customer base. Products include fixed and variable options. After expansion, XOOM Energy will be one of the largest energy retailers in the U.S. In the future, XOOM Energy will offer environmentally-friendly options to your customers.

Keep in mind that as we launch new energy markets we will continue to have an IBO Launch period and then following that a Customer Launch period. During the IBO Launch period only IBOs will be able to sign up for services. This IBO period gives you time to get to know the product! Then at time of Customer Launch – your customer base will expand to any residential customers, small businesses and large commercial businesses – depending on market availability. Keep in mind that ACN uses only warm marketing techniques to acquire customers. Your “warm market” includes people that you know such as friends, family members, co-workers, neighbors, acquaintances and those referred to you by your customers.

The state regulatory bodies set out who may enter into a retail contract for energy supply with an energy retailer. For residential customers only the utility account holder or Persons legally authorized on the account. The utility account holder is the person who is named on the current utility bill. For business customers only the authorized representative of the business customer may enter a contract. Under no circumstance are you permitted to enter a customer’s order on their behalf. Doing so is a very serious offense.

2. ACCREDITATION PROCESS –Complete before acquiring customers

IBOs must answer the questions correctly and affirm a series of statements in order for a customer to place a XOOM Energy order using your Business ID

The State Public Service Commissions in each state sets out the laws, the codes and regulations, as it relates to marketing energy in that state. The Public Service Commission licenses retailers such as XOOM Energy and acts as the administrator and enforcement body for consumer protection regulation. They also require that all ACN IBOs that wish to acquire energy customers must follow these training requirements by adhering to all the applicable rules and regulations: •IBOs must thoroughly review the training information •XOOM Energy markets – IBOs will complete an accreditation process before acquiring customers. IBOs must answer the questions correctly and affirm a series of statements in order for a customer to place a XOOM Energy order using your Business ID

Deregulation –Natural Gas and Electricity

Let’s review what deregulation is so that you have a better understanding. When the electricity and natural gas supply functions are deregulated -- this means consumers can choose their energy supplier. Energy suppliers (also known as retailers), such as XOOM Energy, can now provide customers with the various products and pricing options. The customer will not be switching utility companies. XOOM Energy is not affiliated with any local utility. For the physical distribution and delivery of gas to the customer’s home, the retailers depend on the local utilities to maintain the lines and pipes to keep the system safe and operating. The local utility is who the customer will call if they have an emergency or service outage. The customer will get to enjoy uninterrupted energy service with the added benefit of being able to choose the company they buy their energy from.

Simple Flex is a month-to-month variable plan and SureLock 12 is a fixed plan with a 12 month contract term. Remember that Variable rates (which may be riskier over long term) will fluctuate monthly based on market rates and Month-to-Month Variable rates are simply variable rate without the long-term commitment A Fixed plan is good for risk adverse customers and allows them to lock in their rate for the contract term. Customers can learn more about each of the plans at the XOOM Energy pages … click the Details button!

There is a credit check policy for the MA utility areas for residential customers. All customers are required to go through a credit check in order to place an order at online portal The energy retailer, such as XOOM Energy, cannot collect a deposit – so no deposits for MA customers If customer fails credit check during order process, they will be notified right then and given the option for a manual review They will be sent email letting them know they passed and their enrollment is being processed or if they failed and are unable to enroll with XOOM

Please note, the monthly fee is not applicable in the Western Massachusetts utility. Invoicing – once enrolled in the XOOM Energy program, will continue to receive one bill from the utility. XOOM charges will appear as a line item on the bill. Customers currently on balance billing will remain on balance billing for distribution portion of their bill

Switching from XOOM – 6 mo rule – if a customer has been with XOOM and leaves XOOM (with the exception of an expiring contract) to go to the utility, XOOM can’t acquire them as customer again for 6 months, unless they go to another supplier first

Cancellation Policy – Within 3 days of their enrollment

Important Reminders for you and your customers! Enrollment – Most customers will be enrolled within 30-60 days Switching Providers: Switching from Utility – Customers who are currently on a fixed rate plan for Basic Service with their utility and choose to switch to XOOM Energy, or any other Competitive Supplier, before their six-month period is over, will have their electricity bill recalculated to reflect the variable rate for the past months serviced. This simply means that their bill will be recalculated as if they were on the monthly variable rate for that period. This adjustment may be a credit or debit, and will be reflected on the customer's first bill after the switch is effective. Customers on a variable rate with the utility will not be affected. Switching from XOOM– 6 mo rule – if a customer has been with XOOM and leaves XOOM (with the exception of an expiring contract) to go to the utility, XOOM can’t acquire them as customer

XOOM Energy electricity supply charges will appear along with the customer’s utility service and delivery charges. The customer will pay the invoice directly to XOOM Energy via check and coming soon, they will be able to pay by credit card.

Customers can either opt to pay a deposit or adhere to a credit check -- the deposit amount will be displayed upfront to the customer so they can decide. The customer can go through the credit check – keeping in mind that they may still be required to pay a deposit based on their credit check or they can opt to pay the deposit. They can pay their deposit via credit/debit card. Be aware that all customers that require a deposit (say should they have failed the credit check) will have the option to go through a manual review process. The XOOM Energy credit department will look at their credit file in detail to see if the deposit can be waived. This takes no more than 3 business days. The customer will receive an email either way – if a deposit is required or if it’s waived. Note that the customer should proceed with their order online and will be notified via email if that deposit is still required. If customer goes through credit check and falls in middle tier – they will be given the option of sending in their last 3 utility bills showing they have paid on time in full. The customer will see this option immediately online only if they are eligible.

Important Note for you and your customers! Switching Providers - Texas customers can switch energy providers at any time – they should refer to their terms and conditions for full details of any early termination policies TX Cancellation Policy •Customer may cancel their order by calling XOOM Energy within 3 days of their enrollment •After this period, a cost recovery fee may apply to term plans. Let me explain: In order for XOOM Energy to offer and fulfill its term obligation to the customer, they have to purchase gas in advance of usage to cover the entire length of the customer’s contract. If you cancel your contract early, XOOM Energy needs to offset the cost of selling the unused portion of your gas to others. The cost recovery fee covers this cost and any other expenses XOOM Energy incurs because of your cancellation.

a balanced billing program, they will need to contact XOOM Energy Customer Care

ESI ID – Customer will be asked to provide their ESI ID – have copy of current invoice in front of them when ordering

Enrollment - Most customers will be enrolled within 7 days (customers with deposits will add time for processing of deposit)

Balance Billing – If customers wish to switch to a balanced billing program, they will need to contact XOOM Energy Customer Care When a customer is placing their order, they will need to have a copy of their current electricity bill in front of them as they will be asked to provide ESI ID. The customer’s ESI ID (Electric Service Identifier) is a unique number their local electric utility uses to identify a specific residence or business. If they have more than one address on their account, they will have multiple ESI IDs– one for each address. Their meter number and their ESI ID are two different things; their meter number identifies the specific meter at their home or business, and they could end up with a new meter number if their meter is replaced for some reason. Enrollment - Most customers will be enrolled within 7 days (customer who require a deposit should account for additional days for processing of deposit.

PG&E markets: The customer’s utility company will continue to bill them as they always have. XOOM Energy gas supply charges will appear along with the utility service and delivery charges. The customer still makes only one payment to their utility company. SDG&E markets AND SoCalGas markets: The customer will begin to receive their natural gas service bill from XOOM Energy. Their payment will be sent to XOOM Energy directly. The customer can pay the XOOM invoice by check and coming soon they will have the option to pay by credit card. Residential and Small Business customers can either opt to pay a deposit or adhere to a credit check -- the deposit amount will be displayed upfront to the customer so they can decide. The customer can go through the credit check – keeping in mind that they may still be required to pay a deposit based on their credit check or they can opt to pay the deposit. They can pay their deposit via credit/debit card. Be aware that all customers that require a deposit (say should they have failed the credit check) will have the option to go through a manual review process. The XOOM Energy credit department will look at their credit file in detail to see if the deposit can be waived. This takes no more than 3 business days. The customer will receive an email either way – if a deposit is required or if it’s waived. Note that the customer should proceed with their order online and will be notified via email if that deposit is still required. If customer goes through credit check and falls in middle tier – they will be given the option of sending in their last 3 utility bills showing they have paid on time in full. The customer will see this option immediately online only if they are eligible.

CA Cancellation Policy •Customer may cancel their order by calling XOOM Energy within 3 days of their enrollment •After this period, a cost recovery fee may apply to term plans. Let me explain: In order for XOOM Energy to offer and fulfill its term obligation to the customer, they have to purchase gas in advance of usage to cover the entire length of the customer’s contract. If you cancel your contract early, XOOM Energy needs to offset the cost of selling the unused portion of your gas to others. The cost recovery fee covers this cost and any other expenses XOOM Energy incurs because of your cancellation.

• XOOM Energy’s Big Business Process required historical usage information to create a quote for the customer’s energy needs. There are 2 options for acquiring that information. The customer can complete the Letter of Authorization found in the Back Office (print it off and take to your meeting with customer) or they can go online to their utility customer portal and retrieve 12 months of previous invoices

• So print off the Big Business forms in your back office and meet with your potential customer

• You and the customer will have 2 options on completing the forms:

• (CLICK) Option A will have you complete the Big Business Program

Fax Cover Sheet; your customer must complete the Letter of Authorization (LOA) Form and sign it and they will need to provide a copy of their most recent Natural Gas Invoice/Statement

• Successfully complete the Accreditation Process -- which consists of a few training review questions and requires the IBO to affirm a few statements. The IBO must pass the review questions and complete the accreditation process before customers will be allowed to place an order using the IBO’s Business ID. IBOs can find the link to this accreditation process in their IBO Back Office. Choose the Product Tab and go to the Energy page, choose the state and you will see a section titled XOOM Energy Accreditation Process – see it circled in red here on my screenshot. You will click on the blue button to start the Accreditation process.

Remember that the Accreditation process is available NOW! So be sure to complete the process immediately after this training!

Once a TX customer picks a plan, they will be asked to enter their ESI ID number – they can find this number located on a copy of their current invoice. They can either enter their ESI ID number or their service address – it’s preferred that they enter the ESI ID number to get a better match. Once they enter this info, XOOM will determine: whether the ESI ID is valid, if it’s a residential customers and the customer’s meter type. (CLICK to show next screenshot) The next screen will confirm the ESI ID and service address and the customer can click Continue Enrollment.

Texas and California customers have the credit analysis section in their online sign up process. Customers can either opt to pay a deposit or adhere to a credit check. Note that some customers that adhere to credit check may still be required to pay a deposit dependant on their scoring. (click) Or the customer can click the box stating that they would like to continue without a credit check and pay the deposit amount of “$XYZ”. Deposits can be paid by credit/debit card.(NO MORE checks accepted) This is done in real time, so should the customer put in the credit card info incorrectly, the system will decline it and give the customer the option to go back to enter in the correct info/or another credit card.

The email letter will outline all of the choices and tell them how to either pay the deposit or fax in bills

NOTE: in TX … if they fail the credit check, they will see the option to let XOOM know if they qualify for any of the TX Waiver programs. Also in TX, the when ordering the customer has the option of self-selected switches or Move-In Dates. Let me explain: A self-selected switch allows customers to pick the exact date their switch to XOOM Energy takes place. There is a charge for self-selected switched which varies by location. This is an option for customers and is not required. “Move-in” applies when a customer needs power turned on at a residence for the 1st time. If a customer is moving to a location where the power is off and needs to be turned on or are moving to a location where the power is on but needs to transfer the ownership to the customer’s name, this is considered a “move in”. With a self-selected switch or move-in, service will be switched in at least 3

business days, however it can take up to 30 days.

Are you able to bring your account current in the next 48 hours? Yes or No? Be aware that if the customer proceeds with the XOOM Energy order, but does not clear their outstanding utility balance their order will be

rejected.

• Another very important point to keep in mind is that rates will differ by utility within each state

• Finally – you should avoid customer testimonials of savings – because the rates will vary by market and may be revised monthly, one customer’s savings is exclusive to them … each customer’s experience will be unique to their own situation and program of choice.
