Dear advertisers and vendors,

We are excited to announce that our 2012 GOLD PROSPECTING AND MINING SUMMIT has been scheduled for May 12-13, 2012, at the El Dorado County Fairgrounds in Placerville, California!

Those vendors who attended our first Mining Summit in 2011 already know it was a huge success. For those of you who did not attend the event last year, here is what you can expect based on last year’s event:

• Nearly 3,000 miners and prospectors attended the event, and over 200 attended an additional hands-on training day • Attendees ranged from new prospectors to seasoned miners • Several vendors completely sold out of product • At least nine vendors cleared $20,000 in sales • Our expert lineup of speakers and instructors will again provide instruction in the separate lecture hall, which averaged 350 attendees for each presentation in 2011 • Vendors will again be treated to complimentary hors ‘d oeuvres, beer and wine on Saturday after the event closes to the public • Affordable, quality food, along with beer and wine, will again be available inside the venue, so attendees are content to stay for the full day • Another extensive advertising campaign will be conducted, including print, web, television, and roadside signs • Additional hands-on training will be expanded to two days -- Friday, May 11, and Monday, May 14, 2012 -- to help those who desire additional training and experience

Our booth rates will continue to be extremely reasonable:

• $250 corner, inside the building • $225 aisle, inside the building • $225 corner, in the outdoor breezeway • $200 aisle, in the outdoor breezeway • No added charges for tables, chairs, electricity or wireless

During last year’s show we conducted a survey. Here is what we learned about our attendees:

Exhibitor Information

To reserve your space, return the enclosed contract with payment and specify if you desire indoor, outdoor, aisle or corner. Our goal is to place exhibitors in the best possible position for the benefit of all. Every effort will be made to separate those vendors selling competing products. The Venue: We've reserved the large Forni Building for exhibit spaces and the adjacent Organ Hall for lectures and instruction. There's room for 64 booths in the Forni Building and an additional 12 outdoor booths in the paved area between the two buildings. Informative instruction will be given by our writers and other selected instructors throughout the day in the lecture hall. Food and beverages, including beer and wine, will be available inside the venue. Exhibit Spaces: Inside the Exhibit Hall: 10' x 10' aisle, $225; 10’ x 10' corner, $250. Outside (in the breezeway): 10’ x 10’ aisle, $200; 10’ x 10’ corner $225. All inside booths include 3' side drapes. Booths in the center of the floor include 8' back drapes. All booths include 2 chairs, electricity and wireless access free of charge. Aisle booths include one 8-foot table; corner booths include two 8-foot tables. Additional tables and chairs will be provided free of charge, if requested in advance. Exhibitors need to bring table coverings, signage and any extension cords that might be needed. Show Hours: Exhibitors can set up from 8am until 6pm on Friday and from 8am to 9:30am on Saturday. Show hours are 10am - 5pm on Saturday, and 10am – 4pm on Sunday. In-field Training: In-field, hands-on training days will be held on Friday, May 11 and Monday, May 14, from 8:30am until 4pm. We are still working out the various details on these classes. Parking: Parking at the Fairgrounds is $5 per day. Loading/Unloading: Vehicles are not allowed inside the building. All merchandise must be brought in through the roll-up door at the rear of the building, or through double doors located on each side. Animals: No Animals are permitted to roam freely.

• Animals must be either penned or on a leash at all times. • Persons having animal(s) on the grounds must use every care to assure the safety of all

visitors on the Fairgrounds. • Anyone in violation of this policy will be asked to remove the animal(s) from the grounds. • All sanitary needs for permitted animal(s) will be the sole responsibility of the Renter. • Sanitary needs for guide, signal or service dogs will also be the patron’s responsibility.

Other:

• Bicycles, roller blades, skates, scooters, and skateboards are prohibited anywhere on the grounds.

• Weapons, including knives and firearms, are prohibited on the grounds. • Speed limit on the Fairgrounds is 10 MPH. • Lost and found items should be turned in to the ICMJ booth and will be transferred to the

Fair Office at the conclusion of the show if not reclaimed.

RV Camping Reservations: First come first serve basis, but you need to call ahead to see if there is availability due to ongoing events. Amenities: Water, electricity, showers; no sewer hook-ups, no dump available on site. (Nearest dump is at the Shell Gas Station, South Side of Hwy 50, Cameron Park.) Check-out Time: Check-out time is 1:00 p.m. Length of stay: RV parking is limited to Fourteen (14) Consecutive Days. Number of Spots: Depends on the events being held at the time the RV space is needed. Theft or Damage: Neither the Fair Association nor ICMJ Inc. shall be held responsible for theft or damage incurred to vehicles parked on the Fairgrounds. BBQs: Charcoal BBQs are not permitted. Spills: You will be charged for any hazardous clean-up and/or gas leakage, etc.

About Placerville: Placerville became a hub for gold mining activity in the late 1840’s and is only ten miles from the location of the famous gold discovery at Sutter’s Mill in Coloma. Placerville is centrally located, just off Highway 50. It’s located east of Sacramento and west of Lake Tahoe and Reno (Nevada), making it easily accessible from major highways in northern California and Nevada. Advertising: Fliers and brochures will be distributed to prospecting stores, clubs, and associations across the western states. Advertisements will appear in ICMJ’s Prospecting and Mining Journal, Miners News, and Gold Prospectors magazine, the Sacramento Bee, and on ProspectingChannel.com. Over 400 roadside signs will be distributed across northern California. Additional coverage will come from Sacramento area television stations. GENERAL SHOW INFORMATION If California Mining Journal, Inc., aka Show Management, shall for any reason that is not arbitrary or capricious consider it inadvisable to hold the Gold Prospecting and Mining Summit at the time of place herein provided, Show Management shall reserve the right to change the date and/or location within the same city, county, or state and the same shall be held by giving Exhibitors reasonable and advance notice thereof. Show Management shall provide security in and around the Show premises at night, but shall not limit the Exhibitor’s responsibility to protect small and/or valuable items by taking special precautions. Exhibitor agrees to hold Show Management blameless for any and all liability incurred directly or indirectly by the Exhibitor for any loss or damage to exhibit or products. Every effort shall be made by Show Management to assign individual Exhibitors their preferred location, but floor plans are subject to modification if Show Management deems it necessary for the overall good of the Show, or if the floor plans are different than expected. A copy of this Exhibit Space Contract must be on file with Show management. If an Exhibitor dismantles their exhibit or vacates their space prior to the advertised closing time, any and all of Show Management’s responsibilities to the Exhibitor immediately cease. Show Management reserves the right to refuse entry or service to any Exhibitor.

INSURANCE AND LIABILITY Insurance, if desired, must be obtained by each Exhibitor at his/her own expense. Show Management assumes no risk, and by accepting this agreement, Exhibitor expressly releases Show Management, convention center, fairgrounds or other host location management and the city in which the Show is held from any and all liability arising from damage, injury or loss to persons or property which may arise from the use and occupation of said exhibit space by the Exhibitor and further agrees to indemnify, hold harmless and save Show Management, convention center, fairgrounds or other location management and the city in which the show is held from any loss or damage. Show Management assumes no responsibility whatsoever for any property or goods placed in the Show and is hereby expressed, released and discharged from any and all liability, from any loss, injury or damage to persons or property that may be sustained while on the Show grounds.

ADVERTISING AND PROMOTIONS Show Management reserves the right to reschedule broadcast media and other advertising when necessary to enhance the success and effectiveness of ICMJ’s Gold Prospecting and Mining Summit.

DEPOSIT AND PAYMENT TERMS Exhibitor agrees to pay Show Management the full amount for booth rental (via cash, check, money order or credit card) as set forth in this contract. All phone orders will be promptly confirmed by mailing a copy of the contract to the Exhibitor for their review, signature and submission to Show Management. Reservations must be accompanied by a minimum, nonrefundable, nontransferable 50% deposit of exhibit space rental fees. Any outstanding exhibit space rental balance must be paid by April 6, 2012. NO BOOTHS WILL BE ASSIGNED UNTIL PAYMENT IS MADE IN FULL. If an outstanding balance is not paid by April 6, 2012, Exhibitor may be required to forfeit exhibit space and any deposit already paid. In addition, Exhibitor must promptly pay Show Management the balance of all rental monies due under this contract. All attorney and/or other costs incurred in enforcing this contract will be payable to the prevailing party by the losing party.

USE OF EXHIBIT SPACE The exhibit space contracted for under the terms of their contract is to be used solely by and for the Exhibitor whose name appears on this contract. Exhibitor further agrees that they will not sublet or assign any portion of the exhibit space allotted to them under the terms of this contract without the express written consent of Show Management. In the event that an Exhibitor fails to occupy their rented space or to have their exhibit completed and in place ONE FULL HOUR PRIOR TO SHOW OPENING, they shall forfeit all rights to said space, forfeit any deposit already made and, unless Show Management is able to immediately re-rent said space without incurring a monetary loss, shall, on demand, pay Show Management any outstanding exhibit space rental balance. The aisles, passageways and overhead space remains strictly under the control of Show Management. No signs, decorations, banners or special exhibits will be permitted in the aforementioned spaces which might obstruct the view, occasion injury or disadvantageously affect the display of other Exhibitors. No interference with the light or space of another Exhibitor will be permitted. Exhibitors and employees must conduct themselves in a dignified manner and maintain a clean, professional display at all times. Exhibitors must staff their exhibit space during Show hours and must make every effort to secure their own displays against potential theft and/or pilferage. Show security is provided only after show hours. EXHIBITORS MUST PROVIDE THEIR OWN ELECTRICAL EXTENTION CORDS, DOLLIES, HAND TRUCKS, TAPE, CORDS OR ANY OTHER SUPPLIES NEEDED FOR THE PURPOSE OF THE SHOW. ALL BOOTHS MUST HAVE SOME TYPE OF TABLE COVERING. Exhibitors must not dismantle or breakdown displays prior to Show closing times. If Show Management security must be used to enforce this provision, Exhibitors may forfeit the opportunity to participate in future Shows. Exhibitors are responsible for obtaining all local, county and state licenses required to sell and/or display merchandise. Also, Exhibitors are responsible for completion of all tax forms required by the facility, county, and state and remittance of taxes due. Show Management will provide appropriate back and side drapes for rental spaces. Exhibitors are responsible for all additional lighting, power utilities, water, phone or other special services.

RAFFLES AND DRAWINGS Exhibitors may hold drawings or raffles only if no money is exchanged for tickets and everyone is eligible to receive a ticket, or if they hold a 501C status with the IRS. Please refer to Show Management for raffle application before the Show.
