Dear Mr. Pallat:

As a fiercly proud British Columbian and Canadian, I am writing to youregarding the impending sale of Terasen to U.S. interests. In short, Iurge you and the Commission, and the federal government of Canada, toquash what will prove to be a devastating sale of our precious, andstartlingly scarce, natural resources. Once these resources have been soldto foreign interests - and we Canadians seem to be extremely good atmaking these horrendous mistakes - there is no turning back. I abhor theidea of auctioning off the very essence of this nation in exchange forsome short-term financial gain, and the long-term result of this kind ofactivity is that we will end up being the ones who will freeze in thedark. There is no way that a Houston-based company with a terrible trackrecord and a history of controversy is going to cut us any slack when thechips are down and reserves are low.

I truly feel that the government of British Columbia has made a terribleand short-sighted error by lifting the foreign-ownership limits that aprevious adminstration had carefully placed upon Terasen. The awfulconsequences of that cold-hearted business move are now staring us rightin the face, and I urge you to do the right thing and over-ride thisgrotesque sell-out of our natural resources. American companies must belaughing all the way to the bank when it comes to dealing with officialsin this country. There is no need for them to get tough with us in theirdrive to acquire our water, oil and gas - and make no mistake about thefact that this is exactly what they want - we will simply sell it off fora relatively few bucks, regardless of the consequences.

Please take a very hard look at this situation. I implore you to use yourpower to preserve the essence of this country, something that others wouldeffectively give away, and to help me regain my pride in Canada that isslowly slipping away. Thank you.

Dear Mr Prime Minister, Mr Gordon Campbell, Mr Randy Camp, Mr Richard Neufeld, & Mr Rob Pallat,

I urge you to disallow the sale of BC Gas (Terasen Gas) to an American company in the coming months.

My concern isn't in rising oil prices, as that is inevitable and somewhat superficial. My concern is in first, having Canadian politicians acknowledge the coming Oil Peak (also known as Hubbert's Peak). We are rapidly approaching a period in our planet's life where the devastating effects of our irresponsible use of resources are going to be felt within our life-spans. Our lives are going to change, and probably for the worst as compared to today.

For this reason, I think it is highly unintelligent decision to allow Terasen Gas to be sold to the States at a time when we know that gas is going to become more and more scarce.--We need control of and access to our own resources, or Canada will be in serious trouble in the coming years when our own gas is sold back to us at staggering rates.

Please, please take this seriously. We need to think about our future.

This letter is to let you know that I am having real concerns regarding the proposed saleof Terasen to Kinder Morgan. The interests of B.C. consumers such as myself need to be taken into account.What about after the B.C. oil pipelines Terasen acquires are all done making money hand over foot and don't much matter anymore? How do we ensure then that Kinder Morgan will maintain and upgrade pipelines and build for the future?The government and the company say that the price of natural gas will be governed by the BC Utility Commission and that's true. But BCUC has no power to force Kinder Morgan to make more pipeline capacity available nor any ability to pressure it to upgrade its infrastructure. When Terasen stood alone, with a mandated Canadian majority ownership, itsmain business was supplying the BC natural gas market. When that is merely a convenient cash cow to be used as necessary, are we to believe that Kinder Morgan will deal with us as if we mattered? What will come first for their American shareholders: gas and oil for greedy Americans or the needs of British Columbia for those commodities?We are quickly moving to where American needs for oil, gas and water will trump our needs for the same. Moreover, the environmental problems this will raise will be ours not theirsand the profits not ours but theirs too.In what is being called one of the largest regulatory actions undertaken by the U.S. Department of Transportation's Pipeline and Hazardous Materials Safety Administration, Kinder Morgan must restructure its internal inspection program, get an independent review of its operations and analyze recent incidents, including one that killed five people.Damon Hill, a spokesman with the PHMSA, said the broad scope of the order is due to the large number of incidents in the company's Pacific operations: 44 since Jan. 1, with 14 resulting in the release of more than five barrels of refined petroleum."We didn't find any clear-cut violations of integrity management rules, but we did see some weaknesses in the use of their tools to interpret data," said Hill. For example, theorder notes that in some instances Kinder Morgan used internal pipe inspection tools that aren't sufficient to identify certain defects. Some incidents, however, are due to age and wear and tear. An April 27, 2004, release of 105,000 gallons of diesel into a marsh near Fairfield, Calif., was due to a patch of corrosion almost 14 feet long. The firm paidmore than $5 million in fines, penalties and restitution in that case. The company's organizational structure also expects workers in different departments to identify specific pipeline safety threats, but it does not allow workers from one department easy access to data from another department, the order says.

I sincerely hope that you will take the above into serious consideration before allowing Terasen to be sold to this American company.

I am writing in order to share my deepest concern regarding the sale of Terasen Inc. to Kinder Morgan Inc., which you will soon be asked to approve.

Since the implementation of the Canada-U.S. Free Trade Agreement, I have witnessed the increasing loss of control over the country’s energy resources and its infrastructures. From the elimination of the 25-year contingency reserve provision, to the implementation of the proportional sharing provision, most of Canada’s energy decisions have resulted in our country losing sovereignty over our resources.

This sale will undoubtedly rob B.C. communities of the power to influence future energy decisions in the province. It will also reinforce the view that Canadians are, in effect, becoming tenants in their own land. I urge you to prevent this deal by refusing to ratify it until such time as an exhaustive evaluation of Canada’s energy situation is completed and provincial –and national – energy strategies are drafted and adopted. As the U.S. Administration is keen to highlight, control of energy resources will be the struggle of the future. Canada needs to start preparing for this struggle and defending infrastructures built and paid for by the Canadian public. Sincerely,

important issues to consider, I believe such issues have been broached in various newspaper articles and/or opposing or supportive letter contributors. Shareholder perspective For the record: I am a modest Terasen shareholder and have evaluated the options presented to shareholders. Like other shareholders who hold Terasen for its reliable, long-term steady stream of income, if this takeover is approved, like others, I will sell this fine Canadian company or take Kinder's cash option and allocate my money elsewhere. From an economic perspective, a key consideration for smaller investors such as myself [although we cannot rely on the ubiquitous crystal ball] is holding U.S. valued shares. Although opinions may differ, I believe the Canadian dollar will continue to gain strength against the US dollar over the coming years. Regardless though, shareholders [some of them pensioners and/or pension plans] who opt for Kinder Morgan shares will have to pay more tax and they will also be subject to the devaluation of the US dollar on those shares. I absolutely believe this is a likely scenario (as it was in the last energy/commodity bull market of the earlier 1970s). The challenge currently presented by the energy industry is different this time. [Although Hurricane Katrina has raised a supply side issue for natural gas, demand issues remain.] What is different now versus the last energy crisis, is that (apart from a reduction in refining capacity) the world is dealing with a demand side issue for energy. B.C. resident perspective So, who will control this energy? With the aforementioned investment considerations aside, my sole and most important purpose for writing this letter is from the standpoint of a Canadian citizen and lifetime British Columbia resident. There are a variety of concerns that seem (to me at least) key issues surrounding natural gas. Natural gas is a commodity known to be in limited supply. As well, future considerations surrounding the water services sector will undoubtedly become a high profile issue in years to come. [There are already documented problems with foreign contractors for private utility water/waste water services in Canada.] The control of the distribution channels for key commodities should be of paramount concern for our province. Anyone that follows the energy industry knows the oil sand extraction recipe involves: the oil sands, water for steam, and natural gas. Terasen distributes two of these key ingredients: natural gas and water. What will be the primary focus? Natural gas and water distribution to B.C. residents, or the oil sands extraction process? Concerns surrounding the ownership of a primary utility company is not Anti-Americanism. Mergers and aquisitions occur back and forth on a regular basis between Canadian and American businesses, along with other foreign investors/investment. However, what sets this situation apart from other aquistion plays is that here in B.C. Terasen is the dominant distributor and service provider for 95% of B.C. natural gas customers. Combined, Terasen is the primary energy deliverer [60%] to British Columbia residents. So given the reality of these statistics, for people who say, "Well Terasen is technically a private company", the privacy statement is rendered a moot point. Therefore, I do not believe (as some have commented) that the acquisition of West Coast Energy to Houston, Texas based Duke Energy is a fair comparison or precedent to follow for foreign ownership. West Coast Energy cannot even compare to Terasen's 95% market share for natural gas distribution and service to B.C. residents. Furthermore, it would be unusual for any dominant Canadian utility to fall under the control of foreign interests. To restate this point in a different way, and putting the utility aspect aside, unlike some industries where there is a broad basket of competing companies [from which consumers are free to pick and choose their supplier] and functioning in a free market to balance pricing via the normal avenues of demand and supply for a good in generous supply, the critical point is this: Terasen is the primary energy distributor to British Columbians. Furthermore, Terasen is a large utility player on the national Canadian front. A particular analyst-Kurt Wulff-was brought to my attention through a National Post newspaper article [see attached article August 16, 2005] with respect to the investing decisions of the highly respected Seymour Schulich and Newmont Mining's investment in the Canadian Oil Sands Trust. Closing thoughts With a long term perspective of Terasen distributing the majority of natural gas to our citizens, and the water services sector, we need to maintain Canadian control of this primary utility provider. [This is especially important in an industry under the international microscope-which will only increase once Dick Cheney makes his fact-finding field trip to the Alberta oil sands region] Thus, we need to conduct our provincial decision-making from a long term perspective rather than a short term one. It is vital to analyze a deal from all sides - not just from a current and seeminglywin-win. I trust the B.C. Utilities Commission will have the long term vision to consider this impact on our B.C. residents, especially in light of the fact that we are presently only several years into a potential 15-18 year commodity bull market and as the years progress access to key resources like natural gas and water will only increase. I am writing in order to share my deepest concern regarding the sale of Terasen Inc. to Kinder Morgan Inc., which you will soon be asked to approve.

Since the implementation of the Canada-U.S. Free Trade Agreement, I have witnessed the increasing loss of control over the country’s energy resources and its infrastructures. From the elimination of the 25-year contingency reserve provision, to the implementation of the proportional sharing provision, most of Canada’s energy decisions have resulted in our country losing sovereignty over our resources.

This sale will undoubtedly rob B.C. communities of the power to influence future energy decisions in the province. It will also reinforce the view that Canadians are, in effect, becoming tenants in their own land.

I urge you to prevent this deal by refusing to ratify it until such time as an exhaustive evaluation of Canada’s energy situation is completed and provincial – and national – energy strategies are drafted and adopted. As the U.S. Administration is keen to highlight, control of energy resources will be the struggle of the future. Canada needs to start preparing for this struggle and defending infrastructures built and paid for by the Canadian public.

I oppose the sale of Terasen to US interests.

It is clearly time that we in British Columbia and in Canada stop the wholesale dispersal of ownership of our natural resources to non-Canadian entities. The resources in the ground meaning minerals natural gas, petroleum and other resources must remain in Canadian ownership.

Profits and taxation must accrue to Canadians and not in this case Americans or anybody else.

Natural gas is a non-renewable resource which must be guarded and used carefully and that cannot be accomplished with a board of directors thousands of miles away in the United States.

I call upon you to deny the sale of Terasen to any one other than a Canadian majority interest.

Dear Sir/Madam: Please let this e-mail stand as my opposition to the sale of Terasen Inc. to a USA company. After watching the terrible rescue response provided to the people of New Orleans I in no way want our gas lines and management of our gas utility to be dependent on the management of any USA company. I wonder why we would be so eager to let USA companies control our resources? Is this strictly a profit taking for the shareholders of Terasen? Natural resources and related pipelines, etc should NOT be able to be bought and sold by shareholders looking after their own wealth management. This is not in any way appropriate to all the people of our country. I hope the government will step in to prevent this move.
