WESTERN TECHNICAL COLLEGE DISTRICT BOARD

Minutes to Regular Meeting May 19, 2015

ATTENDANCE Mr. Dan Hanson, District Board Chair, called the regular meeting of the Board of Western Technical College District to order at 4:11pm on Tuesday, May 19, 2015 in Room 121 of the Western Technical College Mauston Regional Learning Center, 1000 College Avenue, Mauston, Wisconsin. Board members present were: Dave Laehn, Angie Lawrence, Sally Lister, Ed Lukasek, Joanne Sandvick, Tom Smith, Joan Sosalla, Dennis Treu, Dan Hanson and Lee Rasch, President. PUBLIC NOTICE OF MEETING Notice of the meeting was posted publicly on Thursday, May 14, 2015 at 3:15pm with the agenda being distributed to interested persons, sent to the District’s official newspaper (The La Crosse Tribune), and distributed to other news media throughout the District in compliance with Wisconsin Statutes, Sections 19.81 through 19.98.

OTHERS PRESENT Others Present: John Heath, Wade Hackbarth, Janice Strupp, Denise Vujnovich, Mike Swenson, Josh Gamer, Brandee Ortery, Jennifer Brave, Sarah Wilke (Western staff), and Carrie Buss. CLOSED SESSION 3:15pm: Motion Sosalla, second Lister, that the Western Technical College District Board convene into closed session for the purpose of providing updates on contract non-renewals and considering an employee complaint under the provisions of Wisconsin Statutes, Sec. 19.85 (1)(c). Roll call: Laehn, yes; Lawrence, yes; Lister, yes; Lukasek, yes; Sandvick, yes; Sosalla, yes; Treu, yes; Smith, yes and Hanson, yes. Motion carried. 4:06pm: Motion Sosalla, second Treu, to adjourn from closed session. On roll call, motion carried unanimously. No action items. OPEN SESSION 4:11pm: Mr. Hanson called the business meeting of the Western Technical College District Board to order. APPROVAL OF MINUTES Motion Laehn, second Lister that the Western Technical College District Board approve the minutes to the April 13 special meeting and April 28 special budget meeting as presented. Minutes to the April 21 regular meeting were approved with a minor revision. Votes: Ayes, 9; Opposed, 0. Motion carried unanimously. APPROVAL OF FINANCIAL REPORTS Motion Smith, second Sosalla, that the Western Technical College District Board approve financial reports for April, 2015 which include 1) Schedule of Payments; 2) Vendors Over $2500; 3) General Revenue/Expense report through April 2015. Votes: Ayes, 8; Opposed, 0; Abstention, 1. Motion carried. PRESIDENT’S REPORT Dr. Rasch thanked the Mauston Regional Learning Center for hosting the meeting. Following staff were introduced: Sarah Wilke, Natty Kranz, Chris Clark and Marie Kolba. Dr. Rasch provided a brief WTCS update and shared that the Hydro Power Station Open House is scheduled for Monday, June 15 at 12:30pm in Sparta. SALARY STRUCTURE REPORT John Heath provided an update on the salary structure adjustment. DISTRICT BOARD CHAIRPERSON REPORT/UPDATE Mr. Hanson shared an update from the District Boards Association meeting held on April 17-18, 2015. Dennis Treu shared the highlights from the AACC Annual Convention in San Antonio, with the overall focus on the importance of partnerships with high schools, industry and four-year colleges. DISTRICT BOARD PLANNING, POLICY AND INSTRUCTION COMMITTEE REPORT Mr. Smith reported the committee was provided an enrollment update by Denise Vujnovich and reviewed several college policies. DISTRICT BOARD BUDGET AND FACILITIES COMMITTEE REPORT Ms. Sosalla reported that 1) committee heard a subcommittee update; 2) was provided a Vision 2020 update; 3) discussed LEED; 4) reviewed the 2015-16 tuition rates; and 5) reviewed the provided financial reports. FOUNDATION UPDATE Mike Swenson reported on the following Foundation topics: District and Foundation Board Member changes; new scholarship application and award system; pathway scholarships; Phonathon results and alumni business owners. TIF UPDATES Joanne Sandvick reported that the City of La Crosse TIFs #5 and #9 both passed. Dennis Treu reported attending the City of Tomah initial meeting on TIF #8 to improve the downtown area. Ed Lukasek reported attending the JRB meeting for the City of Black River Falls TIF #3 amendment. ACCEPT THE PROPOSAL FROM HIGHER EDUCATION PARTNERS AS PRESENTED Motion Sosalla, second Lister, that the Western Technical College District Board accept the proposal from Higher Education Partners for July 1, 2015 through June 30, 2020 (with option to renew for two, one-year terms). Votes: Ayes, 9; Opposed, 0; Motion carried.

AUTHORIZE ADMINISTRATION TO SET AND CHARGE WESTERN TECHNICAL COLLEGE FEES AND RATES FOR 2015-16 Motion Lawrence, second Sandvick, to authorize administration to set and charge Western Technical College Fees and Rates for 2015-16 as presented. Votes: Ayes 9; Opposed, 0. Motion carried unanimously. APPROVE POLICY REVISIONS FOR FIRST READING Motion Lukasek, second Lister, to approve for first reading revised B0600 Travel and Expense Reimbursement. Votes: Ayes 9; Opposed, 0. Motion carried unanimously. Motion Lister, second Smith, to approve for first reading revised C0208 Conflict of interest and Acceptance of Gifts. Votes: Ayes 9; Opposed, 0. Motion carried unanimously. Motion Sandvick, second Laehn, to approve for first reading revised G0300 Western Technical College Foundation, Inc. Votes: Ayes 9; Opposed, 0. Motion carried unanimously. Issue: A Public Hearing on the proposed 2015-2016 budget was held at 3:45pm on June 16, 2015 in accordance with Wisconsin Statutes, Chapter 65.90, s38.12(5m), which states that the District Board shall submit an approved copy of its budget to the State Board by July 1 of each year. The property tax levy for 2015-2016 will be set in October 2015 after receipt of the equalized valuation from the Department of Revenue.

Recommendation: Adopt the 2015-2016 District Budget as presented.

WHEREAS the Western Technical College District Board has reviewed the proposed 2015-2016 budget

documents which are hereby made a part of this resolution; and

WHEREAS the Notice of Public Hearing of the proposed 2015-2016 budget for the Western Technical College

District was published in the La Crosse Tribune on May 30, 2015.

WHEREAS the Western Technical College District Board held, pursuant to Chapter 65.90 of the Wisconsin

Statutes, a Public Hearing on the proposed 2015-2016 budget at 3:45pm on June 16, 2015 in Room 408 of the

Western Technical College Administrative Center, located at 111 North Seventh Street in La Crosse, Wisconsin;

now therefore be it

RESOLVED, That the Western Technical College District Board hereby adopts the budget for the 2015-2016

fiscal year in the amount of $50,646,879 for the District’s General Fund, and in the amount of $134,720,427 for

Topic: LEED Certification for Facilities

Issue: Coleman – Phase 1 and Phase 2

The Vision 2020 facilities referendum included a major overhaul of the Coleman Center. The Coleman Center was constructed in 1923. A major addition to the building was completed in 1939. The facility at one time had a cafeteria, a library and a major auditorium. These large areas were partitioned over the years to become classrooms and offices. The facility also housed diverse programs ranging from machine tool instruction to business education. As a result of these issues, the Coleman Center was a very energy inefficient facility, lacking adequate ventilation and heating/cooling balance.

The design approved for the renovation of Coleman was at the LEED Silver standard. It is a reasonable estimate that achieving LEED Silver will result in an annual savings of 20% in energy cost (approximately $30,000 per year). The savings may result in a full return on investment (ROI) within two years. It is recommended to seek LEED Silver certification.

Integrated Technology Center The Integrated Technology Center was constructed in 1974 as a one-story facility for welding and wood techs. The building foundation allowed for future construction up to four stories. Following referendum approval in 1992, a second story was added to the facility in 1994 to house public safety facilities. The Integrated Technology Center is a new four-story building constructed on the foundation of the former Applied Technology Center. The Integrated Technology Center will house all of the college’s manufacturing and building systems programs. The co-location of these programs will allow for integrated curriculum and pathways certificates in these fields. The facility will have community and industry partners designed to attract the next generation of workers to these fields. The design for the new Integrated Technology Center is targeted to be certified at LEED Platinum and as such, the facility will serve as a living laboratory for the building systems programs. The programs that will relocate into the Integrated Technology Center were previously located in the former Applied Technology Center, the Coleman Annex and the third floor of the Kumm Center. Note that the Integrated Technology Center is also a larger space in order to accommodate future growth. Recognizing the difference in square footage, the estimated savings of 20% in utility costs will be approximately $36,000 per year. Under these assumptions, the return on investment for LEED Platinum certification will be within two years.

Horticulture Education Center The Horticulture Education Center is a new facility that will house the Landscape Horticulture program and (through a collaborative agreement) the Hillview Urban Agriculture Center. The Landscape Horticulture program currently uses leased facilities to offer the program. Hillview was formerly located in an old neighborhood greenhouse. They promote locally grown food and healthy eating. Mayo Health System is a major partner with Hillview. As a green building, with significant community partners, it is recommended to seek LEED Silver certification. Viroqua Regional Learning Center The Viroqua Regional Learning Center building (a former grocery store) was acquired following the successful 1992 referendum. Due to funding limits established by the referendum vote, additional private contributions were obtained in order to acquire and remodel the facility. Initially, Western acquired a portion of the building (approximately 70%). The remaining portion was developed for retail and later as an alternative school. Several years later, the college acquired the remaining portion of the building. The south end of the building was remodeled in phase 1 of a two phase process. As a former grocery store,

the building was not energy-efficient by design. Furthermore, there were problems with moisture in the exterior wall. Energy costs were on average $24,850. Based upon an assumed 20% improvement in energy efficiency, the college will reduce annual costs by $4,981 with an ROI of 10 years. The remodeled facility was designed at LEED Silver standards. It is recommended that the college complete the project for a LEED Silver certified building. Western’s Energy Efficiency Story

Regarding Coleman, it is a major accomplishment to achieve LEED Silver status, as well as the level of ROI, on a facility that was constructed in 1923 and 1939. At the same time, LEED Platinum certification for the Integrated Technology Center will reflect the true nature of the facility as a living laboratory. The Vision 2020 facilities referendum included major renovations of two existing buildings-Coleman and the Applied Tech Center. HSR has estimated that construction of two new buildings, with the same size and features of these two facilities, would likely have cost approximately $20 million additional in total construction cost. Even factoring in transition and interim facility costs, there is a savings of approximately $17 million by repurposing existing buildings. And through LEED certification, the college is able to demonstrate that the investment in current facilities is a more responsible model than demolition; still resulting in a high quality facilities that will have many years of use ahead. It is also noteworthy that the community survey, taken in advance of the 2012 referendum, indicated that the highest priority was energy efficiency. Furthermore, in a spring 2015 survey, energy efficiency was a priority for 90% of the students at Western. The Vision 2020 facilities reflects these priorities. It is important to share this story. It is recommended that this information be displayed adjacent to the LEED Certification plaque at entrance locations for the both the Coleman Center and Integrated Technology Center. LEED Certification During the last year, the Budget and Facilities Subcommittee has discussed options for approaching LEED certified buildings. Essentially, the question centers around the issue of applying for LEED certified status, which bears an application cost. The recommendation is to complete the Coleman, Integrated Technology, Horticulture Education Center and Viroqua RLC projects as designed and apply to obtain the appropriate LEED certification. The design and construction for these projects is well underway, and there is considerable value to certifying LEED status. Furthermore, we are recommending that we design and remodel the Kumm Center project to LEED Silver standards, but do not submit the application for LEED certification designation. This project is at an earlier stage of design. In essence, we will be able to try out the concept of working with contractors to design toward LEED Silver without certification. Based upon our experience, this will allow the college to consider this as an option for future projects.

Recommandation: Approve the LEED Certification & Facilities plan as outlined.

Topic: Three Year Facilities Plan 2015-2016

Issue: Annually, each Wisconsin Technical College District is required to prepare and

submit a Three-Year Facilities Plan to the Wisconsin Technical College System Board (WTCSB). The Plan must be approved by the District Board and submitted no later than August 1st of each year. The reporting shall be on a fiscal year basis and include information for the current and next two fiscal years. The Plan will be accepted and reviewed by the WTCSB but no action will be taken, as each project continues to be subject to review and approval on an individual basis pursuant to s. 38.04(10), Stats. Facility development projects, acquisitions, construction of new or addition facilities, and remodeling that have not been included in a Plan will not be considered for WTCSB review and approval. However, recognizing the need for districts to be responsive, an exception may be granted to this policy provided a Technical College can demonstrate extenuating circumstances. The WTCSB will act on granting an exception prior to taking any action on the project.

Recommendation: Adopt the Three Year Facilities Plan 2015-2016 as presented and submit same to the Wisconsin Technical College System Office for record.

All travel should be planned with the principles of fiscal austerity in mind. Government discounts should be requested from hotels and motels and sales tax exemptions apply. Group travel should pool transportation and lodging expenses where applicable and possible. Government discounts should be requested from hotels and motels and sales tax exemptions apply. Group travel should pool transportation and lodging expenses where applicable and possible. Travel is limited to activities or events relating to the employee's job duties, professional development, and/or to the promotion of the College. The responsibility for monitoring employees' travel and adherence to College guidelines rests resides jointly with the employee’s supervisor, the department administrator, and the Business Office. All travel and expense reimbursements must be properly approved and follow the procedures established by the College.

Current Policy

C0208 CONFLICT OF INTEREST and ACCEPTANCE OF GIFTS

GIFTS No employee shall solicit or accept, directly or indirectly, on behalf of himself or herself or any member of the employee’s household, any gift, including but not limited to any gratuity, service, favor, food, entertainment, lodging, transportation, loan, loan guarantee or any other thing of monetary value, from any person or entity that has, or is seeking to obtain, contractual or other business or financial relations with the College.

The prohibition on accepting gifts does not apply to:

A gift given by a member of the employee’s immediate family or by an individual if the gift is given for a non-business purpose and is motivated by a close personal friendship and not by the position of the employee;

Informational materials in the form of books, articles, periodicals, other written materials, audio tapes, videotapes, or other forms of communication;

Sample merchandise, promotional items, and appreciation tokens, if they are routinely given to customers, suppliers or potential customers or suppliers in the ordinary course of business;

Unsolicited tokens or awards of appreciation, honorary degrees, or bona fide awards in recognition of public service in the form of a plaque, trophy, desk item, wall memento and similar items; provided, that any such item shall not be in a form which can be readily converted to cash;

There may be circumstances where refusal of reimbursement of a gift (such as a lunch or dinner) may be awkward and contrary to the larger interests of the College; and

Loans from established financial institutions made in the ordinary course of business on usual and customary terms.

If an employee accepts a gift other than office supplies under these provisions, the employee must disclose to the Business Office a description of the gift, the name of the person or organization who provided the gift, and the value of the gift, if known, or its estimated value, if unknown. Disclosure must be in writing (e-mail is preferred) and be made within seven (7) calendar days of the acceptance of the gift; When it is in the best interest of the College, the Business Office may at any time restrict an employee(s) from accepting additional gifts under these provisions.

CONFLICT OF INTEREST

Employees shall not engage in or have a financial interest in any activity that raises a reasonable question of a conflict of interest with their duties and responsibilities as employees. “Indirect financial interest” in this case includes a substantial interest on the part of a parent, spouse, or minor child of the employee. This shall not apply to ownership of publicly traded stocks or bonds where such ownership constitutes less than two percent (2%) of the total outstanding amount of the stocks or bonds of the issuing entity.

The normal employment compensation of a spouse whose regular, ongoing employer or business has a contractual arrangement with the College shall not be considered a “benefit” to the employee, provided the contract with the College was procured without any participation, assistance or influence by the employee.

Issue: The budget for fiscal year 2015-16 supports a 2.00% salary adjustment in light of the

financial ability of the college and meeting our total compensation goals. The compensation system supports adjusting the salary ranges by the CPI of 1.62%. The range adjustment applies only to the range itself and not to individuals within the range.
