corporate boards using our services, Such directors are able to access the full set of Directors Desk features to access information including board meeting materials, meeting minutes, documents, and other related materials, They can also communicate with officers and otber directors of the corporation using tools within the online application, such as secure email. I, Damon C. Greer, based upon my personal knowledge conceming matters to which I am competent to testify, hereby declare as follows:

I. I am the Associate Director for Electronic Commerce in the Office of Technology and Electronic Commerce at the U.S. Department of Commerce ("Commerce"), and I am the lead administrator of the U.S.-E.U. Safe Harbor Framework.

2. Commerce is not a party to the captioned matter.

3. Commerce is responsible for developing and overseeing lhe U.S.-EU Safe Harbor Framework C'Safe Harbor"), a voluntary program that provides U.S. companies with a method for recejving personal data lawfully from the European Union. To join the Safe Harbor, a company must self-certify to Commerce that it complies with a set of principles that have been deemed to meet the EU's adequacy standard.

4. As Associate Director, I am responsible for maintaining an accurate list of those companies that self-certify to Commerce that they comply with the Safe Harbor principles. As part of my responsibilities, I oversee a public website, \\"\\ \\ .c,l(rOr1 . ~!Ovisa(eharoor, where I post the names of companies that have se!f­certified. The listing of companies indicates, among other things, whether their self­certification is "current" or "not current." Companies are required to re-certify every year on the anniversary of the date they first self-certified in order to retain their status as "current" members of the Safe Harbor framework.

5. In February 2007, Directors Desk LLC ("Directors Desk") submitted a self-certification to Commerce. Directors Desk's next self-certification was due in February 2008.

6. Directors Desk did not submit a self-certification by the February 2008 deadline, and as a result I updated Directors Desk's status to "nol current" on Commerce's public website.

To date, I have not received any documents or information from Directors Desk to renew its self-certification. Directors Desk is still in "not current" status on the Conunerce website.

Directors Desk has taken extreme measures to protect user information against unauthoriZed access . These measures include but are not limited to: a) storing all data in hosting faalities that are SAS-70 Level II Certified; b) storing user information In secure offline reposrtories not accessible to routine "hacking" attempts: c) engineering sophisticated application security technologies specifically designed to detect and protect against uMuthorized data access; d) !feating an user information stored in web applications as highly confidential during storage. transmission, and backup.

Protettion Ag<,in<;( Loss Directors Desk provides, as part of its service. full data mirroring and nightly tape backups to protect user information from being inadvertently lost or destroyed

Protection Again~t Data Corruption and Alteration Directors Desk uses state-of-the·art technologies, techniques and processes to maintain data integrity at all times . This includes use of an enterprise-level relational database system (RDBMS) that has been tested e>1ensively both in-house and by industry at·large.

Offline Security In addition to protecting user information stored in electronic systems. we also employ security measures to protect user·infomlation off-line. All of our users' information. not just the sensrtive information mentioned above, is restricted in our offices . Only employees who need the information to perform a specific job (for example, our customer seNice representatives) are granted access to personally identifiable information .

Choice and Opt-Out Options User information is never used for pwposes that are not directly related to their board and committee activnies. NI use of personat infonnation is subject to a full set of 'opt-out' options made available to the user For instance, d the user does not wish to disclose his or her emait address, they are able to remove that data from the system If the user does not wish for other directors to see his or her home or work contact infonnation. again they can remove those fields from the system. If a users personally identifiable information changes (such as zip code, phone, email or postal address), or if a user no longer desires our service. we provide a way to correct. update or delete/deactivate users' personally identifiable information This can be done at the Roster profile page of the Directors Desk service patronized by the user .

Notification of Changes If we decide to change our privacy policy . we will post those changes In this privacy slatement. and other places we deem appropriate, so our users are alWays a'llara of what information we coltect. how we use n. and under what c~cumstances. if any. we disclose it. We will use information in accordance with the privacy policy under which the information was collected

If. however. we are going to use users' personally identifiable Information in a manner different from that stated at the time of collection we Will notify users via email. Users will have a choice as to whether or not we use their infomlation In this different manner. In addition, if we make any material changes in our privacy practices thaI do no! affect user information already stored in our database. we will post a prominent notice on our Web site notifying users of the change .
