This contract is to provide household hazardous waste disposal/collection services for Kane County residents in Burlington, Dundee, Elgin, Hampshire, Rutland, Plato Townships, and to the Mill Creek SSA.
This is a three (3) year contract with option to mutually renew for additional two (2) one (1) year periods. This contract is commencing from April 1, 2013, through May 31, 2016.
The County Board awarded this proposal on February 13, 2013, to WM Curbside, LLC at a not to exceed cost of Thirty Six Thousand Dollars ($36,000) annually.
Waste hauler contractors such Veolia, Groot, Tradebe Environmental Services, and Allied Waste declined to participate, as this contract required a year round door-to-door collection program and due to licensing requirement.

FY 2013 CONTRACT WITH WM CURBSIDE, LLC FOR HOUSEHOLD HAZARDOUS WASTE SERVICES
WHEREAS, the Kane County Solid Waste Management Plan, adopted by the Kane County Board in 1992, and most recently updated in 2009, recommends that the County develop programs to divert household hazardous wastes (HHW) from the landfills; and
WHEREAS, under RFP 41-012, the Kane County Purchasing Department has solicited and received proposals for Household Hazardous Waste disposal services for residents of Burlington, Dundee, Elgin, Hampshire, Rutland, and Plato Townships and to the Mill Creek SSA; and
WHEREAS, WM Curbside, LLC, submitted the only proposal as described in the procurement summary issued by the Kane County Purchasing Department; and
WHEREAS, the County has a current contract with WM Curbside, LLC, per Resolution# 11-381, to provide a service for proper handling of HHW to residents of Burlington, Dundee, Elgin, Hampshire, Rutland, and Plato Townships; and to residents of the Mill Creek SSA, and has provided excellent service to residents of the City of Elgin since June 1999 and to other County residents in the above listed Townships since 2000 and to Mill Creek since 2012; and
WHEREAS, the 2013 budget for the Enterprise Surcharge Fund (650) includes Forty-five Thousand Dollars ($45,000) funding for HHW programs; and
WHEREAS, municipalities in the service areas contribute a total amount of Twenty-four Thousand, Eight Hundred Dollars ($24,800) annually towards this program; and the program does not exceed Thirty-six Thousand Dollars ($36,000) per year in oosts; and
WHEREAS, the Department of Facilities, Development, and Environmental Resources, and the Purchasing Department, recommend awarding this contract to WM Curbside, LLC .
NOW, THEREFORE, BE IT RESOLVED by the Kane County Board that the Chairman is hereby authorized to enter a three (3) year contract with an option for two (2) one-year renewals, with WM Curbside, LLC to continue to provide household hazardous waste services to residents of the said northern six Townships, invoiced on a per use basis, in an amount not to exceed Thirty-six Thousand Dollars ($36,000) annually. A copy of said contract shall be kept on file with the Kane County Auditor.

SUMMARY: This resolution seeks to authorize a contract with WM Curbside LLC for Household Hazardous Waste Disposal services for residents of Burlington, Dundee, Elgin, Hampshire, Rutland, and Plato Townships and the Mill Creek SSA. WM Curbside LLC is the County's current contractor for said services.
Proposal opening 41-012 was held on November 7, 2012 at the Purchasing Department office for a Household Hazardous Waste Collection Service provider. 1 proposal was submitted. Attached is a procurement synopsis.
Annual municipal contributions towards this program total, on average, $25,000. The end cost to the county, therefore, is approximately $11,000 or less per year.
The Department of Facilities, Development, and Environmental Resources and the Purchasing Department, recommends that the county enter into contract with WM Curbside LLC for the period of three years, with two optional one-year extensions, beginning Aprill, 2013.

CONTRACT FOR SERVICES
THIS CONTRACf is entered into this Lday of Apri12013, between Kane CoWlty, 719 South Batavia Avenue, Geneva, Illinois 60134 (hereinafter referred to as "County"), and WM Curbside, LLC, · 5101 East La Palma Avenue, Suite 206, Anaheim, CA 92807 (hereinafter referred to as 11Contractor'').
WTINESSE1H, THAT WHEREAS, the CoWlty intends to contract for Residential Curbside Household Hazardous Waste Collection (hereinafter referred to as the "Project"), utilizing the services of the above mentioned Contractor in accordance with the Terms & Conditions of this Contract
NOW, THEREFORE, in consideration of the mutual covenants hereinafter set forth, the parties agree as follows:
SECTION 1- SERVICES OF CONTRACTOR
1.1 GENERAL
The Contractor shall:
1.1.1. Perform professional services in connection with the Project as outlined in the ''Proposal" submitted in response to RFP 41-012 and attached as Exhibit 1, including all attachments referred to therein, and as hereinafter stated.
1.1.2. Designate in writing a person to act as its Project Manager with respect to the work to be performed Wlder this Contract. Such person shall have complete authority to transmit instructions, receive information, interpret and define the Contractor's policies and decisions with respect to the work covered by this Contract.
SECTION 2- PERIOD OF SERVICE
2.0. The terms of this Contract are for three (3) years beginning on Aprill, 2013, and remaining in effect through March 31, 2016, with mutual option to extend for two (2) additional one (1) year renewal periods.
SECTION 3- PAYMENT FOR SERVICES AND REIMBURSEMENTS
3.1. The Com1ty shall make payments to the Contractor after the invoices submitted by the Contractor are approved by the County. Reimbursements shall be made by the County as provided in Exhibit 2. Cost of the project shall not exceed Thirty Six Thousand ($36,000) per year.
SECTION 4- GENERAL CONDITIONS
4.1. TERMJNATION This Contract may be terminated by the County at any time upon thirty (30) days written notice,
or by either party in the event of substantial failure to perfonn in accordance with the terms hereof by the other party through no fault of the terminating party. This Contract is also subject to termination by either party if either party is restrained by state or federal law of a court of competent jurisdiction from performing the provisions of this Contract. Upon such termination, the liabilities of the parties to this Contract shall cease, but they shall not be relieved of the duty to perfonn their obligations up to the date of termination. Mailing of such notice, as and when above provided, shall be equivalent to personal notice and shall be deemed to have been given at the time of mailing.
4.1.1. If this Contract is terminated due to the County's substantial failure to perform, the Contractor shall be paid for labor and expenses incurred to date as provided in Section 3, subject to setoff for any damages, losses or claims against the County resulting from or relating to Contractor's performance or failure to perform under this Contract.
4.1.2. In the event of tennination by the County upon notice and without cause, upon completion of any phase of the Basic Services, fees due the Contractor for services rendered through such phase shall constitute total payment for services. In the event of such termination by the County during any phase of the Basic Services, the Contractor will be paid for services rendered during the phase on the basis of the proportion of work completed on the phase as of the date of termination to the total work required for that phase. In the event of any such termination, the Contractor also will be reimbursed for the charges of independent professional associates and Contractors employed by the Contractor to render Basic Services, and paid for all unpaid Additional Services and Reimbursable Expenses not in dispute.
4.1.3. Reimbursable expenses mean the actual expenses incurred by the Contractor or the Contractor's independent professional associates or Contractors, directly or indirectly in connection with the Project, all as provided in Exhibit 1 hereto.
5.1. INSURANCE The Contractor shall, at the Contractor's expense, secure and maintain in effect throughout the
duration of this contract, insurance of the following kinds and limits. The Contractor shall furnish Certificates of Insurance to the County before starting work or within ten (10) days after the notice of award of the contract, which ever date is reached first. All insurance policies shall be written with insurance companies licensed to do business in the State of illinois and having a rating of not less than A IX, according to the latest edition of the A.M. Best Company; and shall include a provision preventing cancellation of the insurance policy unless fifteen (15) days prior written notice is given to the County. This provision shall also be stated on each Certificate of Insurance as "Should any of the above described policies be canceled before the expiration date, the issuing company will maillS days written notice to the certificate holder named to the left".
The limits of liability for the insurance required shall provide coverage for not less than the following amounts, or greater where required by law.
(A) Commercial General Liability: i. Coverage to include Premise/Operations, Products/Completed
Operations, Independent Contractors, Broad Form Property Damage, Contractual and Personal Injury.
ii. Limits: General Aggregate $ 2,000,000 Products/Completed Aggregate $ 1,000,000 Each Occurrence $ 1,000,000 Personal Injury $ 1,000,000
iii. Coverage is to be written on an "occurrence" basis. 1v. Products/Completed Operations coverage is to remain in force for a
period of two (2) years after the completion of the project. v. Cover all claims arising out of the Contractor's operations or premises,
anyone· directly or indirectly employed by the Contractor, and the Contractor's obligations under indemnification under this Contract.

6.1.
(B) Worker's Compensation: i. Shall be in accordance with the provisions of the laws of the State of
Illinois, including occupational disease provisions, for all employees at the site of the project, and in case work is sublet, the Contractor shall require each of its Subcontractors similarly to provide Worker's Compensation Insurance. In case employees engaged in hazardous work under this contract at the site of the project are not protected under Worker's Compensation statute, the Contractor shall provide, and shall cause each its Subcontractors to provide, adequate and suitable insurance for the protection of employees not otherwise provided.
(C) Comprehensive Automobile Liability: i. Coverage to include all Owned, Hired, Non-owned vehicles, and/or
trailers and other equipment required to be licensed. ii. Limits:
Combined Single Limit $ 1,000,000
(D) Umbrella:
i. Limits: Each Occurrence/ Aggregate $2,000,000
(E) The County of Kane shall be named as additional insured on all insurance policies except Workmen's Compensation and Professional Liability.
The Contractor understands and agrees that, except as to professional liability, any performance bond or insurance protection required by this
contract or otherwise provided by Contractor, shall in no way limit the responsibility to indemnify, keep and save harmless, and defend the County as herein provided.
INDEMNIFICATION
6.1.1. The Contractor shall indemnify and hold harmless the County, its officers or employees from any and all claims, suits, actions, costs, and fees, including attorney fees, of every nature or description arising from, growing out of, or connected with the performance of this Contract because of any negligent act or omission, neglect, or misconduct of the Contractor, its employees and agents, or any of its subcontractors in the performance of this contract. Such indemnification shall not be limited by reason of the enumeration of any insurance coverage herein provided
6.1.2. The Contractor shall be responsible for any and all damages to property or persons and for any losses or costs to repair or remedy construction as a result of any negligent act or omission, neglect, or misconduct in the performance of its work and shall indemnify and hold hannless the County, its officers, agents and employees from all suits, claims, actions or damages of any nature whatsoever resulting therefrom. Acceptance of the work will not relieve the Contractor of the responsibility for subsequent correction of any such error, omissions and/or negligent acts or of its liability for loss or damage resulting therefrom. Except as to professional liability, these indemnities shall not be limited by the listing of any insurance coverage.

6.1.3. The Contractor shall not be responsible for any delay in the perf01mance or progress of the Project, or liable for any costs or damages sustained by the County resulting from such delay, caused by any errors, omissions and/or negligent acts of the County or its agents, or by changes ordered in the work, or as a result of any federal, state or regulatory authority, or riot or civil commotion, or by any other cause beyond the Contractor1s control. In the event of such delay, the Contractor will proceed with due diligence to alleviate the delay and continue the performance of its obligations under this Contract.
6.1.4 .. The Contractor shall not be responsible for any damages which may occur as a result of any modifications made to the plans of the Contractor by others without the Contractor's knowledge, or for damages which may occur because of the improper or negligent acts of third parties.
6.1.5. The County will release and hold harmless the Contractor for delays or losses experienced by the County or others which result from the discovery of concealed conditions which require additional design, disposal, mitigation or other remedial action. When such discovery warrants the need for additional services, those services will be considered additional under section 2 of this Contract.
6.2. FORCE MAJEURE Neither the Contractor nor the County shall be responsible for any delay caused by any
contingency beyond their control, including, but not limited to: acts of God, war or insurrection, strikes or lockouts by the parties' own employees, walkouts by the parties' own employees, fires, natural calamities, riots or demands or requirements of governmental agencies.
6.3. STANDARD OF CARE The Contractor shall perform all of the provisions of this Contract to the satisfaction of the
County. The County shall base its determination of the Contractor1s fulfillment of the scope of work in accordance with accepted professional industry standards.
6.4. SAVINGS CLAUSE If any provision of this Contract, or the application of such provision, shall be rendered or
declared invalid by a court of competent jurisdiction, or by reason of its requiring any steps, actions or results, the remaining parts or portions of this Contract shall remain in full force and effect.
6.5. ENTIRE CONTRACT This Contract sets forth all the covenants, conditions and promises between the parties. There
are no covenants, promises, Contracts, conditions or understandings between the parties, either oral or written, other than those contained in this Contract.
6.6. GOVERNlNG LAW This Contract shall be governed by the Jaws of the State of illinois both as to interpretation and
performance.

6.7. NOTICE Any notice required to be given by this Contract shall be deemed sufficient if made in writing
and sent by certified mail, return receipt requested, or personal service to:

Introduction Waste Management is pleased to submit this proposal for At Your Door Special Collection service of difficult-to-recycle household items directly from the homes of residents within Anytown. This service makes it easy for the residents of your community to recycle home-generated special materialsincluding chemicals, automotive products, and electronics- safely, easily, and responsibly. This unique service has been helping municipalities, government agencies, and the public for sixteen (16) years.
The At Your Door Special Collection program is a Waste Management service. Waste Management is the leading provider of comprehensive waste and environmental services in North America, as well as North America's largest residential municipal waste recycler. The concept and responsible implementation of door-to-door collection of difficult-to-recycle household items is unique. At Your DoorSpecial Collection is a leader in providing home collection of special materials
Statement of Work The program begi?s when the public is informed about how to participate. Following are the elements of the At Your Door Special Collection program and how it works.
I Resident lnifiates Collection To participate, residents call our toll free number or e-mail [email protected] and request a collection at their home. A cu~tomer service representative from our, trained, U.S. based call center answers the call or online request. The-participant is asked for basic information: name, address, phone number, how they learned of the program, single or multi-family home and a short inventory of the material. The representative discusses the program with the participant, including the placement of the material on collection day. The call center is available from 5 AM through 5 PM Pacific Time, Monday through Friday. Both English and Spanish speaking representatives are available. There is an automated call system available after hours and on holidays. The website is also available 24-7 to request a collection; messages are responded to Monday through Friday between Sam and Spm Pacific Time ..
Collection Is Scheduled The participant is provided with a date when they must place their material at the entrance door or in front of their garage or if multi-family, in a safe location. That location is noted by the customer service representative for use by the customer service technician.
The frequency of collection routes will vary depending upon demand. When programs first start and during seasonal peaks such as spring and fall cleaning times, there is usually a higher demand resulting in longer periods between the call and the collection. [PSS REPS, if this is for a MUD or small community with infrequent collections e.g. once each month, every other month etc. please indicate in this section. You will find comments about frequency in the scope of work]
Packaging A kit will be sent via U.S. mail to the participant, who will package the material and place it out on the designated collection date. The kit consists of heavy bag, bag tie, survey card, labels (for material that is not labeled) and an instruction sheet. The instruction sheet reiterates the collection date and items discussed with the call center customer service representative. Residents collect their difficult-to-recycle items in the bag and place it on the front porch or near the garage. Multi-family participants can
designate a safe place at their building where the material can be collected (never at the curb or on public property).
The quantity of material that can be collected at any one time is limited to the items that can be placed into the kit bag along with designated items that may be placed outside the bag:
• Up to 5 Vehicle Batteries, 8 fluorescent tubes and/or CFLs and up to 5 gallons of motor oil and antifreeze
If the resident receives their kit and calls explaining that they have more material than can fit in the kit, they will be provided with a choice: either have the one kit and its contents collected as scheduled, or be rescheduled when we can collect all of the material at the same time. Participants will be discouraged from requesting a collection of very small quantities, e.g., a container of used motor oil. Residents with used motor oil only will be directed to local collection centers. Callers with very small quantities will be directed to combine their material with neighbors if possible.
All containers must be labeled and they cannot leak. If a container leaks, participants are instructed to transfer it to a non-leaking container and label it. If a container is not labeled, participants are told to place a label on the container or use one provided in the kit. Additional instructions may apply based on applicable rules and laws. Leaking containers or containers without labels will not be collected.
Collection On the established pickup date, a customer service technician will arrive at the home during the day, inspect the material for eligible items, and package the material based upon hazard classification. All materials must be placed outside of the home. We will not enter the premises to gather or remove any material. In the event the materials are ineligible, e.g., unlabeled, leaking, commercial material, the resident will be contacted in person, by phone and/or a door hanger will be left with instructions. Residents do not have to be home for collections to occur.
Transport Materials are transported to the facility and then shipped to various recycling ,processing or disposal facilities. Once the material is collected, our customer service technicians work to responsibly manage and recycle as much of the collected material as possible. Most materials collected are recycled. Emphasis is placed on recycling, then treatment, followed by incineration, and when no other options are available, to secure landfills.

Eligible Items In general, most ordinary household chemicals purchased at retail stores are eligible for collection. Only items originating from households are eligible, no business material is allowed. Most consumer electronic items can be collected, including microwave ovens (appliances such as washer, drier, refrigerator or other large appliance are not acceptable). Console TV's and similar consumer electronic items in limited amounts are eligible unless they originate from a business. Universal material is collected and typically includes fluorescent lamps, compact fluorescent bulbs and mercury devices. List is not all-inclusive.

Thanks to our company's vast infrastructure and affiliated entities, we are able to recycle as much as 75% or more of the items, reclaiming valuable resources for the benefit of your community and the environment. The following are some methods used to recycle or treat some materials.

Public Education At Your Door can provide a recommended public education strategy for your community. . The purpose of providing this program is to insure an effective communication effort to achieve our mutual goals, which are to insure that every resident understands that they can use the program when it is convenient to them. While not every household will utilize the program at the very least, residents will understand that it is available. Our public education program recommendations are designed to maintain a respectable level of participation and a high degree of participant satisfaction within the pricing provided for this program.
The At Your Door Special Collection program is committed to the successful implementation of the program proposed in this document. To this end, the participant surveys discussed below will help to verify the success of the program:
Participant Surveys A postage-paid card addressed to the sponsoring agency program manager will be included in every kit sent to participants. The card lists multiple choice and fill-in-the-blanks questions. In the past, on average 15-35% of these cards have been completed and mailed to government agencies sponsoring At Your Door Special Collection managed programs.
The survey card is a "report card" mailed directly to you. Residents in the comfort of their homes fill in the cards because they care about the program. The responses allow us to continually improve the program.
Reports Every item collected from every home is logged on the inventory form used by our customer service technicians on site. This data is entered into At Your Door Special Collection proprietary database and reports can be generated. You may request a report that provides a summary of the material collected

• Instructions on How to Use the Special Materials Kit
When you receive your Special Materials Kit, check to make sure it contains:
• One plastic bag • Plastic cable tie • A survey card • Labels for unlabeled containers.
How to pack the bag:
1.) Place the plastic bag on the ground near your entrance door or garage away from the curb 2.) Check each container. If any do not have labels, use those provided or clearly mark the container.
We will not accept unknown materials. 3.) If a container leaks, repackage and label it. Place all labeled items into the bag; do not overfill it.
The maximum quantity of materials to be collected is limited to what will fit in the bag, plus the acceptable materials outside the bag.
4.) Gather excess plastic at the top of the bag and apply a cable tie to secure it. 5.) Place acceptable materials for outside the bag, beside the bag. Fluorescent tubes should be placed
inside their original sheaths.
When and where to put the bag on collection day:
1.) Place secured bag near your entrance door, garage, or an area near your house but away from the curb.
2.) Don't allow pets or children access to the container. Don't place this bag near the curb or street. 3.) Do not overfill the bag and make sure it is secured with the plastic tie provided. 4.) Place the bag out for collection by 7:00AM on your scheduled collection day.
Important Safety Reminders:
HELPFUL HINT: Consider filling the bag at the location from which it will be collected.
1.) Never mix materials, there may be an adverse chemical reaction. 2.) Keep materials in original containers whenever possible. 3.) Always seal containers to prevent leakage. 4.) Label any items that are not already clearly labeled.
Do not place chemicals, cleaners or other materials outside the bag if they are not listed on the chart under "Acceptable Materials for Outside the Bag." They will not be collected. Leaking containers inside the Kit bag may prevent us from collecting the entire Kit. We will not accept items that are unlabeled.

This report is created from data gathered at the point of collection. At Your Door Customer Service Technicians record, every item collected from every home. Liquid materials are listed in detail reports as gallons. Solid items are listed as either pounds or feet or each. The computer will perform calculations to convert feet, each and gallons to pounds using industry standard weights. For example, 8.5# per one gallon of used oil. Weights of solids are taken from the containers. For example, a 10# bag of fertilizer that is half-full would be recorded as 5#.
The data is estimated to 90%+ accurate. The system used to record weights has been used for more than 16 years so there is consistency. If for example the report indicates 10,000# have been collected during a period, the adjusted number could be 9,000#. If the next period the weight recorded is 20,000#, the adjusted number could be 18,000#. The numbers are consistent from month to month so in evaluating weight collected over time, the trends will be accurate.
The weights do not include the weight of shipping containers. Most other programs include the weight of shipping containers. The difference between total recycled and total pounds are materials that are not recycled. They may be incinerated, neutralized or sent to landfills.

Kane County is now expanding the home collection program currently offered in the northern six townships to other areas of the county. As a resident of Mill Creek you can now receive free At Your Door pick-up service for hard-to-recycle household materials including automotive products, garden chemicals, household cleaners, fluorescent tubes and paints. Each household may schedule one collection per year as needed!
How Does it work? 1. To participate, Contact the Call Center to schedule a collection by phone, email or through our website 2. Material quantity will be discussed, a collection date will be set and a Collection Kit will be mailed to
your home 3. On your specific date, your items will be collected directly from your home
