    1.3TheMemberelectedVice-PresidentExternalAffairsofthe

    UWSA(VPX)shall:1.3.1Inadditiontotheconditionsin1.1,beresponsibleforthe

    a)BeresponsiblefortheUWSAsStudentRefugeeFundand

    work,withanybodiesrelatedtothefund,suchasbutnotlimited

    StudentCentre;

    b)Liaisewithfederal,provincialandmunicipalpoliticians,and

    responsiblefortheacademicrepresentationandadvocacy

    functionsengagedinbytheUWSA.Infulfillmentoftheforegoing

    andwithoutlimitingthegeneralitythereof,theVPAAshall:

    a)MeetregularlywiththePresidenttodiscussmattersarising

    underthisportfolio;

    b)BeresponsibleforUWSAfunctionsinvolvingacademic

    matters,includinggradeappeals;

    c)AlongwithStudentSenators,addresstheissuesofthedaythat

    limittheabilitiesofstudentstopursueadegreeattheUniversity,

    suchaspost-secondaryfunding,tuition,OSAPandotherloans,

    scholarships,bursaries,andstudenthousing;d)AlongwithStudentSenators,workwithUniversitypersonnel

    andbodiesengaginginacademicmatters,includingtheProvost,

    Vice-ProvostStudents,Registrar,Deans,Senate,Senate

    committees,FacultyandDepartmentcouncils,andCo-op

    EducationOffice;

    e)WorkwithUniversitypersonnelandbodiesengagingin

    initiativesdesignedtoimprovestudentsabilitytopursuea

    degreeattheUniversity,includingbutnotlimitedto,theOffice

    1.5TheMemberelectedVice-PresidentEquityand

    AdministrationoftheUWSA(VPEA)shall:

    1.5.1Inadditiontotheconditionsin1.1,bethecorporate

    secretaryandaccordinglyberesponsibleforthelegaland

    administrativefunctioningoftheUWSA.TheVPEAshallalsobe

    responsiblefortheequityandsocialjusticefunctionsengagedin

    bytheUWSA.Infulfillmentoftheforegoingandwithoutlimiting

    thegeneralitythereof,theVPEAshall:

    a)MeetregularlywiththePresidenttodiscussmattersarising

    underthisportfolio;

    b)Beresponsibleforthemaintenanceofallofficialdocumentsof

    acorporatenaturethatarenotprincipallyfinancial,includingthe

    LetterPatent,corporateseal,Constitution,Bylaws,Policies,

    Resolutions,Councilminutes,Boardminutes,Executive

    Committeeminutes,proxies,andpetitions;

    c)EnsurepropernoticeandagendasareprovidedtoCouncillors

    forCouncilmeetings,DirectorsforBoardmeetingsandPresident

    andVice-PresidentsforExecutiveCommitteemeetings;

    d)Involvelegalcounselasrequiredfromtimetotimeandmake

    suchcounselknownandavailabletoallCouncilorsandDirectors;e)ServeontheInternalPolicyCommitteeoftheUWSA;

    f)BevestedwithallotherdutiesandprivilegesofaCouncilorand

    forthefinancialfunctioningoftheUWSA.TheVPF&Oshallalso

    beresponsiblefortheserviceandbusinessenterprisefunctions

    withoutlimitingthegeneralitythereof,theVPF&Oshall:

    a)MeetregularlywiththePresidenttodiscussmattersarising

    b)ReportonthefinancialstatusoftheUWSAtoBoardatleast

    one(1)timepermonth,orasnecessary;

    c)Beresponsible,alongwiththePresident,forensuringthatall

    contractsthataresignedarewithdueauthorityandinthebest

    interestsofstudent;

    d)BeresponsibleforthecreationofanannualbudgettobeapprovedbyBoardandCouncil;

    e)Ensurethatthebudgetisfollowedandthatanydeviationsin

    spendingfromthebudgetarebroughttotheattentionofBoard

    assoonaspossible;

    f)Ensureanannualfinancialaudittakesplaceandisreportedto

    g)OverseeallfinancesoftheUWSAandallfinancesinwhichthe

    n)ServeontheStudentCentrePolicyManagementBoard;o)ServeontheFinancialPolicyandServicesCommitteeofthe

    UWSA;

    p)BevestedwithallotherdutiesandprivilegesofaCouncilor

    BeitresolvedthatUWSAendorsetheCampaignforBottled

    Water-FreeCommunities;and

    WhereastheUniversityofWindsorActoutlinestheBoardof

    GovernorsasresponsiblefortheGovernment,conduct,

    managementandcontroloftheUniversityandofitsproperties,

    revenues,businessandaffairsvestedintheBoard,andtheBoard

    hasallthepowersnecessaryorconvenienttoperformitsduties

    andachievetheobjectsandpurposesoftheUniversity;and

    Whereastheshareofuniversityoperatingbudgetsfundedby

    tuitionfeescontinuestoincreaseundertheProvincial

    government'scurrentframework;and

    WhereasstudentacademicfeesareresponsibleforthemajorityofthebudgetattheUniversityofWindsor;and

    Whereasthemajorityinvestorsareentitledtoproportional

    representationoverthebodywhichoverseesthefinancialaffairs

    oftheUniversity;therefore
