>Dept Cmdr. Shelly, Ohio, reviews his letter regarding charges against the Commander. CMDR HALEY: replies that the issue will be dealt with at convention as a separate line item. >3rd V. C. Jones, Florida comments regarding the position of Executive Director, suggest that position be moved to an Aide to the Commander. >PNC Garcia, Discusses the duties of the Service Officer. See an issue with the term the Officer serves. There should be an overlap in the period the Service Officer serves so there are no voids in service to the veterans. >Historian Cavazos requests that all additional Photo Albums be delivered to the meeting room not his hotel room. Or deliver them to the hospitality room.

Article #15 Auxiliary – committee recommends approval; Moved by Finkel, 2nd by Dubay Question Shelly, Ohio, request roll call vote. (Credential Committee has yet to report) Garcia, (point of order), motion on the floor must proceed. Commander rules to proceed. >Finkel call for a voice vote, Motion carries. Call again from Shelly again for a count. Finkel resolves with a call for a show of hands. = Vote stands the body for, 3 against. Shelly still opposes, request roll call. [55:35] Commander Haley comments on the Rule of Procedure adopted for the Convention. Per Article # 9 voting for election of officers will be by roll call,

“All other voting” shall determine by the members present & voting at any session”. >Jones: Comments on the wording Constitution. Quotes again on the Rules of Procedure. Commander Haley determines that the organization’s constitution overrides Roberts Rules. Commander calls for report on credentials. Comments: If Ohio has 20 votes and are the only “NO” register them and proceed. Shelly, Ohio 175 + 1 votes. Credential committee reports the totals are complete, (still must break down by state). Credentials excused to continue counting. Crum ask permission to, when received, to put the tally’s on computer and project on the wall. Permission granted. >CMDR. HALEY: Commander Haley, in the interest of expediency, calls for the report of the Resolutions Committee. > Mancino, Resolutions, Reads resolution. Commander Haley notes that a Constitutional change must be advertised prior to convention and therefore will be, if properly presented, acted on next convention. >Question: Garcia, This particular motion would require constitutional changed of two constitutions. The CWV and the CWV convention committee. If done today it would be a resolution only and would therefore be moot. …………..Wisconsin moves to table the motion. So moved. >Commander Haley, calls for recess until the credentials committee has a report. Motion made: Shelly, Ohio question on procedure. Shelly, Ohio on pay vouchers and pending charges. >CMDR> HALEY: Vouchers after credentials and charges will be heard under new business or Good of The CWV. 2nd Crum, NY. Motion carries. Commander declares the convention in recess for 5 minutes, pending the credentials committee report. RECESS: [1:31:19] >CMDR. HALEY: Commander Haley calls for motion to reconvene. Motion, Texas, 2nd Michigan, I’s have it, so ordered. Being the appointed hour, 11:00, Commander Haley calls National Chaplain Baver to read the “Our Dead”.

[1:34:00] Commander Haley recognizes National 3rd Vice Commander, Jones who request to address the convention with an alternative to a roll call on each item. 3rd Vice Commander Jones suggest that we vote in reverse on the amendments. Meaning that with 971 registered delegates it would require 324 “NO” votes to defeat each amendments, therefore we will count the ‘no” votes in lieu of the “Yes” votes and if they are not near 324 in number the motions will carry. Shelly from Ohio, who promised to “no” vote every item has agreed to this procedure. Jones makes this a motion. Question: Garcia. Jones clarifies. Motion to recognize the negative vote and if not close to overturning the “for” the motion will advance. Motion carries. With this procedure in place Commander Haley calls By-laws committee chairman Finkel to continue his report. Amendment #1 – Article XV – The Auxiliary Section 1 – To permit male relatives of Catholic Veterans to become members of the CWV Auxiliary. Finkel: calls for a showing of negative votes on the motion to amend Article XV. THE AUXILIARY “. No” votes were PA 28, Ohio 175, total 203 The motion to amend is approved. Amendment #2 - Finkel: Article IV – ORGANIZATION To amend the constitution to allow for regional departments and Commanders. The committee recommends disapproval but also recommends the amendment be resubmitted next year. Finkel moves to disapprove. 2nd Mancino, Question, Garcia. PNC Garcia suggests the recommendation be returned to maker of the motion for re-submittal. Comment: 3rd V.C. Jones (maker) Expressed disappointment, but understands. Feels the intergration of the regional commanders will advance with the implementation of the new computer program Comment: Kasinskas, Conn. Expressed concerned on the funding of this new echelon. Also suggested the National Board should lead the growth of the new regional areas. Finkel calls for vote to disapproved: I’s have it, the motion is disapproved. Amendment #3 – Article V – Officers and Elections: To add the new positions of “Public Affairs Officer”. Finkel: The committee feels the position is covered by , and stated in the Officers manual, that these are the duties of the Historian. Finkel: the committee recommends disapproval and so moves. 2nd, PNC Garcia. Call for the question: Call for voice vote; Those in favor of disapproval… I’s have it. Amendment #4 - Article VI – National Department. To change the method of nominating the Adjutant, Executive Officer and the Service Officer. Finkel: Committee feels the existing procedures are adequate and recommends disapproval. Finkel: Calls for voice vote the on motion to disapprove. I’s Have it the motion is disapproved. Finkel: The committee recognizes that all applicants for employment are interviewed and/or screened by existing officers, directors and executive committee are already judged by the prerequisites for those offices and positions and therefore this amendment is not required. Noted because of the (blessed) increase in seminarians the program cost increased by $1,000,000.00 The Knights of Columbus pledge $200,000.00 per year for 5 years. Invite all present to attend, in Washington, DC, the annual mass commemorating the birthday of Father Vince Capadono at 6:30 P.M. 04 September 2012. Spoke on the “Year of Faith” and the church goal of reopening the dialogue with the faithful. Recommended viewing the video series “Catholicism” by Father Robert Baron. Commander Haley Responds: The PA Judge Advocates report was directed to Department Board as a recommendation on how to handle issues like this in the future and implied reconciliation. Commander Leo F. Haley 777 Water Street # 707 Pottsville, PA 17901 Dear Commander Haley: I have reviewed the Bylaws, Constitution and letters of Complaint in reference to the hiring of the employment consultant firm. Technically, the expenditure of $20,000.00 to $25,000.00 should be subject to the authorization and approval of the National Board of Officers. However, the National Commander is the Chief Executive Officer of the Catholic War Veterans and there are no explicit limits on the authority of the National Commander. What Is the job of the Chief Executive Officer? It is not defined by the Constitution & Bylaws of the Catholic War Veterans. It certainly can be argued that an emergency meeting should have been called. However, what is the likelihood of obtaining a quorum of fifteen (15) Board members before the National Convention? The Constitution could not reasonably foresee that the National offices would be on the verge of closure because of the resignation of the entire staff. In regards to the call for disciplinary action, Article XIII – Disciplinary Action states: Section 2. A member may be suspended or expelled from the Catholic war Veterans of the United States of America, Inc., only upon proper showing of cause, which shall be based upon disloyalty, neglect of duty, dishonesty, or conduct unbecoming a member of the Catholic War Veterans of the United States of America, Inc. In my opinion, in no way can the actions of the National Commander be considered disloyal, negligent, dishonest or conduct unbecoming a member of the Catholic War Veterans. A questionable, technical violation under emergency circumstances should not be subject to a disciplinary action. We elect a National Commander to make executive decisions.

He motions that they be submit changes by April 1, not May 1, so they can be dealt with at the State Conventions. Michigan 2nd, Questions- None, call for voice vote (Jones Point of Order) This motion would require a change in the constitution and cannot be done till next year. Garcia withdraws his motion. >Credentials Committee responds to the Michigan question. The committee was in error. Michigan controls 62 not 58 votes. The corrected totals are voting 966 – 493 to win. Credentials committee will re-count and return. >Chair recognizes Director Bishop: Regarding the Trinity Partners Invoice, Director Bishop reports that at the Board of Director meeting the board had approved, and voted 6 to 0 to pay the Invoice. “Our dead are not Unknown Soldiers, We know who they are and whither they seek to go. We know that some may languish in Purgatory and until the last earthly stain is wiped away and until the last earthly injustice is repaired.

We also know that we can speed their passage from a Purgatory of shadow and pain to a Paradise of Happiness and Light. We can hasten the dawn of eternal rest and the rays of perpetual light Our prayers and masses and works of Charity can assist our dead in gaining entrance into the blessedness of heaven. We love our Dead We can help our dead. Let us pray for them always,

Flowers may wither upon their graves. A daily garland of prayers is better than an armful of roses. As we approach the Golden Memorial Hour of the Catholic War Veterans, Stand for a moment in silence, and let there rise from your heart a prayer beseeching Almighty God, the Father of us all, to grant to the souls of our departed comrades, a peace and a glory that is theirs because of the sacrifice they made that other men might live.”

26. CONVENTION COPORATION [5:08:44] Corporation Chairman Tanguma call the meeting to order. Calls for nomination to replace Director Tanguma, Garcia motions Schwally to replace Tanguma on the Committee. 2nd By Hahn. Voice vote. Motion carries. Chairman Tanguma calls to revisit the decision on the location of the 2015 convention. There is no support to change the location. Motion made and 2nd to leave the convention in Las Vegas. Motion carries. Youngren: Discussion on the date of the convention. Garcia, Constitution requires the convention be in August or September. The convention committee will consider having the convention the 1st week of August to accommodate the children going back to school. Garcia calls for a round of applause for Chairman Tanguma.
