Toute commande au titre de la garantie doit être adressée à CIAT sur le document en page jointe.

Celui-ci doit être adressé par fax ou par mail à l’équipe chargée du traitement des pièces de rechange sur votresecteur géographique.

A réception de l’imprimé dûment complété ( N° de série et nature du défaut sont indispensables) votre demandeest prise en compte et un matériel de remplacement vous est adressé dans le meilleur délai.

Le retour du composant incriminé peut être nécessaire, dans ce cas le produit de remplacement est accompagnédes documents suivants :

La demande d’enlèvement

Un transporteur affrété par CIAT procédera à l’enlèvement des colis à l’adresse que vous aurez indiquée. Vouspouvez regrouper plusieurs demandes sur un même enlèvement. Les pièces défectueuses doivent êtrecorrectement emballées et accompagnées de la demande de retour OM.

La demande de retour

Il s’agit d’un document pré imprimé sur lequel vous devez rappeler le motif du retour. Ce document doit êtreretourné avec la pièce déclarée défectueuse.

Nota

Vous disposez d’un délai de 5 semaines pour mettre à disposition de CIAT les pièces déposées. Passé ce délai, leproduit de remplacement vous est facturé.

La garantie n’est acquise qu’après l’expertise du composant retourné.

CIAT General Terms and Conditions of Sale

I - COMMANDES1.1 L'acceptation de nos propositions comporte celle des présentes conditions de vente nonobstant toutesstipulations contraires aux présentes.1.2 Tous les ordres ne sont valables qu'après acceptation et confirmation écrite de notre Siège Social.La confirmation d'une commande fait l'objet d'un accusé de réception de commande.1.3 Toute annulation de commande, postérieure à la formation du contrat, même partielle par l'acheteur, ouvre droità indemnités au profit du vendeur dont le montant équivaut à celui de la commande annulée.1.4 Lorsque le matériel doit être réceptionné par des organismes ou bureaux de contrôle, les frais de réception etde vacation sont toujours à la charge de l'acheteur.

II - PRIX2.1 Selon la législation, nos prix sont indiqués hors taxes et s'entendent pour un matériel non conditionné et livréen usine.2.2 CIAT peut à tout moment, avant la livraison du matériel, accorder une remise ou une ristourne sur le prix de cematériel.2.3 Toute livraison comportant un délai de fabrication inférieur à deux mois est facturée au prix de base convenuà la commande ; si ce délai est supérieur, ce prix sera corrigé en vertu des dispositions légales en vigueur et indexéselon la formule de révision de prix figurant à la proposition, s'il s'agit de matériel en comportant l'usage enappliquant le rapport des derniers indices connus au jour de la livraison.2.4 Toute commande dont le montant est inférieur à 50€H.T. donne lieu à la facturation d'une somme forfaitaire de50€HT destinée à couvrir les frais administratifs.

III - CONDITIONS DE PAIEMENT3.1 Nos factures sont payables à notre Siège Social, net et sans escompte.3.2 Nos factures sont exigibles, sauf stipulation contraire écrite dans le contrat, à 30 jours date de facture le 10 dumois suivant.3.3 En cas de retard de paiement, les sommes dues porteront intérêt sur la base du taux d'intérêt appliqué par laBanque Centrale Européenne à son opération de refinancement la plus récente majoré de 7 points de pourcentageavec un minimum forfaitaire de 75€ et sans que cette clause nuise à l'exigibilité de la dette.Les frais de retour des traites sont à la charge de l'acheteur.3.4 Les termes de paiement ne peuvent être retardés sous quelque prétexte que ce soit, même litigieux ; toutecessation de paiement entraîne, ipso facto, la suspension immédiate voire même l'annulation des marchés encours et de la garantie visée au paragraphe VII.3.5 En cas de vente, de cession, de remise en nantissement ou d'apport en Société de son fonds de commerceou de son matériel par l'acheteur comme aussi dans le cas où l'un des paiements n'est pas effectué à la dateconvenue, les sommes dues deviennent immédiatement exigibles, quelles que soient les conditions convenuesantérieurement.3.6 La mise en recouvrement par voie judiciaire d'une facture non réglée entraîne une majoration de 20 % dumontant réclamé, indépendamment des intérêts de retard calculés depuis la date de l'échéance initiale et des fraisde recouvrement engagés.

IV - LIVRAISON4.1 Nos produits, expédiés franco ou non, voyagent aux risques et périls de l'acheteur: la mise à disposition estréputée effectuée en usine.4.2 En cas de détérioration en cours de transport, il appartient au destinataire du produit de confirmer des réservesprécises auprès du transporteur, conformément à l'article 133-3 du Code de Commerce.4.3 Si l'expédition est retardée par une cause quelconque, indépendante de la volonté du vendeur et que ce derniery consente, le matériel est emmagasiné et manutentionné s'il y a lieu, aux frais et risques de l'acheteur, le vendeurdéclinant toute responsabilité subséquente à cet égard. Le montant des frais de magasinage facturés ne peut êtreinférieur à 1 % par semaine de la valeur de la commande plafonnés à 5 %. Ce magasinage ne pouvant par ailleursdépasser 5 semaines. Ces dispositions ne modifient en rien les obligations de paiement de la fourniture et neconstituent aucune novation.4.4 Toute livraison peut être suspendue jusqu'au règlement intégral de toutes factures antérieures échues et nonréglées.

V - DELAIS5.1 Sauf stipulation contraire expressément prévue par les cocontractants, les délais de livraison sont donnés àtitre indicatif.5.2 En conséquence, aucune pénalité de retard ne peut être exigée sauf accord notifié sur l'accusé de réception.De même, les retards ne peuvent en aucun cas justifier l'annulation de la commande.5.3 La date de livraison, convenue au contrat de vente, sera prorogée lorsque la livraison est retardée notammentpour cause de :a) non transmission par l'acheteur à CIAT de toutes les instructions nécessaires à l'exécution de la commande,b) en cas de force majeure telle que définie selon les usages,c) défaut de paiement ou de garantie de paiement.

VI - EMBALLAGESLes emballages sont toujours dus par le client et ne sont pas repris par le vendeur, sauf stipulation contraire.En l'absence d'indication spéciale à ce sujet, l'emballage est préparé par le vendeur qui agit au mieux des intérêtsde l'acheteur.

VII - GARANTIESSauf dispositions contractuelles particulières, la garantie s'applique aux conditions suivantes :7.1 Matériel :Nos matériels sont garantis un an à dater de la mise à disposition contre tout vice de fabrication.7.2 Limites à la garantie :La garantie ne s'applique pas aux remplacements et aux réparations qui résulteraient de l'usure normale desappareils, de détérioration ou d'accidents provenant de négligence, défaut de surveillance, d'entretien oud'installation et d'utilisation défectueuses des appareils.Par exemple, tout moteur "grillé" pour cause d'erreur de branchement, absence ou insuffisance de protection contreles variations de tension ou contre les surcharges au mépris de la réglementation du fournisseur d'énergie n'estpas garanti.La garantie est limitée à la fourniture des pièces détachées de remplacement.Dommages - Intérêts : La responsabilité du vendeur est strictement limitée aux obligations définies aux présentesconditions générales ; en particulier le vendeur ne sera tenu à aucune indemnisation y compris pour dommagesimmatériels ou indirects.7.3 Corrosion :L'agressivité des fluides circulant dans nos appareils étant un facteur dont nous ne pouvons préjuger, notreresponsabilité ne saurait être engagée en cas de corrosion.7.4 Obligation de l'acheteur :Pour pouvoir bénéficier de la garantie, l'acheteur doit aviser le vendeur, sans retard et par écrit des vices qu'ilimpute au matériel et fournir toutes justifications.Il doit permettre au vendeur de procéder à la constatation de ces vices et d'y apporter remède.Il doit, en outre s'abstenir, sauf accord express du vendeur, d'effectuer lui-même ou de faire effectuer par un tiersla réparation.7.5 Modalités d'exercice de la garantieLes travaux résultant de l'obligation de garantie sont effectués en principe dans les ateliers du vendeur après quel'acheteur aura renvoyé à celui-ci le matériel ou les pièces défectueuses aux fins de réparation ou deremplacement.Les pièces remplacées gratuitement sont remises à la disposition du vendeur et redeviennent sa propriété.

VIII - REPARATION HORS GARANTIE8.1 Après accord de notre Service Après-Vente, le matériel à réparer doit être expédié en port payé, à l'adressede nos usines.8.2 Ce matériel est expertisé et un devis adressé à l'acheteur. La réparation n'est effectuée que lorsque l'acheteura donné son accord écrit. Le matériel est réexpédié en port dû.8.3 Les réparations sur site ne peuvent être réalisées qu'après réception d'une commande écrite de l'acheteur.

IX - RETOURS DE MATERIEL9.1 Nous n'acceptons aucun retour de matériel sans accord préalable et écrit de notre Siège.9.2 En cas d'accord, tout matériel retourné fera l'objet d'une réfaction en couverture des dommages causés, fraisde remise en stock, charges administratives diverses, etc.

X - CONTESTATIONSEn cas de contestations quelconques, les tribunaux de BELLEY sont seuls compétents quelles que soient lesconditions de vente et le mode de paiement, même en cas d'appel en garantie ou de pluralité des défendeurs.

ORDERS1.1 The acceptance of our proposals includes the acceptation of the present sales conditions notwithstanding anystipulations contrary to the present ones.1.2 Every order is valid only after acceptation and written confirmation of our Headquarters.The confirmation of an order is accompanied by an order acknoledgement receipt.1.3 If an order or part of an order is cancelled by the buyer after completion of the contract, the seller has the rightto a monetary settlement equivalent to the cancelled amount.1.4 When the material has to be approved by organisms or control offices, reception and vacation expenses arealways at the charge of the buyer.

PRICES 2.1 In accordance with the legislation, our prices are indicated tax free for a material non packed and delivered ex-works CULOZ2.2 CIAT may at any time prior to delivery of the products withdraw any discount from its normal prices.2.3 Every delivery with a manufacturing period inferior to 2 months is invoiced to the basic price agreed upon whenordering ; if this period is longer, this price will be amended in pursuance of legal dispositions in force and indexedaccording to the price adjustment formula written on the offer if the material is concerned by applying the ratio ofthe latest coefficients known by the delivery day.2.4 All orders whose amount are lower than 50 euros without taxes will be invoiced the lump sum of 50 euroswithout taxes ; this in order to cover administrative expenses.

III. PAYMENT CONDITIONS 3.1 Our invoices are payable at our Headquarters offices, net and without discount, in Euros or in the currencyagreed upon between the parties and specified in the contract and on the sale invoice.3.2 Payment of invoices shall, unless otherwise agreed in writing, (estimate or Proforma invoice, acknowledgementreceipt of order) be made in full within 30 days of the date of invoice on the 10th of the following month.3.3 In case of delay in payment, the due sums will bear an interest based on the interest rate applied by theEuropean Central Bank to its most recent refinancing operation, increased by 7 pourcentage points with acontractual minimum sum of 75 euros ; this clause does not cancel the repayability of the debt.The expenses relating to the return of bills are to be paid by the buyer.3.4 The maturity of every payment cannot be delayed, under whatever reasons, even if litigious ; any stoppage inpayment involves, ipso facto, the immediate suspension, indeed even the cancellation, of the current orders and ofthe warranty foreseen in para VII.3.5 In case of sale, of transfer, of ledging or contributing to a company of its goodwill or of its equipment by thebuyer, as well as in the case where one of the payments has not been done in due date, the due sums becomeimmediately payable, whatever the conditions previously agreed.3.6 Putting up collection of a non settled invoice through legal action involves a 20% overcharge on the requestedamount, not taking into account neither the delay interests calculated since the initial value date nor the collectionexpenses engaged.

IV. DELIVERY 4.1 Our products delivered in France, free or not, travel at the buyer's risks : the withdrawal is considered beingcompleted in our CULOZ factories.4.2 Our products delivered outside the French Metropolitan territory according to the INCOTERMS provisions,related to the transfer of risks and to the taking out of an insurance policy, as described in the brochure N° 460.1990of the Chambre de Commerce Internationale.The term INCOTERM inherent to each delivery is defined in the sales contract, or in the estimate or in theacknowledgement receipt of order.4.3 For products whose withdrawal from our wharfs is delayed more than 14 days for whatever reason not imputableto CIAT, the storage expenses will be invoiced from that date, 1% per week of the order value ; it cannot exceed5%.Storage will be at the buyer's risks, the delivery or putting at disposal having been carried out by CIAT.4.4 Any delivery can be suspended until full settlement of all previous matured invoices which remain unpaid.

V. DELIVERY TIME 5.1 Except expressly stated otherwise by the co-contracting parties, the delivery periods are given as an indication.5.2 Consequently, no delay penalty can be requested, except agreement mentioned on the delivery voucher. Also,delays cannot justify, in any case whatsoever, the cancellation of the order.5.3 The delivery date, agreed on the sale agreement, will be extended when the delivery is delayed, namelybecause of :a) lack of communication from the buyer to CIAT of all the instructions necessary to the execution of the orderb) "force majeure" such as defined by customsc) absence of payment or guarantee of payment

VI. WARRANTY Except particular contractual arrangements, the warranty applies under the following conditions :6.1 Material :Our material is guaranteed for parts only against manufacturing defects. This guarantee is of the duration of:- one year from the withdrawal date if the delivery is made in France- 18 (eighteen) months from the same date if the delivery is made outside France.6.2 Guarantee limits :The guarantee does not apply to replacements nor to repairs which would result from any wear and tear of units,from deterioration or accidents resulting from lack of care, from deterioration or accidents resulting from lack ofcare, from fault of supervision maintenance of installation, or from incorrect use of the units.For example, all motor "burnt out" because of faulty connection, lack or isufficience of protection against voltagevariations or overloads despite the electrical regulations in force in the country of the ENDUSER is not guaranteed.The guarantee is limited to the supply of replacement spare parts.Damages :The responsibility of the seller is strictly limited to the obligations defined in the present general conditions ; inparticular, the seller will have no obligations regarding compensation, including non material or indirect damages.6.3 Corrosion :The aggressiveness of fluids circulating through our units being a factor we cannot prejudge, our responsibilitycannot be committed in case of abnormal corrosion.6.4 Buyer's obligations :In order to benefit from the guarantee, the buyer must notify the seller, without delay and by writing, of the faultsattributed to the material and provide all the justifications.The buyer will permit the seller to assess the faults and take remedial action.Furthermore, the buyer will not, except if expressly agreed by the seller, carry out himself the repair or have itcarried out by a third party.

VII. REPAIRS7.1 After acceptance from our after-sales department, the material for repair must be returned, carriage paid, clearedthrough customs, to the address of our factory in CULOZ.7.2 This material is expertised and an estimate sent to the buyer. The repair is done only after written acceptancefrom the buyer. The material is sent back carriage forward.7.3 The repairs on site can be carried out only after receipt of a written order from the buyer.

VIII. RETURNS OF MATERIAL 8.1 We do not accept any return of material without previous and written agreement from our Registered Office.8.2 In case of agreement, any returned material will be the object of a discount or rebate for covering the costs ofthe damages caused, the expenses to put the unit back on stocks, miscellaneous administrative expenses, etc.

IX. PACKING - DAMAGE DURING TRANSPORTATION 9.1 CIAT provides all the care necessary for the packaging of sold units in such a way that their merchantabilityand/or fitness for purpose cannot in any way be affected during normal handling.Provided that CIAT shall not be liable to the buyer for any loss or damage to the goods which is caused by aninadequate storage on site or a negligence from the buyer or from his servants.9.2 In the case where the agreed INCOTERM leaves CIAT the risk on the merchandise, any damage and/or lossoccurring during transportation must be stated by the buyer :a) on the transportation document at the time of delivery (with all the full and necessary written reserves) ;b) to CIAT by telex or registered mail within a 48 hours time delay maximumShould these two formalities not be respected, the buyer is supposed to have inspected the goods and be satisfiedthat there are no transport damages, losses or shortages. He then loses all claims against CIAT.

X. DISPUTESIn case of any dispute, the Belley Court is the only competent, whatever the sales conditions and terms of paymentbe, even in case of appeal for guarantee and of plurality of defendants.All sales are submitted to French law, exclusive of the clauses described in the Vienna agreement, unless contraryclause has been explicitly forecasted in the Sales agreement.
