PJT Partners LP (“PJT”) respectfully represents as follows:

1. Background

1. On May 13, 2020 (the “Petition Date”), each of the Debtors filed a voluntary petition for

relief under chapter 11 of title 11 of the United States Code, 11 U.S.C. §§ 101 et seq., as

amended (the “Bankruptcy Code”). The Debtors are operating their businesses and managing

their properties as debtors-in-possession pursuant to §§ 1107(a) and 1108 of the Bankruptcy

Code.

2. On June 9, 2020, the Debtors filed the Debtors’ Application for Entry of An Order (I)

Authorizing the Retention and Employment of PJT Partners LP as Investment Banker for the

Debtors and Debtors In Possession, Effective as of May 13, 2020 [Docket No. 297] (the

“Retention Application”), pursuant to which the Debtors sought authority to retain and employ

PJT as its investment banker pursuant to the terms of an engagement letter (the “Engagement

Letter”) dated May 13, 2020. A copy of the Engagement Letter was attached to the Retention

Application.

3. On June 30, 2020, this Court entered the Order Establishing Procedures for Interim

Compensation and Reimbursement of Expenses for Retained Professionals and (II) Granting

Related Relief [Docket No. 425] (the “Procedures Order”) establishing procedures for interim

compensation and reimbursement of expenses for professionals.

4. On July 15, 2020, this Court entered the Order Authorizing the Retention and

Employment of PJT Partners LP as Investment Banker for the Debtors and Debtors in

Possession, Effective as of May 13, 2020 [Docket No. 520] (the “Retention Order”) approving

the Retention Application and authorizing the retention and employment of PJT effective as of

the Petition Date, pursuant to the terms of the Engagement Letter.

5. PJT submits this first interim fee application (the “First Interim Fee Application”)

requesting: (i) the allowance of Monthly Fees (as defined herein), and (ii) the reimbursement of

out-of-pocket expenses incurred during the period of May 14, 2020 through August 31, 2020 (the

“First Interim Period”).

6. Investment banking services and out-of-pocket expenses for which compensation and

reimbursement are sought were rendered and expended on behalf of the Debtors pursuant to

chapter 11 of the Bankruptcy Code.

II. The PJT Engagement

7. Pursuant to the Engagement Letter, PJT was retained to provide the following services to

the Debtors:2

(a) assist in the evaluation of the Debtors’ businesses and prospects;

(b) assist in the development of the Debtors’ long-term business plan and related financial projections;

(c) assist in the development of financial data and presentations to the Debtors’ Board of Directors, various creditors and other third parties;

(d) analyze the Debtors’ financial liquidity and evaluate alternatives to improve such liquidity;

(e) analyze various Transaction scenarios and the potential impact of these scenarios on the recoveries of those stakeholders impacted by the Transaction;

(f) provide strategic advice with regard to any proposed Transaction;

(g) evaluate the Debtors’ debt capacity and alternative capital structures;

(h) participate in negotiations among the Debtors and their creditors, suppliers, lessors and other interested parties;

(i) advise the Debtors in connection with its interactions with the Federal Communications Commission and other governmental entities;

(j) value securities offered or purchased by the Debtors in connection with a Transaction;

(k) advise the Debtors and negotiate with lenders with respect to potential waivers or amendments of various Obligations;

(l) assist in arranging financing for the Debtors, as requested;

(m) provide expert witness testimony concerning any of the subjects encompassed by the other investment banking services;

(n) assist the Debtors in preparing or reviewing marketing materials in conjunction with a possible Sale Transaction;

(o) assist the Debtors in identifying potential buyers, targets or parties in interest to a Sale Transaction and assist in the due diligence process;

(p) assist and advise the Debtors concerning the terms, conditions and impact of any proposed Sale Transaction;

(q) analyze and evaluate the business, operations and financial position of targets; and

(r) provide such other advisory services as are customarily provided in connection with the analysis, structuring and negotiation of a transaction similar to a potential Transaction, as requested and mutually agreed.

8. Pursuant to the Engagement Letter, as approved by the Retention Order, the Debtors

agreed to pay PJT as follows in consideration for the services rendered:3

(a) Monthly Fee. a monthly advisory fee (the “Monthly Fee”) of $225,000.00 per month. Fifty percent (50%) of all Monthly Fees paid to PJT after October 1, 2020 (i.e., the date that is six months after the date the PJT became entitled to receive Monthly Fees under the Engagement Letter) shall be credited, only once and without duplication, against the Restructuring Fee or the Sale Transaction Fee (each as defined below).

(b) Amendment Fee. an amendment fee (an “Amendment Fee”) equal to 0.025% of the principal face amount of the Obligations affected by any Amendment, earned and payable upon the closing of such Amendment; provided that, if PJT takes a leading role in the solicitation, structuring and/or negotiation of such Amendment, the Amendment Fee shall be equal to 0.075% of the principal face amount of the Obligations affected by such Amendment.

(c) Capital Raising Fee. a capital raising fee (the “Capital Raising Fee”) for any Capital Raise, earned and payable upon closing of any Capital Raise; provided that, if the Capital Raise consists of “debtor- in-possession” financing, the Capital Raising Fee with respect thereto shall be earned and payable upon signing of a commitment letter in respect thereof. If access to the financing is limited by orders of the bankruptcy court, a proportionate fee shall be payable with respect to each available commitment (irrespective of availability blocks, borrowing base, or other similar restrictions). The Capital Raising Fee for a Capital Raise in connection with an in-court proceeding shall be calculated as (a) 0.5% of any “debtor-in-possession” financing (whether senior or junior debt), (b) 0.5% of any senior secured debt financing (other than “debtor-in-possession” financing), (c) 1.0% of any unsecured, junior lien debt or equitylinked financing (including any junior debt chapter 11 “exit” financing) and (d) 1.5% of any equity financing; provided that, any Capital Raising Fee related to “debtor-in-possession” financing shall be subject to cap of $10,000,000, and 50% of any Capital Raising Fee in excess of $5,000,000 in respect of a “debtor-in-possession” financing shall be credited against the Restructuring Fee (as defined below); provided further that if PJT does not take a leading role in the solicitation, structuring and/or negotiation of any Capital Raise (other than “debtor-in-possession” financing), the Capital Raising Fee with respect to such Capital Raise shall be .15% of the financing.

(d) Exchange/Tender Fee. an exchange/tender fee (an “Exchange/Tender Fee”) equal to 0.50% of the principal face amount of any Obligations, exchanged, tendered, consenting to, or otherwise affected in connection with an Exchange/Tender; provided that, if the Company consummates an Exchange/Tender in a private transaction with just Pacific Investment Management Company LLC or its affiliates (collectively, “PIMCO”), other than following a broader solicitation to other parties, any Obligations held by PIMCO that are exchanged pursuant thereto shall not be used to calculated the Exchange/Tender

Fee payable to PJT Partners in connection therewith; provided further that, when calculating the Exchange/Tender Fee payable in respect of any single transaction or a series of concurrent, related transactions, each Obligation exchanged, tendered, consenting to, or otherwise affected in connection therewith shall be counted only once. The Exchange/Tender Fee shall be payable upon the closing of the applicable Exchange/Tender.

(e) Restructuring Fee. an additional fee for a Restructuring (the “Restructuring Fee”) equal to $20,000,000. Notwithstanding anything set forth in the Engagement Letter, the Restructuring Fee will be earned and payable upon consummation of the Restructuring.

(f) Sale Transaction Fee. an additional fee (“Sale Transaction Fee”) upon the closing of any Sale Transaction calculated as (a) with respect to Sale Transactions having a Transaction Value8 up to $1.0 billion, 1.0% of the Transaction Value, (b) with respect to Sale Transactions having a Transaction Value of $10.0 billion or more, 0.50% of the Transaction Value, and (c) with respect to Sale Transactions having a Transaction Value greater than $1.0 billion and less than $10.0 billion, based on straight-line interpolation from 1.0% of the Transaction Value to 0.50% of the Transaction Value, respectively. Upon consummation of a Sale Transaction in which all or substantially all of the assets of the Debtors are sold, PJT Partners, in its sole discretion, shall be entitled to either a Sale Transaction Fee in respect of such Sale Transaction or the Restructuring Fee, but not both.

(g) Expense Reimbursement. Reimbursement of all reasonable and documented out-of-pocket expenses incurred during this engagement, including, but not limited to, travel and lodging, direct identifiable data processing, document production, publishing services and communication charges, courier services, working meals, reasonable and documented fees and expenses of PJT Partners’ counsel, payable upon rendition of invoices setting forth in reasonable detail the nature and amount of such expenses.

III. Services Provided by PJT during the First Interim Period

9. PJT has rendered professional services to the Debtors as requested and in furtherance of

the interests of the Debtors’ estates. The variety and complexity of the issues in these chapter 11

cases and the need to act or respond to such issues on an expedited basis have required the

expenditure of substantial time by PJT personnel. PJT respectfully submits that the professional

services that it rendered on behalf of the Debtors were necessary and appropriate, and have

directly contributed to the effective administration of these chapter 11 cases. The following

summary of services rendered during the First Interim Period is not intended to be an exhaustive

description of the work performed. Rather, it is merely an attempt to highlight certain of those

areas in which PJT rendered services to the Debtors:

(a) assisting in the evaluation of the Debtors’ businesses and prospects;

(b) advising the Debtors on restructuring matters and strategic options;

(c) facilitating meetings with and preparing materials for the Debtors’ board of directors to provide case updates and strategic advice;

(d) assisting in the development of financial data and presentations to the Debtors, the Debtors’ Board of Directors, various creditors and other third parties;

(e) participating in various scheduled update calls with the Debtors’ management and other advisors;

(f) providing and coordinating diligence to creditor advisors and other stakeholders;

(g) participating in meetings with and hosting calls for the advisors to various creditor groups, the Official Committee of Unsecured Creditors, and other parties in interest regarding case work streams;

(h) analyzing the Debtors’ financial liquidity and evaluating alternatives to improve such liquidity;

(i) facilitating and coordinating a process seeking debtor-in-possession (“DIP”) financing;

(j) coordinating diligence efforts related to the DIP financing process;

(k) assisting in the drafting of legal documents related to DIP financing;

(l) evaluating various claims of the Debtors’ including the impact of potential tax and intercompany work streams;

(m) advising the Debtors with regards to strategic acquisitions including conducting due diligence, analyzing the financial and strategic impacts with such transactions and negotiating with the seller;

(n) facilitating diligence by various creditors and their advisors regarding strategic transactions, including preparing various presentation materials and facilitating discussions with the Debtors;

(o) assisting in the drafting of legal documents related to strategic transactions;

(p) reviewing the various motions prepared by the Debtors’ legal counsel and providing advice to the Debtors and their legal counsel; and

(q) analyzing various restructuring scenarios and the potential impact of these scenarios on

the recoveries of those stakeholders impacted by the Restructuring.

IV. The PJT Team

10. The investment banking services set forth above were performed primarily by: Steve

Zelin, Partner; James Murray, Partner; Jessica Kearns, Partners; John Trousdale, Partners; Paul

Sheaffer, Managing Director; Luigi Soddu, Managing Director; Joseph Terry, Director; Leah

Lakarosky, Vice President; Mark Reynolds, Vice President; Meaghan Kelly, Associate; Lou

Colagreco, Associate; Leslie Wang, Analyst; Andrew Karchmer, Analyst; and Andrew Seketa,

Analyst. Details of the background and experience of professionals currently employed at PJT

are provided in Appendix A.

V. PJT’s Request for Allowance of Compensation and Reimbursement of Expenses

A. PJT’s Request for Allowance of Monthly Fees and Out-of-Pocket Expenses Incurred

11. During the First Interim Period, PJT provided investment banking services to the Debtors

and earned Monthly Fees for such services totaling $805,645.16, and incurred actual and

necessary out-of-pocket expenses in the amount of $466.64. PJT respectfully requests the

allowance by the Court of the Monthly Fees earned and the reimbursement of out-of-pocket

expenses incurred during the First Interim Period.

B. Pre-Petition Credit

12. Prior to the Petition Date, PJT received a payment in respect of the post-petition period in

the amount of $130,645.16 (the “Pre-Petition Credit”). Subject to the Court’s approval, the Pre-

Petition Credit will be applied towards compensation earned and out-of-pocket expenses

incurred by PJT during the First Interim Period as reflected herein.

13. Invoices detailing the compensation earned, and the out-of-pocket expenses incurred

during the First Interim Period are attached hereto as Appendix B. A summary of all fees earned

and out-of-pocket expenses incurred during the First Interim Period is outlined below:

14. PJT respectfully submits that the compensation requested for the services rendered by

PJT to the Debtors during the First Interim Period is fully justified and reasonable based upon (a)

the complexity of the issues presented, (b) the skill necessary to perform the financial advisory

services properly, (c) the preclusion of other employment, (d) the customary fees charged to

clients in non-bankruptcy situations for similar services rendered, (e) time constraints required

by the exigencies of the case, and (f) the experience, reputation and ability of the professionals

rendering services.

15. PJT respectfully submits that the services it has rendered to the Debtors have been

necessary and in the best interests of the Debtors and the Debtors’ estates. PJT respectfully

submits that under the criteria normally examined in chapter 11 reorganization cases, the

compensation requested by PJT is reasonable in light of the work performed by PJT during these

chapter 11 cases.

16. The amount of fees sought in this First Interim Fee Application and PJT’s compensation

practices are consistent with market practices both in and out of a bankruptcy context. PJT has

never billed its clients based on the number of hours expended by its professionals. Accordingly,

PJT does not have hourly rates for its professionals and PJT's professionals generally do not

maintain detailed time records of the work performed for its clients. PJT has, however,

maintained contemporaneous time records in one-half hour increments. Time records with

respect to the 2,209.5 hours expended by PJT professionals in providing investment banking

services to the Debtors during the First Interim Period are provided in Appendix C.

18. Out-of-pocket expenses incurred by PJT are charged to a client if out-of-pocket expenses

are incurred for the client or are otherwise necessary in connection with services rendered for

such particular client. PJT does not factor general overhead expenses into any disbursements

charged to its clients in connection with chapter 11 cases. PJT has followed its general internal

policies with respect to out-of-pocket expenses billed as set forth below, with any exceptions

specifically explained.

(a) All cross-country airfare charges are based upon coach class rates.

(b) With respect to local travel, PJT's general policy enables employees to travel by taxi or, in certain circumstances private car service, to and from meetings while rendering services to a client on a client related matter, for which the client is charged. Further, and primarily for safety reasons, employees are permitted to charge to a client the cost of transportation home if an employee is required to work past 9:00 p.m. on weekdays on client specific matters.

(c) PJT's general policy permits its professionals to charge in-office dinner meals to a client after working 3 hours beyond their regularly scheduled workday if an employee is required to provide services to the client during such dinnertime, and to charge in-office

meals on the weekend if an employee is required to provide services to a client on the weekend and spends at least 4 hours in the office.

(d) The External Research category of expenses includes charges from outside computer/electronic service companies that supply, for a fee, research and/or financial documents to PJT. The services provided by these companies primarily consist of the retrieval of financial documents from regulatory agencies and/or the retrieval of research that would not otherwise be available to PJT. The Internal Research category of expenses are the charges for time spent by PJT research staff in operating the computer/electronic terminals related to these computer/electronic service companies.

(e) The Publishing Services category of expenses includes charges for the production of text-based publications such as research reports and presentations, and printing and binding services.

19. All services for which PJT requests compensation were performed for and on behalf of

the Debtors and not on behalf of any other person or stakeholder.

20. No agreement or understanding exists between PJT and any other entity for the sharing of

compensation received or to be received for services rendered in or in connection with these

proceedings.

VI. Requested Relief

WHEREFORE, PJT requests that the Court:

(a) allow and grant interim approval of (i) Monthly Fees earned in the amount of$805,645.16, and (ii) the reimbursement of PJT’s out-of-pocket expenses incurred in theamount of $466.64 for the First Interim Period;

(b) authorize and direct Debtors to pay PJT’s allowed and unpaid fees and out-of-pocketexpenses earned or incurred during the First Interim Period as follows:

Over the course of his career, Mr. Murray managed the firm’s relationships with wireless carriers, mobile device manufacturers, satellite communications ventures, aerospace, automotive, and defense / intel primes, media conglomerates and major Internet companies in the United States, Europe and Asia. Mr. Murray has led advisory teams on public and private company mergers, leveraged buyouts, special committee assignments and corporate restructurings. He has accumulated extensive capital markets experience, including the successful IPOs of numerous TMT companies on the NYSE, NASDAQ and LSE. Before joining PJT Mr. Murray spent 14 years at Morgan Stanley in New York and Chicago. Prior to his time at Morgan Stanley, Mr. Murray spent 5 years at Monitor Company, a strategy consulting firm focused on telecommunications and competitive intelligence, based in Hong Kong, Singapore, and Cambridge. Mr. Murray has an AB in Government from Harvard College and studied International Relations and Economics at the London School of Economics.

Jessica Kearns. Ms. Kearns is a Partner in the Capital Markets Advisory Group at PJT Partners. Ms. Kearns has twenty-six years of Investment Banking experience. Prior to joining PJT Partners, she headed TMT Leveraged Finance at JP Morgan. Under her leadership, JP Morgan was the top ranked book runner in TMT High Yield Bonds and Leveraged Loans. Ms. Kearns received a BA from Connecticut College and an MBA from Columbia Business School.

John Trousdale. Mr. Trousdale is a Partner at PJT Partners, based in New York. Mr. Trousdale joined PJT Partners in January 2015 after spending over 11 years at Credit Suisse, most recently as Vice Chairman of Global M&A and the Global Head of Media & Telecommunications M&A. From 2005-2009, he served as Co-Head of Credit Suisse’s Media & Telecommunications Group. Prior to Credit Suisse, Mr. Trousdale spent over 14 years at Merrill Lynch, most recently as Head of the Media Group. Since commencing focus on the Media & Telecommunications sectors in 1998, Mr. Trousdale has advised on M&A transactions totaling nearly $500 billion, including nearly 50 transactions in excess of $1 billion. Mr. Trousdale has worked on a broad range of public and private M&A transactions, including cross border mergers in North America, Europe and Asia. Mr. Trousdale received a B.A. degree from Georgetown University.

Paul Sheaffer. Mr. Sheaffer is a Managing Director in the Restructuring & Special Situations Group. Since joining the Restructuring & Special Situations Group, Mr. Sheaffer has worked on a variety of restructuring situations including A123 Systems, AF Global, American Seafoods, Avaya, Bally Total Fitness, Basic Energy, Cengage Learning, Crunch Fitness, Granite Broadcasting, Houghton Mifflin Harcourt, Jefferson County, Key Energy, Lee Enterprises, MBIA (re: City of Detroit), Magnetation, Milagro Oil & Gas, Odebrecht Oil & Gas, OPTI Canada Republic Airlines, Relativity Media, and Specialty Products Holding Corp. Prior to joining PJT Partners, Mr. Sheaffer was an Associate at Angelo, Gordon & Co. in the Special Situations and Private Equity group, working on transactions and restructurings in a variety of industries, including retail and specialty finance. Before working at Angelo, Gordon & Co., Mr. Sheaffer was an Analyst in Blackstone's Restructuring & Reorganization Group, advising on a variety of restructuring transactions. Mr. Sheaffer received a BS in Analytical Finance and a MS in Accountancy from Wake Forest University.

Joseph Terry. Mr. Terry is a Director in the Strategic Advisory Group at PJT Partners. Prior to joining PJT, Mr. Terry served as an associate in Investment Banking as Credit Suisse. Mr. Terry received a BBA from Baylor University and an MBA from the University of Chicago Booth School of Business.

Leah Lakarosky. Ms. Lakarosky is a Vice President in the Restructuring & Special Situations Group. Prior to joining PJT, Ms. Lakarosky worked in the Valuation Advisory Services practice at Duff & Phelps where she assessed the value of business enterprises, debt and equity investments, and intangible assets for clients across the financial services, real estate, technology, retail, and industrials sectors. Meaghan Kelly. Ms. Kelly is an Associate in the Restructuring & Special Situations Group at PJT Partners LP. Prior to joining PJT, Ms. Kelly worked as a Senior Consultant in the Corporate Finance and Restructuring practice at FTI Consulting, Inc. Ms. Kelly has advised both debtors and creditors across a range of industries.
