JURISDICTION

The judgment of the court of appeals was enteredon July 24, 2008. (Id. at 2a.) The court of appealsdenied a petition for rehearing on September 25,2008. (Id. at 129a-31a.) This Court’s jurisdiction isinvoked under 28 U.S.C. § 1254(1). The court ofappeals had jurisdiction under 28 U.S.C. § 1291.

STATEMENT OF THE CASE

Petitioners are the Xerox Corporation RetirementIncome Guarantee Plan (the "Plan") and present orformer Plan Administrators. Respondents areparticipants in the Plan who successfully challenged

one of the Plan’s provisions as not having beenlawfully added to the Plan until 1998. As a result ofRespondents’ successful challenge, the courts belowwere required to determine the benefits due toRespondents under the remaining terms of the Plan.In reviewing the District Court’s interpretation ofthe remaining Plan provisions, the Second Circuitmade two significant errors that warrant this Court’sreview.

First, the Second Circuit held that the well-established rule that courts must defer to a planadministrator’s rea~sonable interpretation of anERISA plan does not apply when the planadministrator interprets the plan outside the contextof an administrative claim for benefits. That holdingsquarely conflicts with decisions of this Court andother Circuits. It also has dramatic consequencesunder ERISA because plan administratorsfrequently interpret plans outside the c,~ntext ofadministrative claims proceedings.

Second, the Second Circuit held that a districtcourt has "allowable discretion" to adopt any"reasonable" interpretation of the terms of a pensionplan if the interpretation is rendered in the course ofdetermining the additional benefits due to a planparticipant as a result of a violation of law. Thatholding creates the untenable prospect that the verysame plan will be subject to different "reasonable"interpretations rendered by different courts. It alsodeparts from overwhelming precedent holding thatappellate courts owe no deference to a district court’sinterpretation of the terms of a plan.

Review is warranted because the Second Circuit’sdecision critically undermines important ERISAprinciples. A paramount goal of ERISA is theuniform and consistent administration of employeebenefit plans. Because such plans are provided byemployers voluntarily, ERISA was designed in partto ensure that administrative expense and litigationuncertainty do not discourage employers fromoffering them at all. See Varity Corp. v. Howe, 516U.S. 489, 497 (1996). The principal means by whichERISA ensures uniform national planadministration and protects employers fromsurprising or contradictory plan interpretations isdeference to the reasonable decisions of planadministrators. Review is warranted because theSecond Circuit’s errors thwart these principles.

1. The Xerox Plan. The Plan provides benefitspursuant to a so-called "floor-offset" arrangement -an arrangement that guarantees employees a floorbenefit that limits their exposure to investmentlosses in their individual retirement accounts whileallowing them to benefit from their accounts’investment gains.

Under a typical floor-offset arrangement,employees participate in both a defined benefit planand a defined contribution plan.1 The defined benefit

plan specifies a minimum level of benefits, or "floor,"to which employees are entitled based on theirservice to the employer. The value of the definedbenefit floor is reduced, or "offset," by the pensionattributable to the employee’s individual definedcontribution account. Thus, if the definedcontribution account would provide a pension that isequal to or greater than the employee’s definedbenefit, the employee receives a benefit only from thedefined contribution plan.2 See generally Lunn v.Montgomery Ward & Co., Inc., 166 F.3d 880, 881 (7thCir. 1999) (describing the operation of floor offsetarrangements).

Respondents are current or former employees ofXerox who worked for Xerox for a period of time, leftXerox’s employ, and later were rehired by Xerox.(Pet. App. 25a.) When their first period ofemployment with Xerox ended, each Respondentreceived a lump sum distribution of benefits from thePlan. (Id.) Respondents resumed earning benefitsafter they were rehired. (Id.)

and salary - in an amount that is specified by the terms of theplan. See id. § 1002(35).

In calculating the floor benefits due to theserehired employees upon retirement, the Plan takesaccount of all of their service to Xerox - includingservice rendered during their first period ofemployment. (Id. at 25a-26a.) Unless this floorbenefit is adjusted to take into account the lump sumpayments" that these employees received based ontheir original periods of service, such employeeswould receive double credit for that initial service.Thus, the Plan provides that the pension benefits ofrehired employees must be reduced by the value oftheir initial lump sum distributions.

Two Plan provisions address this reduction. Thefirst provision, known as the "non-duplication ofbenefits" provision, states that the pension benefitfor an employee who previously received a lump sumdistribution "shall be offset by the accrued benefitattributable to such distribution." (Id. at 141a(emphasis added).) "Accrued benefit" is a definedterm under the Plan. (Id. at 134a-35a.) The secondprovision, which the Second Circuit referred to as a"phantom account" offset provision, specifies afurther refinement in the way that the non-duplication of benefits provision is applied. (See id. at4a-5a.)

This petition arises from a dispute about how thePlan should be construed taking account of the non-duplication of benefits provision, but withoutreference to the so-called "phantom account" offsetprovision.

2. In Firestone Tire & Rubber Co. v. Bruch, 489U.S. 101, 111 (1989), this Court held that if an

ERISA plan grants the plan administratordiscretionary authority to construe the terms of theplan, the administrator’s interpretation of planlanguage is entitled to deference.

Here, the Plan expressly vests the PlanAdministrator with broad discretionary authority,including authority to "[c]onstrue the Plan." (Id. at142a.) A 1993 Plan Restatement clarifies that thisauthority includes the power to "resolve anyambiguity with respect" to the Plan. (Id. at 78a.)Nothing in the Plan limits this authority tointerpretations rendered in the context of anadministrative determination of the benefits due toparticipants or withdraws it when it is exercised inlitigation.

3. The Frommert Lawsuit. RespondentFrommert wrote to the Plan Administrator in 1996regarding his projected retirement benefit, whichhad been reduced to take account of a prior lumpsum distribution he received. (Id. at 74a.) The PlanAdministrator deemed Frommert’s letter to be arequest for additional benefits, which it denied onthe ground that his benefit had been properlycalculated in accordance with the Plan’s so-called"phantom account" offset provision and otherapplicable provisions. (See id.) Frommertsubsequently filed an administrative appeal of thedenial of his benefits claim, which was also timelydenied. (Id.)

In November 1999, Frommert and a number ofother Respondents filed the instant lawsuit, whichchallenged the lawfulness of the so-called "phantom

account" offset provision. (Id. at 74a-75a.) On July30, 2004, the District Court granted Petitioners’motion for summary judgment, thereby rejectingRespondents’ claim. (Id. at 98a.)

On January 6, 2006, the Second Circuit issued anopinion reversing the District Court in part("Frommert F’). The Second Circuit held that thePlan was not properly amended to include the so-called "phantom account" offset provision until 1998,when adequate notice of its terms was provided toplan participants. (Id. at 49a.) Its holding, however,did not disturb the non-duplication of benefitsprovision, which Respondents never challenged.

The Second Circuit remanded the case to theDistrict Court with instructions to "utilize anappropriate pre-amendment calculation to determine[Respondents’] benefits." (Id. at 51a.) As the SecondCircuit explained, in order to "fashion[] theappropriate remedy," the District Court would needto determine, under the "pre-amendment terms ofthe Plan" - that is, pursuant to the non-duplicationof benefits provision and other remaining Planprovisions -"how prior distributions were to betreated." (Id.)

At the same time, the Second Circuit affirmed inrelevant part the District Court’s dismissal ofRespondents’ claim for equitable relief pursuant toERISA § 502(a)(3), 29 U.S.C § 1132(a)(3), whichgenerally is unavailable where another provision ofERISA provides an adequate remedy. (Id. at 53a-55a.) The Second Circuit rejected Respondents’ claimfor equitable relief because the relief they sought -

"recalculation of their benefits consistent with theterms of the Plan"- "falls comfortably within thescope of § 502(a)(1)(B)," 29 U.S.C. § 1132(a)(1)(B),which allows a plan participant to sue for "thebenefits due him under the terms of his plan." (Id. at53a.)

4. Proceedings On Remand. On remand, theDistrict Court requested that the parties presentevidence regarding the proper calculation of benefitsfor rehired employees under the pre-amendmentterms of the Plan. Pursuant to his discretionaryauthority to construe the Plan, the PlanAdministrator responded by formally submitting hisinterpretation of those terms to the District Court.(Id. at 144a-54a.)

According to the Plan Administrator, the non-duplication of benefits provision, taken together withthe Plan’s definition of the term "accrued benefit,"has a clear and discernable meaning: it requires thatthe benefits of rehired employees be offset by thepresent-day economic value, or "actuarialequivalent," of the employees’ initial lump sumdistributions. (See id. at 147a-52a.)~ The Ninth

Circuit upheld this method of calculating rehiredXerox employees’ benefits as lawful and proper inanother case involving the Xerox Plan. See Miller v.Xerox Corp. Ret. Income Guar. Plan, 464 F.3d 871,875-76 (9th Cir. 2006).

The District Court nonetheless rejected thisinterpretation. According to the District Court, inlight of the "not-very-clear language" in the pre-amendment Plan, the "ambiguity as to th[e] [offsetcalculation] formula ... must be resolved in favor ofthe employee." (Id. at 107a.) The District Courttherefore held that Respondents’ benefits may beoffset only by the nominal amounts of their initiallump sum distributions rather than their present-day actuarial equivalent. (Id. at 8a-9a.) As evenRespondents’ own expert recognized, however,merely offsetting by the nominal amounts of theprior distributions - as opposed to their equivalent intoday’s dollars - confers an enormous windfall onrehired employees by failing to account for the timevalue of money. (Id. at 156a-58a.)

assumptions established by the Pension Benefit GuaranteeCorporation. (See Pet. App. 26a-27a; id. at 141a.) The PlanAdministrator accordingly interpreted the non-duplication ofbenefits provision - which states that the pension benefit for anemployee who previously received a lump sum distribution"shall be offset by the accrued benefit attributable to suchdistribution" - to require an offset equal to the annuity that isactuarially equivalent to the prior lump sum distribution (usingPlan-specified interest rate and mortality assumptions). (Id.; id.at 147a-52a.)

The Frommert H Decision. On appeal from theremedies opinion, the "basicby the Second Circuit was how toemployees rehired prior to 1998benefits in light of the ambiguousbenefits provision." (Id. at 8a.)that, in answering this question,

the District Court should have deferred to the PlanAdministrator’s reasonable interpretation of the Planprovisions. (Id. at 10a.) The Second Circuit rejectedthat argument in an opinion issued on July 24, 2008.

The Second Circuit recognized that where, ashere, an ERISA plan administrator is given"discretionary authority to ’construe the terms of theplan,"’ the administrator’s interpretation of planlanguage is entitled to deference. (Id. at 12a-13a.)The Second Circuit further acknowledged that thePlan Administrator’s views were so thoroughlypresented to the District Court that "nothing ...might have been gained by the District Court’sremanding the matter to the plan administrator" toprovide him with an opportunity to interpret thePlan provisions. (Id. at 11a.)

The Second Circuit observed that there were"several reasonable alternatives" for construing thenon-duplication of benefits provision, and it neversuggested that the Plan Administrator’sinterpretation was not among these reasonablealternatives. (Id. at 13a-14a.) It nonetheless heldthat the District Court was not obliged to defer to thePlan Administrator’s considered interpretation of thePlan language in question. (Id. at 13a.) According tothe Second Circuit, the interpretation of the Plan

offered on remand was a "mere opinion" of the PlanAdministrator to which no deference was duebecause it was not part of the original benefitsdecision made in response to Respondents’administrative challenges to their benefitcalculations. (See id. (withholding Firestonedeference because the District Court "had no decisionto review because the plan administrator neverrendered any decision other than the original benefitdeterminations").)

In addition to holding that the District Court hadno obligation to defer to the Plan Administrator’sconstruction of the Plan, the Second Circuit also heldthat it was required to defer to the District Court’sinterpretation. (Id.) Rather than review de novo theDistrict Court’s determination of the "proper level ofpension benefits" under the terms of the Plan, theSecond Circuit stated that it would review theDistrict Court’s interpretation of the Plan only "foran excess of allowable discretion," and thus affirmedthe District Court’s interpretation as "one reasonableapproach among several reasonable alternatives."(Id. at 8a; id. at 13a-14a.)

REASONS FOR GRANTING THE WRIT

The Second Circuit Decision Conflictswith Supreme Court and CircuitAuthority Regarding the Deference Owedto Plan Administrators.

In a line of cases involving ERISA plans, thisCourt has held that when a plan grants a planadministrator the authority to interpret the terms ofthe plan, the administrator’s interpretation of plan

language is entitled to deference. See, e.g.,Metropolitan Life Ins. Co. v. Glenn, 128 S. Ct. 2343,2350-52 (2008); Firestone Tire & Rubber Co. v.Bruch, 489 U.S. 101, 110-11 (1989). The SecondCircuit carved out a broad exception to this rule: itheld that no deference is due to a planadministrator’s interpretation of plan language whenthe administrator interprets the plan outside of theplan’s administrative claims process. That holdingconflicts with decisions of other courts of appeals andwith this Court’s decisions in Firestone and Glenn.

Review should be granted to resolve this Circuitconflict, to ensure that the Second Circuit’s decisiondoes not thwart this Court’s recent decision in Glenn,and to vindicate ERISA’s fundamental goal ofassuring uniform and consistent interpretations ofERISA plans.

A. The Second Circuit DecisionConflicts with Decisions of OtherCircuits.

In the wake of this Court’s decision in Firestone,most courts have held that Firestone deferenceapplies to a plan administrator’s interpretation ofplan language regardless of the particular forum inwhich the plan administrator offers itsinterpretation. Accordingly, the courts of appeals forthe Third, Fifth, Sixth, Seventh, Tenth, andEleventh Circuits have held that Firestone deferenceapplies to plan administrator interpretations offeredin a variety of contexts other than administrativedeterminations of participants’ benefits. See Oliver v.Coca Cola Co., 546 F.3d 1353, 1354 (11th Cir. 2008)

(holding that a district court must defer to a planadministrator’s reasonable interpretation of planterms offered in the course of litigation); Admin.Comm. of Wal-Mart Assocs. Health & Welfare Plan v.Willard, 393 F.3d 1119, 1123 (10th Cir. 2004)(deferring to plan administrators’ interpretation of areimbursement and subrogation provision advancedby the administrator in action against planbeneficiary brought pursuant to that provision);Worthy v. New Orleans Steamship Assoc., 342 F.3d422, 427-28 (5th Cir. 2003) (granting deference totrust administrator’s interpretation of trust languagerendered in ERISA suit alleging that the trustadministrator breached his duties under the trust);Hunter v. Caliber Sys., Inc., 220 F.3d 702, 711 (6thCir. 2000) (finding "no barrier to application of the[Firestone] arbitrary and capricious standard in acase ... not involving a typical review of denial ofbenefits" and thus deferring to an interpretation ofthe plan expressed by means of a plan amendment);Harte v. Bethlehem Steel Corp., 214 F.3d 446, 448,450 (3d Cir. 2000) (upholding plan administrator’sinterpretation of a plan document as reasonablebased on the deposition testimony of the planadministrator).

In conflict with these decisions, the decision below"holds that Firestone deference applies only when aplan administrator offers its interpretation of theplan in the course of an administrativedetermination of a participant’s benefit.

It is also undisputed that the Plan Administratorprovided the District Court with a consideredinterpretation of the Plan provisions at issue in’%riefs and at oral argument, in a sworn affidavitfrom the plan administrator, and in a written reportand accompanying testimony from an independentactuary who analyzed the plan administrator’sapproach." (Id. at 11a.) The Second Circuitnonetheless held that the District Court had noobligation to defer to what it characterized as the"mere opinion" of the Plan administrator. (Id. at13a.)4

In denigrating the Plan Administrator’sinterpretation as amere opinion to which nodeference was due,the Second Circuit did notsuggest that the Plan Administrator had failed toprovide a considered interpretation of the Plan. Tothe contrary, the Sec, ond Circuit acknowledged thatthe Plan Administrator had placed his interpretationof the Plan before the District Court so thoroughlythat "nothing" would have been gained by remanding

the matter to the Plan Administrator for furtheradministrative proceedings. (Id. at 11a.)

Rather, the Second Circuit dismissed the PlanAdministrator’s interpretation of the pre-amendmentterms of the Plan because it was not rendered in thecourse of a "benefit determination[]." (Id. at 13a.) Inthe Second Circuit’s view, this meant that theDistrict Court had only an "opinion" of the PlanAdministrator, not a "decision" to review for anabuse of discretion. (Id.) The Second Circuit thuscarved out an unwarranted exception to the usualrule of Firestone deference for plan administratorinterpretations offered outside thecourse ofadministrative benefit determinations.5

2. In conflict with the Second Circuit’s decision,each of the court of appeals decisions noted above (atpp. 12-13) holds that Firestone deference does applyoutside the context of an administrative claim for

benefits. The conflict is particularly stark withrespect to the Eleventh Circuit’s decision in Oliver v.Coca-Cola Co., 546 F.3d at 1354.

In Oliver, after finding that the planadministrator’s denial of benefits violated theapplicable arbitrary and capricious standard ofreview, see 497 F.3d 1181, 1195-96 (11th Cir. 2007),the Eleventh Circuit remanded to the district courtfor a remedies calculation based on the terms of theplan, see 546 F.3d at 1354. As the Eleventh Circuitexplained, because the participant’s benefits claimhad initially been denied, the plan administrator hadnot. yet had an opportunity to interpret the planprovisions governing the calculation of theparticipant’s benefit. See id. at 1353-54. TheEleventh Circuit, therefore, instructed the districtcourt to receive evidence from the plan administratorregarding its interpretation of the plan and to applythe deferential standard of review articulated by thisCourt in Glenn when, considering that interpretationon remand. See id. at 1354.

Oliver requires Firestone deference to the planadministrator’s interpretation of an ERISA planeven when the plan administrator offers itsinterpretation in litigation, and in particular,following a remand from a court of appeals. Here, bycontrast, the Second Circuit followed the oppositeapproach under very similar circumstances.Specifically, after holding in Frommert I that thePlan Administrator could not apply the so-called"phantom account" offset provision to employeesrehired prior to 1998, the Second Circuit held thatthe Plan Administrator’s interpretation of the

remaining Plan terms offered on remand wasentitled to no deference because it was not offered inthe course of an administrative determination of theparticipants’ benefits.

This Court should grant the petition to resolvethe conflict between Oliver and the other court ofappeals decisions deferring to plan administratorinterpretations rendered outside the context ofadministrative claims for benefits, on the one hand,and the decision of the Second Circuit denyingdeference in such cases, on the other.

The Second Circuit’s DecisionConflicts with This Court’sDecisions in Firestone and Glenn.

1. In Firestone, this Court observed that "ERISAabounds with the language and terminology of trustlaw," and concluded that it "should be guided byprinciples of trust law" in "determining theappropriate standard of review" in cases seeking anaward of benefits due under the terms of an ERISAplan. 489 U.S. at 110-11. Trust law, moreover,counsels that "[a] trustee may be given power toconstrue disputed or doubtful terms, and in suchcircumstances the trustee’s interpretation will not bedisturbed if reasonable." Id. at 111; accordRestatement (Second) of Trusts § 187 (1959) ("Wherediscretion is conferred upon the trustee with respectto the exercise of a power, its exercise is not subjectto control by the court, except to prevent an abuse bythe trustee of his discretion."). This Court thereforeconcluded that in an ERISA benefits action, if theplan gives the administrator "discretionary authority

to ... construe the terms of the plan," courts mustdefer to any reasonable interpretation of ambiguousplan terms offered by the administrator. Firestone,489 U.S. at 115.

The Second Circu[t’s denial of Firestone deferenceto plan administrator interpretations that arerendered outside the context of administrative claimsfor benefits is fundamentally at odds with Firestone.Firestone drew no distinction between planinterpretations that are rendered in anadministrative claimsprocess and interpretationsthat are rendered in other contexts. To the contrary,Firestone holds that the source of the deferenceaccorded to a plan administrator’s interpretation ofplan documents is the text of the plan documentsthemselves -just as the deference due to a trustee’sinterpretation of a trust is derived from the trustdocuments themselves. See id. at 111 ("Whether ’theexercise of a power is permissive or mandatorydepends upon the terms of the trust."’ (quoting 3 W.Fratcher, Scott on Trusts 187, p. 14 (4th ed. 1988))).Here, the text of the Plan grants the PlanAdministrator authority to construe the Planregardless of the particular forum in which thatconstruction is offered. Nothing in the text of thePlan indicates that deference is limited toconstructions rendered during an administrativeclaims process. (See Pet. App. 141a-42a.)

In rejecting the rule of Firestone deference forplan interpretations offered outside of anadministrative claims proceeding, the Second Circuitalso overlooked this Court’s earlier decision inCentral States, Southeast & Southwest Areas Pension

Fund v. Central Transport, Inc., 472 U.S. 559 (1985).There, this Court deferred to a plan administrator’sconsidered views presented for the first time in thecourse of litigation. See id. at 568 (awarding"significant weight" to an ERISA trustee’sinterpretation of the trust document covering amulti-employer plan and therefore holding that thetrustee was entitled to audit the records of aparticipating employer).

2. If there were any room for doubt aboutwhether the Second Circuit’s decision conflicts withFirestone, it was eliminated by this Court’s recentdecision in Glenn. That case followed Firestone inholding that courts "should analogize a planadministrator to the trustee of a common-law trust"in determining the appropriate standard of reviewfor ERISA benefits claims. Glenn, 128 S. Ct. at 2347.Thus, where a plan grants its administratordiscretionary authority to construe the terms of theplan, Glenn reaffirms that ’"It]rust principles make adeferential standard of review appropriate."’ Id. at2348 (emphasis in original) (citations omitted).

Glenn makes doubly clear what should have beenapparent from Firestone: judicial deference to a planadministrator’s interpretation of an ERISA planflows from the common law of trusts and the terms ofthe underlying plan documents. See id. The SecondCircuit nonetheless deviseda broad exception to theusual rule of Firestone deference that had no basis inthe terms of the Plan or the law of trusts.6 The

Second Circuit did not explain precisely why aninterpretation of a p].an offered in litigation deservesno Firestone deference, but the only apparentrationale for such a conclusion is a conflict of interestrationale: an interpretation offered in the course oflitigation might be thought to be tainted by a conflictof interest.

Glenn specifically rejected this rationale, as wellas the Second Circuit’s general approach of devisingarbitrary tests for limiting the scope of Firestonedeference. In Glenn, the Court considered whether aplan administrator’s interpretation of an ERISA planis still entitled to deference when the planadministrator is acting under a conflict of interest. Inthe wake of the Firestone decision, several courts ofappeals had devised elaborate tests for determiningwhen a conflict of interest purportedly requires acourt to deny Firestone deference to a planadministrator’s interpretation of an ERISA plan.7

Glenn rejected such tests as unjustified departuresfrom Firestone. See Glenn, 128 S. Ct. at 2350-52. Indoing so, this Court warned against the use of"talismanic" rules and formulas as a substitute forthe art of judging. See id. at 2352 (quoting UniversalCamera Corp. v. NLRB, 340 U. S. 474, 489 (1951)).Accordingly, it held that a conflict of interest doesnot support a change in the standard of review "fromdeferential to de novo," but instead is simply a"factor" that courts should consider in determiningwhether a plan administrator has abused itsFirestone discretion. Glenn, 128 S. Ct. at 2350.

The Second Circuit here did precisely what thisCourt prohibited in Glenn: it invented an arbitrarytest for stripping away Firestone deference from aplan administrator’s interpretation of an ERISAplan. Moreover, if an actual conflict of interest ismerely a factor to consider in determining whether aplan administrator has abused its Firestonediscretion, then it follows a fortiori that theparticular forum in which the plan administratoroffers its interpretation of the plan is likewise nomore than a factor to consider - not a basis fordenying deference altogether.

3. Supreme Court review should be granted toeliminate the conflict between the Second Circuit

decision and this Court’s decisions in Firestone andGlenn. In the absence of such review, the SecondCircuit’s decision threatens to nullify the deferentialstandard of review that this Court sought toimplement in Glenn. and resurrect the practice ofdevising arbitrary tests for withdrawing Firestonedeference.

Alternatively, this Court should grant thepetition, vacate the Second Circuit’s order, andremand this case in light of Glenn. The SecondCircuit issued its opinion only a few weeks afterGlenn was decided, and the Second Circuit’s opiniongives no indication that the court had reviewed orconsidered Glenn at l~he time it issued its decision. Aremand would be appropriate because there is areasonable probability that the Second Circuit wouldreconsider its opinion if it were directed to considerthe implications of Glenn. See Lawrence v. Chater,516 U.S. 163, 167-68(1996) (indicating that a GVRmay be appropriate where "recent developments thatwe have reason to believe the court below did notfully consider[] reveal a reasonable probability thatthe decision below rests upon a premise that thelower court would reject if given the opportunity forfurther consideration"); Robinson v. Story, 469 U.S.1081 (1984) (granting, vacating and remanding inlight of Supreme Court opinion issued shortly beforecourt of appeals’ decision).

C. The Second Circuit DecisionPresents a Recurring Issue ofExceptio nal Importance.

According to the Second Circuit, Firestonedeference does not apply unless a planadministrator’s interpretation of an ERISA plan isinitially offered within the context of anadministrative claims proceeding. This holding, ifallowed to stand, will undo this Court’s decisions inFirestone and Glenn in large numbers of cases andwill discourage employers from offering employeebenefit plans.

1. Plan administrators are called upon tointerpret the plans they administer virtually everyday, and their interpretations often are renderedoutside the setting of administrative claims forbenefits. See, e.g., pp. 12-13 (citing cases presentingvarious contexts in which courts have deferred toplan administrator’s plan interpretations). Forinstance, the exception to Firestone deference createdby the Second Circuit would apply in numerous casesin which an issue of plan interpretation first arisesduring the course of litigation,s It also would apply in

the many cases in which participants availthemselves of exceptions to the discretionaryrequirement to exhaust a plan’s internal claimsprocedure before filing suit in court.9 And it wouldapply in many more cases alleging that planfiduciaries breached their fiduciary duties to planparticipants by failing to follow plan terms,lo

Given the multitude of contexts in which planadministrators are called upon to interpret planterms outside of the administrative claims process,this case presents an issue that is likely to recur withgreat frequency.

2. This case, moreover, presents an issue ofexceptional importance. ERISA regulates a voluntaryregime that allows employers to decide whether toestablish benefit plans and what kinds of benefits toprovide. As this Court has recognized, a principleobjective of ERISA is "the continuation andmaintenance of voluntary private plans." PBGC v.LTV Corp., 496 U.S. 633, 651 (1990) (quoting 29U.S.C. § 1302(a)(1)). If employers are exposed to thefrequent risk of unanticipated interpretations oftheir plans, they will be far less likely to offer suchplans at all. See Varity Corp. v. Howe, 516 U.S. 489,497 (1996) (disfavoring rules that would "discourageemployers from offering [ERISA] plans in the firstplace").

ERISA class actions seeking staggering sums ofmoney based on unanticipated interpretations ofplan language are becoming increasingly common.11

Firestone deference is what protects employers from

reasonable plan interpretations in a case alleging breach offiduciary duty).

the risk of such unanticipated and potentiallydisastrous interpretations of their benefit plans. Theabuse of discretion standard of review articulated inGlenn thus "protects important values," including

the plan administrator’s greaterexperience and familiarity with planterms and provisions; the enhancedprospects of achieving consistentapplication of those terms andprovisions that results; the desire ofthose who establish ERISA plans topreserve at least some role in theiradministration.; and the importance ofensuring that funds which are notunlimited go to those who, according tothe terms of the plan, are trulydeserving.

Evans v. Eaton Corp. Long Term Disability Plan, 514F.3d 315, 323 (4th Cir. 2008). If the Second Circuit’sdecision cutting back Firestone deference goesuncorrected, that doctrine - and the important role itplays in encouraging employers to offer benefit plansat all - will be dramatically eroded.

3. The facts of this case vividly illustrate theproblems that arise when Firestone deference is notapplied to a plan administrator’s interpretation of anERISA plan, Here, as a result of the Second Circuit’sfailure to afford such deference, tl~e PlanAdministrator is subject to two different standardsfor administering the Xerox Plan adopted by twodifferent courts.

In Miller v. Xerox, the Ninth Circuit held that thePlan Administrator of the Xerox Plan was"require[d]" to calculate the offset for the rehiredemployees who brought that action "based on theactual actuarial equivalent of the [prior lump sum]distribution" those employees received. See 464 Fo3dat 875-76 (emphasis added). Here, the PlanAdministrator interpreted the terms of the pre-1998Plan to require precisely the same offset calculationthat the Ninth Circuit held was required. (See Pet.App. 147a-52a.) The Second Circuit, however,rejected that interpretation. Instead it held that thePlan Administrator may offset a Respondent’sbenefit not by the present-day actuarial equivalent ofhis prior lump sum distribution but only by thenominal amount of that distribution. (Id. at 8a-9a.)Thus, contrary to the goal of uniform planadministration, the Plan Administrator cannot nowemploy a "set of standard procedures" in calculatingbenefits under the Xerox Plan. Fort Halifax PackingCo., Inc. v. Coyne, 482 U.S. 1, 9 (1987) ("The mostefficient way [for a plan] to meet [its] responsibilitiesis to establish a uniform administrative scheme,which provides a set of standard procedures to guideprocessing of claims and disbursement ofbenefits.").12

If allowed to stand, the Second Circuit’s decisionwill strip countless other employers of the benefits ofFirestone deference and expose them to the resultingrisk of conflicting judicial interpretations of theirbenefit plans. Such a result would be fundamentallyinconsistent "with nationally uniform planadministration," which is "[o]ne of the principal goalsof ERISA." Egelhoff v. Egelhoff, 532 U.S. 141, 148(2001); accord Glenn, 128 S. Ct. at 2354 (Roberts,C.J., concurring in part and concurring in thejudgment) (noting that "certainty and predictabilityare important criteria under ERISA").

II. The Second Circuit Decision Conflictswith Authority from Other CircuitsRegarding the Proper Standard ofAppellate Review ~in Calculating BenefitsPursuant to Plan Terms.

It is well settled that appellate review of districtcourt interpretations of written instruments,including ERISA plan documents, is de novo.Accordingly, the Second Circuit should have appliedde novo review to the District Court’s interpretationof the Xerox Plan -- including de novo review ofwhether the District Court properly appliedFirestone deference in. this case.

the nominal amounts of their lump sum distributions,Respondents have been granted a windfall that is not availableto other Xerox employees. This is because, as even Respondents’expert realized, the District Court’s interpretation entirelyignores the time value of the money Respondents received tenor more years ago. (Id. at :[56a-58a.)

Instead, the Second Circuit reviewed the DistrictCourt’s interpretation of the terms of the pre-amendment Plan under a deferential "excess ofallowable discretion" standard. (Pet. App. 8a.) In sodoing, the Second Circuit broke with a number ofother Circuits. Its decision, if upheld, will alsofrustrate the important ERISA goal of uniform andconsistent plan interpretations. If the courts ofappeals are required to affirm any "reasonable" planinterpretation offered by the district courts, neitherplan administrators nor participants could ever becertain as to what a plan requires.

The Second Circuit DecisionCreates a Circuit Conflict.

Abundant authority recognizes that appellatereview of written instruments, including ERISA plandocuments, is de novo. The Second Circuit held,however, that de novo review does not apply when adistrict court interprets a plan in the course ofremedying "an identified ERISA violation." (Pet.App. 8a.) There is no basis for such an exception tothe ordinary rule of de novo appellate review.

(Pet. App. 51a.) In crafting a remedyon remand, the task of the District Court was to

determine the benefits due to Respondents "underthe terms of the plan" (id. at 53a) - in other words, tointerpret the pre-1998 terms of the Plan document.See Firestone, 489 U.S. at 115 ("[T]he validity of aclaim to benefits under an ERISA plan is likely toturn on the interpretation of terms in the plan atissue.").13

After the District Court issued its opinionconstruing the relevant Plan terms, Petitionersappealed to the Second Circuit. The Second Circuitstated that the "District Court had discretion todesign a remedy to provide [Respondents] with theproper level of pension benefits in light of the ERISAviolations" identified in Frommert I, and thus that itwould review the District Court’s "chosen remedy ofan identified ERISA violation" only for "an excess ofallowable discretion." (Pet. App. 8a.) Pursuant tothat standard, the Second Circuit concluded that theDistrict Court’s chosen remedy was "one reasonableapproach among several reasonable alternatives,"and thus affirmed the District Court. (Id. at 13a-14a.)

2. The Second Circuit’s application of an "excessof allowable discretion" standard of review directlyconflicts with the venerable principle that "appellate

courts have untrammeled power to interpret writtendocuments." Eddy v. Prudence Bonds Corp., 165 F.2d

157, 163 (2d Cir. 1947) (L. Hand, J.); accord Barrettv. Safeway Stores, Inc., 538 F.2d 1311, 1313 (8th Cir.1976) (same); Emor, Inc. v. Cyprus Mines Corp., 467F.2d 770, 773 (3d Cir. 1972) (same). Numerouscourts of appeals have held that "an appellate courtis not bound by a construction of a document basedsolely upon the terms of the written instrument."FDIC v. Brants, 2 F.3d 147, 150 (5th Cir. 1993)(quoting In re Estate of Russell, 444 P.2d 353, 362(1968)); accord NLRB v. Hobart Bros. Co., 372 F.2d203, 206 (6th Cir. 1967) ("[T]he clearly erroneousrule does not prevent the Court of Appeals fromconstruing a writing differently than the trial court’sconstruction.").

Consistent with this authority, the Second Circuithad an obligation to determine whether- in light ofthe written terms of the Plan document - the DistrictCourt’s interpretation of the Plan was correct, notmerely whether it was "reasonable." Had the SecondCircuit done so, Petitioners respectfully submit thatit could not have affirmed the District Court’seconomically irrational Plan interpretation, whichfails to give proper effect to the non-duplication ofbenefits provision, ignores the time value of money,and provides Respondents with an enormouswindfall.14

The Second Circuit’s decision conflicts not onlywith ample authorit:g applying de novo review to adistrict court’s interpretation of written instruments,but also with decisions that apply de novo review todistrict court calculations of ERISA benefitspursuant to plan terms. For instance, in Welsh v.Burlington Northern, Inc., Employee Benefits Plan,54 F.3d 1331, 1335 (8th Cir. 1995), the EighthCircuit considered whether a plan participant wasentitled to disability benefits under the terms of aplan that did not grant the administratorinterpretive discretion. After affirming the districtcourt’s conclusion that the plan administrator hadimproperly denied benefits to the participant, theEighth Circuit considered whether the district courthad properly construed the plan’s terms incalculating the amount of benefits to which theparticipant was entit][ed. See id. at 1340-41. In doingso, the Eighth Circuit did not defer to the districtcourt’s interpretation of the plan but insteadreviewed the terms of the plan in order itself todetermine the benefits due. See id. In other words,the Eighth Circuit - in contrast to the Second Circuit- undertook a de novo review of the district court’sremedies calculation.

The Court should grant certiorari to correct theSecond Circuit’s extraordinary departure from thesettled principle that appellate review of writteninstruments is de novo. Indeed, given the clarity ofthe Second Circuit’s error, summary reversal may be

B. The Second Circuit DecisionPresents a Recurring Issue ofExceptional Importance.

The Second Circuit held that it has no obligationto arrive at the correct interpretation of an ERISAplan (including a de novo determination of whetherthe plan terms require Firestone deference) in a largecategory of cases. Rather, in the Second Circuit’sview, a court of appeals must defer to any"reasonable" interpretation of a plan offered by adistrict court in the course of determining theadditional benefits due under the terms of the planin the wake of an ERISA violation. This departurefrom traditional standards of appellate reviewexposes plan administrators to the untenableprospect that different district courts will adoptdifferent interpretations of the very same ERISAplan.

For example, under the "allowable discretion"standard adopted by the Second Circuit, if twodifferent district courts within the same Circuitadopt different interpretations of the same pensionplan, the court of appeals must affirm both suchinterpretations if they are both within the "allowablediscretion" of the district court. This would eviscerateERISA’s fundamental goal of assuring consistent and

uniform administration of pension plans throughoutthe country. See Egelhoff, 532 U.S. at 148 ("One ofthe principal goals of ERISA is to enable employersto establish a uniform administrative scheme .... ");Berger v. AXA Network LLC, 459 F.3d 804 (7th Cir.2006) ("uniformity of treatment" of plan participantsis a "primary concern" of ERISA). Moreover,employers exposed to the prospect of conflicting andinconsistent interpretations of their benefit planswill be far less likely to offer such plans at all. SeeVarity, 516 U.S. at 497.

CONCLUSION

The petition for writ of certiorari should begranted.
