Said owners named in Exhibit "A" attached hereto must make one or anycombination of the following elections within 20 days from the date of this Order.
7.1 Participate Woodford Target: To participate in the development of theunit and common sources of supply by agreeing to pay such owner's proportionate part of theactual cost of the well and unit covered hereby and by paying, as set out below, to Operator suchowner's proportionate part of the estimated completed for production cost thereof, or byproviding the Operator with an irrevocable letter of credit for such payment satisfactory to theOperator, within 25 days from the date of this Order, as follows:

Pursuant to Multiunit Horizontal Well Interim Order to issue in Cause CD No.201706845-T the unit well targets the Woodford common source of supply with theMississippian as an adjacent common source of supply and such costs are to be allocated on aninterim basis approximately 50% to Section 15, Township 7 North, Range 4 West, McClainCounty, Oklahoma, and 50% to Section 10, Township 7 North, Range 4 West, McClain County,Oklahoma subject to adjustment by a Final Order in Cause CD No. 201706845-T.
Provided further, however, that in the event an owner elects to participate in said unitwell by paying his proportionate part of the costs thereof and further does not elect to deferpayment of well costs as set out in paragraph 7.1a. below and thereafter fails or refuses to pay orprovide the Operator with an irrevocable letter of credit satisfactory to the Operator for suchowner's proportionate part of the completed for production cost as set forth in this paragraph, allwithin the periods of time as prescribed in this Order, then such owner shall be deemed to haveelected to accept inclusive of burdens the highest cash bonus for which because of burdens suchowner's interest qualifies as set out in paragraphs 7.2, 7.3, 7.4 and 7.5 below. If because ofburdens such owner's interest does not qualify for a cash option provided in paragraphs 7.2, 7.3,7.4, and 7.5 below, then such owner shall be deemed to have accepted the no cash optionprovided in paragraph 7.6 below. Thereupon, the payment of such cash bonus shall be made byOperator within 35 days after the last day of which such defaulting owner, under this Order,should have paid his proportionate part of such costs or should have made satisfactoryarrangements for the payment thereof
7.1.a. Deferred Payment of Well Costs: Provided, in the event anowner timely elects to participate as set out in paragraph 7, said owner may elect to deferpayment of Completed for Production Well Costs until 15 days after receipt of a Notice of Intentto Spud, which Notice of Intent to Spud shall be sent by Operator to such electing owner no

earlier than 60 days prior to actual spud of the initial well. To receive this deferred payment ofwell costs, such owner must so elect at the time of an election to participate. Those owners whoproperly elect to defer payment within the period provided in this paragraph but fail or refuse topay shall be at the option of the Operator be deemed an election by such owner to have acceptedbecause of burdens, the highest cash option for which such owner's interest qualifies as set out inparagraphs 7.2, 7.3, 7.4 and 7.5 below provided further if because of burdens such owner'sinterest does not qualify for a cash option provided in paragraphs 7.2, 7.3, 7.4 and 7.5 below,then such owner shall be deemed to have accepted the no cash option provided in paragraph 7.6below. Provided, Operator, at its sole discretion may continue to allow such respondent toremain a working interest owner under this pooling with Operator afforded all methods ofcollection of such respondent's share of completed well costs allowed under the laws of the Stateof Oklahoma and the rules of the Oklahoma Corporation Commission.
7.2 Cash Consideration: To accept $5,200 per acre plus the normal 1/8royalty interest, as defined in 52 O.S., Section 87.1(e)(2001), as a fair, reasonable and equitablebonus to be paid to each owner who elects not to participate in said unit well by paying suchowner's proportionate part of the costs thereof; such cash bonus to be paid within 35 days fromthe date of this Order and when so paid shall be satisfaction in full of all rights and interests ofsuch owner in the well covered hereby.
7.3 Cash Consideration: To accept $5,000 per acre plus a total royaltyof 3/16 as a fair, reasonable, and equitable bonus to be paid unto each owner who elects not toparticipate in said unit by paying such owner's proportionate part of the cost thereof; such cashbonus to be paid within 35 days from the date of this Order and when so paid shall besatisfaction in full for all rights and interests of such owner in the unit covered hereby, provided,however, in the event that owner's interest is subject to a royalty, overriding royalty, or otherburden on production in excess of the normal 1/8 royalty as defined herein, then such excessroyalty, overriding royalty, or other burden shall be charged against the 1/16 of 8/8 overriding orexcess royalty as herein set forth, and the same shall be reduced by the amount of any suchexcess.
7.4 Cash Consideration: To accept $4,800 per acre plus a totalroyalty of 1/5 as a fair, reasonable, and equitable bonus to be paid unto each owner who electsnot to participate in said unit by paying such owner's proportionate part of the cost thereof., suchcash bonus to be paid within 35 days from the date of this Order and when so paid shall besatisfaction in full for all rights and interests of such owner in the unit covered hereby, provided,however, in the event that owner's interest is subject to a royalty, overriding royalty, or otherburden on production in excess of the normal 1/8 royalty as defined herein, then such excessroyalty, overriding royalty, or other burden shall be charged against the 7.5% of 8/8 overriding orexcess royalty as herein set forth, and the same shall be reduced by the amount of any suchexcess.
7.5 Cash Consideration: To accept $1,000 per acre plus a totalroyalty of 22% of 8/8 as a fair, reasonable, and equitable bonus to be paid unto each owner whoelects not to participate in said unit by paying such owner's proportionate part of the cost thereof.,such cash bonus to be paid within 35 days from the date of this Order and when so paid shall besatisfaction in full for all rights and interests of such owner in the unit covered hereby, provided,

however, in the event that owner's interest is subject to a royalty, overriding royalty, or otherburden on production in excess of the normal 1/8 royalty as defined herein, then such excessroyalty, overriding royalty, or other burden shall be charged against the 9.5% of 8/8 overriding orexcess royalty as herein set forth, and the same shall be reduced by the amount of any suchexcess.
7.6 Consideration In Lieu of Cash: To accept in lieu of such cash bonusplus an excess royalty, an owner may elect to have delivered unto him no cash and a totalroyalty of 1/4 of 8/8, as his just and fair share of the production from such unit. Provided,however, in the event that owner's interest is subject to a royalty, overriding royalty, or otherburden on production in excess of the normal 1/8 royalty as defined herein, then such excessroyalty, overriding royalty, or other burden shall be charged against the 1/8 of 8/8 overriding orexcess royalty as herein set forth, and the same shall be reduced by the amount of any suchexcess.
7.7 Allocation of Bonus:

7.8 Right to Deferred Election as to the Mississippian CommonSource of Supply: Applicant's initial well is to be a multiunit horizontal well targeting theWoodford common source of supply. Respondents have the right to request a deferred electionas to the Mississippian common source of supply. Such request for deferred election to be madewith respondent's election as to the initial well due within 20 days from the date of this order, inthe manner as set out in paragraph 7 above. Such separate deferred election to be made in thetime and manner as set out in paragraphs 10 and 11 below upon receipt of the well proposal forthe Mississippian targeted well. Failure of a respondent to timely elect to defer suchrespondent's election as to the Mississippian common source of supply, shall result in therespondent being deemed to have elected the highest cash bonus and lowest royalty optionfor which such respondent qualifies dependent on burdens on such respondent's interest.
8. Failure to Elect: In the event any owner fails to elect within the time andin the manner as set forth in paragraph 7 above, then such owner shall be deemed to haveaccepted, inclusive of burdens, the highest cash option for which such owner's interest qualifiesas set out in paragraphs 7.2, 7.3, 7.4 and 7.5 above. In the event such owner's interest because ofburdens attached to such interest does not qualify for the cash option provided in paragraphs 7.2,7.3, 7.4 and 7.5 above, then such owner shall be deemed to have accepted the no cash optionprovided for in paragraph 7.6 above. In the event any owner elected to do other than participatein said unit by paying his pro rata share of the costs of the unit well thereof, or fails to make anelection provided above, such owner shall be deemed to have relinquished unto Operator all ofsuch owner's right, title, interest, or claim in and to the unit, except for any normal 1/8 royalty

interest, and other share in production to which such owner may be entitled by reason of anyelection hereunder.
9. Operator: Newfield Exploration Mid-Continent Inc.Attn: Peter Burns, Land Dept.24 Waterway Avenue, Suite 900The Woodlands, TX 77380
an owner of the right to drill in said drilling and spacing unit is designated Operator of the unitwell and common sources of supply covered hereby and all elections required in paragraph 7hereof should be communicated to said Operator in writing at the address above as required inthis Order. All written elections must be mailed postmarked within the election period as setforth in paragraph 7; provided such election may be mailed certified mail with return receiptrequested in which event such certified election must be deposited in the post office within theelection period set forth in paragraph 7. That said Operator has a current plugging bond orfinancial statement on file with the Corporation Commission.
10. Participation in Subsequent Operations: Only those owners electing toparticipate in the initial well drilled hereunder as provided above will be allowed to participate insubsequent wells drilled on the drilling and spacing unit and common source of supply coveredhereby. Owners electing or deemed to have elected the cash option plus royalty provided inparagraphs 7.2, 7.3, 7.4 and 7.5 above shall receive no additional cash consideration forsubsequent wells, but shall receive the royalty provided therein for subsequent wells. Ownerselecting or deemed to have elected the no cash option provided in paragraph 7.6 above shallreceive the royalty provided therein for subsequent wells. The term subsequent well for thepurposes of paragraphs 11 and 12 shall not be deemed to include any side-tracking or otheroperation with respect to the initial unit well and shall not be deemed to be any well that isdrilled as a replacement or substitute well for the initial unit well or any subsequent well coveredhereby, by virtue of any mechanical or other problems arising directly in connection with thedrilling, completing, equipping or producing of the initial unit well or any subsequent well andno party subject to this Order shall have the right to make any subsequent elections as to anysuch side-tracking, replacement or substitute well.
11. Election on Subsequent Operations: In the event Newfield ExplorationMid-Continent Inc. ("Newfield") proposes the drilling of a subsequent well or wells it shallnotify those owners who elected to participate in the initial well targeting the particular commonsource of supply drilled hereunder of its intent to drill a subsequent well or wells and said ownerswill have 20 days from the date of receipt of said notice to elect whether to participate in saidsubsequent well or wells. The notice provided by Newfield shall include the estimated dry holecosts and estimated completed well costs of the subsequent well or wells and owners electing toparticipate must pay, or make satisfactory arrangements with Newfield to secure the payment, oftheir proportionate share of said complete well costs within 25 days from the date of receipt ofnotice from Newfield. Those owners failing to elect within the period provided or those ownerselecting to participate but failing to pay within the period provided shall be deemed to haveelected not to participate in the subsequent well or wells and shall thereafter receive the highestcash option and lowest net revenue interest set forth in paragraph 7 above for which said ownerqualifies for all subsequent well or wells, provided if because of burdens such owner's interest

does not qualify for a cash option, then such owner shall be deemed to have accepted the no cashoption provided in paragraph 7.6 above. Anytime an owner elects or is deemed to have electednot to participate in a subsequent well or wells targeting a particular common source of supply,then that owner shall not be allowed to participate in future wells targeting that particularcommon source of supply. Newfield shall commence the subsequent well or wells within 180days of the proposal for same or the proposal shall expire. That the Oklahoma CorporationCommission shall retain jurisdiction over the drilling and completion costs proposed byNewfield for subsequent wells. Any well proposal made under this provision shall expire after180 days if no well has been commenced. If no well has commenced under said well proposal,all parties shall be restored to their status prior to proposing the subsequent well or wells.
12. Operator Lien: That Operator, in addition to any other rights providedherein, should have a lien, as set out in 52 0.S., Section 87.1(e)(2001), on the interest of anyowner, subject to this Order, who has elected to participate in the well covered hereby by payingsuch owner's proportionate part of the costs thereof.
13. Special Finding:
13.1 Notice has been given by publication as required by CommissionRules and Affidavits of Publication have been filed. Those owners whose names and addresseswere attainable have been given actual notice by mail. An adjudicative inquiry was conductedby the Administrative Law Judge into the sufficiency of the search to ascertain the names andaddresses of all owners and if a diligent effort had been made to locate all affected interestowners. Applicant has made a meaningful and diligent search of all reasonably available sourcesat hand to ascertain those parties that are entitled to notice and the whereabouts of those entitledto notice but who were served only by publication. The Commission finds the process to beproper and has jurisdiction over the subject matter and the parties. That a bona fide effort wasmade to reach an agreement with each respondent and that the Applicant has not agreed with allsuch respondents in such drilling and spacing unit to pool their interest and to develop thedrilling and spacing unit common sources of supply as a unit; that the Applicant has proposed thedrilling of a well on said unit and to develop said common sources of supply; that the Operator,hereinabove named, is an owner of the right to drill on said drilling and spacing unit and todevelop and produce said common sources of supply.
13.2 Once a respondent elects or is deemed to have elected not toparticipate in a particular targeted common source of supply that respondent shall receive thesame royalty option when electing or deemed out of the other targeted common source of supply.
13.3 Prior to the payment of bonus consideration and/or royaltyconsideration to a Respondent by Applicant, said Respondent must complete and furnish toApplicant a Federal Form W-9. The form being required is for federal tax purposes. ARespondent who does not provide the Applicant with a Federal Form W-9, shall not be entitledto payment by Applicant until such time as the appropriate Federal Form W-9 has beenfurnished.
14. Filing of Affidavit: That the Applicant or its Attorney shall file with theSecretary of the Commission, within 10 days from the date of this Order, an Affidavit stating that

a copy of said Order was mailed within 3 days from the date of this Order to all parties pooled bythis Order, whose addresses are known.
15. Commencement of Operations: That Operator shall commence operationsfor the drilling or other operations with respect to the unit covered hereby within one year fromthe date of this Order and shall diligently prosecute the same to completion in a reasonablyprudent manner, or this Order shall be of no force and effect, except as to the payment of bonus.If any payment of bonus due and owing under this Order cannot be made because the personentitled thereto cannot be located or is unknown, then said bonus shall be paid into an escrowaccount within 90 days after this Order and shall not be commingled with any funds of theApplicant or Operator. Any royalty payments or other payments due to such person shall be paidinto an escrow account by the holder of such funds. Responsibility for filing reports with theCommission as required by law and Commission rule as to bonus, royalty or other paymentsdeposited into escrow accounts shall be with the applicable holder. Such funds deposited in saidescrow accounts shall be held for the exclusive use of, and sole benefit of, the person entitledthereto. It shall be the responsibility of the Operator to notify all other holders of this provisionand of the Commission rules regarding the unclaimed monies under pooling orders.
16. Conclusion: The relief requested is necessary to prevent or to assist inpreventing the various types of waste of oil or gas prohibited by statute, or any of said wastes,and to protect or assist in protecting the correlative rights of interested parties. Such requestedrelief, as set forth above, should be granted and IT IS SO ORDERED.
