merger between Union Bank & Trust and Xenith Bank was complete, creating a Virginia-based regional

that will include specific information on changes to your account and help answer commonly asked

Line of Credit Sweep

A Line of Credit Sweep facilitates the transfer of funds between a line of credit and an operating account to reduce credit line balances and lower interest expense. With a Line of Credit Sweep, you can efficiently maximize your investment earnings and avoid overdrafts and over-funding accounts.

Maximum Investment Sweep

All cash above a predetermined amount in your checking account is automatically swept at the end of each business day and invested into an FDIC-Insured Maximum Sweep Investment Account (up to the applicable FDIC limits). The monthly Sweep fee for converted accounts will remain unchanged.

Send large files with needed information from one destination to another in a secure, convenient, usable file format with needed additional information.

Account Reconciliation

This service allows you to balance the bank’s activity with your accounting programs for fast, easy reconciliation.

Your options include Full Account Reconciliation, Deposit Account Reconciliation and Partial Account Reconciliation.

Positive Pay

Positive Pay is a fraud prevention feature that enables you and your business to detect counterfeit items, including items with duplicate serial numbers, voided checks presented for payment, and checks with altered amounts and payees.

We offer various Positive Pay options, including Standard Positive Pay, Payee Positive Pay, Reverse Positive Pay and ACH Positive Pay.

Remote Deposit

Deposit check payments electronically without leaving your office. Remote Deposit is quick, easy and secure and gives you earlier access to your money.

ACH Debit Block

With ACH Debit Block and Filters, you can allow some companies to post authorized debits to your account while automatically blocking others. Or, you can block all ACH debits if you wish. It’s your choice on how you limit the ACH activity on your account.

Online Bill Pay

Never be late paying the company’s bills. Schedule bill payments weeks or even months in advance. Set up recurring payments for fixed costs that have to be paid each month. And, of course, pay bills anytime as needed.

BUSINESS eBANKING

HOW TO LOG IN TO YOUR NEW BUSINESS ONLINE BANKING ACCOUNT STARTING MAY 29TH

1Go to BankatUnion.com. In the LOGIN box, select “Business Banking” and click “LOG IN.” Follow prompts that indicate that former Xenith customers should log in to Business eBanking.

2Enter your Company ID (look for this in the mail) and User ID, and click “Continue.”

3You will then be asked to verify your identity by requesting a one-time security code by text message or phone call.

4After verifying your identity with the one-time security code, you will need to enter your new password, which will be mailed to you prior to the preview period.

I am currently a Xenith Business Online Banking customer. Will I need to sign up or reenroll?

No. You will be automatically enrolled in Business eBanking. You will receive personalized communications with specific instructions on how to log in.

Will my username change?

Most customers will continue to use their existing username. Only a few customers will be impacted. In those cases, a separate correspondence will be sent with details.

Will I have access to my transaction history?

Yes. Your last 90 days will be available.

Will I be able to access my previous statements online?

You can continue to receive your statements online. Simply enroll in eStatements within eBanking. If you need additional statements, please contact us.

I currently use Online Bill Pay. Will my payees transfer?

Yes, payees will be transferred over and available to pay.

Will all previously scheduled bill payments be transferred?

Yes. All scheduled bill payments will be transferred.

Will there be any disruption to my scheduled online bill payments?

All previously scheduled payments will be made as you instructed. Beginning May 24th, you will no longer have access to your existing Xenith Bill Pay. You can begin to schedule new bill payments beginning Tuesday, May 29th in Business eBanking.

Will I be able to see the bill payments history within the new Online Banking? And for how long?

Yes. You will be able to see six months of previous bill payments.

Will the system send me a notification for incoming wires?

Yes, available alerts include incoming wire notifications.

I currently use Business Mobile Banking. Will I need to download a new app?

Yes, you will need to download the Union Bank & Trust Business eBanking mobile app beginning May 29th.

What can I do within the new mobile banking application?

You can view your accounts, approve wires and ACH transactions, deposit checks, and make a decision for Positive Pay exception items.

Deposit Account Information

Will there be changes to my account?

There may be some changes to the terms and conditions of your account. Your account was carefully reviewed and matched to the new account it most closely resembled. If your commercial account is billed via account analysis, you should be aware that the bank will be converting to a new platform effective with your June billing period. This will not impact your fee structure; however, your statement may look different to you. Please read the Deposit Account Products section in this guide and the Important Account Information book to learn more about the products that have changed.

How will my transactions be posted?

ATM and debit card transactions will be posted in order of the date and time on which they occurred, if known, and before any checks written by you. Certain other non-check transactions such as fees will be posted in order of dollar amount, from highest to lowest. Checks will be paid in order of check number. Please see the Important Account Information book for more details.

Will my account numbers change?

In a few cases, there will be account number changes. If you are impacted, you will receive a separate correspondence with your old and new account numbers. However, the bank routing number will change for all customer accounts, and we highly recommend you contact any direct deposit originator (e.g., your payroll department) and any merchant or service providers (for other automatic transactions) after May 15th in order to switch your direct deposit, auto debit and eBill pay accounts to reflect the new number.

Will I need to replace my checks, and if so, will I be charged?

Unless you are notified otherwise, you may continue to use your Xenith Bank checks as you do today. If you are receiving a new account number, we will provide an initial order of checks at no cost. At your next reorder of checks, please use routing number 051403164.

What do I need to do to ensure that my direct deposit and automatic drafts continue?

You will need to notify each originator (e.g., your payroll department for direct deposits) of your new Union routing number (shown above) and account number after May 15th. The new routing

number will be 051403164. We will also send an automated notice of change to your ACH originators on your behalf.

Will I get a final statement from Xenith?

The bank will maintain your statement history. Customers with checking, savings and/or money market accounts will receive a special statement by mail reflecting their transactions and posted interest through May 25th. If you currently receive paperless statements, you will need to reenroll.

Treasury Services

How will my Treasury Services be impacted?

As part of your conversion, you will enjoy a new and enhanced online banking service called Business eBanking, which will provide a broadened suite of capabilities and functionality. Greater detail is provided in the Business eBanking section of this customer guidebook. Additional details will be available at BankatUnion.com/Welcome. Your other Treasury Services should remain generally unchanged.

What Positive Pay services will be covered within the new Business eBanking?

As part of the new online banking platform, you will have access to a complete array of Positive Pay capabilities, including Traditional Positive Pay, Payee Positive Pay, Reverse Positive Pay, ACH Positive Pay and Teller Positive Pay.

Can I continue to use my current token?

If you currently use ACH and wire services, you will receive a new hard token in the mail. Your existing token can no longer be used after May 25th.

Will I be able to keep my current Remote Deposit scanner(s), or will I need to replace it?

Yes, you can continue using the scanner(s) that you have. However, you will need to install a new software driver. More information will be provided at a later date.

I am enrolled in the ResubmitIt® service for returned deposited items. Will that continue?

No, it will be discontinued. We automatically resubmit any returned deposited items of $100 or less at no charge to our clients.

Download the Union Mobile App The Union Bank & Trust

Business mobile application is available beginning May 29th

on iPhone, iPad, Android Phone, Android Tablet and Kindle Tablet. Visit your app store (Apple App Store, Google Play, or Amazon Appstore) to download it.

Set up eBillseBills will not transfer, so you will need to set up eBills along with any associated payment preferences.

Set up text and email alerts

Reestablish ACH payments and wiresWire and ACH templates will be transferred. However, you will need to reestablish your scheduled wires and reccurring ACH payments and wires.

Reconnect to Quicken® or QuickBooks®

No history will be lost. Instructions will be provided on our website and within Quicken or QuickBooks.

Update your wire instructionsYou will need to update your outgoing wire instructions after May 15th with the new routing and transit number (051403164). We will continue to accept incoming wires with the existing routing and transit number.

Reenroll in eStatements

Reestablish recurring transfersYou will need to reestablish scheduled and recurring internal and external transfers.

Upgrade Remote Deposit driver softwareYou will receive additional information prior to conversion.

Update Positive Pay Default DecisionThe default decision for all Positive Pay exception items is “Pay.” Contact us if you need to change it for your company to

“Don’t Pay.”

TRANSITION CHECKLISTHere are the steps you need to take to prepare for the changes ahead.

I am currently enrolled in Redeposit. Will this service continue?

No. We automatically redeposit any returned deposited items of $100 or less at no charge to you.

Will the way I process my merchant credit card and debit card transactions change?

No, any updates will be automatically handled for you.

Business LoansWill there be any changes to my current loan or line of credit?

There will be no changes to your account terms. Customers may expect to receive their loan statement around the same time.

Will my loan or line of credit account number change?

In a few cases, there will be account number changes. If impacted, you will receive a separate correspondence with your old and new account numbers.

Where do I mail payments?

For Online Bill Pay, please remember to update any auto-payments that are mailed to the bank to reflect this address.

Will I still be able to use my existing Xenith credit card?

Yes, you can continue to use your Xenith credit card until you receive and activate your new

Union Bank & Trust credit card in July.

Debit and ATM Cards

Can I continue to use my existing Xenith debit card?

Yes, you can continue to use your Xenith debit card until you receive and activate your new Union Bank & Trust debit card in July.

Will the daily purchase and withdrawal limits change?

Please refer to the Important Account Information book.

FDIC Insurance Information

What happens to my FDIC coverage if I have deposits at both Union and Xenith?

Both Union Bank & Trust and Xenith Bank are federally insured banks. Currently, the standard deposit insurance amount is $250,000 per depositor, per insured bank. Any deposits you have at Xenith Bank will be combined with any deposits you have at Union Bank & Trust. This combined balance will determine whether you have exceeded the FDIC insurance limit.

Certificates of Deposit (CDs) opened at Xenith Bank will be separately insured until the earliest maturity date and will be renewed to a product offered at Union Bank & Trust.

Effective January 1, 2018, Xenith Bank merged with Union Bank & Trust.  Xenith branches throughout Virginia and Maryland will operate as Union Bank & Trust as of May 28, 2018. All locations in North Carolina will continue to operate as Xenith Bank, a division of Union Bank & Trust of Richmond, VA.
