Business Formation and Succession Planning

We work with entrepreneurs to select the appropriate legal entity for their business, draft governance documents and file the required federal, state, and local registrations. We also assist owners in structuring the sale of their businesses to third parties.

Employee Relations

Hiring employees for the first time is a complicated task. Immigration, tax law and employer liability are a few of the issues that arise when hiring new staff. Capital Area Law Group provides employment law advice and drafts independent contractor/employee agreements, advises employers regarding liability for employees’ actions and prepares staff policies and procedures manuals.

Contract Drafting, Review, and Negotiation

Our attorneys draft agreement templates that can be re-used by clients in related transactions, saving businesses significant time and money. We also draft and negotiate custom agreements for a variety of unique transactions including, NDAs, commercial property leases and third-party vendor agreements.

Permits and Licensing

Running any business requires compliance with a host of federal, state, and local requirements. We work with business owners to ensure that their business remains in good standing by obtaining permits and licenses and filing required documentation on time.

The entrepreneur is our visionary, the creator in each of us. They see opportunities everywhere they look where others only see problems. The entrepreneur is more concerned with discriminating between opportunities than he or she is with failing to see opportunities.

Business Financing

Businesses often require additional capital to operate and expand. Capital Area Law Group works closely with its clients to structure debt and equity financing in a manner that protects the company and reduces an owner’s exposure to business risks.

General Counsel Services

Whether you own a start-up technology company, a national restaurant chain or a construction business, there are on-going legal services your business needs. We provide our clients with tailored and affordable legal solutions to meet these everyday needs, ranging from unlimited telephone consultation to having dedicated attorneys work as trusted partners for their business.

Intellectual Property Management

Copyrights, trademarks, trade secrets and patents are some of the most valuable assets a business owns. We work with our clients to register intellectual property and provide guidance on how to protect this important property.

“The essence of a successful business is really quite simple. It is your ability to offer a product or service that people will pay for at a price sufficiently above your costs, ideally three or four or five times your cost…”—Brian Tracy

Minority/Women Owned Business Services

There are a number of unique opportunities available to minority and women-owned businesses under state and federal law. The attorneys at Capital Area Law Group provide guidance to these businesses on the federal 8(a) certification process as well as state MBE/DBE programs.
