Con fecha 18 de diciembre de 2015 en el Registro Oficial
no.652, se publicó la LEY ORGANICA DE INCENTIVOS PARA
ASOCIACIONES PUBLICO-PRIVADAS Y LA INVERSIÓN EXTRAN-
JERA, la que, en su art. 22 incorporó la remisión
de intereses, multas y recargos sobre obligacio-
nes patronales impagas al Instituto Ecuatoriano
de Seguridad Social (IESS).
El 22 del mismo mes, el Consejo Directivo del
IESS, mediante Resolución no. C.D.506, dictó el
Reglamento para la Aplicación de la Remisión de
Intereses, Multas y Recargos de Obligaciones En
Mora.- La ley y el Reglamento mencionados, apli-
can para cualquier obligación patronal impaga,
exceptuando fondos de reserva, préstamos qui-
rografarios, préstamos prendarios y préstamos hipotecarios.
Indica el Reglamento que para la remisión de intereses den-
tro del plazo de 90 días contados a partir de la fecha de publi-
cación de la ley, es decir, hasta el 17 de marzo de 2016, co-
rresponderá al 99%, debiendo el empleador pagar únicamen-
te el 1% de los intereses causados. Si el pago se realiza a par-
tir del 18 de marzo hasta el 16 de mayo de 2016, solo aplica-
rá el 50% de rebaja en los intereses generados. Por otro lado,
respecto de las multas y recargos de obligaciones patronales
canceladas en estos períodos, se aplicará la misma tabla.
Todos los empleadores en mora, así hubieran suscrito conve-
nios de pago o estos se encuentren vencidos, podrán acoger-
se a este beneficio de remisión, siendo que el deudor deberá
renunciar expresamente a cualesquier reclamo administrati-
vo que hubiere realizado impugnando glosas, conceptos o
cantidades.- Adicionalmente, si acaso el reclamo se encuen-
tra judicializado, deberá desistir expresamente a tal procedi-
miento.- Está contemplado que el empleador que se acoja a
este incentivo, no podrá presentar luego ninguna acción ad-
ministrativa o judicial por estos conceptos.- Es importante
comentar que para acceder a este procedimiento de remisión
no se requiere iniciar trámite judicial alguno, es un trámite
netamente administrativo debidamente reglado por el IESS
como ente recaudador.
Para terminar, la Ley referida, en cuanto a la remisión de
intereses, multas y recargos para con el IESS, tiene una vi-
gencia hasta el 16 de mayo de 2016, plazo después del cual
se entiende que el IESS retomará todos los procesos coacti-
vos incoados antes del 18 de diciembre de 2015 e iniciará
nuevos contra los empleadores que no se acogieron al bene-
ficio materia de este comentario.
On December 18, 2015, the Incentives for Public-Private
Partnerships and Foreign Investment Act was published in
the Official Gazette No. 652, which incorporated in the art.
22 the Remission of Interest, Penalties and Sur-
charges of the employer obligations in debt
with the Ecuadorian Social Security Institute
(IESS).
On December 22, 2015 the Directors of the
Ecuadorian Social Security Institute, through the
Resolution no. C.D.506, issued the Regulations
for the Implementation of the Remission of In-
terest, Penalties and Surcharges of the employer
obligations in debt. The mentioned law and
regulation apply to any unpaid employer's
obligation, except those related to reserve funds, unse-
cured loans, secured loans and mortgage loans.
The Regulation states that for the remission of interest within 90 days from the date of publication of the law, that is, until March 17, 2016, it will be up to 99%, making the employers pay only 1% of the accrued interest. If payment is made from March, 18 to May 16, 2016, it will only apply 50% discount on the generated interest. On the other hand, in respect of fines and surcharges of the employer obligations canceled in these periods, the same table will be applied. All employers in arrears, even if they have signed agree-ments to pay or these are overcome, will be eligible for this benefit of remission, being that the debtor must ex-pressly waive to any administrative claim that he had in-curred , challenging glosses, concepts or quantities. Addi-tionally, in case the claim is in the courts, the debtor must explicitly desist from the procedure. It is contemplated that an employer who welcomes this incentive, can`t then submit any administrative or judicial action for these con-cepts. It is important to note that to access this referral procedure it is not required to initiate any legal proceed-ings, it is a purely administrative procedure properly regu-lated by the IESS as collecting agency. Finally, regarding the remission of interest, penalties and surcharges to the IESS, the abovementioned Law is valid until May 16, 2016, after which term is meant that the IESS will resume all coercive processes initiated before Decem-ber 18, 2015 and initiate new processes against employers who did not accept the benefit of this legislation.

LEY ORGÁNICA DE INCENTIVOS PARA ASOCIACIONES
PÚBLICO PRIVADAS Y LA INVERSION EXTRANJERA
INCENTIVES FOR PUBLIC-PRIVATE PARTNERSHIPS AND
FOREIGN INVESTMENT ACT
Mediante el Decreto Ejecutivo no. 858, publicado
en el Suplemento del Registro Oficial 679 de 28–
enero-2016, se establecen los días de descanso
obligatorio del sector público del año 2016 al
2020.
En el presente año, son días de descanso recupera-
ble los siguientes: 8 y 9 de febrero por la festividad
de carnaval, estos días se recuperarán el día sába-
do o sábados subsiguientes al día de descanso.
Asimismo, se trasladan los siguientes días de des-
canso obligatorio: el 24 de mayo al 27 de mayo y
el 10 de agosto al 12 de agosto.
El Decreto a su vez declara en el artículo 3, un
puente vacacional en el sector público el 4 de no-
viembre por el puente del día de difuntos e inde-
pendencia de Cuenca.
Las celebraciones, sesiones y ceremonias cívicas
educativas, religiosas o militares que correspondan
a los días 24 de mayo, 10 de agosto y 9 de octubre
deberán realizarse obligatoriamente en la misma
fecha y día del aniversario. Además, son días de
descanso obligatorio en el sector público única y
exclusivamente en su circunscripción territorial,
por la creación de cada cantón, las fechas estable-
cidas en la Ley Orgánica del Servicio Público.
El sector privado podrá acogerse a las jornadas de
descanso señaladas en este Decreto Ejecutivo si así
lo estableciere .
The Executive Decree no. 858, published in the
Supplement to the Official Gazette 679 on Janu-
ary, 2016, establishes mandatory holidays for
the public sector from 2016 to 2020.
In the present year, these are the recoverable
holidays: February 8 and 9 for the carnival festi-
val, these days will be recovered on the subse-
quent Saturdays to the holiday.
Likewise the following mandatory holidays are
moved: May 24 to May 27 and August 10 to Au-
gust 12.
The Decree also declares in its Article 3, a holiday
bridge in the public sector on November 4 be-
cause of the bridge between the day of the dead
and the independence of Cuenca.
The celebrations, meetings and educational, reli-
gious or military civic ceremonies corresponding
to May 24, August 10 and October 9 must nec-
essarily be conducted on the same date of the
anniversary. They are also mandatory holidays in
the public sector exclusively the dates in their
territorial district, for the creation of each can-
ton, established in the Organic Law of Public Ser-
vice.
The private sector could also take the holidays
mentioned in the Executive Decree by its own
decision.

DÍAS DE DESCANSO DEL SECTOR PÚBLICO PUBLIC SECTOR MANDATORY HOLIDAYS
Por Acuerdo No. 10 del Ministerio de Salud Pública
(MSP), publicado en el Registro Oficial 674 de 21–
enero-2016, se instaura el Certificado Único de Salud,
como único documento que certifica que el usuario en
el momento que se realiza el examen médico, se en-
cuentra en condiciones estables de salud.
El certificado será gratuito y se expedirá en los estable-
cimientos de salud de la Red Pública Integral de Salud.
Además el Certificado Único de Salud reemplazará en la
legislación sanitaria expedida por el MSP, al
“Certificado de Salud" y al "Certificado Ocupacional de
Salud"
En el plazo de sesenta (60) días contados a partir del 21
de enero, los establecimientos de salud de la Red Públi-
ca Integral de Salud, implementarán los procesos nece-
sarios para la expedición del Certificado Único de Salud,
y su ejecución estará a cargo de la Subsecretaría Nacio-
nal de Provisión de Servicios de Salud a través de la Di-
rección Nacional de Primer Nivel de Atención y sus ni-
veles desconcentrados y la Dirección Nacional de Arti-
culación de la Red Pública y Complementaria de Salud.
By Agreement No. 10 of the Ministry of Public Health
(MSP), published in the Official Gazette 674 of Janu-
ary 21, 2016, the Unified Health Certificate is estab-
lished as the only document that certifies that the
user is in stable health conditions at the moment
when the medical examination is performed.
The certificate shall be issued free of charge in the
health facilities of the Public Health Network. Besides
the Unified Health Certificate will replace in the
health legislation issued by the MSP, the "Health Cer-
tificate" and the "Occupational Health Certificate"
Within sixty (60) days from January 21, the health
facilities of the Public Health Network, will imple-
ment the processes required for the issue of the Uni-
fied Health Certificate, its execution will be responsi-
bility of the Undersecretary of National Health Ser-
vice Delivery through the National First Level of Care
and its decentralized levels and the National Coordi-
nation of Public Health and Complementary Network.

CERTIFICADO ÚNICO DE SALUD UNIFIED HEALTH CERTIFICATE
On January 28, 2016, the National Assembly accepted
the 11 observations made by the Executive to the
draft Organic Law for the National Management of
Identity and Civil Data, which aims to ensure the right
to identity of individuals and regulate the manage-
ment and registration of deeds and acts relating to
the civil status of persons and their identification.
The law determines that to register a person the fol-
lowing information must be recorded: date and place
of birth, unique assigned identification number,
place of birth, date of birth, names of the born or
born alive, sex, names, nationality and identity card
number of the father and mother or of only one of
them as appropriate, biometric data capture, sur-
name, first name, nationality and identity card num-
ber of the applicant; signature of the competent au-
thority; or signature of the applicants for the registra-
tion.
Besides, the legal body covers topics such as adop-
tion, content of the identity card, recognition of chil-
dren, marriages, unions, among others.
The project has 103 articles, two general provisions,
two reformatories, six transitories, a derogatory, two
finals and a final article.
In accordance with the constitutional and legal regu-
lations in force, the project will be forwarded to the
Official Gazette for publication, and with that it will
take effect.

NATIONAL MANAGEMENT OF IDENTITY AND
CIVIL DATA ACT
El 28 de enero del presente año, el Pleno de la Asam-
blea Nacional se allanó a las 11 observaciones formula-
das por el Ejecutivo al proyecto de Ley Orgánica de
Gestión de la Identidad y Datos Civiles que tiene por
objetivo garantizar el derecho a la identidad de las per-
sonas y normar y regular la gestión y el registro de los
hechos y actos relativos al estado civil de las personas y
su identificación.
La Ley determina que al inscribir a una persona se de-
ben registrar los siguientes datos: lugar y fecha de naci-
miento, número único de identificación asignado, lugar
donde ocurrió el nacimiento, fecha de nacimiento,
nombres y apellidos de la nacida o nacido vivo, sexo,
nombres y apellidos, nacionalidad y número de cédula
de identidad del padre y de la madre o de solo uno de
ellos según el caso, captura de los datos biométricos,
apellidos, nombres, nacionalidad y número de cédula
de identidad del solicitante; firma de la autoridad com-
petente; firma del o los solicitantes de la inscripción.
Además el cuerpo legal trata temas como adopciones,
contenido de la cédula de identidad, reconocimiento
de hijos, matrimonios, uniones de hecho, entre otros.
El proyecto tiene 103 artículos, dos disposiciones gene-
rales, dos reformatorias, seis transitorias, una deroga-
toria, dos finales y un artículo final.
De conformidad con la normativa constitucional y legal
vigente, el proyecto será remitido al Registro Oficial
para su publicación, con lo que entrará en vigencia.

Leyes Aprobadas Laws Passed
On January 26, 2016, the National Assembly, closed
the first debate of the bill to prevent circumvention
of the Income Tax on Inheritance and Donations Leg-
acies , in which the need to cut the inequality gaps
was noted, in the debate it was clearly stated that
this tax is in force since 1927, therefore, no tax table
changes will be done and the participants agreed
that tax culture must be daily between the Ecuadori-
an citizens.
It was said that the funds raised by the tax inher-
itances and legacies donations will be used in a schol-
arship fund for the poorest quintiles, especially mem-
bers of communities and indigenous nationalities,
Afro-Ecuadorian people, montubios, migrants and
children of single mothers.
The first Vice President of the National Assembly,
Rosana Alvarado, confirmed that the legislation does
not create new taxes, that the table will be the same
and that the Assembly is trying to solve the problem
of circumvention. There are more than 1,600 trusts
she said. It is true that the amount of money for this
tax won’t be much, but the sense is to support edu-
cation through scholarships for those who have less.

El 26 de enero de 2016, la Asamblea Nacional cerró el
primer debate del proyecto de Ley para evitar la Elu-
sión del Impuesto a la Renta sobre Herencias Legados y
Donaciones, en el que se resaltó la necesidad de recor-
tar las brechas de desigualdad, se dejó constancia que
este impuesto está vigente desde 1927, por tanto, no
se modifica la tabla del impuesto y se impulsa la cultura
tributaria que debe ser cotidiana entre ecuatorianos.
Se precisó que los fondos que se recauden por el im-
puesto a las herencias legados y donaciones se utilizará
en un fondo de becas para los quintiles más pobres so-
bre todo a miembros de comunidades y nacionalidades
indígenas, pueblo afroecuatoriano, montubios, migran-
tes e hijos de madres jefas de hogar.
La primera Vicepresidenta de la Asamblea Nacional,
Rosana Alvarado, ratificó que la normativa no crea nue-
vos impuestos, la tabla se mantiene y se busca solucio-
nar el problema de elusión. Hay más de 1.600 fideico-
misos dijo. Cierto es que no se recaudará mucho por
concepto de este tributo, pero el sentido es apoyar a la
educación mediante becas para quienes menos tienen.

INSTRUCTIVO DE SISTEMAS PARA LA CONSULTA DE RUC
Mediante la Resolución 973 del Servicio Nacional
de Aduanas del Ecuador—SENAE, publicada en el
Registro Oficial 661 de 4-enero-2016, se expide el
Instructivo de Sistemas para la Consulta del RUC
que será publicado en la Página Web del SENAE y
de cuya formalización se encargará la Dirección de
Secretaría General del Servicio Nacional de Aduana
del Ecuador.
La presente Resolución entró en vigencia a partir
de su suscripción, sin perjuicio de su publicación
en el Registro Oficial.

Mediante la Resolución no. 10 del Servicio de Ren-
tas Internas (SRI), publicada en el Registro Oficial
672 de 19-enero-2016, se resuelve expedir las nor-
mas para el pago de obligaciones tributarias y fis-
cales administradas por el SRI mediante Títulos del
Banco Central (TBC).
Los sujetos pasivos que sean titulares de TBC po-
drán: 1)consignar el valor a utilizarse en el formu-
lario de declaración de impuestos, en el campo
que permite el pago con estos títulos, o 2) Realizar
una liquidación de obligaciones con la institución
pública pagadora y el SRI. Estos procesos de pago
se efectuarán a valor nominal.
Entre las normas constan los requisitos para la ha-
bilitación del TBC, los pasos para consignar lo TBC
y el pago mediante liquidación de obligaciones.

SYSTEM´S INSTRUCTIVE FOR THE RUC CONSULTATION
Resolution No. 2973 of the National Customs Ser-
vice of Ecuador-SENAE, , published in Official Ga-
zette 661 on January 4, 2016, issues the System’s
Instructive for the RUC Consultation, which will be
published on the SENAE Website and whose for-
malization will be responsibility of the Directorate
General Secretariat of the National Customs Ser-
vice of Ecuador.
This resolution came into force from its subscrip-
tion, without prejudice to its publication in the Of-
ficial Gazette.

Resolution no. 10 of the Internal Rents Service
(SRI), published in Official Gazette 672 on January
19, 2015, resolves to issue the regulations for the
payment of tax and fiscal obligations administered
by the SRI through Central Bank Securities (TBC).
Taxpayers who hold TBCs may: 1) consign the va-
lue to be used in the tax declaration form, in the
field that allows the payment of these securities,
or 2) Perform a settlement of obligations with the
payin public institution and the SRI. These pay-
ment processes are carried out at nominal value.
Among the rules are the requirements for enabling
the TBC, the steps to consign the TBC and the pay-
ment through the settlement of obligations .

El 28 de diciembre del 2015, el Presidente de la Republi-
ca expidió el Decreto Ejecutivo No. 852/2015,
mediante el cual reformó el Reglamento a la
Ley de Pesca y Desarrollo Pesquero. El sector
pesquero y acuícola representan el segundo y
tercer rubro de exportaciones no petroleras
del país, respectivamente, significando más
de USD 4.500 millones en ingreso de divisas,
por lo que las modificaciones al marco jurídico
que regula estas actividades y como las afecta
o beneficia, son de trascendental importancia para el
Ecuador.
A continuación analizaremos las reformas que guardan
relación con la actividad pesquera, y posteriormente las
relativas al sector acuicultor.
Las reformas en materia de pesca se encuentran princi-
palmente encaminadas a regular de forma más coheren-
te y clara la aplicación del régimen administrativo san-
cionatorio contenido en la Ley de Pesca y Desarrollo
Pesquero, promulgada en el año 1977, es decir antes de
que la suscripción de la Convención del Mar
(CONVEMAR) y del resto de tratados internacionales
referentes a la pesca ilegal, no reglamenta y no declara-
da (INDNR), por lo que era fundamental actualizar cier-
tos criterios de proporcionalidad, en armonía con las
normas internacionales vigentes, de tal forma que se
consiga desalentar la pesca INDNR.
Una inclusión relevante en el ámbito de aplicación, es
que comprende las infracciones realizadas, tanto dentro
del territorio nacional, incluyendo el mar territorial, zo-
na económica exclusiva, zona adyacente, por embarca-
ciones nacionales, extranjeras o apátridas; como las co-
metidas en alta mar por embarcaciones de bandera na-
cional, o por capitán o tripulación.
Entre las sanciones que contempla la Ley, y la más gra-
vosa se considera la suspensión de la actividad pesque-
ra, por los altos costos que representa para una embar-
cación pesquera la imposibilidad de realizar faenas de
pesca.
On December 28, 2015, the President of the Republic
issued the Executive Decree No. 852/2015,
by which the Regulations to the Fisheries
Act and Fisheries Development were re-
formed. The fisheries and aquaculture sec-
tors are the second and third largest non-
oil exports, respectively, meaning more
than USD 4,500 millions in foreign ex-
change earnings, so that modifications to
the legal framework governing these ac-
tivities and how it affects or benefits them, are very
important for Ecuador.
In this article, we will discuss reforms related to fish-
eries, and subsequently on the aquaculture sector.
The reforms on fisheries are mainly aimed at regu-
lating more consistently and clearly the application of
the administrative system of sanctions contained in
the Fisheries Act and Fisheries Development, promul-
gated in 1977, i.e. before the signing of the Conven-
tion on the Law of the Sea (UNCLOS) and the other
international treaties related to illegal, unreported
and unregulated fishing (IUU), which was crucial to
update certain criteria of proportionality, in line with
existing international standards, so that get discour-
age IUU fishing, so it was crucial to update certain
criteria of proportionality, in line with existing inter-
national standards, so as to discourage IUU fishing.
An important thing in this reform is that it comprises
infringements made within the national territory,
including the territorial sea, the exclusive economic
zone, adjacent area, national, foreign or stateless
vessels; such as, those infringements committed on
the high seas by vessels of national flag, or by a cap-
tain or crew.
In the sanctions prescribed by the law, the suspen-
sion of the fishing activity is considered the most on-
erous one, because of the high costs that the impos-
sibility of fishing operations means for a fishing
vessel.

El Reglamento contempla una división de los infractores,
en pescadores artesanales, industriales, entre otros. Asi-
mismo, las embarcaciones de mayor tonelaje, son san-
cionadas con más de días de suspensión, debido a la
potencialidad de afectar al recurso pesquero de forma
más agresiva.
El régimen sancionatorio tiene como propósito desalen-
tar la pesca ilegal, no reglamentada y no declarada, con-
ceptos reconocidos internacionalmente, que hasta la
fecha no habían sido acogidos expresamente en el país.
También se incluyó la obligación de todas las embarca-
ciones pesqueras nacionales y extranjeras, de contar
con un sistema de monitoreo, el cual será controlado
por la Subsecretaria de Recursos Pesqueros.
Además se incorporó dentro de las fases de la actividad
pesquera al transporte, y la necesidad de que los tras-
bordos de embarcaciones pesqueras se realicen en
puertos autorizados o en alta mar, siempre que la Orga-
nización Regional de Ordenamiento Pesquero (OROP) de
la que sea parte el Ecuador lo permita.
Respecto a la acuacultura, como introducción, debemos
señalar el hecho de que el 30% de las 210.000 hectáreas
actualmente en explotación, corresponde a zonas de
playa y bahía. Las zonas de playa se consideran bienes
nacionales de uso público, cuyo aprovechamiento por
parte de los particulares se otorga vía concesiones.
Desde el inicio de la actividad acuícola en los años 80´s,
las áreas de concesiones de zona de playa se encontra-
ban limitadas a una superficie de 50 hectáreas para per-
sonas naturales, y 250 hectáreas para personas jurídicas.
El espíritu de la norma en su momento fue tratar que el
área disponible fuera distribuida entre la mayor canti-
dad de personas posibles. Lastimosamente fincas acuí-
colas con estas dimensiones, no permiten llegar a volú-
menes necesarios para desarrollar economías de escala
que incrementen la productividad, justifique inversiones
en investigación, para poder competir con países pro-
ductores que no tienes estos limitantes, como es el caso
de los países asiáticos, que tienen mayores extensiones
y un costo de mano de obra mucho menor.
The Regulation provides a division of offenders, in

sources was included.
Also, the transportation was included within the
phases of fisheries, and the requirement that fish-
ing vessels transfers have to be realized in author-
ized ports or at high seas, always with the permis-
sion of the Regional Fisheries Management Organi-
sation (RFMO) of which Ecuador is part of.
Regarding to the aquaculture, as an introduction,
we must note the fact that 30% of the 210,000
hectares currently in operation, corresponds to
beach and bay areas. The beach areas are national
public goods whose use by individuals is granted
through concessions.
Since the beginning of aquaculture in the 80's, con-
cessions of beach areas were limited to an area of
50 hectares for individuals and 250 hectares for
corporations. The spirit of the law at the time, was
to distribute the available area among as many
people as possible. Unfortunately aquaculture
farms with these dimensions, can`t achieve vol-
umes needed to develop economies of scale that
increase the productivity, or justify investments in
research in order to compete with producer coun-
tries that don’t have these limitations, such as
Asian countries, that have larger areas and a lower
cost in workforce.

La reciente reforma contempla un aumento de 50 a 250
hectáreas para personas jurídicas, y de 250 a 1000 hec-
táreas para una persona jurídica, o hasta 3000 hectáreas
para personas jurídicas que formen un Grupo Económi-
ca, es decir que según nuestra legislación se encuentren
vinculadas.
Otras reformas importantes para el sector fue la amplia-
ción del plazo de las concesiones de zona de playa, que
anteriormente era de 10 años, a 20 años renovables, lo
que le permite al acuicultor tener el suficiente tiempo
para amortizar las inversiones que realice en la finca y
obtener una rentabilidad adecuada por la explotación
de la misma. Adicionalmente se redujeron el número de
requisitos para las renovaciones de las concesiones, así
como de las autorizaciones para ejercer la actividad
acuícola en tierras de propiedad privada.
Anteriormente existían un sin número de causales de
terminación de la concesión de zona de playa y de la
autorización para ejercer la actividad acuícola, que no
guardaban relación propiamente con la actividad como
tal, y que constituían una doble sanción por incumpli-
mientos de carácter societario, tributario o laboral, que
acarreaban, además de las sanciones que podría impo-
ner la Autoridad Competente en cada materia, la termi-
nación de la concesión de zona de playa por parte de la
Subsecretaría de Acuacultura, lo que implica la reversión
al Estado de las obras de infraestructura en ella construi-
das.
Además entre las causales de terminación se incluían
presupuestos ambiguos como el contenido en el antiguo
artículo 94 literal r) que indicaba que una causal de ter-
minación era “no cumplir con la normativa ecuatoriana
vigente”, la cual siendo tan amplia, dejaba un ámbito de
discrecionalidad exagerado, que podría prestarse para
arbitrariedades. En la actual norma, las causales de ter-
minación se restringen exclusivamente a incumplimien-
to relacionados con la actividad acuícola.
The recent reform includes an increase of 50 to 250
hectares for legal persons, and from 250 to 1000
hectares for a legal person, or up to 3000 hectares
for legal persons that form an Economic Group,
which means that according to our laws these per-
sons have to be linked.
Other important reform for the sector was the ex-
tension of the term of the concession of beach
areas , which was previously 10 years, and now is
renewable for 20 years, which allows the farmer to
have enough time to recoup the investments made
on the farm and obtain an adequate return for the
exploitation of the same. Additionally the number of
requirements for renewals of concessions and
authorizations to practice aquaculture on private
land were reduced.
Previously there were a number of reasons for the
termination of the concession of the beach area
and the authorization to practice aquaculture that
were unrelated to the activity itself, and which cons-
tituted a double penalty for breaches of corporate,
tax and labor issues, and that in addition to the
sanctions that may be imposed by the Competent
Authority in each subject could cause the termina-
tion of the concession of the beach area by the Un-
dersecretariat of Aquaculture, which involves the
reversión to the state of the infrastructure built in it.
Also among the grounds for termination, ambiguous
budgets were included, such as the contained in the
former Article 94 literal r) which stated that a
ground for termination was to "not comply with cu-
rrent Ecuadorian legislation" which being so wide,
left an exaggerated scope of that could lend itself to
arbitrariness. In the current standard, the grounds
for termination are restricted exclusively to non-
compliance related to aquaculture.

Otro punto importante, es la definición de actividades
conexas a la actividad acuícola, tan necesarias para la
industria y que no habían sido reguladas. Dentro de este
tipo de actividades encontramos producción de alimen-
tos balanceados, pre mezcla, productos veterinarios, pro
bióticos y demás insumos de aplicación en acuacultura.
Se incrementó el valor de tasas anuales por ocupación
de zona de playa, el cual deben pagar los concesionarios
todos los años hasta el mes de abril. Los valores se cal-
cularon por hectárea de manera escalonada, de forma
que asciende a mayor cantidad de hectáreas en conce-
sión.
Una novedad fue la incorporación en el Reglamento de
las normas relativas a las la concesiones de espacios ma-
rítimos, conocida como maricultura. Esta actividad es
nueva, y al momento solo existe una empresa que la
desarrolla, sin embargo se encuentra dentro de las
apuestas productivas que el Gobierno Nacional desea
impulsar.
Los mencionados, son los puntos que consideramos más
relevantes de la normativa recientemente expedida.
Another important point is related to the definition
of aquaculture activities, so necessary for the in-
dustry and which had not been regulated. Among
these activities are balance food production, pre-
mixes, veterinary products, probiotics and other
inputs used in aquaculture.
The value of the annual rate for the occupation of
the beach area, which dealers must pay every year
until April, was increased. The values were calcu-
lated per hectare in stages, so that the amount ris-
es to the ones who have more acreage under con-
cession.
A novelty was the inclusion of the rules concerning
the concession of maritime space, known as mari-
culture. This activity is new, and at the moment
there is only one company that develops it, howev-
er it is within the productive plans that the Nation-
al Government wishes to promote.
The abovementioned points are the ones that we
consider the most relevant in the recently issued
regulations.

Los latinoamericanos vivimos rodeados de corrupción,
ineficiencia administrativa e injusticia. Esperamos
poco del Estado. De hecho, percibimos al Estado más
como un obstáculo que como un ente que sirve a
nuestras necesidades e intereses. Sin embargo, sí
necesitamos reglas que den orden a nuestra
existencia, que nos permitan planificar y resolver
nuestras disputas. Necesitamos derecho. ¿Existe una
forma de satisfacer esta necesidad sin la
intermediación del Estado? ¿Podemos tener derecho
sin el Estado?
A primera vista, la respuesta parece ser negativa. El
derecho y el Estado son dos conceptos que hoy por
hoy parecen inseparables. El derecho existe como
producto de la actividad estatal. Como señala nuestro
Código Civil en su primer artículo “La ley es una
declaración de la voluntad soberana que, manifestada
en la forma prescrita por la Constitución, manda,
prohíbe o permite” Sin voluntad soberana, sin
Constitución, en suma, sin Estado, no hay ley, y sin
ley, es difícil hablar de derecho.
Pero esta estrecha vinculación entre Estado y derecho
no siempre existió. En la era dorada del derecho
romano y del derecho común inglés, el derecho era el
producto de la actividad judicial espontánea que
atendía a las necesidades que nacían de la vida en
sociedad. Una judicatura disciplinada y sensible a las
necesidades humanas dio luz a un cuerpo de
jurisprudencia consistente que luego algunos Estados
reconocieron y honraron a través de la codificación. El
poder público le dio su reconocimiento al derecho
creado por los pretores romanos y los jueces ingleses,
pero no lo creó. Y si el derecho romano y el derecho
común merecieron este reconocimiento no fue por
otra cosa que por su valía intelectual y su practicidad.
Latin American citizens live surrounded by corrup-
tion, administrative inefficiency and injustice. We
expect little of the state. In fact, we perceive the
state more as an obstacle than as an entity that ser-
ves our interests and needs. Yet we do need rules
to give order to our existence, to enable planning
and to resolve our disputes. We need law. Is there a
way to satisfy this need without the participation of
the state? Can we have law without the state?
At first glance the answer to this question appears
to be negative. Law and State are two concepts that
today appear to be inseparable. Law exists as the
product of state activity. As our Civil Code manifests
in its first article “Legislation is a declaration of the
sovereign will, which, manifested in the way pres-
cribed by the Constitution, obliges, prohibits or per-
mits”1. Without sovereign will, without Constitu-
tion, in sum, without the state, there is no legisla-
tion, and without legislation how can one speak of
law?
But this tight link between state and law did not
always exist. In the golden age of Roman law and of
the English common law, law was the product of a
spontaneous judicial activity which attended the
needs of citizens that arose from society. A discipli-
ned judicature that was sensitive to human needs
gave rise to a consistent body of jurisprudence that
later some states recognized and honored through
codification. Public power gave its recognition to
the law created by roman praetors and English jud-
ges, but did not create it. And if Roman law and the
Common Law merited this recognition it was becau-
se of its intellectual worth and practicality.

El Medioevo nos presenta otra escena que desmiente
la equiparación moderna entre Estado y derecho. En la
Edad Media lo más cercano al derecho estatal mo-
derno sería el derecho de los príncipes y de los señores
feudales. Este derecho sin embargo, tenía que convivir
con otros órdenes jurídicos igualmente importantes y
mucho más dinámicos. El derecho de los artesanos, el
derecho de la iglesia, el derecho de ciudades libres co-
mo Venecia. El derecho que podríamos llamar
“estatal” convivía con órdenes paralelos especializados
en satisfacer las diversas necesidades de las personas,
ya sean estas necesidades comerciales o espirituales.
Estas experiencias nos remiten a la posibilidad de so-
brepasar el derecho estatal, buscando una fuente dis-
tinta de legislación y una fuente distinta de decisiones
judiciales. Una vez que despegamos los pies del para-
digma estatal, las alternativas son realmente muy va-
riadas, pero para efectos de este artículo mencionare-
mos un par de posibilidades.
La legislación positiva estatal puede obviarse a través
de legislación puramente privada. Esto nos remite
siempre al contrato como fuente de normas. Pero po-
dría pensarse que el contrato es una herramienta bas-
tante torpe para suplir necesidades legislativas. La idea
paradigmática de contrato requiere costosas negocia-
ciones y al final aplica solo para las partes. En contras-
te, la legislación se escribe una sola vez y es por su na-
turaleza general, aplica a todos dentro de un territorio.
En la mayoría de los casos, esta objeción es bastante
simplista, pues ignora avances técnicos en la contrata-
ción que vuelve al contrato válido como herramienta
regulatoria. Es posible, por ejemplo, crear contratos
modelo de enorme complejidad, a los que una de las
partes debe sencillamente adherirse. Esto lo encontra-
mos ya en todos lados, desde los contratos de telefo-
nía móvil hasta las reglas de un club.
The Middle Ages presents yet another counterexa-
mple to the modern linkage between law and state.
In the Middle Ages what was most similar to mo-
dern state law was the law of the Princes and Feu-
dal Lords. This Law, nevertheless, had to live toget-
her with other legal orders, equally important and
much more dynamic. The law of artisans, the law of
the Church, the law of free cities such as Venice.
The law that could have been called “state law” had
to live with parallel orders that were specialized in
addressing special needs, be them commercial or
spiritual.
These experiences suggest the possibility of bypas-
sing state law today through the identification of a
different sources of legislation and of judicial deci-
sions. Once we decide to break free from state law,
the alternatives are very varied, but for the purpo-
ses of this short article we will only mention some
possibilities.
The positive legislation made by the state can be
replaced by purely private legislation. This points us
towards the contract as a source of rules. Yet it
might be thought that contracts are an inefficient
tool for rule-making. The paradigmatic contract re-
quires lengthy negotiations and in the end it only
applies to the contracting parties. By contrast legis-
lation is made only once and it is by its nature gene-
ral, it applies to everyone in a territory.
In the majority of cases, this objection fails, as it
ignore technical advances in contracting that make
the contract into a valid regulatory tool. It is possi-
ble, for example, to make contracts of great com-
plexity, to which one of the parties must simply ad-
here. This is something we already find everywhere,
from contracts for mobile phone services to the ru-
les of a club.

Si bien la equidad del proceso se debilita cuando una
de las partes no puede discutir –y quizá no tiene tiem-
po de siquiera leer- todas las reglas de juego, la exis-
tencia de un mercado de contratos de este tipo provee
un contrapeso compensatorio. Si los términos del arre-
glo son demasiado asimétricos, otro empresario toma-
rá ventaja ofreciendo arreglos más parejos.
Otra solución consiste en apelar a las costumbres mer-
cantiles. En ciertos negocios donde las actividades son
repetitivas y estandarizadas por su naturaleza aparecen
rápidamente expectativas compartidas por las comuni-
dades de empresarios que participan en el negocio.
Estas costumbres pueden servir de base para “dar a
cada cual lo que le corresponde” en caso de una dispu-
ta jurídica.
Luego la jurisdicción estatal puede obviarse recurrien-
do al arbitraje. Esto también es algo bien conocido. Dos
negociantes pueden contractualmente optar por solu-
cionar sus disputas ante un ente privado. Típicamente
uno o tres expertos en derecho que hacen las veces de
juez para solucionar un conflicto concreto. Por su ori-
gen en el acuerdo de las partes el arbitraje es totalmen-
te flexible, las partes lo puede diseñar a su medida.
Pueden hacerlo mucho más rápido y barato que un
proceso judicial.
Todo esto es bien conocido. Pero lo importante es ver
que estos mecanismos pueden operar juntos para eli-
minar o reducir al máximo los puntos de contacto de
una empresa con el derecho estatal. Esta privatización
se ha logrado en ciertos negocios, como el comercio de
diamantes y algodón en Estados Unidos. En estos nego-
cios un comerciante efectivo tiene que ser miembro de
la asociación de comerciantes respectiva. Esta mem-
brecía exige a sus miembros a someterse a las costum-
bres del negocio y a solucionar sus disputas por proce-
dimientos privados. En otras palabras, el negocio opera
de tal modo que una condición de participación es
abandonar el recurso al Estado.
And if the fairness of the contracting process is
weakened by the fact that one of the parties cannot
discuss –and maybe does not even have the time to
read- the terms of the arrangement, the existence
of a market of contracts of this sort provides a com-
pensatory counterweight. If the terms of the arran-
gements are too asymmetric, another entrepreneur
will take advantage of this and offer better arrange-
ments.
Another solution is to appeal to mercantile customs.
In certain businesses where activities are repetitive
and standardized by nature, expectations shared by
a community of people engaged in the trade appear
rapidly. These customs can be the basis for “giving
each his due” in the event of a juridical dispute.
Then the state jurisdiction can be avoided by using
arbitration. This is also well known. Two negotiating
parties can contractually opt to solve their disputes
before a private entity. Typically one or three ex-
perts in law that take the role of the judge for sol-
ving a concrete conflict. Due to its origin in an agree-
ment, arbitration is totally flexible. The parties can
design it to fit their needs. They can make it faster
and cheaper than a judicial process.
All of this is well-known. But it is important to see
that these mechanisms can operate together to eli-
minate or reduce to the greatest extent possible the
points of contact of a business with state law. This
“privatization” has been achieved in certain busines-
ses, such as the diamond and cotton trades in the
United States. In these businesses an effective tra-
der must be a member of the appropriate guild. The
guild requires its members to submit to the customs
of the trade and to solve their disputes through pri-
vate means. In other words, the trade operates in
such a way that a condition of participation is aban-
don having recourse to the state.

A la luz de estas alternativas el único problema que
resta es como exigir el cumplimiento de este derecho
privatizado. El monopolio de la fuerza siempre estará
en manos del Estado, al final del día, un laudo arbitral
es solo papel si el Estado no está dispuesto a ejecutar-
lo. Dos ideas sirven para calmar esta duda. La primera
es que toda laudo arbitral bien logrado es internacio-
nal por su naturaleza y si el Ecuador no quiere coope-
rar, cualquier otro Estado donde existan fondos del
litigante derrotado estará dispuesto a ejecutar la sen-
tencia. La segunda hace referencia a algo que ya ha
sido mencionado antes. La autoayuda siempre será el
mecanismo fundamental que da cumplimiento al de-
recho, y la autoayuda no tiene que ser violenta. Pue-
de consistir en dejar claro que la parte que no quiere
cumplir el laudo arbitral es alguien en que no se pue-
de confiar y mandar un mensaje a otros comerciantes
de que no colaboren con él. De este modo, resistir
este derecho privado puede ser algo muy costoso.
In light of this alternatives, the only remaining pro-
blem is how to enforce this privatized law. The mo-
nopoly of force lies always in the state, at the end
of the day, an arbitral award is only paper if there
is no state willing to enforce it. Two means exist to
assuage this concern. The first is that an well exe-
cuted arbitral award is international b nature, and
if Ecuador does not want to cooperate with enfor-
cement, any other state where the losing litigant
has funds will be willing to enforce the decision.
The second is something that has already been
mentioned. Self-help will always be the fundamen-
tal mechanism to make law effective, and self-help
need not be violent. It can consist in making clear
that the party who does not want to comply with
the arbitral award is somebody who cannot be
trusted and thus send a message to other busines-
ses not to collaborate with the infringing party. In
this way, resisting private law can be something
very costly.

After 28 years of activities ¬October 1987¬ the
Iberoamerican Institute of Maritime Law (IIDM) will
be chaired for the first time by an Ecuadorian lawyer:
this is José Modesto Apolo Terán.
Apolo is also a university lecturer, president of the
Maritime Association of Ecuador and the only Ecua-
dorian member of the International Maritime Com-
mittee.
The designation of Apolo Terán was given at a Gen-
eral Assembly on 27 November last year in Rio de
Janeiro (Brazil) where the vice presidents of the
member countries met. Meanwhile, the inauguration
will be on February 22 in the City Hall.
The event will be attended by representatives of
member countries of Latin America, the Caribbean,
Spain, Portugal and other "adherent members" like
the United States, Italy, England, France and Germa-
ny.

JOSÉ MODESTO APOLO IS THE NEW PRESIDENT OF A REGIONAL MARITIME LAW ORGANISM
Tras 28 años de actividades ¬octubre de 1987¬ el Insti-
tuto Iberoamericano de Derecho Marítimo (IIDM) será
presidido por primera vez por un jurista ecuatoriano:
se trata de José Modesto Apolo Terán.
Apolo, quien además es docente universitario, tam-
bién es presidente de la Asociación Marítima del Ecua-
dor y único miembro titular del Comité Marítimo Inter-
nacional.
La designación de Apolo Terán se dio en una asamblea
general del organismo celebrada el 27 de noviembre
del año pasado en Río de Janeiro (Brasil) en donde se
reunieron los vicepresidentes del organismo. Mientras,
la toma de posesión será el 22 de febrero próximo en
el Salón de la Ciudad.
El evento contará con la presencia de los representan-
tes de los países miembros de América Latina, el Cari-
be, España, Portugal y las denominadas “adherentes”
como Estados Unidos, Italia, Inglaterra, Francia y Ale-
mania.
