February 27, 2020

The Board of Directors of Cuero Regional Hospital held their regular monthly meeting on Thursday, February 27, 2020, in the Education Classroom of the Cuero Regional Hospital, DeWitt County, Texas, at 5:30 P.M.

Board members present were: Mr. Richard Wheeler, Chairman Mrs. Faye Sheppard, Vice Chairman Mr. Charles Papacek, Secretary Dr. John Frels, DDS, Member

Board members absent were: Mrs. Cindy Sheppard, Member

The Board Vice Chairman called the meeting to order at 5:30 p.m.

Community Input:

Dr. Frels moved, Mr. Papacek seconded, to approve the minutes of the regular called meeting on January 23, 2020; the motion carried unanimously.

The Chief Financial Officer's Financial Statement and Statistical Report were provided. The Chief Financial Officer spoke on hospital financials and on the clinic financials in the absence of the Clinic Administrator. The reports were accepted as presented.

Mr. Papacek moved, Dr. Frels seconded, based upon the recommendation of Medical Staff, to approve the one year appointments (limited to the privileges delineated) as presented on the agenda for Kasina Blevins, MD, Tele-Radiology, Marcos Herrera, MD, Tele-Radiology, Gilbert Rodriguez, MD, Emergency Medicine; the motion carried unanimously.

Mr. Papacek moved, Dr. Frels seconded, based upon the recommendation of Medical

Staff, to approve the two year re-appointments (limited to the privileges delineated) as presented on the agenda for Marshall Bishop, MD, Family Practice/OB, Harish Chandna, MD, Cardiology, Craig Helfrich, MD, Emergency Medicine, Faisal Khan, MD, Nephrology, Daksheshkumar Parikh, MD, Cardiology, Michael Perez, MD, Orthopedics; the motion carried unanimously.

The Marketing and Development Director report was provided.

The Clinic Administrator's report was provided.

The Assistant Administrator's report was provided.

The Chief Nursing Officer's report was provided.

The Chief Executive Officer's report was provided.

The reports on Quality for the hospital and clinics were provided.

Committee Reports: Dr. Frels noted that the Building Committee had met with three different architects.

New Business:

Mrs. Jill Saenz, Quality Director, presented information on RL Solutions, which is the incident reporting software that Cuero Health uses. This was for board education on how incidents are reported and processed. Board information only. Mrs. Faye Sheppard noted that the board members encourage employee incident reporting to promote quality care.

Mr. Wheeler asked Mrs. Falcone to give a brief update on measures being taken in the organization regarding the coronavirus before proceeding with agenda items. Mrs. Falcone reported that Cuero Regional Hospital is following CDC screening guidelines which include symptoms of fever, cough and shortness of breath and have traveled to China, Iran, Italy, South Korea or Japan; or symptoms and close contact with a person who has traveled to one of those locations. Mrs. Falcone reported that we get daily updates from the CDC and are on daily Methodist Healthcare System calls regarding COVIDlO.

The Mrs. Jennifer Janssen requested the capital expenditure purchase of Cardiac Rehab Startup-Equipment and Software. A quote for the Charting and Telemetry System from Scottcare for $32,782.00 was recommended. A quote for the Nu Step for Cardiac Rehab from Hest for $3,841.79 was recommended. The total for the equipment and software is $36,623.79. Mrs. Faye Sheppard moved, Mr. Papacek seconded, to approve the capital expenditure purchase up to $32,782.00 from Scottcare for the charting and telemetry system with the addition to follow up with the company regarding shipping process and charges and up to $3,841.79 from Hest for the Nu Step for Cardiac Rehab for a total up to $36,623.79; motion carried unanimously.

The Assistant Administrator reviewed the Annual Quality Assessment Report for 2019 and the 2019 Risk Management Report. Mr. Papacek moved, Dr. Frels seconded, to approve the Annual Quality Assessment Report for 2019 and the 2019 Risk Management Report; the motion carried unanimously.

The Risk Management Annual Approval of Data Collection & Frequency of Data Collection (employee, patient, visitor, security, physician incidents) was presented by the Assistant Administrator. Dr. Frels moved, Mrs. Faye Sheppard seconded, to accept the Annual Risk Management Data Collection and Frequency of Data Collection; the motion carried unanimously. Mrs. Faye Sheppard did ask that non-clinical areas be included to show continuum of care.

The Assistant Administrator requested annual approval of the Number and Priority of PI Projects. Mrs. Faye Sheppard moved, Dr. Frels seconded, to approve the annual Number and Priority of PI Projects; the motion carried unanimously.

The Quality Assessment and Departmental Quality Assessment Annual Approval of Data Collection and Frequency of Data Collection were presented by the Assistant Administrator. The Quality Assessment report involves quality assessments on surgical cases, blood usage, drug usage, medical records, infection control and quality of care review. The Departmental Quality Assessment report involves departmental data to be collected. Dr. Frels moved, Mrs. Faye Sheppard seconded, to approve the Quality Assessment and Departmental Quality Assessment of Data Collection and Frequency of Data Collection; the motion carried unanimously.

Mrs. Cindy Sheppard confirmed via email as part of the District By-Laws Committee review of the By-Laws and did not see any changes that needed to be made especially since they were reviewed and updated previously and noted that the verbiage regarding the walking quorum had been added from the last board meeting. The District By-Laws were approved as recommended by the By-Law Committee, no update.

The Annual Review of the Plan for the Provision of Patient Care Services was presented by the Chief Executive Officer for annual review. Mrs. Faye Sheppard moved, Mr. Papacek seconded, to accept the Annual Review of the Plan for the Provision of Patient Care Services; the motion carried unanimously.

Mrs. Judy Mazak, ED Director, presented a resolution of support for the board to consider and take appropriate action regarding Cuero Regional Hospital providing the financial, human, and physical resources necessary to achieve and sustain designation as a Texas Department of State Health Services Basic (Level IV) Trauma Facility. Mr. Papacek moved, Dr. Frels seconded, to sign in support of the designation as a Texas Department of State Health Services Basic (Level IV) Trauma Facility.

The Chief Nursing Officer requested the capital expenditure purchase of replacement LED OR Lights in OR 1 and OB OR. A quote for the LED OR/OB OR Lights for $44,769.00

from Skytron was recommended. Mrs. Faye Sheppard moved, Dr. Frels seconded, to approve the capital expenditure purchase up to $44,769.00 from Skytron for the LED OR/OB OR Lights; motion carried unanimously.

Mrs. Ismelda Garza, CRH IT, requested the capital expenditure purchase of Network Optimization IDF Closets. A quote for the Network Optimization IDF Closets for $51,545.68 from CDW was recommended. Mrs. Faye Sheppard moved, Dr. Frels seconded, to approve the capital expenditure purchase up to $51,545.68 from CDW for the Network Optimization IDF Closets; motion carried unanimously.

The Chief Nursing Officer requested the approval of the emergency capital expenditure purchase to replace the boiler on the Steris sterilizer. A quote for boiler for $16,763.87 from Steris was recommended. Mr. Wheeler was notified of the emergency need and approved the purchase over the phone. Mr. Papacek moved, Dr. Frels seconded, to approve the emergency capital expenditure purchase up to $16,763.87 from Steris for the boiler; motion carried unanimously.

The Assistant Administrator requested the capital expenditure purchase to replace existing rear parking fixtures with LED. A quote for the LED rear parking fixtures for $5,990.00 from Goyen was recommended. Mrs. Faye Sheppard moved, Dr. Frels seconded, to approve the capital expenditure purchase up to $5,990.00 from Goyen for the LED rear parking fixtures; motion carried unanimously.

Mr. Tyler Lemke, Imaging Director, requested the capital expenditure purchase of the 3D Mammography Upgrade. A quote for the 3D Mammography Upgrade for $181,074.00 from Hologic was recommended. Mrs. Faye Sheppard moved, Mr. Papacek seconded, to approve the capital expenditure purchase up to $181,074.00 from Hologic for the 3D Mammography Upgrade; motion carried unanimously.

The Assistant Administrator presented for approval the Cuero Health Compliance Plan. Mr. Papacek moved, Mrs. Faye Sheppard seconded, to approve the Compliance Plan as presented.

The Assistant Administrator requested the capital expenditure purchase of Wellness Center Club Enhancement Equipment. A quote for the Wellness Center Club Enhancement Equipment for $12,249.00 from Matrix was recommended. Mrs. Faye Sheppard moved, Dr. Frels seconded, to approve the capital expenditure purchase up to $12,249.00 from Matrix for the Wellness Center Club Enhancement Equipment; motion carried unanimously.

The Chief Financial Officer presented a resolution to be approved by the Board to authorize Lynn Falcone, CEO, Alma Alexander, CFO and Greg Pritchett, Clinic Administrator to sign checks for all accounts with Prosperity Bank. The resolution also removed Judy Krupala, RN, from all accounts. The resolution gives authority for Laura Tiffin and Samantha Sutton to discuss banking accounts with Prosperity Bank. It was further resolved that a check would require two signatures and that these signatures will be valid until such time as the Board would

pass a new resolution and that such a resolution with the most current date shall have precedence over and other resolutions. Dr. Frels moved, Mr. Papacek seconded, to sign in support of the resolution regarding Prosperity Bank as presented.

There was no further business; Mr. Papacek moved, Mrs. Faye Sheppard seconded, to adjourn; the motion carried unanimously. The meeting adjourned at 7:00 p.m.

EBIDA for the Hospital for February was positive, at $625K, higher than Budget by $14K. In addition, Net Operation Income was positive, coming in higher

than Budget by $221K . The positive performance was driven by a higher than Budget UC payment and lower expenses compared to Budget. The

breakdown of revenue and expenses performance indicators were as follows:

NET REVENUE:

•Patient Net Revenue was lower than Budget by $361K due to lower volume from Admissions (17) and Patient Days (50). The lower volume drove the

variance lower by $506K. A positive rate variance by $146K was driven by a higher Case Mix compared to prior year (Non-trad Medicare higher by 31%)

and a higher Payor Mix with Managed Care up 6.4%

•Uncompensated Care was higher than Budget due to a payment in February of $248.6K

•Other Revenue was higher than Budget by $23.2K due to higher revenue in Cafe Sales ($5K), Medicare Pass Thru ($5.2K), and Interest Income ($11.3K)

EXPENSES:

•Total Expenses were lower than Budget by $318.7K due lower expenses compared to Budget in several categories. Salaries were lower than Budget by

$46.7K due to lower volume and a higher budgeted rate. Supplies were lower than Budget by $127K due to lower Implant costs and Pharmaceutical

expense. There were no Spine cases this February vs two cases in the PY. Also, Podiatry and Ortho were lower by 7 cases. Purchased Services were lower

than Budget by $42K driven by lower Utilities ($21.5K), Repairs and Maintenance ($20.8K), and Professional Services ($5.4K). Other Operating Expenses

were lower than Budget by $23.9K driven by lower Appraisal Fees, Dues and Subscriptions, Travel & Meeting and Advertising expense

CLINICS:

•Clinic Net Operating Income was a loss of $20.3K mainly due to a loss in the Specialty Clinics. RHC Net Operating Income was positive at $20.7K, higher

than Budget by $5.2K due to lower expenses by $46.8K with volume lower by 782 visits. Revenue was also lower than Budget by $41.5K. Specialty Clinic

loss of $41.1K was higher than the Budgeted loss by $25.6K. General Surgeon loss was higher than Budget by $5.9K due to billing processes. Podiatry loss

was higher than Budget by $17.6K due to lower volume for clinic visits and surgeries

OTHER:

•Wellness Net Operating Income was positive at $19.4K, lower than Budget by $3.5K mainly due higher expenses from higher Repairs and Maintenance

during the month

o Events –Yorktown Chamber Banquet – Dr. Barth recognized as Citizen of the Year, Cuero Heritage Museum board, CISD Education Foundation, Cuero Economic Development meeting, Cuero Rotary meetings, Turkeyfest Board Meeting, Future Sight board meeting and Parkside picnic coordination (In March, Jennifer Janssen presented on upcoming cardiac rehab program and Emily Weatherly shared the latest update on COVID-19 via approved handouts provided by Keisha Whitman).

o Bfit Slimdown has 82 participants with a total weight loss to date of 264 lbs. As of March 12, we are in our 5th week with 3 weeks remaining.

o Patient Safety Week – March 8 – 14, included several activities for the staff with SLT passing out healthy breakfast items on March 9th with Patient Safety signs that staff signed. Due to vendor shortages, we received hand sanitizers late in the week and distributed those to staff starting late Thursday, March 12th and the remaining ones on the 13th.

o In order to keep the public informed on the latest updates with Coronavirus, marketing set up a page on the website with the latest updates – you can easily navigate to it from the homepage. Updates from CDC were shared on all social channels and press releases were submitted to all area media which resulted in good coverage.

Development: o Heart Calcification Screenings ended with a total of 26 screenings. These were held on three

dates in February from 8 a.m. to noon. o Doctor’s Day is March 30. Providers will receive new white lab coats with our 50 Years of Caring

logo. A video will be posted and boosted on social channels for the day and it is saved in the dropbox folder to view.

o Chick-fil-A’s mobile unit returns on site the first Tuesday of the month from 11 – 2 in April 2020. This has been a nice win for staff, as well as the community. Update: This may be cancelled, but has not at this time.

o From Bump to Baby: Family and Baby Expo/ Fair, which was set for Saturday, April 4, has been postponed. Please look in the dropbox for the promotional materials. We have notified our vendors and alerted our physicians, as well as updated the promotion/media. We are looking into dates in August to ensure adequate time to prepare and inform attendees.

o On May 14th, Cuero Regional Hospital will host a Fun After Five Fiesta on the grounds of the Hospital from 5 – 8 p.m. This will be a celebration tied to our 50th anniversary, as well as National Hospital Week. We are looking to do a time capsule at this event. The event flyer is saved in the dropbox.

I am very pleased to provide the Board with this report on the clinic organization. Total RHC operations

had a profit of $20,735. This is $5 ,245 higher than budget and $46,403 lower than last year. Dr. Barth

was off for 2 weeks in Yorktown and this led to a loss of $1 ,351 for Yorktown RHC.

Total visits were 5,427 compared to 6,299 in 2019. AR days over 60 days have stabilized and collections

rates have declined slightly due to insurance payment errors being made by BCBS and United. I have

heard nothing from BCBS about the company's payment errors discussed in last month's report. I have

reached out again and asked them to at least contact me. I stated that this would be my last contact

attempt for a resolution before reaching out to the Texas State Board of Insurance.

The total clinic numbers continue to decline faster than budget and last year. Dr. Heard is slowing his

practice down faster than anticipated. We have had 1,283 less nursing home visits than last year thru the

first 5 months. This equates to over $165,000. I am working with providers to see how many of these lost

visits we can recapture with one or more of them doing more nursing home rounds.

Quality/Safety

Assistant Administrator Board Report March 2020

1. The 480 transformer has been set and the generator and switch gear are scheduled to be set in the next week. Once those are set and hooked up we will begin the process of switching radiology and CAT scan over to the 480 transformer. Since installing the new 208 transformer we have seen an approximate $20,000 savings a month on our utility bill and this savings should increase after we move radiology and CAT scan to the 480 transformer.

Growth 1. We have been working with Dr Dale Denton on starting an aesthetic program at the

Wellness Center that would include services such as facials, chemical peels, Botox and fillers. We are currently working on the contract details as well as evaluating various products. I hope to have the program started this summer.

Finance 1. The cafeteria sales in February were right at $8,000, this is the best month of sales this

fiscal year. 2. I submitted the Rural Health Facility Capital Improvement Grant for the 3D

mammography upgrade, if awarded we could receive up to $75,000. Community

1. We had 23 people attend the Free Fitness class at the Wellness Center on 2/27 and 4 people joined the Wellness Center after the class. We ended the month of February with 1612 members.

BOARD REPORT NURSING ADMINISTRATION 3-13-2020

Safety/Quality

• We had 0 inpatient fall in February. We had 3 outpatient falls. There was one minor injury.

These falls occurred at the clinic entrance, clinic lab restroom and our Wellness Center.

• We were 100% compliant with our Sepsis patients in January. We had 2 patients.

• We have purchased 8 new wheel chairs that were distributed to our departments during

National Patient Safety Week.

People

• We have scheduled staff training for our new defibrillators and dialysis on March 16th and 23rd.

• During the same time, Keisha Whitman, Infection Preventionist, will be teaching/reviewing

donning and doffing of personal protective equipment to the staff.

Growth

• Our Community Paramedic, Phillip Marquette, is eager to begin our services. He is completing

the policies/procedures and operational guidelines. Our goals will be to:

Community

o Reduce readmissions rates.

o Improve risk management and injury prevention.

o Improve the community health.

o Reduce repetitive 911 calls and hospitalizations related to sub-optimal management of chronic health conditions.

o Reduce community health care costs through better coordination of care and prevention/wellness strategies.

• A presentation on Cardiac/Pulmonary Rehab by J. Janssen to the Cuero Lions Club. The Pilot

Club presentation will be April 14th.

Quality/Safety

• Provider entry increased to 75%. This reduces the opportunity for error in a verbal order to a nurse and in transcription. Better for our patients

• Chart delinquency dropped to 4% - completed charts means greater communication amongst caregivers

• No inpatient falls: 3 visitor falls, 1 with injury. Two of the falls tripped over a rug. Replacing rugs as old rugs often curl at the corner creating a trip hazard

• COVID-19 has been a hot topic and consuming time and resources staying up with all information updates. SLT, Infection Control staying up to date on COVID 19 through CDC, TDSHS, RAC, MHS.

People

o Current recommendations still place travelers from China, Japan, South Korea, Iran or Italy as high risk. As of 3/11/20 - CRH is using this screening criteria

o Plans are in place if a person meeting the symptom and travel criteria or close contact to someone who meets travel criteria arrive at CRH -

• Patient would be masked, isolated from other patients and staff • Infection Control would be notified and would contact State Health Authorities to

determine to test or not test. • The patient's condition would dictate whether or not he/she would be admitted or sent

home to self-quarantine • State guidelines would be followed as to where to send samples. Due to the

overwhelming number of tests being sent to CDC, their turnaround time has increased to 5-7 days so other test sites are becoming available, including MHS

• Dr. Jennifer Gonzales is serving as our medical guide

• CHAMPS planning Easter Basket silent raffle

• Planning SLT to attend TORCH conference in April. Good education for a hardworking team • MHS will provide Strengthsfinder Training to Department Leaders. Was planned for March 17 but

postponed by MHS due to COVID19 • Team STEPPS training continues for all staff

Growth

• Dialysis training and training on the new defibrillators will take place on March 16 and March 23

• Dr. Lemley was in town house hunting. He plans to be back for the Baby Fair on April 4 • Jennifer Janssen and Brenda Martin will attend training in April for the CardioPulmonary Rehab program

Community

• February Volunteer Hours were 145.5

• Slimdown Challenge has gotten a lot of community members engaged in the Wellness Center - there are 85 participants

• Continued focus on the health and wellness of our community: o Wellness Center - Slim down Challenge o Fitness after 5 had a good turnout and generated 3 new memberships

The authority responsible for preparing the ballot must certify the unopposed status to the authority responsible for ordering the election. This document is filed with the presiding officer of the political subdivision. The governing body must meet, accept this certification, and issue an order or ordinance declaring the election cancelled and the unopposed candidates elected. To complete the cancellation process, a copy of the order or ordinance canceling the election must be posted on Election Day at each polling place that would have been used in the election. See sample Order of Cancellation and outlines for additional instructions.

Instructions for sample order of cancellation:

To cancel an election, the governing body must first receive and accept the Certification of Unopposed Candidates form (or the authority may create its own form) from the authority responsible for preparing the ballot. The cancellation order/ordinance must be adopted in an open meeting. The candidates are not required to be present. Certificates of election should be prepared for each unopposed candidate; however, the certificates of election should not be issued until after Election Day, as follows. Section 2.053 provides that the certificate of election shall be issued "in the same manner and at the same time" as for a candidate elected at an election. Therefore, the candidates, who have been declared "elected" at the meeting ordering the cancellation, must wait until after the official election day (even though no election is held) and no earlier than the prescribed canvassing period (even though no canvass is held) to be sworn in and assume their duties. Candidates may complete the Statement of Elected Officer prior to Election Day. The Statement should be kept locally; it does not need to be sent to the Secretary of State's Office. Copies of this order/ordinance must be posted on Election Day at each polling place that would have been used had the election not been cancelled.

• Supply and install (1) new Trane 8.5 ton RTU with electric heat, hail guards and economizer to replace the existing Carrier RTU (Ser # 3693G02499)

• Connect new unit to existing electrical service, condensate piping and ductwork - new unit is a Trane direct fit replacement for the existing Carrier and will not require a curb adapter

• Provide crane and trucking for the delivery of new unit and setting on the roof • Perform start up of new unit and verify proper operation

The price for this service is $13,688.00 not including taxes. This work is priced for TCS normal business hours.

V TCS TEXAS CHILLER SYSTEMS

TERMS AND CONDlTJONS

By accepting this proposal, Purchaser agrees to be bound by the following tern1s and conditions:

SCOPE OF WORK - This proposal is based upon the use of straight time labor only. Plastering, patching and painting are excluded. " In-line" duct and piping devices, including, but not limited to, valves, dampers, humidifiers, wells, taps, flow meters, orifices, etc., if required, hereunder to be furnished by Texas Chiller Systems, shall be distributed and installed by others under Texas Chiller System' s supervision but at no additional cost to Texas Chiller Systems. Purchaser agrees to provide Texas Chiller Systems with required field utilities (electricity, toilets, drinking water, project hoist, elevator service, etc .) without charge. Texas Chiller Systems agrees to keep the site clean of debris arising out of its own operation. Purchaser shall not back charge Texas Chiller Systems for any costs or expenses without Texas Chiller Systems written consent. Unless specifically noted in the statement of the scope of work or service undertaken by Texas Chiller Systems under this agreement, Texas Chiller System's obligations under this agreement expressly exclude any work or service of any nature associated or connected with the identification, abatement, clean-up, control , removal , or disposal of environment hazards or dangerous substances, to include but not limited to asbestos or PCB's, discovered in oron the premises. Any language or provision of the agreement elsewhere contained which may authorize or empower the Purchaser to change, modify, or alter the scope of work or services to be performed by Texas Chiller Systems shall not operate to compel Texas Chiller Systems to perform any work relating to Hazards without Texas Chiller Systems express written consent.

PAYMENT TERMS-Payment of invoices is due in Texas Chiller System's office within thirty (30) days of issuance of such invoice. Invoices not timely paid within these terms stated shall be considered past due, and are then subject to interest accruing at the rate of 1.5% per month.

MATERIALS - If the materials or equipment included in this proposal become temporarily or permanently unavailable for reasons beyond the control and without the fault of Texas Chiller Systems, then in the case of such a temporary unavailability, the time for performance of the work shall be extended to the extent thereof, and in the case of permanent unavailability, Texas Chiller Systems shall (a) be excused from furnishing said materials or equipment and (b) be reimbursed for the difference between the cost of the materials or equipment permanently unavailable and the cost of a reasonably available substitute therefore.

WARRANTY - Texas Chiller Systems warrants that tlic equipment manufactured shall be free from defects in material and workmanship arising from normal usage for a period of one (I) year from delivery of said equipment, or if installed by Texas Chiller Systems, for a period of one (I) year from installation. This warranty does not extend to any equipment which has been repaired by others, abused, altered or misused, or which has not been properly or reasonably maintained. Any repair work will have a tliirty (30) day warranty; materials associated with these repairs will carry tlie manufacturer' s warranty only. THESE WARRANTIES ARE IN LIEU OF ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO, THOSE OF MERCHANT ABILITY AND FIT ESS FOR A SPECIFIC PURPOSE. If customer fails to pay all invoices in full, it is agreed that there shall be no warranty provided.

LIABILITY - Texas Chiller Systems shall not be liable for any special , indirect or consequential damages arising in any manner from the equipment or material furnished or the work performed pursuant to this agreement.

TAXES - The price of tliis proposal does not include duties, sales, use, excise, or other similar taxes, unless required by federal , state, or local law. Purchaser shall pay, in addition to the stated price; all taxes not legally required to be paid by Texas Chiller Systems or, alternatively, shall provide Texas Chiller Systems witli acceptable taxes exemption certificates. Texas Chiller Systems shall provide Purchaser with any tax payment certificate upon request and after completion and acceptance of the work.

DELAYS - Texas Chiller Systems shall not be liable for any delay in tlie performance of tlie work resulting from or attributed to acts of circumstances beyond Texas Chiller System's control , including, but not limited to, acts of God, fire , riots, labor disputes, conditions of tlie premises, acts or omissions of tlie Purchaser, Owner, or oilier Contractors or delay caused by suppliers or subcontractors of Texas Chiller Systems, etc.

COMPLIANCE WITH LAWS - Texas Chiller Systems shall comply witli all applicable federal , state and local laws and regulations and shall obtain all temporary licenses and permits required for tlie prosecution of the work. Licenses and permits of a permanent nature shall be procured and paid for by the Purchaser.

VENUE - All invoices are due and payable in Texas Chiller System's office located at 9807 McCullough, San Antonio, Texas 78216. In tlie event legal action is commenced to enforce payment of obligations, venue for such legal action shall be in Bexar County, Texas, and the undersigned agrees to pay whatever sum the court determines to be reasonable attorney 's fees , plus all expenses and costs incurred.

INSURANCE - Insurance coverage in excess of Texas Chiller Systems standard limits will be furnished when requested and required. No credit will be given or premium paid by Texas Chiller Systems for insurance afforded by otliers.

Texas Chiller Systems is pleased to offer our proposal for the replacement of the existing 850-ton dual cell Marley cooling towers that are currently serving your facility. Per your request and due to your ability to only operate one centrifugal chiller at a time due to power limitations we are pricing a 425-ton cooling tower option that will match your maximum chiller capacity. We propose the following:

• Isolate and disconnect 2 existing Marley cooling tower cells • Provide crane, trucking and rigging for removal of the old tower and setting of new - old

towers will be hauled away and properly disposed of • Modify existing I-beam frame as required for the placement of new 425-ton Evapco

tower cells • Provide and install (1) Evapco AT 217-3111 two cell induced draft, cooling tower each complete

with the following features : o CTI CERTIFIED. /BC CERTIFIED CONSTRUCTION.

o G-235 GALVANIZED STEEL construction, including cold water basins and casing sections.

o PVC drift eliminators with a drift loss of .001 % ofrecirculating water rate. o Non-corrosive PVC Spray Distribution System with non-clog EvapJet nozzles. Spray

distribution system eliminates flow imbalance between the two cells and eliminates overflowing from hot water basins.

o PVC air inlet louvers with %" openings to prevent trash and debris from entering the cold water basins

o Two (2) 15 hp TEFC two speed. single winding fan motors, located outside of the cooling tower. Motor and drive assemblies have a FIVE-YEAR WARRANTY. *note - reduces motor horsepower from existing (2) 40 's to (2) 15 's. 63% energy savings*

o Vibration cut out switch per motor o Single BFW/grooved inlet and outlet connection per cell. o Bypass connection. o Electric basin heaters, complete with thermostat, low water cut off switches, and

basin heater control panel. Heater control panels include outdoor rated enclosure, circuit breaker, contactor, transformer, auto-off switch, and pilot light per cell. Panels are shipped loose for field mounting and wiring by others. Flexible with panels - can provide one large panel to service all heaters if it will make wiring simpler.

o Access ladder per cell, complete with grabrail. 4ft ladder extension. Mounted per below.

Option #3 - Condenser Pump VFD Replacement • If you would like to include the replacement of the (2) existing 20HP VFDs currently

serving the condenser water pumps with new ABB 460/3ph units with bypass and to change the existing motor wiring over to 460/3ph the total additional cost would be $10,516.00 plus any applicable tax. Note that this does not include changing the service to the VFDs as this would be performed separately by your electrician.

TERMS AND CONDITIONS

By accepting this proposal , Purchaser agrees to be bound by the following tern1s and conditions:

SCOPE OF WORK - This proposal is based upon the use of straight time labor only. Plastering, patching and painting are excluded. "In-line" duct and piping devices, including, but not limited to, valves, dampers, humidifiers, wells, taps, flow meters, orifices, etc., if required, hereunder to be furnished by Texas Chiller Systems, shall be distributed and installed by others under Texas Chiller System's supervision but at no additional cost to Texas Chiller Systems. Purchaser agrees to provide Texas Chiller Systems with required field utilities (electricity, toilets, drinking water, project hoist, elevator service, etc.) without charge. Texas Chiller Systems agrees to keep the site clean of debris arising out of its own operation. Purchaser shall not back charge Texas Chiller Systems for any costs or expenses without Texas Chiller Systems written consent. Unless specifically noted in the statement of the scope of work or service undertaken by Texas Chiller Systems under this agreement, Texas Chiller System's obligations under this agreement expressly exclude any work or service of any nature associated or connected with the identification, abatement, clean-up, control , removal, or disposal of environment hazards or dangerous substances, to include but not limited to asbestos or PCB 's, discovered in or on the premises. Any language or provision of the agreement elsewhere contained which may authorize or empower the Purchaser to change, modify, or alter the scope of work or services to be performed by Texas Chiller Systems shall not operate to compel Texas Chiller Systems to perform any work relating to Hazards without Texas Chiller Systems express written consent.

PAYMENT TERMS - Payment of invoices is due in Texas Chiller System's office within thirty (30) days of issuance of such invoice. Invoices not timely paid within these terms stated shall be considered past due, and are then subject to interest accruing at the rate of 1.5% per month.

MA TERJALS - If the materials or equipment included in this proposal become temporarily or permanently unavailable for reasons beyond the control and without the fault of Texas Chiller Systems, then in the case of such a temporary unavailability, the time for performance of the work shall be extended to the extent thereof, and in the case of permanent unavailability, Texas Chiller Systems shall (a) be excused from furnishing said materials or equipment and (b) be reimbursed for the difference between the cost of the materials or equipment permanently unavailable and the cost of a reasonably available substitute therefore.

WARRANTY - Texas Chiller Systems warrants that the equipment manufactured shall be free from defects in material and workmanship arising from normal usage for a period of one (I) year from delivery of said equipment, or if installed by Texas Chiller Systems, for a period of one (I) year from installation. This warranty does not extend to any equipment which has been repaired by others, abused, altered or misused, or which has not been properly or reasonably maintained. Any repair work will have a thirty (30) day warranty; materials associated with these repairs will carry the manufacturer's warranty only. THESE WARRANTIES ARE IN LIEU OF ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO, THOSE OF MERCHANT ABILITY AND FITNESS FOR A SPECIFIC PURPOSE. If customer fails to pay all invoices in full , it is agreed that there shall be no warranty provided.

LIABILITY - Texas Chiller Systems shall not be liable for any special , indirect or consequential damages arising in any manner from the equipment or material furnished or the work performed pursuant to this agreement.

TAXES - The price of this proposal does not include duties, sales, use, excise, or other similar taxes, unless required by federal, state, or local law. Purchaser shall pay, in addition to the stated price; all taxes not legally required to be paid by Texas Chiller Systems or, alternatively, shall provide Texas Chiller Systems with acceptable taxes exemption certificates. Texas Chiller Systems shall provide Purchaser with any tax payment certificate upon request and after completion and acceptance of the work.

DELAYS - Texas Chiller Systems shall not be liable for any delay in the performance of the work resulting from or attributed to acts of circumstances beyond Texas Chiller System's control, including, but not limited to, acts of God, fire, riots, labor disputes, conditions of the premises, acts or omissions of the Purchaser, Owner, or other Contractors or delay caused by suppliers or subcontractors of Texas Chiller Systems, etc.

COMPLIANCE WITH LAWS - Texas Chiller Systems shall comply with all applicable federal, state and local laws and regulations and shall obtain all temporary licenses and permits required for the prosecution of the work. Licenses and permits of a permanent nature shall be procured and paid for by the Purchaser.

VENUE -All invoices are due and payable in Texas Chiller System's office located at 9807 McCullough, San Antonio, Texas 78216. In the event legal action is commenced to enforce payment of obligations, venue for such legal action shall be in Bexar County, Texas, and the undersigned agrees to pay whatever sum the court determines to be reasonable attorney's fees, plus all expenses and costs incurred.

INSURANCE - Insurance coverage in excess of Texas Chiller Systems standard limits will be furnished when requested and required. No credit will be given or premium paid by Texas Chiller Systems for insurance afforded by others.

We respectfully submit our proposal for the replacement of the referenced cooling tower for your review and evaluation. The proposed scope of work will include the following :

1) Disconnect existing condenser water piping, makeup water, overflow, and drain lines and existing electrical connection. Remove and properly dispose of existing cooling towers.

2) Furnish and install new hot dip galvanized steel I beams, as required.

3) Furnish and install a new two cell Evapco cooling tower. Towers will include the following features:

o CTI Certified Capacity. IBC certified construction. o G-235 galvanized steel construction, including cold water basins and casing sections,

mechanical supports, and fan screens. Option for stainless steel. o Two (2) sloped access ladders with grab bars. Each ladder will extend to grade. o Towers be operated by two (2) two speed, single winding fan motors. o External equalizer connections, one per tower. Allows each cell to be isolated by simply

closing a valve. No flume/weir plates to install underwater. o Belt drive fan assembly with L-10 bearing life of at least 75,000 hours. Extended

lubrication lines to exterior of tower. Motor is either mounted on exterior of tower (smaller tonnage tower) or on a swing out base (larger tower - hinged, swings to exterior of tower if ever replaced) .

4) Reconnect the condenser water piping and bypass. Existing bypass valve will be reused/remain. New condenser and makeup water piping will be schedule 40 steel. Will include a new butterfly isolation valve on each inlet and outlet and the equalizer line.

5) Reconnect makeup water, overflow, and drain lines. New makeup water piping will be copper, insulated with Armaflex insulation after completion to match existing. New overflow and drain lines furnished will be schedule 40 PVC and will run to the existing drain connection.

All new steel exterior condenser water piping will be painted with an epoxy paint after completion of piping . Makeup water line will be insulated after completion with Armaflex insulation.

6) Furnish and install a new starter control panel , rated for 460/3. Will include the following" • NEMA 3r outdoor enclosure • Main power disconnect switch. • Two (2) two speed , single winding starters with hand-off-auto switches and pilot

lights per cell. • Basin heater contractors with pilot light and auto-off switch per cell . • Control transformer • Terminal strip for control stages (stages/control signals to be furnished by

others/owner). Existing wiring will be reconnected , if present.

7) Furnish and install necessary electrical wiring for the new cooling towers. A new disconnect switch panel will be furnished and installed for both fan motors. New conduit and wiring will be furnished as required , EMT galvanized conduit with 24-36" of flex conduit at the terminations (motors, heaters, vibration switches) .

8) Verify proper operation of the cooling tower.

9) Leave job site in a clean condition.

10) All necessary labor, materials, crane, disposal, supervision, and insurance are included.

11) Does not include: o Temporary towers (we do have them available in our rental fleet if needed). o Insulation of condenser water piping (none presently exists) or new heat tracing

(existing to be reinstalled , if present). o Controls or control system modifications.

12) TWO (2) year parts and labor warranty. Tower includes five (5) year motor and drive components warranty (fan motor, bearings, fan , etc).

Base Scope of Work

Below is a detailed description of the repairs Cooling Towers of Texas recommends. These scope items address the most critical issues affecting the cooling tower.

1. REYMSA Cooling Tower Provide one (1) new REYMSA Model No. RT-8222100-B, induced draft counterflow cooling tower certified to cool 1,275 gpm of water from 96°F to 86°F at an entering wet bulb temperature of 80°F. The cooling tower is a seamless, one-piece design, constructed ofFRP that is double gel-coated for superior UV protection and long service life. Below is a summary of the cooling tower components.

• Two (2) 10 HP fan motors, 230/460 volt-3 phase-60 Hz; Premium Efficiency, Inverter Duty, Marine Grade

• Direct drive motors mounted above spray distribution system, fill and drift eliminators. • Fiberglass Reinforced Polyester (FRP), Double Gel-Coated for Superior UV Protection

and long service life; seamless one-piece molded construction. • 6 ft ofCF-1900 Fill • Exceeds Energy Efficiency per ASHRAE Standard 90.1-2016 • 15-Y ear warrant on tower casing and structure; 5-year motor warranty • Accessories Included: End Inlet, End Outlet Connections, Bypass Connection, Vibration

Cut Out Switches, External Ladder with Safety Cage, Catwalk and Perimeter Handrails

2. Cooling Tower Support Structure Provide labor and material to install four ( 4) new W8 x 18# x 19' long hot dipped galvanized steel beams. The new beams will be installed on the existing concrete piers. One (1) new galvanized steel support frame will be provided and installed on the new wide flange beams. New 300 series stainless steel hardware will be provided to secure the new supports.

3. Variable Frequency Drive Provide labor and material to provide and install one (1) new ABB Model ACH580VDR-034-A Variable Frequency Drive. The new VFD has the following characteristics:

• Wall mounted NEMA 1 Enclosures • Rated for 460 volt/60 Hz/3 Phase • PWM Technology with low noise IGBT's • Electronic motor overload with short circuit/ground fault protection • Power factor correlation to 0.96 at all speeds • Keypad HOA and speed adjustment keys • DC link input filters to meet IEEE 519 • 0-10 VDC, 0-20 mA or potentiometer analog inputs for speed controller by others. • Manual bypass with input disconnect, including motor starter with manual bypass overload

relay, bypass and drive contactors, drive-off-bypass switch, indication lights and control terminal strip.

Cooling Towers of Texas will subcontract the following work to a local contractor. • Remove and dispose of the existing cooling tower. • Disconnect the existing piping and electrical. • Provide crane services. • Install new piping for the new REYMSA Cooling Tower.

Note: The existing isolation valves will be reused. If they are in poor condition and cannot be reused new isolation valves can be provided and installed for an additional cost.

• Install new pipe stands are required. • Remove and replace two (2) condenser water pumps/motors. • Provide electrical services to connect new REYMSA Cooling Tower. New rigid conduit

with copper wire will be provided and installed from the existing electrical to the new cooling tower.

Cooling Tower s of Texas Labor Crew Qualifications

Cooling Towers of Texas understands our organization's success is rooted in our labor crews' ability to perform the required work tasks as safely and efficiently as possible. Therefore, Cooling Towers of Texas puts a premium on hiring reliable, diligent employees and providing them with the most extensive training available in the cooling tower industry. Below is a brief description of the qualifications of the labor crew that will be used to perform the quoted work:

• All employees are TWIC certified. • Each superintendent is trained in CPR and First Aid. • Each superintendent has completed the OHSA 30-Hour Safety Course. • Each foreman has completed the OSHA 10-Hour Safety Course. • Puncture-resistant boots are a required part of each Cooling Towers of Texas employees' standard

personal protective equipment. This helps prevent the possibility of loose or exposed nails from penetrating the soles of any employee's footwear.

• All field employees are drug and alcohol tested per Cooling Towers of Texas Drug and Alcohol Abuse Policy, which will meet or exceed the customer's standards/ policies.

Customer Responsibilities

Below is a list of items/services that are to be provided by the customer. The prices quoted within this submission are based upon terms listed below. Cooling Towers of Texas is happy to discuss these terms if modifications are required.

• Isolation of cells, man lifts, extended boom forklifts , electrical power, restroom facilities and scaffolding, if required are by Cuero Regional Hospital.

• All fuel required for any equipment necessary to execute the quoted scope of repairs is by Cuero Regional Hospital.

• 4-Gas monitors and/or any other confined space monitors that are required will be provided by Cuero Regional Hospital for the duration of the project.

J ob Notes The prices quoted for the work described herein is only valid per the following terms:

• The quoted prices are a lump sum for material, labor, per diem and travel only. • Due to the volatility of the fuel market, freight is not included in the quoted prices. Freight will be

charged at cost plus 10%. • Taxes are not included in the quoted prices. • Cooling Towers of Texas reserves the right to take possession and return any and all excess material

to Cooling Towers of Texas' warehouse after the completion of any lump sum bidjob(s). • Labor is based on working (5) 10-hour days per week (one overtime day per week is included)

starting on a Monday. If work must be started on any day other than Monday, additional overtime charges may be incurred. Cooling Towers of Texas can offer an alternative work schedule to complete the quoted repairs in a shorter amount of time for an additional cost.

• Any delays outside of the control of Cooling Towers of Texas such as, but not limited to permitting delays will be charged to Cuero Regional Hospital on a Time & Material basis.

• The prices quoted herein are only valid if all scope items are performed during the same mobilization. If Cuero Regional Hospital is interested in performing only a portion of the quoted repair items, Cooling Towers of Texas reserves the right to revise this quotation.

• If a purchase order is issued, a signed proposal received or any other authorization to proceed with the proposed work is provided by the customer and the project is cancelled, the customer will be subject to re-stocking fees , freight costs and any pre-project labor costs that has been performed to that point.

• A dedicated Safety Coordinator is not included in the quoted prices. The Field Superintendent is capable of administering all field safety notices and ensuring the labor crew works in a manner in accordance with Cooling Towers of Texas' stringent safety requirements. If a Safety Coordinator is required, Cooling Towers of Texas can provide a dedicated Safety Coordinator for an additional cost.

• Cooling Towers of Texas reserves the right to salvage and take ownership of any components removed from the cooling tower in the course of the execution of the proposed repairs/upgrade.

• Pricing is valid for 60 days from date of proposal. • The following proposal is only valid based upon the attached Payment Terms.

Below is an explanation of Cooling Towers of Texas' Standard Payment Terms. These terms are applicable for all goods and services rendered by Cooling Towers of Texas. Acceptance of these terms is required prior to the provision of any goods or services as described in the attached proposal.

Standard Payment Terms • Net 30 Days after date of submitted invoice.

o Material will be billed upon shipment. o Labor will be billed progressively throughout the duration of the quoted work.

• Late Payment Penalties: o 1 to 30 Days Past Due: 1 % of the purchase order amount o 31 to 60 Days Past Due: 2% of the purchase order amount o 61 to 90 Days Past Due: 3% of the purchase order amount o 91 to 120 Days Past Due: 4% of the purchase order amount o Over 120 Days Past Due: 5% of the purchase order amount

• Early Payment Discount: o I% discount off the total price of the job for receipt of payment within 15 days of the date of

mv01ce. *Date of the submitted invoice establishes the date to calculate the payment terms. *Payment date is based upon the post mark date of the submitted payment.

Cooling Towers of Texas will make every effort possible to work together with the customers ' Accounts Payable Department to ensure all invoicing is in accordance with customers' procedures.

Standard Warranty Cooling Towers of Texas warrants against defects in materials and workmanship for a period of 12 months, provided that the customer shall give Cooling Towers of Texas written notice of any such defects within 10 days after the discovery of the defect. This warranty is based on customer adhering to manufacturer's recommendations for routine maintenance and installation procedures. Warranty does not cover any damage resulting from the reinstallation of existing cooling tower components. Material warranty is only applicable to new cooling tower components provided by Cooling Towers of Texas.

Maintenance Cost Comparison of Drive Systems

There are several different options to consider when purchasing a Cooling Tower. One of which is the type of drive used on the fan. Typically the type of Drive System is not considered as much as the initial cost. But if you factor in the Ute-Cycle-Cost, the advantage of low cost is actually reversed in a very short period. There are typically three different types of drives used with Cooling Towers.

1. Belt Drive

Historically the Belt Drive is the most widely used system mainly due to the lower initial cost. However the maintenance requirements are very demanding.

• Belts wear out and need replacement.

• New belts require tension adjustment.

• Pulley/Sheaves will eventually wear.

• Alignments must be considered.

• Bearings must be maintained.

• The belts have a life span of one year.

The Gear Drive is presented as "More Reliable" which is a very true statement when compared to the Belt Drive. Gear drives are constructed like a piece of machinery with metal gears and oil to give a more durable product to reduce the RPM's. As any piece of machinery, there will still be required maintenance to the connections and the gear box.

• Oil levels must be checked.

• Coupling must be checked.

• Shaft extensions must be checked

• Oil needs to be changed.

The Gear Drive System used in REYMSA RTG & RTGM towers includes an extreme duty sealed motor that can endure the harsh Cooling Towers environment. Shaft extensions are not required.

The Direct Drive motors eliminate the frequent service required by belt drives that have higher operational and maintenance cost.
