With the region’s economy finally improving,SEED increased its lending to small businessesby 20 percent in Fiscal Year 2012. Under allits programs, SEED made 134 loans totaling$40 million. These loans leveraged $73million in bank loans and private funds,and assisted in the creation of 692 newjobs.

This past year, working with the region’sfinancial institutions, SEED approved 46 loansunder the SBA 504 Program, and closed onanother 45, for a total of 91 loans representing$38 million. So far, SEED has made 622 SBA504 loans totaling $218 million and creating5,170 jobs.

SEED’s Revolving Loan Fund (RLF)provides loans up to $200,000 whichrepresent a portion of the total financingneeded. These loans assist small businesseswith working capital and fixed asset projects,and are subordinate to the participatingfinancial institution. So far, SEED has made396 RLF loans totaling $15 million, andcreating 2,383 new jobs.

SBA 504 loans, which finance primarily thepurchase and improvement of business realestate in participation with the region’s banks,provided small businesses with the lowestfixed rates in years, on average 4.3 percentfixed for 20 years. The lower down payment,frequently only 10 percent instead of theconventional 20 to 25 percent, enabled smallbusinesses to conserve working capital.

In August, SEED received a $1 million grantaward from the Community DevelopmentFinancial Institution (CDFI) Fund under the

U.S. Department of the Treasury. The grantincreased SEED’s loan capital base to $6million, and has enabled SEED to continuemeeting the demand for gap loans up to$200,000. SEED also borrowed additionalfunds from SBA to continue making microloans up to $50,000.

As the region’s local development companyfor the last 30 years, SEED has made 1,784loans totaling $300 million, leveraging $608million in private funds, and creating11,268 jobs. SEED’s total current loanportfolio balance is $105 million.

As the regional SBA Intermediary for theMicro Loan Program, SEED continued tomake micro loans and conduct its BusinessAssistance Program, which includes smallbusiness workshops, individual businessassistance, and a small business library. So far,SEED has made 387 micro loans totaling$9 million and creating 1,133 new jobs.

This past year, SEED held 27 workshopsattended by 486 prospective and existingentrepreneurs, and provided 877 businessassistance sessions for a total of 1,363individuals. The workshops taught the basicson starting and operating a small business,and understanding financial statements andcash flow.

SEED Ventures LP, a $20 million mezzanineand quasi equity fund designed to assist theregion’s growing businesses, was sponsoredby SEED and licensed by SBA in 2005 as aSmall Business Investment Company (SBIC).The Fund has made 30 investmentstotaling $14.4 million. Investments range

from $250,000 to $1.25 million in companieswith potential for growth and job creation.

ABOUT SEED CORPORATION

The South Eastern Economic Development (SEED) Corporation was established in1982 as a Chapter 180 non-profit corporation under the Massachusetts General Laws.Late that year, SEED was certified by the U.S. Small Business Administration (SBA) topackage loans under the 504 Program. SEED’s mandate is to assist small businessesto start up, expand and create new jobs.

In the fulfillment of its mission, SEED has also become: a Community DevelopmentFinancial Institution (CDFI) under the U.S. Department of the Treasury; a CommunityAdvantage Lender under SBA’s 7A Guaranty Program; and an Intermediary Lenderunder the SBA Micro Loan Program.

SEED’s geographic coverage presently includes Massachusetts and Rhode Island.SEED has 200 members and 40 directors. The membership represents: communitybusiness organizations; local economic development officials; financial institutions; andsmall businesses. SEED has a staff of fourteen. Administrative costs are coveredthrough fees, interest on loans, and grant funds for small business technical assistance.

SEED’s financing programs are designed to work in conjunction with the banks in theregion. In some cases, SEED’s role is to assist and support small businesses in theirstart up phase until they are ready for bank financing.

SEED runs three programs which provide loans ranging from $1,000 to $5.5 million.They are: the SBA 504 Program; the Revolving Loan Fund; and the Micro Loan Program.

SEED’S LOAN PROGRAMS

Through the SBA 504 Program, a small business can obtain up to 90 percent financingfor a fixed asset project. A bank selected by the applicant finances 50 percent of theproject and takes first position on the project collateral. An SBA 504 debenture providesup to 40 percent in second position, and the applicant provides the remaining 10 percent.The bank portion is financed at conventional rates and terms. SEED staff is responsiblefor all the “504” paperwork.

Ten years for machinery and equipment and 20 years for real estate projects. Interestrate is fixed and close to the prime rate. Last year’s rate averaged 4.3% fixed.

For-profit corporation, partnership or proprietorship; industrial or commercial enterprise;net worth not in excess of $15 million; less than $5 million average net profit after taxesduring previous two years.

Acquisition of land and buildings; construction and/or renovation; leaseholdimprovements; machinery and equipment; furniture and fixtures; interim interest; andprofessional fees.

A minimum of $50,000 (a total project of $125,000), and maximum of $5.5 million on aproject of $13.75 million or more. On projects smaller than $300,000, SEED evaluatesthe benefits to the client, and may use its Revolving Loan Fund.

One job for each $65,000 of SBA investment over a period of two years. The jobrequirement may be waived by meeting public policy goals.

SEED established the Revolving Loan Fund (RLF) Program with grants from the U.S.

Economic Development Administration and the State of Massachusetts. Since 1984 SEED

has received a total of $3.2 million in grants to provide gap financing for small businesses.

Under the RLF Program, SEED provides loans up to $200,000 which can be used as the

down payment on a larger project. The SEED portion of the project is usually 30 percent but

can be larger if there is a demonstrated gap.

Manufacturing, agriculture and fishing, retail, wholesale and service businesses; net worth not

in excess of $2 million; less than $750,000 average net profit after taxes during previous two

years.

Acquisition of land and buildings; construction and/or renovation; equipment and furnishings;

and working capital. Job creation or retention is required.

Up to 10 years with amortization schedules up to 20 years and an interest rate below market

and fixed, currently 5%.

SEED administers this program with $1.2 million in grants from Massachusetts, and loans

from SBA. Under SBA’s Micro Loan Program, SEED has access to $5 million in loan funds to

assist small businesses in Massachusetts and Rhode Island.The following banks have

contributed to the reserve fund required for this program: Bank of America; Bristol County

Savings Bank; Citizens Bank; Eastern Bank; Rockland Trust Company; Sovereign Bank; and

Webster Bank.

Under the Micro Loan Program, SEED provides loans up to $50,000 which can be used for

working capital, machinery and equipment, and furniture and fixtures.

Manufacturing, retail, wholesale and service businesses.

The term is up to six years. The interest rate is close to market and fixed, currently 6%.

This $20 million fund, sponsored by SEED and licensed by SBA as a Small Business

Investment Company (SBIC) in 2005, specializes in subordinated debt, senior debt and equity

investments in small and medium size businesses. The fund focuses on Massachusetts and

Rhode Island, but can make investments in New England.

The investment process formally begins with the submission of a Business Plan which

includes: a brief overview of the company; experience and background of key management;

description of the company’s products and/or services; analysis of the service market;

discussion of the company’s strategic plan; financial history and projections; amount of

financing required and use of funds; and personal financial statement for the principals.

Investment opportunities are presented to the Investment Committee for review and final

approval.

Companies with a net worth of $18 million or less, and an average net income in the last two

years of $6 million or less; annual sales of $1.5 million or more; positive cash flow; and

significant growth potential.

Investments range from $250,000 to $1.25 million, although larger transactions can be made.

The use of funds includes: strategic acquisitions; buyouts; recapitalizations; capital to support

growth; and equipment and real estate purchases.

Up to 7 years maturity; up to two years interest only period; interest of 12% to 14%; and

warrants or a similar equity related security.

SEED established the Revolving Loan Fund (RLF) Program with grants from the U.S.

Economic Development Administration and the State of Massachusetts. Since 1984 SEED

has received a total of $3.2 million in grants to provide gap financing for small businesses.

Under the RLF Program, SEED provides loans up to $200,000 which can be used as the

down payment on a larger project. The SEED portion of the project is usually 30 percent but

can be larger if there is a demonstrated gap.

Manufacturing, agriculture and fishing, retail, wholesale and service businesses; net worth not

in excess of $2 million; less than $750,000 average net profit after taxes during previous two

years.

Acquisition of land and buildings; construction and/or renovation; equipment and furnishings;

and working capital. Job creation or retention is required.

Up to 10 years with amortization schedules up to 20 years and an interest rate below market

and fixed, currently 5%.

SEED administers this program with $1.2 million in grants from Massachusetts, and loans

from SBA. Under SBA’s Micro Loan Program, SEED has access to $5 million in loan funds to

assist small businesses in Massachusetts and Rhode Island.The following banks have

contributed to the reserve fund required for this program: Bank of America; Bristol County

Savings Bank; Citizens Bank; Eastern Bank; Rockland Trust Company; Sovereign Bank; and

Webster Bank.

Under the Micro Loan Program, SEED provides loans up to $50,000 which can be used for

working capital, machinery and equipment, and furniture and fixtures.

Manufacturing, retail, wholesale and service businesses.

The term is up to six years. The interest rate is close to market and fixed, currently 6%.

This $20 million fund, sponsored by SEED and licensed by SBA as a Small Business

Investment Company (SBIC) in 2005, specializes in subordinated debt, senior debt and equity

investments in small and medium size businesses. The fund focuses on Massachusetts and

Rhode Island, but can make investments in New England.

The investment process formally begins with the submission of a Business Plan which

includes: a brief overview of the company; experience and background of key management;

description of the company’s products and/or services; analysis of the service market;

discussion of the company’s strategic plan; financial history and projections; amount of

financing required and use of funds; and personal financial statement for the principals.

Investment opportunities are presented to the Investment Committee for review and final

approval.

Companies with a net worth of $18 million or less, and an average net income in the last two

years of $6 million or less; annual sales of $1.5 million or more; positive cash flow; and

significant growth potential.

Investments range from $250,000 to $1.25 million, although larger transactions can be made.

The use of funds includes: strategic acquisitions; buyouts; recapitalizations; capital to support

growth; and equipment and real estate purchases.

Up to 7 years maturity; up to two years interest only period; interest of 12% to 14%; and

warrants or a similar equity related security.

ABOUT SEED CORPORATION

The South Eastern Economic Development (SEED) Corporation was established in1982 as a Chapter 180 non-profit corporation under the Massachusetts General Laws.Late that year, SEED was certified by the U.S. Small Business Administration (SBA) topackage loans under the 504 Program. SEED’s mandate is to assist small businessesto start up, expand and create new jobs.

In the fulfillment of its mission, SEED has also become: a Community DevelopmentFinancial Institution (CDFI) under the U.S. Department of the Treasury; a CommunityAdvantage Lender under SBA’s 7A Guaranty Program; and an Intermediary Lenderunder the SBA Micro Loan Program.

SEED’s geographic coverage presently includes Massachusetts and Rhode Island.SEED has 200 members and 40 directors. The membership represents: communitybusiness organizations; local economic development officials; financial institutions; andsmall businesses. SEED has a staff of fourteen. Administrative costs are coveredthrough fees, interest on loans, and grant funds for small business technical assistance.

SEED’s financing programs are designed to work in conjunction with the banks in theregion. In some cases, SEED’s role is to assist and support small businesses in theirstart up phase until they are ready for bank financing.

SEED runs three programs which provide loans ranging from $1,000 to $5.5 million.They are: the SBA 504 Program; the Revolving Loan Fund; and the Micro Loan Program.

SEED’S LOAN PROGRAMS

Through the SBA 504 Program, a small business can obtain up to 90 percent financingfor a fixed asset project. A bank selected by the applicant finances 50 percent of theproject and takes first position on the project collateral. An SBA 504 debenture providesup to 40 percent in second position, and the applicant provides the remaining 10 percent.The bank portion is financed at conventional rates and terms. SEED staff is responsiblefor all the “504” paperwork.

Ten years for machinery and equipment and 20 years for real estate projects. Interestrate is fixed and close to the prime rate. Last year’s rate averaged 4.3% fixed.

For-profit corporation, partnership or proprietorship; industrial or commercial enterprise;net worth not in excess of $15 million; less than $5 million average net profit after taxesduring previous two years.

Acquisition of land and buildings; construction and/or renovation; leaseholdimprovements; machinery and equipment; furniture and fixtures; interim interest; andprofessional fees.

A minimum of $50,000 (a total project of $125,000), and maximum of $5.5 million on aproject of $13.75 million or more. On projects smaller than $300,000, SEED evaluatesthe benefits to the client, and may use its Revolving Loan Fund.

One job for each $65,000 of SBA investment over a period of two years. The jobrequirement may be waived by meeting public policy goals.

With the region’s economy finally improving,SEED increased its lending to small businessesby 20 percent in Fiscal Year 2012. Under allits programs, SEED made 134 loans totaling$40 million. These loans leveraged $73million in bank loans and private funds,and assisted in the creation of 692 newjobs.

This past year, working with the region’sfinancial institutions, SEED approved 46 loansunder the SBA 504 Program, and closed onanother 45, for a total of 91 loans representing$38 million. So far, SEED has made 622 SBA504 loans totaling $218 million and creating5,170 jobs.

SEED’s Revolving Loan Fund (RLF)provides loans up to $200,000 whichrepresent a portion of the total financingneeded. These loans assist small businesseswith working capital and fixed asset projects,and are subordinate to the participatingfinancial institution. So far, SEED has made396 RLF loans totaling $15 million, andcreating 2,383 new jobs.

SBA 504 loans, which finance primarily thepurchase and improvement of business realestate in participation with the region’s banks,provided small businesses with the lowestfixed rates in years, on average 4.3 percentfixed for 20 years. The lower down payment,frequently only 10 percent instead of theconventional 20 to 25 percent, enabled smallbusinesses to conserve working capital.

In August, SEED received a $1 million grantaward from the Community DevelopmentFinancial Institution (CDFI) Fund under the

U.S. Department of the Treasury. The grantincreased SEED’s loan capital base to $6million, and has enabled SEED to continuemeeting the demand for gap loans up to$200,000. SEED also borrowed additionalfunds from SBA to continue making microloans up to $50,000.

As the region’s local development companyfor the last 30 years, SEED has made 1,784loans totaling $300 million, leveraging $608million in private funds, and creating11,268 jobs. SEED’s total current loanportfolio balance is $105 million.

As the regional SBA Intermediary for theMicro Loan Program, SEED continued tomake micro loans and conduct its BusinessAssistance Program, which includes smallbusiness workshops, individual businessassistance, and a small business library. So far,SEED has made 387 micro loans totaling$9 million and creating 1,133 new jobs.

This past year, SEED held 27 workshopsattended by 486 prospective and existingentrepreneurs, and provided 877 businessassistance sessions for a total of 1,363individuals. The workshops taught the basicson starting and operating a small business,and understanding financial statements andcash flow.

SEED Ventures LP, a $20 million mezzanineand quasi equity fund designed to assist theregion’s growing businesses, was sponsoredby SEED and licensed by SBA in 2005 as aSmall Business Investment Company (SBIC).The Fund has made 30 investmentstotaling $14.4 million. Investments range

from $250,000 to $1.25 million in companieswith potential for growth and job creation.
