development of a roadmap for implementation on improvement areas.• Oversee finance activities around AR/AP/Payroll/Tax/etc. and perform month-end

activities with regards to reconciliations, accruals and consolidations (as applicable).

• Develop and implement monthly financial reporting package.• Meet with external stakeholders relevant to finance (shareholders, banks, legal,

insurance etc.).• Develop rolling cashflow and manage cashflow.• Develop Financial Planning Model which assists with forecasting and business

planning.

Weekly contracts are scoped for full service at a scalable level for the organization. Finance leaders will implement a budget & forecast, cash-flow model, financial reporting and other related finance improvements if there is a current gap in the finance function. The finance leader will oversee the finance function & be an active member of the executive team. The Finance Leader is on your strategy team. They manage stakeholder relationships including lenders, investors, board of directors, insurance/legal/tax. They assist with the back-office and administrative departments and are a business partner to operations.

All areas of accounting & finance are within the scope of the weekly contract & the timeline will be agreed to based on the scalable package assigned.

If a robust strategy has not been formalized, documented and implemented, an Amplify advisor will facilitate a complimentary 1 day strategy session (if requested) as part of the weekly contracts.

The 1 day strategy session is built on the book “Playing to Win” and is built around the following 5 pillars:

Output from the 1 day strategy session will includea 1 page deliverable and assistance with development of a strategy scoreboard.

Monthly contracts allow for time to oversee & advise & coach on all above noted items. Additional efforts may be required & the Finance Leader or Amplify can be engaged to implement a budget & forecast, cash-flow model and other related finance improvements if there is a current gap in the finance function. The finance leader will be available to advise/coach the executive team. Additional services can supplement when required such as strategy consulting, new lending/equity arrangements, corporate governance assistance, controls, risk, automation, business process improvements or other. Financing reporting for management including dashboards, profit and loss and key performance indicators will be created & provided either monthly or quarterly to assist with business decision making.

• Actual time may vary, however, we scope our recommendation based on your business structure and size. We strive to meet expectations at committed package level. Our onboarding phase allows us to confirm the level of service required.

• For weekly contracts, at the end of the first phase we would present a reasonable timeline for improvements based on an average of the suggested days per week/month. Our efforts on improvements are balanced with the continuing oversight and management of the finance function while producing our promised deliverables.

• The price also includes an account manager. The account manager assists with business advisory & coaching, feedback, candidate management, client relationship & account management.

• We are committed to ‘no surprise billing’ and we do not bill for overages. Our account manager will work with you on scope including a review of hours and effort each quarter and a discussion of forecasted needs. We aim to select a package that is appropriate, on average, over the course of the annual contract. Our weekly contracts are fractional, and we take on the full role and responsibility of the Chief Financial Officer. Our candidates balance the needs of their clients and are professional in their efforts and availability.

• Our Finance Leaders are not virtual. They are members of your executive team and strive to become integrated within your team and culture.

• We are invested in our relationship with you. We help clients with their growth and our services are scalable. We will revisit our scope and the time we have committed to on a regular basis to ensure we are meeting expectations and supporting the growth of your business.

Pricing Details• Based on our understanding of your requirements and our forecasted effort to deliver our services, our estimate of professional fees

for the related services are summarized in this discussion deck. These estimates exclude applicable taxes and approved out-of-pocket expenses. We will work with Management to keep these costs at a minimum and where there is no travel, we generally do not anticipate these costs.

• Fees will be charged on a monthly retainer basis that is invoiced on the first day of service, prorated for the month of service. On an ongoing basis we will invoice during the first week of each month. Invoices are due upon receipt.

• Our proposal includes a summary of service descriptions. We are happy to provide additional details and descriptions or to discuss. The rates charged for silver contracts is built based on approximately $140 per hour. Actual rates in the first year tend to be lower due to the investment of our onboarding process. Our rates are fixed price due in advance of services. The scope and contract are subject to regular review, but no overtime or additional hourly charges will be billed unless management has agreed to special circumstances in advance.

• Packages of any size can be developed using the model of $140 per hour on average for silver candidates.

• Accounting Head-quarters (AHQ) is included in our retainer pricing. AHQ supports the Finance Leader with onboarding, technology,quality control as well as the deliverables included in our packages.

• Technology is included in our retainer pricing. Technology allows us to build a scalable finance function. In most cases, we require the use of cloud accounting. Our technology is key to our ability to deliver our value propositions with consistent quality that is expected from our clients.

• We charge a 5% technology administrative fee for all Amplify software, related administration, AHQ support, and other technology related costs, which we are consistently amplifying and improving. This fee will not exceed $500 per month.

Pricing DetailsThe following is not included in our estimated professional fees:

• Book-keeping and transactional support is not included in the attached fees. We have only priced the finance leader level in theattached fees. Book-keeping and the full finance function including payroll, treasury and record-keeping can be priced if desired. Generally, the cost is $40-50 per hour billed at an agreed upon monthly rate. We are also happy to oversee and work with your current finance function or assist in connecting you with a book-keeper candidate.

• Assurance, tax expertise and compliance are not included in the attached fees. Our Finance Leaders support the year-end audit and tax compliance by preparing and providing information as well as managing the external stakeholder relationship. The FinanceLeader is not independent in our role and therefore can not sign Notice to Readers, audit or review engagements. Our Finance Leaders are experienced business advisors and CPAs, however, they are generally not specialists in tax. We work with our client’s tax accountants for the final review of tax filings, tax planning and related expertise. We are also happy to assist in connecting you with an assurance and tax provider.
