B. The :endor-< is a man'fact'rer of moi$e devices The :endor-< is desiro's of getting theA&&$ications deve$o&ed y A8 to e insta$$ed and integrated "hich are y the vendor f'rther to einsta$$ed and integrated y -< in itsthe 6rod'cts and to e so$d to end 'ser (s)c'stomers

C. The Servie 6roviderA8 has agreed to &rovide the Services for the deve$o&ment of theA&&$ications as &er the terms &rovided inof this Agreement

ha"e the meaning assigned to them for the purpose of this agreement in the

(inc$'ding $oss of va$'e or o&&ort'nity), $iai$ities, c$aims (inc$'ding third &arty c$aims),damages, costs and e.&enses (inc$'ding reasona$e attorney fees), cost of enforcing theindemnity c$a'se;

8. SERVICES

?1 Service 6roviderA8 agrees to &rovide the fo$$o"ing services d'ring the Term of thisAgreement7

(a) #eve$o& the A&&$ications as &er the S&ecifications and &rovide the same to the :endor

-< for insta$$ation and integration in the 6rod'cts;

() 6rovide '&grades of the A&&$ications, as and "hen avai$a$e; and

(c) 6rovide reasona$e assistance in fi.ing the 'gs iss'es fo'nd in the A&&$ications sofar as &ractica$;

?2 Service 6roviderA8 sha$$ deve$o& and &rovide the A&&$ications to the :endor-< "ithin 1*days from the date of e.ec'tion of this Agreement (“S/5mi''ion Date”)

9. 4ICENSE T) T(E APP4ICATI)NS

41 3n consideration of the grant of Advertisement Fights and $icense for 'singof the :endorBs-<Bs trademar=s as &er this Agreement, the Service 6roviderA8 herey grants to the:endor -< a $imited, none.c$'sive, nontransfera$e, &re$oad distri'tion $icense "ithin theTerritory, d'ring the Term of this Agreement and to 'se the A&&$ications on$y for the&'r&oses of &re$oading the A&&$ications onto the 6rod'cts and distri'ting the A&&$icationsas &re$oaded a&&$ications on the 6rod'cts
