The Owego Apalachin Board of Education held a Regular Meeting at Owego Free Academy, 1 Sheldon Guile Blvd., Owego, NY, on Thursday, April 23, 2015.

I. CALL TO ORDER Vice President Cvik called the meeting to order at 7:00 PM.

II. ROLL CALL

VI. CONSENT AGENDA A motion was made by Mr. Lee Dunham and seconded by Mr. John Crosby that the Board of Education adopt the following consent agenda. VII. PRESIDENT’S REPORT None

VIII. SUPERINTENDENT’S REPORT Dr. Russell shared the number of students that opted out of the recent state testing. BoE Candidates Dr. Russell stated that this past Monday, April 20th, was the deadline for petition of candidates for the BoE. There are two open seats this year. These seats are currently held by Mr. John Crosby and Mr. David Barton. Petitions have been received from Mr. John Crosby and Mr. David Barton. The drawing for candidate position on the ballot was completed at this time. The order on the ballot will be: 1. John Crosby 2. David Barton Multiple Paths to Graduation – Mr. Bob Farrell and Mr. Heath Georgia have a brief report on the new graduation paths. Apalachin Library Proposition – The Apalachin Library has presented a petition to be included on the May 19th ballot. This is information only – no action was taken and the proposition will be included on

BOARD OF EDUCATION MINUTES May 19th. Rebuilding OACSD – Dr. Russell shared updates on the new elementary, administration, and maintenance buildings. The BoE was given a tour prior to this meeting. They were very impressed with everything from the flow of the building to the natural light. It is amazing to see it taking shape.

IX. DISTRICT BUSINESS Bus Proposition A motion was made by Mrs. Buffie Arhbal and seconded by Mrs. Stacey Riegel to approve the Bus Proposition not to exceed $495,000 and to place proposition(#2 )on the annual ballot.

Athletic Placement Process & Resolution – Andy Buchsbaum Mr. Buchsbaum gave a detailed report and demonstration on the APP process. A motion was made by Mr. Lee Dunham and seconded by Mrs. Becky Goodrich to approve the approve the Athletic Placement Process.

X. PUBLIC COMMENTS Mr. Jerry Jones – Owego, NY Mr. Jones commented on the testing results that were discussed earlier. XI. BOARD COMMITTEE REPORTS Zach Zielinksi – May 4thi is the start of AP exams. A guest speaker, Mr. Tom Brennan, was in this week and was very well received. Senior shirts have been handed out this week. A special thank you to Ms. Twoey for designing them. Also, many OFA students have signed letter of intents in the past few weeks. Policy Review – Mr. Crosby Mr. Crosby stated that the next section is being worked on by Dr. Russell and Mr. Jensen.

XII. DISTRICT COMMITTEE OF THE WHOLE

Athletics – Mr. Buchsbaum stated the Brandon Hathaway and Rachel Merrill were named to Binghamton Press All stars for basketball. OES –.Mrs. McKeveny stated that all that has been done over the past few weeks is testing OAMS –.Mr. Beatty stated that a donation will be made to Hoops for Heart from their recent fund raising competition. Also, the Tri Cities Opera is coming to perform The Best of Broadway. OFA –. Fire department has been in discussing volunteerism. The NYSSMA festival was recently held. Also the spring concert is May 1st. Mr. Georgia submitted a recommendation to change our graduation and awards ceremony format and it was recently approved. Now all awards and scholarships will be given out prior to the actual graduation ceremony.

District Documents LWWest Lease Agreement 2015-2016 Owego Apalachin

LEASE AGREEMENT

This agreement made between the Union-Endicott Central School District (Lessor), 1100 East Main Street, Endicott, NY 13760 and the Owego Apalachin Central School District (Lessee), 36 Talcott Street, Owego, NY 13827.

1. Purpose – Lessee agrees to lease from the Lessor approximately 46,826 square feet of space located at the premises commonly known as Linnaeus W. West Primary School, 1201 Union Center Maine Highway, Endicott, NY 13760. Said premises are to be used for Owego Apalachin Central School District business purposes only.

2. Term – This lease shall commence July 1, 2015, and end on December 31, 2015.

3. Lease Payments – The rental for the term of the lease shall be $175,014.00 and is due and

owing as of the signing of this lease. However, for the convenience of the Lessee, the rent may be paid in monthly installments of $29,169.00, beginning July 1, 2015. Rental payments are due and payable as of the first of each month. Beginning on January 1, 2016, if Owego Apalachin Central School District requests additional monthly occupancy, the rental term will be determined on a monthly basis and paid in monthly installments of $29,169.00.

EARLY TERMINATION OPTION. Lessee has the option of terminating this Lease prior to the Termination Date specified in Section 2, on not less than 30 days notice as hereinafter described. To exercise this Early Termination Option, Lessee must deliver to Lessor (1) a written notice stating that Lessee has elected to exercise the Early Termination Option and identifying the date of such early termination (“Early Termination Date”), and (2) all Rent and additional Rent due through the Early Termination Date. When Lessor acknowledges receiving the written notice and payment from Lessee, the Termination Date of this Lease shall be deemed amended to be the Early Termination Date. The Early Termination Option may be exercised only if Lessee is not in default under the Lease at the time that Lessee gives notice of the exercise of the Early Termination Option. All remaining Lease terms will remain in full force and effect. Lessee and its employees shall remove all of its personal property and belongings as of the termination date. Lessee shall leave the premises in the same condition as when it took occupancy less normal wear and tear.

4. Taxes – In the event the demised premises comes onto the tax rolls and are thereby subject to real estate taxes, the Lessee shall be responsible for the payment of said real estate taxes as they come due without pro ration.

5. Lessor Services – Lessor shall be responsible for the payment of electric, heat, telephone system (but not calling charges) and general outside maintenance including lawn service and snow plowing services. Lessor agrees to provide SMART Boards for Lessee’s use. Lessee agrees to provide custodial services for the building interior. Lessee agrees to

provide furniture for building use. The Lessee agrees to accept the premises in “as is” condition.

6. The Lessee agrees to provide the District with certificate(s) of insurance, naming the

Union-Endicott Central School District as an additional insured, evidencing the following coverage(s):

1. General liability in the minimum amount of $10,000,000.00; 2. Auto liability in the minimum amount of $10,000,000.00; 3. Worker’s Compensation and 4. Employer’s Liability (disability).

The Lessee agrees to maintain the foregoing insurance coverage(s) during the term of this agreement.

7. Lessee shall defend, indemnify and hold harmless the Lessor, its officers, employees and agents from and against any and all demands, claims, actions, proceedings, liabilities, damages, costs or expenses including without limitation reasonable attorney’s fees and court costs and disbursements whenever made and however asserted arising at any time in connection with this Agreement from or relating in any way to: 1) any negligent or intentional act or omission of Lessee or any of its owners, managers, officers, employees, agents, invitees, contractors or subcontractors; and 2) any and all other costs, expenses, attorney’s fees and liabilities incurred by the Lessor in defense of any such claims, demands, actions or proceedings whether the same proceeds to judgment or not. Lessee agrees upon written request of the Lessor to defend any action or suit brought against the Lessee on any claim or demand associated in any way with this Agreement. In the prosecution of any successful lawsuit by the Lessor for the enforcement of this or any other provision of the Agreement, Lessee agrees to pay the Lessor’s reasonable attorney’s fees and any costs of suit incurred therein. The parties intend that the Lessee shall indemnify and hold harmless the Lessor of any and all demands, claims, actions, proceedings liabilities, damages, costs or expenses relating solely to the Lessee’s own negligence.

8. This Lease shall be void and unenforceable if entered into in violation of Section 801 of

the General Municipal Law or Section 410 of the Education Law.

9. The Lease payments under this lease do not include the costs of heat, electricity, water or other utilities or the costs of operation or maintenance of the leased facility which costs shall be borne by the Landlord.

BACKGROUND: A school board is required to provide any or all health and

welfare services and facilities available to students attending the public schools. Health and welfare services are mandatory only for residents of the district (& 912). The district where the private school is located, however, must contract with the district(s) where the nonresident students of such school reside for payment of the agreed-upon amount for health services (& 912).

THIS AGREEMENT made in duplicate this 7th day of May 2015 by and between the Spencer-VanEtten School District Board of Education, County of Tioga, New York party of the first part, and the Owego Apalachin Central School District, County of Tioga, New York, party of the second part. WITNESSETH, that whereas part of the first party has been duly empowered by the provisions of Section 912 of the Education Law to enter into a contract for the purpose of providing health and welfare services for children not residing in said school district and attending nonpublic schools in Owego and Apalachin, et. al., County of Tioga, Owego Apalachin Central School District, to begin on July 1, 2014, and to end June 30, 2015. Now, THEREFORE, the said party of the first part hereby agrees to pay the party of the second part the sum of $249.77 for each child for the health and welfare services to be provided under Section 912 to 1 child not residing in the said Owego Apalachin Central School District, for a total of $249.77 . It is expressly agreed by and between the parties hereto that the services agreed to, supplied under this contract, shall not include any teaching services. Either party may agree to terminate services provided under this contract upon 30 days written notice. Be it resolved that the Board of Education of the Owego Apalachin School District will participate in the attached services during 2015-2016 to the extent indicated. The Board of Education agrees to pay Broome-Tioga BOCES the charges identified on the base contract according to the schedule as determined by Broome – Tioga BOCES. Also, be it resolved that payments on supplemental contracts will be implemented by the district in accordance with the Broome – Tioga BOCES requirements.
