1 Introduction Bureau of Civil Aviation Security(BCAS) is an attached office of the Ministry of Civil Aviation. It is responsible for laying down the standards for pre-embarkation security and anti-sabotage measures in respect of civil flights ensuring their compliance through regular inspections and security audits. The Headquarter of Bureau of Civil Aviation Security(BCAS) is a t New Delhi. It has four Regional Offices located at Delhi, Mumbai, Kolkata and Chennai.

The Bureau of Civil Aviation Security is headed by the Commissioner of Security(COSCA) who is the designated “Appropriate Authority” to ensure development, maintenance, updation and implementation of National Civil Aviation Security programme for India and to fulfill all international obligations in this context.

One of the important functions of Bureau of Civil Aviation Security(BCAS) is to regulate the access to all airports in the country. For this purpose, BCAS issues Airport Entry Passes(AEPs) to all individuals requiring legitimate access to the airports.

The AEPs issued by BCAS fall into the following categories:

• One Time Airport Entry Permit

• Photo Identity Cards • Transferable Passes • Temporary Photo Identity Cards • Casual Labor Tokens

Generally, the following entities request BCAS for granting AEPs:

• Government Agencies whose officials need to visit the airport premises in connection with the discharge of their official duties.

• Various commercial entities operating their businesses within the airport premises including though not limited to restaurants and eateries, travel and tour operators, taxi operators etc.

• Diplomats and officials of embassies and high commissions.

• Contractors responsible for maintenance and upkeep of airport facilities or rendering other services necessary for the operation of the airport including those carrying out construction activities within the airport premises.

• Employees of scheduled air carriers.

• Employees of airport operators.

The head office of BCAS is located in Janpath, Delhi. In addition, BCAS has four regional offices across the country, namely:

2 Purpose of this Request for Proposal Through this Request for Proposal, BCAS intends to automate its process of issuance of AEPs to make it more secure, efficient, transparent and user friendly. The automation is intended to be achieved through a web based system, hereinafter referred to as the Airport Entry Permit Automation System (AEPAS). AEPAS is expected to achieve the following objectives:

• Complete automation of AEP issuance process by enabling online submission, processing and status checking of AEP applications

• Reducing dependence on paper and thereby achieving a paper-less office by introducing electronic workflows wherever practicable

• Effectively manage and monitor the process of permit issuance and regulate access to airport premises

• Reduce the time taken to process the AEP application • Introduce a higher degree of transparency in the process, thereby reducing hardship for

applicants • Reduce footfall into BCAS offices by making the relevant information available on the Internet

and thereby obviating the need for applicants to frequently visit BCAS offices to seek such information

• Provide a variety of reports to facilitate analysis and audit of the AEP issuance process by senior BCAS officials

The system should allow the movement of electronic documents from the applicants to BCAS as well as between various officials within BCAS, thereby reducing dependence on paper.

BCAS envisages that a main AEPAS website (hereinafter referred to as the main website) will be deployed at a central location and the branch setup will be deployed at 80 branches to enable AEP application processing from these locations.

The project duration shall be 14 weeks of implementation (maximum duration of implementation) and 3 years of support after the AEPAS goes live.

3 Bidding Process 3.1 General Instructions

This bid is a “Quality and Cost Based Selection” (QCBS) model where the most competent bid, both technically and commercially, shall be selected by BCAS.

A bidder shall submit one bid only. If more than one bid is submitted, BCAS may reject all bids of that bidder.

The invitation to bid is open to all Indian firms that fulfill the pre-qualification criteria set forth in this RFP. Bidders must qualify on their own merit and Consortiums will not be allowed.

If a bidder’s past is found unsatisfactory by BCAS, the bidder shall not be eligible to bid. Disqualification may result from corrupt, fraudulent and/or unethical practices followed by the bidder in the past, or under-performance in a past project. This shall include unsatisfactory behavior and/or performance of the bidder in past projects with BCAS or any of the other organizations under the MCA such as DGCA, AAI and others or any other govt. organizations.

With regard to the past practice, performance or behavior of the bidder, the decision to qualify or disqualify shall rest solely with BCAS and BCAS shall not be liable to provide any reason for its decision to any bidder.

The bidder’s expense in purchasing this RFP and expenses incurred in the process of bid preparation and submission shall not be reimbursed by BCAS. BCAS may or may not award this project to a bidder, or to any bidder, and may even cancel or defer the project or the award of contract. BCAS does not guarantee directly or indirectly that this bidding process shall result in a business transaction/contract with any bidder.

Bidders shall submit their bids in four separate sealed envelopes containing Bid Security, Pre-qualification Bids,Technical Bids and Financial Bids.

Bidders shall not include any commercial information in the Pre-qualification and Technical Bids. Similarly, bidders shall not include any technical information in the Financial Bid. Any deviation from this requirement shall result in disqualification of the bidder and forfeiture of the Bid Security.

Prices shall be quoted in Indian Rupees and shall include all expenses, rates, duties and taxes except Service Tax which shall be paid on actual by BCAS.

Assumptions and deviations may be provided in the Technical Bid. Bidders are advised to not deviate in any manner from the given requirements, and assumptions if any, must not have any impact on the bidder’s price to BCAS.

The source codes of, and intellectual property rights over all the software developed under this project shall be the exclusive property of BCAS.

Bids shall be valid for a period of six months from the date of opening of the Bids. A proposal valid for a shorter period may be rejected as non-responsive. On completion of the validity period, unless the bidder withdraws his proposal in writing, it will be deemed to be valid until such time that the bidder formally (in writing) withdraws his proposal.

The language used in Bids shall be English only.

The rates shall be written in both figures as well as in words. Over writing is not permitted. Incase of disparity in figures and words, the rates in words will be considered.

The Bids submitted to BCAS shall become the property of BCAS and will not be returned.

The bidder’s price, submitted in the Commercial Bid, shall be final. It shall be the only payment payable by BCAS to the selected bidder except for service tax. The price shall be fixed and not subject to escalation.

BCAS shall notify to the bidders the exact date, time and venue for opening of the pre-qualification, technical and financial bids. This shall be done through a circular or notification published on BCAS’s website.

Changes in dates and other information shall also be published on the same website from time to time. Bidders are expected to check the website frequently for such updates.

BCAS may at its discretion extend/change the schedule of any activity by issuing an addendum or by intimating the bidders through a written notification on the BCAS website or directly to the bidders. In such cases, all rights and obligations of BCAS and the bidders previously subject to the original schedule will thereafter be subject to the schedule as extended/changed.

Bids received after the due date and the specified time (including the extended/changed period if any) for any reason whatsoever, shall not be entertained.

3.3 Bid Documents and bidder’s Response

The RFP comprises of one volume only (this document). Clarifications and other documents issued during the bid process shall be treated as extensions of this RFP.

Bidders shall submit their response in the following manner and in formats as provided in a separate section of this RFP:

Envelope 1: Bid Security

Envelope 2: Pre-qualification

Envelope 3: Technical Bid

Envelope 4: Financial Bid

Envelope 5: All the above 4 envelopes must be put in Envelope 5 and sealed.

All envelopes shall bear the bidder’s name and address.

Bidders shall furnish the required information in the enclosed formats only. Any deviations in format may make the bid liable for rejection.

The bid shall be attached with the covering letter as specified in the “Bid Format” section and shall be enclosed with the Pre-qualification bid along with the Bid Security and other Pre-qualification documents. Proposals not submitted with this covering letter shall be liable for rejection.

Bidders are expected to examine and understand all instructions, requirements, terms and conditions and other information as described in the RFP documents. Failure to furnish the required information or submission of a bid not substantially responsive to the RFP documents shall be at the bidder’s risk and may result in rejection of the bid and forfeiture of the Bid Security.

Bidder shall sign and put company seal on all the pages of the RFP extensions of RFP and all other documents submitted by the bidder or authorized signatory of the bidder.

3.4 Bid Security

Bidders shall submit, along with their Bids, a non-refundable fee of Rs. 5,000/-(Five Thousand) as tender fee and Bid Security of Rs. 15,00,000/-(Rupees Fifteen Lakhs) only, in the form of a demand drafts issued by a nationalized bank in favor of “Pay & Account Officer, Secretariate, Minister of Civil Aviation” payable at New Delhi. Bid security in any other form shall not be entertained. The Bid Security shall be a part of the Pre-Qualification Bid”.

Bids not containing fee and Bid Security shall be rejected by BCAS.

The Bid Security of unsuccessful bidders shall be refunded by BCAS within 30 days of the bidder being notified by BCAS as being unsuccessful.

3.5 Pre-Bid Conference

Bidders shall send their queries by email to the BCAS-Deputy Director in the format given below. The document type for queries shall be Microsoft Word 2003.

A single query list shall be accepted from a bidder. The queries must reach BCAS at least 3 working days prior to the pre-bid conference. BCAS may decide not to have the pre-bid conference if it is able to resolve bidder queries otherwise. In this case, clarifications shall be sent to bidders electronically and/or posted on the BCAS website.

BCAS makes no representation or warranty as to the completeness or accuracy of any response, nor does BCAS undertake to answer all the queries that have been posed by the bidders. All responses given by BCAS will be distributed to all the bidders.

3.6 Bidder Evaluation and Award of Contract

Bids shall be evaluated in four stages:

Stage 1: Covering Letter and Bid Security

Bids not having the covering letter in the specified format, and bids not having the required Bid Security shall be summarily rejected. Such bids shall not be opened for pre-qualification also.

Stage 2: Pre-qualification

Bids shall be evaluated for fulfillment of the pre-qualification criteria set forth in this RFP. Bids not meeting the criteria shall be termed “not eligible”.

Stage 3: Technical Evaluation

Bids having pre-qualified shall be evaluated against the technical evaluation criteria set forth in this RFP. There shall be no disqualification at this stage except for the following reasons:

• Material deviations have been made from the specified requirements. • Assumptions have been made by the bidder which directly or indirectly may have a financial

impact on BCAS. • The technical solution proposed is not satisfactory for BCAS.

Technical evaluation shall have a maximum score of 100 points with weightage of 60 percent.

Deviations, if any, may become the reason for technical disqualification of the bidder if so deemed by BCAS.

Bidders scoring less then 50 in the technical evaluation criteria shall be rejected and their financial bids shall not be opened.

The total score achieved by a bidder shall be multiplied by the technical evaluation weightage of 60 percent.

Illustration:

If the technical evaluation score of a bidder is 80, the technical score after applying the weightage shall be (80 * 60%) = 48. This shall be called the “Bidder’s Technical Bid Score”.

Stage 4: Financial Evaluation

Financial Bids shall be evaluated for bidders who have qualified the technical evaluation. This shall include both implementation and post implementation support charges.

Financial evaluation shall have a maximum score of 100 points with weightage of 40 percent.

The bid with least TOTAL PRICE shall be given 100 points in the financial evaluation. Other bids shall be scored in proportion to the highest bid. This has been explained in the following example: If Bid-A has the lowest price, it shall be given a score of 100; if Bid-B has a price 10% higher than Bid-A, it shall be given a score of 100 minus 10% = 90.

The total score achieved by a bidder shall be multiplied by the financial evaluation weightage of 40%.

Illustration:

If the financial evaluation score of a bidder is 90, the financial score after applying the weightage shall be (90 * 40%) = 36. This shall be called the “Bidder Financial Bid Score”.

Under the QCBS model, the “Bidder Technical Bid Score” and “bidder Financial Bid Score” shall be added to derive the “Bidder Total Score”. The bidder having the maximum “Bidder Total Score” shall be termed as the selected “Service Provider” for BCAS for Award of Contract and will have to sign a MOU with Bureau of Civil Aviation Security(BCAS) as per Annexure-3.

BCAS’s decision in the evaluation process shall be final and binding on all bidders.

4 Bid Format 4.1 Bid Cover Letter

Bidder shall submit a cover letter with their bids. The letter shall be in the format given below and signed by the authorized signatory in the bidder’s organization.

If our Bid is accepted and if we are selected by BCAS as its Service Provider, we shall implement and support AEPAS Project as per the implementation plan set forth in our Bid and agreed by you with or without changes.

4.2 Bidder Pre-Qualification

Bidders shall submit their Pre-Qualification documents in a separate sealed envelope labeled as “PRE-QUALIFICATION” with one set of signed hard-copy (full signature on the first page, initials on all pages) and a CD.

4.2.1 Qualification Criteria Bidders shall qualify the criteria given in the table below. There shall be a single Prime bidder and Consortiums shall not be allowed.

4.3 Technical Bid Format

Bidders shall provide their Technical Bid in two parts within a single document. The Technical Bid shall be submitted in a sealed envelope labeled “TECHNICAL BID” with one set of signed hard-copy (full signature on the first page, initials on all pages) and a CD.

Part A: Functionality

This part will have a maximum score of 30 and would be evaluated by Bureau of Civil Aviation Security(BCAS) based on its requirement as mentioned in this RFP.

5 Functional Requirements The functional requirements described in this section shall form an integral part of the proposed AEPAS. Bidders shall explain their proposed solution in detail to demonstrate that the requirements stated hereinafter are appropriately and effectively addressed in the solution. The proposed solution shall also be flexible for BCAS to seek changes in the AEPAS as per BCAS’ evolving needs.

5.1 Online User Account Creation

It is proposed that individual users or authorized representatives of private or government organizations (institutional users) whose staff is required to visit any airport (E.g. airline operators) should be required to create an account on the AEPAS portal before they can be permitted to make online AEP applications. The account will only become operational once it is approved by BCAS. In case of institutional users, BCAS may require the submission of signed applications before granting access. BCAS should be given the facility of specifying an expiry date for the account after which the account will automatically become disabled.

Once a user account is validated by BCAS, an email will be sent to the user and thereupon, the user will be allowed to login to the AEPAS website and make online AEP applications.

5.2 Online Application Submission

Users holding a valid user account on the AEPAS portal will be able to do the following:

• Login to the AEPAS website and fill up an online application form for issuance of the AEP. The user should be able to select the desired category of pass. At this stage the system will automatically perform a validation based on the criteria provided by BCAS to determine if the user is entitled to the category of pass requested. Institutional users may make applications on behalf of staff of the organization which they represent.

• Submit a digital photo of the applicant as per the specification provided on the online form. • Once the form is submitted the user will be sent a system generated email and SMS notification

confirming the submission of the applications • The application will automatically be queued to the work list of the relevant AEP Issuing

Officer. The system will decide the Issuing Officer as well as the approval workflow for processing the application based on criteria specified by BCAS (e.g. location of airport where entry is required, category of pass etc.)

5.3 Application Processing by BCAS Staff

The system should facilitate application processing by BCAS in the three stages:

Stage1: Application examination and approval by first level staff

The AEP Issuing Officer in whose work list the application is queued will carry out a first level review of the application and determine if the application needs to be processed further or rejected. This will include a review of the digital photo submitted to see if it fits the criteria determined by BCAS. After the Issuing Officer has reviewed the application, the issuing officer will approve the application with or without change (such as the category of pass) and thereupon the application will be queued in the work list of the concerned approving officer.

Stage 2: Application Approval

The approving officer will review the application and if the application is found in order and if the approving officer feels that the issuance of AEP is warranted, he will approve the application on the system and the AEP will be forwarded to the printing section for printing.

There may be multiple levels of approvals, depending upon the category of pass applied, the type of airport and other criteria that may be specified by BCAS.

Stage 3: AEP Printing

The system will generate different files for different categories of passes so that the printing section can print the AEPs on different stationary. The format of the file will be determined by the Service Provider in consultation with BCAS and the service provider for the card printing equipment. The printing section will also be given access to AEPAS so that they can update the application status once the AEP has been printed. While updating the status, the printing section will specify the date and time when the AEP can be collected from the BCAS office. This will trigger an email and an SMS alert to the applicant.

5.4 Status Updates

At such stages of the application as may be specified by BCAS, the system will automatically send SMS/email updates to the applicants on the status of the application. The system shall also allow the user to check the status of the application by logging into the AEPAS portal. For this purpose, the system should allow the user to search an application based on application number, applicant name or other particulars related to the application.

5.5 Exception Alerts

The system should send exception alerts through email and SMS to senior officials in BCAS if an application is pending for more than a specified number of days.

5.6 Performance Dashboard

The system should provide a performance monitoring dashboard for the senior officials providing the key summary data on the AEP application on a single screen. The dashboard should provide data such as:

• Total number of applications received in each category during the last month or week or such other period as may be specified

• Total number of applications processed within defined time limits under each category • Applications under each category that have been delayed

5.7 Application Administration

5.7.1 User Administration The system should provide an administrative console where BCAS users with administrative privileges can create, modify and delete user accounts and assign different privileges.

5.7.2 Workflow Administration The system should allow administrative users in BCAS to customize the workflow for processing the different categories of AEPs.

5.8 Reports

The system should be capable of generating a variety of reports relating to the issuance of AEPs. The bidder is advised to suggest in the Technical Bid the various reports that may be useful to BCAS for a more effective administration of the AEP issuance process.

5.9 Specimen Screens

The bidders shall submit sample screens for the BCAS Portal in their Technical Bid. Following is an indicative list of screens that the bidder may submit:

6 Technical Requirements The solution must incorporate the latest technologies that are commercially available for both software and hardware computing systems.

6.1 Deployment Detail

6.1.1 Web Site Deployment

• The system shall deploy a Web-based AEP System with redundant connectivity to the Internet in a load balancing mode and a storage and backup framework with adequate RAID levels.

• The bidder will provide appropriate server hardware that is commensurate with the requirements of AEPAS for at least three years from the date of go live.

• The bidder shall ensure proper load balancing and fail safe connectivity by installing firewalls and IPS.

The service provider shall host the AEPAS Portal at its data centers or any other secure location of its choice.

6.1.2 Branch site Deployment The bidder shall suggest the necessary hardware required at the various BCAS branch offices and airports. A bidder shall be required to provide hardware for 80 branches.

6.2 Solution Overview The system shall provide an end-to-end, authority based and automated workflow with a comprehensive tracking, reporting and audit trail features and a centralized controlling and monitoring mechanism.

This section provides an indicative AEPAS System architecture, its components along with their functions and interactions with each other to achieve the AEPAS functionality.

6.2.1 User Interface 1. The UI shall be a browser based client and will have HTTP interface with the centralized

application component. The UI shall be made available to users through web via http.

2. The UI shall expose user access control, authorization authentication functions besides all other system functionality via Application Logic as described in the section 5 (Functional Requirement) of the RFP.

3. The UI shall support all type of passes and permits issued by BCAS with entry, query, reports, administration and output interfaces. (Please refer Annexure 1 for the number of passes currently issued under each category).

AEPAS System Application The AEPAS system shall be realized through an application component that will constitute the core of AEPAS system. This component shall perform the following tasks:

1. Information management, workflow management, user and access control function from the system functionality set as described in the section 5 - Functional Requirements of the RFP.

2. Organizing storage/archival and retrieval, database interactions and document repository management functions.

3. System administration and control functions.

4. Entry Pass request processing chain, starting from request receipt, logging, tracking, acceptance, and pass issuance.

5. Report generation, tracking and dashboard functions.

6.2.2 Communications and Information Exchange 1. The Service Provider shall provide all the necessary connectivity to main website as well as branch (airports) connectivity. Minimum prescribed connectivity for the central web site application towards the internet is 10 mbps and for the braches (airports) is 512 kbps. It is expected that on an average, a total of around 1000 requests for passes will be received every day (please refer to Annexure 1 for details of passes issued). The maximum size of each request packet is expected to be not more than 100 KB, including a small passport size photograph image file in JPEG format.

2. The Service Provider shall provision for necessary and sufficient security of the data exchange using appropriate encryption algorithms as well as ensure network and perimeter security requirements as described at various sections of the RFP.

3. The Service Provider shall build-in adequate redundancies in the communication links for ensuring high availability of the system.

4. The storage shall be capable of holding a maximum of five lakh active AEPAS profiles at any given point of time, each of a maximum size of 1 MB.

5. The storage shall be able to retain an AEPAS profile for a minimum of three years.

6.2.3 Base Platform Support Subsystem Service provider shall provide the following services in the AEPAS system:

2. The system shall have user profiles management for creation, addition, modification and deletion of user profiles.

3. The system shall have a comprehensive system backup mechanism.

4. The system shall maintain comprehensive audit logs and event logs and store them in a repository for later viewing by generating appropriate reports etc.

5. The Service Provider shall implement and provide management frameworks for various services such as e-mail service, anti-virus, firewalls, IPS and patch management.

6.3 Technology and Implementation This section describes the technology aspects that must be considered while proposing the solution.

6.3.1 General 1. The system is expected to be implemented as a centralized web-based solution hosted at the

Service Provider’s Data Centre or at a 3rd party location with adequately provisioned access bandwidth and security frame work as described in various sections of the RFP.

2. The service provider shall implement the AEPAS System with appropriately provided redundancies in connectivity and in all other resources.

3. The system shall be implemented in a load balancing mode with clustered server deployment and a storage and backup framework with adequate RAID levels.

4. The system access shall be made available using a standard web based remote client using Mozilla Firefox or Internet Explorer.

5. The AEPAS application architecture must be designed using latest and industry standard software development framework such as J2EE, Microsoft .Net etc.

6.4 Security Deployment

1. The service provider shall provide adequate levels of Perimeter security by deploying IDS/IPS and Firewalls. Firewalls shall have rules controlling both incoming and outgoing connections. The system shall use a simple host based Intrusion detection system (Tripwire) that will send message to user when there is unexpected change in important system file.

2. The service provider shall provide a Security Event Management framework for a secure system events and audit logging for all the system components. Further, all identified security events shall be escalated for further analysis and immediate action. The service provider shall also provide a comprehensive log monitoring mechanism to help analyzing the logs to find the most vulnerable loophole in security and most frequent cause of security violation.

3. The service provider shall provide a comprehensive Application Security framework for Identity and Credentials Management. This shall be achieved using password credentials with the following features:

• Expiry period for passwords • Strength of password mechanism

• All the data exchanges between the branch and central location shall be encrypted using 128 bit encryption using non-patented algorithms such as CAST5, Triple DES, AES, Blowfish and Twofish.

• Server Equipment Protection shall be achieved using hardware level protection by OS hardening, hardware lockdown, blocking USB/fire-wire ports, floppy drives or optical disk burner.

8 Training For quick and seamless adoption of the proposed system by BCAS staff, the Service Provider shall organize and conduct an application training program in the BCAS Headquarters at Janpath, New Delhi or any other location in Delhi as may be determined by BCAS.

The training program shall train the BCAS users in the use of the AEPAS application for AEP issuance and for application administration.

One training program shall be conducted for a period of 3 working days for a maximum of 15 staff of BCAS under “Train the Trainer” program.

In addition to the training programs, the Service Provider shall create online help and an online training module for BCAS and external users.

9 Project Implementation The following phases are recommended for implementation from “Contract Sign Date” or “Letter of Award Date” whichever is earlier. This is denoted by “C” in the table below:

10 Service Provider’s Scope of Work The key elements that bidders shall take into account are the following:

• The Service Provider shall understand the current processes for issuance of AEP and the various regulatory requirements pertinent thereto

• The Service Provider shall carry out a Business Analysis phase to draw and freeze system requirement specification

• The Service Provider shall carry out the hardware sizing and procurement • The Service Provider shall install the hardware at the central location and the 80 branches. The

list of branches is provided in Annexure 2 • The Service Provider shall develop and install the software

11 Project Terms and Conditions In addition to the functional and technical requirements of BCAS, the following shall be applicable:

Technical Infrastructure

Bidders shall provide a detailed Bill of Materials (BOM) (excluding prices) as part of the Technical Bid.

Documentation

The Service Provider shall prepare and submit to BCAS, documentation for all project deliverables, including but not limited to, application software, portal, solution architecture, technical architecture, bill of materials, project plan, test plans and test cases, configuration management, user manuals, training, security management procedures, and so on.

The Service Provider shall also create process descriptions/models of BCAS’s functional requirements (for dynamic functions only). These shall be used to baseline the requirements at the start of the project. Changes and enhancements in future shall be managed using the Change Control Process.

Review and Approval

BCAS shall review and approve the documents submitted by the Service Provider.

Application and System Software Version Control

All changes to the application software shall follow an agreed upon Change Control Process. No change shall be made in the system without BCAS’s written approval.

Every change shall be documented with analysis of its impact on other solution components.

The Service Provider shall maintain a proper version control for all changes.

Operational Control

The Service Provider shall follow global best practices in terms of processes deployed (e.g. ISO, etc).

Processes shall be documented and internally audited by the Service Provider periodically. BCAS may engage external auditors for auditing these processes at any time.

Personnel

The Service Provider shall be responsible for sourcing of its personnel and their management.

The Service Provider shall demonstrate thorough checks and balances to ensure strict confidentiality of BCAS information.

The number of staff required for the project shall be solely the Service Provider’s responsibility.

Project Implementation

The Service Provider shall adhere to the project implementation period. For every week of delay caused in the intermediate milestones agreed between the Service Provider and BCAS, the Service Provider shall pay a penalty of Rupees One Lakh. No penalty shall be levied if the delay caused in beyond the control of the Service Provider but due to external factors or on account of BCAS and/or other BCAS-affiliated organizations.

12 Roles and Responsibilities 12.1 BCAS

BCAS shall be the owner of the Project and shall fulfill the following responsibilities:

• BCAS shall provide the information, documents, data and resources as required by the Service Provider for successful implementation of the project.

• BCAS shall allow and provide access to the Service Provider of all existing data in electronic form and process descriptions. BCAS shall also conduct a week long workshop for the Service Provider to explain in detail the existing AEP issuance processes. This shall be done as part of the Software Requirements Specifications (SRS) phase.

• BCAS shall sign-off and approve the SRS document that will be used for the implementation of the Portal.

• BCAS shall bear all expenses related to electricity, air conditioning, diesel, repair, maintenance and consumables at the branch locations.

• BCAS shall constitute a Program Steering Committee along with the Service Provider for regular monitoring and control of the project.

• BCAS shall monitor the performance of the Service Provider.

• BCAS shall ensure timely release of payments to the Service Provider as per the terms of the contract.

• BCAS shall depute its staff for training and workshops as per the training plan agreed with the Service Provider. BCAS shall ensure appropriate participation and involvement of its staff in the project as required by the Service Provider.

• BCAS shall provide the venues for training. All training shall be done in BCAS’s office in Janpath or some other location within Delhi as may be determined by BCAS.

• BCAS shall conduct Acceptance Testing itself or engage a third party for the same. It shall provide acceptance of the system as per the agreed upon plan and criteria.

12.2 Service Provider

The Service Provider shall be responsible for developing the proposed AEPAS as defined in the RFP and/or agreed with BCAS. The main responsibilities are listed below:

• The Service Provider shall evaluate the space and infrastructure provided by BCAS for hosting the AEPAS branch applications on technical, environment and operational aspects. It shall provide acceptance or feedback to BCAS accordingly.

• The Service Provider shall host and take full responsibility of the central website deployment at its own data centre or any other appropriate location.

• The Service Provider shall deploy appropriate staff for different activities in AEPAS design and development.

• The Service Provider shall provide training to BCAS staff based in Delhi on functional and technical aspects of the AEPAS, including but not limited to, AEPAS administration.

• The Service Provider shall assign senior resources for the Project Steering Committee as the Service Provider’s representatives for key decision making.

• The Service Provider shall use global best practices in all areas of project implementation. • The Service Provider shall provide adequate quality control.

The Project Steering Committee structure and functioning shall be decided between BCAS and the Service Provider during project implementation.

13 Payment Terms and Conditions AEPAS Project shall have milestone-based payment model during the Implementation Period and fixed quarterly payments during the Support Period.

The Service Provider shall be paid the Implementation Period charges in two stages:

STAGE 1: Software Requirements Specifications (SRS) Acceptance by BCAS: 20% of the quoted Implementation Period charge shall be paid.

STAGE 2: Acceptance by BCAS of AEPAS: 80% of the quoted Implementation Period charge shall be paid.

Additionally, the Service Provider shall be paid a FIXED QUARTERLY CHARGE every quarter for the support period of the contract.

If the AEPAS portal is “live” and visible to internal and external users, it shall be considered as “Deemed Acceptance” by BCAS and payment shall be made to the Service Provider for that STAGE.

The following terms and conditions shall apply to the Service Provider:

BCAS shall provide acceptance within 2 working weeks of submission by the Service Provider if all compliance requirements are met by the Service Provider.

The cost of acceptance and/or audits done by BCAS or BCAS-authorized 3rd parties shall be borne completely by BCAS.

During the support period, payment to the Service Provider shall be a FIXED QUARTERLY CHARGE as accepted by the Bureau of Civil Aviation Security(BCAS).

Penalty for delays caused by the Service Provider in the implementation phase shall be adjusted in the next payment accordingly.

The bidder’s price shall be all inclusive, except Service Tax and third party costs which shall be payable by BCAS on actual.

BCAS shall make all payments within 30 days from the date of the invoice.

The Service Provider shall provide the complete list of Bill of Materials (un-priced) in the Technical Bid as per the format provided.

16 Memorandum of Agreement

THIS AGREEMENT is made on BY AND BETWEEN Deputy Director (Administration) Bureau of civil Aviation Security(BCAS), hereinafter referred to as "BCAS", of the FIRST PART; AND M/s…………………., hereinafter referred to as "Service Provider" (which term or expression, unless excluded by or repugnant to the subject or context, shall mean and include its successors and assigns) of the SECOND PART;

WHEREAS BCAS wishes to install the Automated Airport Entry Permit System for efficient Air Port Access.

WHEREAS BCAS wishes to promote transparency in issuance of Airport passes through Automation of Airport Entry Permit System.

WHEREAS BCAS desires that the technical solution will upgrade its current Airport Entry Permit System.

WHEREAS the Bureau of Civil Aviation Security (the BCAS) has invited Bids for development and maintenance of its Automated Airport Entry Permit System.

WHEREAS Service Provider has submitted its response to the RFP.

WHEREAS BCAS had decided to award work to the Service Provider.

NOW, THEREFORE, in consideration of the mutual promises and undertakings set forth in this Agreement, BCAS and the Service Provider have agreed and do hereby agree as follows:

1. DEFINITION

1.1. Unless otherwise clearly required by the context, the following terms, as used in this Agreement shall have the respective meanings as defined below:

(a) “Acceptance Test Document” means the document submitted by the Service Provider and approved by BCAS. The procedures for the Acceptance Test shall include tests that establish:

(i) Services are being provided in accordance with this Agreement;

(ii) Documentation in accordance with this Agreement is available;

(iii) Training has been provided in accordance with this Agreement.

(b) “Affiliate” shall mean:

(a) In relation to BCAS, any office directly or indirectly controlled by BCAS;

(b) In relation to the Service Provider subsidiary company of the Service Provider. The expressions “subsidiary company” shall have the meaning specified in section 4 of the Companies Act 1956 (as amended from time to time).

(c) “Agreement" means this Agreement and the Schedules thereto and in event of conflict between terms of this Agreement and that of Schedules, the terms of this Agreement shall prevail.

(d) “BCAS Project” or “Project” shall mean the project for automation of Air Port Entry Permit System & support (hereinafter called the “Automated Entry Permit System”).

(e) “Designated Agency” means a person designated by BCAS to undertake such functions as BCAS may designate. BCAS may designate a person to undertake more than one function or more than one person to undertake a function.

(f) “Documentation” shall mean documents, manuals and drawings relating to:

(i) the design, development, operation, and maintenance of the AUTOMATED ENTRY PERMIT SYSTEM;

(ii) operation, and maintenance of AUTOMATED ENTRY PERMIT SYSTEM infrastructure;

(iii) Standard Operating Procedures in respect of Services.

(g) “Effective Date” shall mean the date of execution of this Agreement and in case the Agreement is executed on different dates, the latter of such dates.

(h) “Acceptance Test” means the acceptance testing in accordance with the

Acceptance Test plan.

(i) “Acceptance Certificate” means the acceptance certificate issued in accordance with the Acceptance Test.

(j) “Office” shall mean an Office of:

(i) BCAS; or

(ii) an Affiliate of BCAS;

(k) “Party” means BCAS or Service Provider, individually and “Parties” mean

BCAS and Service Provider, collectively.

(l) Deputy Director, BCAS Website – Deputy Director means an authorized representative of BCAS, who has been entrusted with powers and rights to take appropriate decisions about execution of this Agreement.

(m) “Quarter” means a period of 3 months starting from the date on which Acceptance Certificate has been issued. It shall be calculated on pro-rata basis as per Financial Year Quarters.

(n) “Fixed Quarterly Charge” means the fixed quarterly payments that the BCAS must pay the Service Provider for services rendered as per this Agreement.

(o) “RFP” means Request for Proposal as issued by BCAS for AUTOMATED ENTRY PERMIT SYSTEM and Support

(p) “Schedules “ means the following Schedules attached to this Agreement :

(i) BCAS RFP

(ii) Addendum’s/ Corrigendum’s issued from time to time. to the RFP, by BCAS

(iii) Service Providers Response to the above RFP

(iv) Written communications exchanged from time to time, between BCAS and Service Provider.

(v) Payment Schedule

(q) “Service” means the services expected to be delivered as part of the Scope of Work defined in this Agreement.

(r) “STAGE 1”, “STAGE 2” and “STAGE 3” mean the three stages in which payment shall be made to the Service Provider as per the Payment Schedule during the Implementation Period.

(s) “Supply” means all tangibles to be supplied by the Service Provider in accordance with this Agreement and shall include AUTOMATED ENTRY PERMIT SYSTEM Application and Documentation {in hard (three copies) & soft form}.

(t) “Training” shall mean the training to be provided by the Service Provider.

1.2. In this Agreement unless the context demands otherwise:

(a) Words used in singular shall include the plural and vice-versa;

(b) Words denoting one gender shall also be deemed to denote the other gender;

(c) A person includes a legal or natural person or a partnership, firm, trust, government or local authority

and shall also include the legal representative or successor in interest of such person.

(d) The words “include,” “includes” and “including” shall be deemed to be followed by the phrase “without limitation.”

(e) Schedules to this Agreement may be altered, deleted or replaced by agreement in writing between the Parties. A reference to a Schedule in this Agreement shall mean the Schedule as altered, deleted or replaced as aforesaid.

2. STRUCTURE

This Agreement shall operate as a legally binding services agreement specifying the master terms which apply to the Parties under this Agreement and to the provision of the Services by the Service Provider to the stakeholders of the BCAS Project.

3. CONDITIONS PRECEDENT

Subject to express terms to the contrary, the rights and obligations under this Agreement shall be effective (at any point of time during the course of the Agreement) only upon fulfilment of all the Conditions Precedent set out in Articles 3.1 and 3.2 below. However, BCAS, may at any time at its sole discretion waive fully or partially any of the Conditions Precedent for the Service Provider.

3.1 Conditions Precedent for Service Provider

The Service Provider shall have to fulfil Conditions Precedent, which are as follows:

(a) Provide the Deputy Director, BCAS Website certified true copies of its constitutional documents and authorizing the execution, delivery and performance of this Agreement with the Deputy Director, BCAS Project;

(b) The BCAS Automation Project is designed, developed, tested, and certified in accordance with the provisions of the RFP; and

(c) The ownership of the assets namely, Application Software (i.e. the solution and Application Software including the source code) is passed on to Deputy Director, BCAS as per the Exit Management clause hereunder.

3.2 Non-fulfilment of Conditions Precedent

(a) In the event that any of the Conditions Precedent relating to Service Provider has not been fulfilled within 30 days of the time limit prescribed for each condition, and the same has not been waived by BCAS fully or partially, this Agreement shall cease to have any effect as of that date.

(b) In the event that the Agreement fails to come into effect on account of nonfulfilment of the Service Provider's Conditions Precedent, BCAS shall not be liable in any manner whatsoever to the Service Provider.

(c) In the event that vacant possession of any of the PROJECT facilities and/or PROJECT Data has been delivered to the Service Provider prior to the fulfilment in full of the Conditions Precedent, upon the termination of this Agreement such Project facilities and Project data shall immediately revert to BCAS, free and clear from any encumbrances or claims.

(d) Instead of terminating this Agreement as provided in paragraph 3.2(a) above, BCAS, may extend the time for fulfilling the Conditions Precedent and the Term of this Agreement. It is clarified that any extension of time shall be subject to imposition of agreed liquidated damages on the Service Provider linked to the delay in fulfilling the Conditions Precedent.

4. INITIALISATION PHASE

4.1 Scope of Contract

The functional requirements of BCAS shall comprise of the all the requirements detailed in the RFP.

• Complete automation of AEP issuance process by enabling online submission, processing and status checking of AEP applications

• Reducing dependence on paper and thereby achieving a paper-less office by introducing electronic workflows wherever practicable

• Effectively manage and monitor the process of permit issuance and regulate access to airport premises

• Reduce the time taken to process the AEP application • Introduce a higher degree of transparency in the process, thereby reducing hardship for

applicants • Reduce footfall into BCAS offices by making the relevant information available on the Internet

and thereby obviating the need for applicants to frequently visit BCAS offices to seek such information

• Provide a variety of reports to facilitate analysis and audit of the AEP issuance process by senior BCAS officials

4.2 Obligations of BCAS

BCAS shall fulfil the following responsibilities in the project:

(a) BCAS shall provide the information, documents, data and resources as required by the Service Provider for successful implementation of the project.

(b) BCAS shall allow and provide access to the Service Provider of all existing automated systems, data in electronic form and process descriptions. BCAS shall also conduct a workshop for the Service Provider to explain in detail the BCAS functions in scope of this project. This shall be done as part of the Software Requirements Specifications (SRS) phase.

(c) BCAS shall provide, operate and maintain the Data Center and all physical and technical infrastructures required for deploying the Automation Application developed by the Service Provider. The Data Center and physical and technical infrastructure shall include, but not be limited by, electrical, primary and backup power connections, civil works, furniture, server and storage infrastructure, networking infrastructure, security infrastructure and guards, system software, hardware and software quantities and licenses, hardware and software upgrades, stationery and consumables. BCAS shall also provide access to the Service Provider’s personnel and seating space for them to perform support and

maintenance activities. BCAS shall provide alternate space if the one provided is not found technically, environmentally or operationally suitable by the Service Provider to support the AUTOMATED ENTRY PERMIT SYSTEM Application. BCAS shall also be solely responsible for ongoing operations, system availability and performance, overall physical and technical security, audits, etc.

(d) BCAS shall constitute a Project Core Team along with the Service Provider’s resources for regular monitoring and control of the project.

(e) BCAS shall monitor the performance of the project.

(f) BCAS shall ensure timely release of payments to the Service Provider as per the terms of the contract.

(g) BCAS shall depute its staff for training and workshops as per the training plan agreed with the Service Provider.

(h) BCAS shall conduct Acceptance Testing itself or engage a third party for the same. It shall provide acceptance of the system as per the agreed upon plan, timeline and criteria and issue an Acceptance Certificate to the Service Provider.

(i) BCAS shall ensure that all the required legal amendments are carried out for the new processes and systems deployed.

(j) Fulfil other responsibilities as defined in the RFP and those agreed with the Service Provider.

4.3 Obligations of the Service Provider

The Service Provider shall be responsible for developing and support the proposed AUTOMATED ENTRY PERMIT SYSTEM Application as defined in the RFP and/or agreed with BCAS. The main responsibilities are listed below:

(a) The Service Provider shall evaluate the Data Center provided by BCAS on technical, environment and operational aspects. It shall provide acceptance or feedback to BCAS accordingly.

(b) The Service Provider shall provide the AUTOMATED ENTRY PERMIT SYSTEMl Application to BCAS which shall then be deployed by BCAS in association with the Service Provider.

(c) The Service Provider shall deploy appropriate staff for different activities in the project, such as, AUTOMATED ENTRY PERMIT SYSTEM design and development, Content Management and project management.

(d) The Service Provider shall provide training to BCAS staff on functional and technical aspects of the Portal, including Portal features and Content Management functionality.

(e) The Service Provider shall assign senior resources for the Project Core Team as the Service Provider’s representatives for decision making and resolution of issues.

(f) The Service Provider shall use global best practices in all areas of implementation, infrastructure and processes.

(g) The Service Provider shall provide adequate quality control.

4.4 Period of Contract

The Agreement shall be valid for the Quarter ending after the end of 5 (five) years from the date of issuance of Acceptance Certificate of STAGE 3 of the implementation phase;

4.5 Commencement of this Agreement

This agreement shall come into effect upon fulfilment of the conditions precedent specified in section 3.1(a) and 3.1(b) and certified as such by the Deputy Director, BCAS AUTOMATED ENTRY PERMIT SYSTEM – hereinafter referred to as the “Effective Date”;

4.6 Scope and Provision of the Services

(a) The provision of Services to the Stakeholders with certainty and speed is the essence of the Agreement between the Parties.

(b) The Service Provider represents that it is a competent and efficient provider of a variety of information technology and business process management services. Service Provider will keep abreast of the relevant technical, managerial and operational requirements applicable to the provision of the Services and best practices in this area and will share their knowledge with BCAS, regarding matters which would assist BCAS, in its use of the Services, provided that Service Provider shall not be obligated to share other client information or Confidential Information of Service Provider not relevant to this Agreement.

(c) The Service Provider shall perform the Services (a) in a good professional manner commensurate with professional industry and technical standards which are generally in effect for international projects and innovations pursuant thereon similar to those contemplated by this Agreement, (b) so as to comply with the terms set out in this Agreement.

(d) No Party to this Agreement will at any time perform, or omit to perform, any act which they are aware, at the time of performance, will place the other Party in default under any insurance policy, mortgage or lease, governing activities at any location provided by BCAS.

4.7 Approvals and Required Consents

(a) The Parties will cooperate reasonably to obtain, maintain and observe all relevant and customary regulatory and governmental licenses, clearances and applicable approvals (hereinafter the “Approvals”) necessary for the Service Provider to provide the Services. Unless agreed upon otherwise between the parties the costs of such Approvals shall be borne by the BCAS.

(b) Both parties will give each other all co-operation and information reasonably required to meet their respective obligations under this Agreement.

4.8 Access to Service Provider or its Nominated Agencies to Project Location

(a) For so long as the Service Provider provides Services from the Project location on a non-permanent basis and to the extent necessary for the Service Provider to provide the Services and at no cost to the Service Provider, BCAS, shall, subject to compliance by the Service Provider with any safety and security guidelines which may be notified by BCAS to the Service Provider in writing, provide the Service Provider with:

(i) reasonable access, in the same manner granted to PROJECT employees, to PROJECT locations twenty-four hours a day, seven days a week; and

(ii) Access to office equipment as mutually agreed and other related support services in such location and at such other PROJECT location, if any, as may be reasonably necessary for the Service Provider to perform its obligations hereunder.

(b) Locations and items shall be made available to the Service Provider on an "as is, where is" basis by BCAS. The Service Provider agrees to ensure that its employees, agents and contractors do not use the location, services and items:

(i) for the transmission of any material which is defamatory, offensive or abusive or of an obscene or menacing character; or

(ii) In a manner which constitutes a violation or infringement of the rights of any person, firm or company (including but not limited to rights of copyright or confidentiality).

5. MANAGEMENT PHASE

5.1 Governance

The review and management process of this Agreement shall cover all the management aspects as set out in the RFP.

5.2 Use of Services

(a) BCAS, or its nominated agencies will undertake and use the Services in accordance with the instructions or procedures formulated by the Service Provider for such usage and mutually agreed by the Parties from time to time.

(b) BCAS, or its nominated agencies shall be responsible for the operation and use of the Deliverables resulting from the Services provided by or on behalf of the Service Provider.

5.3 Changes

(a) In case BCAS desires any change in the scope of the Service Provider’s obligations under this Agreement and such change is likely to cause financial hardship to the Service Provider, the Service Provider shall convey to BCAS the time schedule and cost of the proposed change. BCAS shall signify either its approval or disapproval to Service Provider within seven days of receipt of such estimation

from the Service Provider. If BCAS does not accept the estimation, then the change request shall be deemed to be cancelled and Service Provider shall be relieved from all obligations to perform such change.

(b) For avoidance of doubt, the parties expressly agree that

(i) Change Orders shall not be effective and binding unless agreed in writing and signed by both Service Provider and BCAS

(ii) The payment of any additional cost agreed under a Change Orders

(iii) Change Orders shall cumulatively not exceed 25% of the total value of this Agreement

5.4 Security and Safety

(a) The Service Provider will comply with the directions issued from time to time by BCAS and the standards related to the security and safety, in so far as it applies to the provision of the Services.

(b) The Service Provider shall also comply with Project’s information technology security standards and policies in force from time to time at each location of which BCAS makes the Service Provider aware in writing in advance so far as the same apply to the provision of the Services.

(c) The Service Provider shall upon reasonable request by the Deputy Director, BCAS or its nominee(s) participate in regular meetings when safety and information technology security matters are reviewed.

(d) The Parties under this Agreement shall promptly report in writing to each other any act or omission which they are aware that could have an adverse effect on the proper conduct of safety and information technology security at Project’s Facilities.

5.5 Co-operation

(a) Except as otherwise provided elsewhere in this Agreement, each Party ("Providing Party") to this Agreement undertakes promptly to provide the other Party ("Receiving Party") with all such information and co-operation which the Receiving Party reasonably requests, provided that such information and co-operation:

(i) is reasonably required by the Receiving Party in order for it to comply with its obligations under this Agreement; and

(ii) is not Confidential Information; and

(iii) is capable of being provided by the Providing Party.

(b) Each Party agrees to co-operate with the contractors and sub-contractors of the other Party as reasonably requested in order to accomplish the purposes of this Agreement.

(a) The AUTOMATED ENTRY PERMIT SYSTEM shall be approved by BCAS after it has been successfully tested and accepted by BCAS.

(b) The Service Provider shall create an Acceptance Testing Plan and Test Cases, which shall be approved by BCAS and used for testing adherence to defined requirements.

(c) The Test Cases shall clearly identify the items that shall be termed as “Category-A items”, which are “show-stoppers” for the purpose of this agreement and which have to be successfully implemented. If any Category-A item has issues, acceptance shall not be provided by BCAS. For the sake of clarity, “show-stoppers” are defined as problems in the AUTOMATED ENTRY PERMIT SYSTEM which do not allow users to view information, register, login or navigate through the AUTOMATED ENTRY PERMIT SYSTEM screens.

(d) The Service Provider shall request BCAS or the Designated Agency to undertake Acceptance Testing in accordance with the agreed timetable and BCAS or the Designated Agency shall undertake such testing. On completion of the testing BCAS or the Designated Agency shall inform the Service Provider of the results of such testing.

(e) On successful testing, the Acceptance Certificate shall be issued to the Service Provider which shall not be unreasonably withheld or delayed.

(f) The Service Provider, prior to requesting Acceptance Test, shall provide BCAS or the Designated Agency with:

(i) results of tests internally undertaken by the Service Provider to establish compliance with the Acceptance Test document;

(ii) the test equipment required for Acceptance Test;

(g) The date of issuance of the Acceptance Certificate shall be the date of completion of Acceptance Test procedure as per Acceptance Test Document.

(h) BCAS shall not withhold or delay the issuance of Acceptance Certificate if the Supplies or Services substantially meet the specifications or on account of any minor defects which have no material effect on the functionality of the Supplies or Services. Provided that the issuance of the Acceptance Certificate will not absolve the Service Provider of its obligations, and the Service Provider shall remedy the minor defects within reasonable time.

(i) In case the Acceptance Tests are delayed for reasons attributable to BCAS or the Designated Agency, the time available to the Service Provider for discharging its obligations will be extended by the period of delay. Furthermore, where such delay or failure results in Service Provider incurring additional costs, charges or expenses or correcting or reworking the relevant activity, the matter will be referred to Project Core Team to determine the duration of delay and to determine reimbursement of costs charges or expenses as necessary and reasonable,

(j) BCAS agrees that no system, application or service will be operationalised by BCAS without issuance of an Acceptance Certificate for that deliverable.

7. FINANCIAL ISSUES

7.1. Subject to the satisfactory discharge of its obligations under this Agreement the Service Provider shall be entitled to the payment of implementation period charges, amount in Rs <to be added> and support period charges, amount in Rs <to be added>, as hereinafter provided.

7.2. BCAS Project shall be implemented and maintained by the Service Provider as per the terms of this contract. The Payment schedule G, would be as follows:

(a) The total value of this assignment shall be as detailed in the attached Payment Schedule and shall always be subject to variations as mutually agreed between the Parties.

(b) The Service Provider shall be paid the quoted Implementation Charges in three STAGES during the implementation period of the contract.

(c) The Service Provider shall be paid FIXED QUARTERLY CHARGE every quarter for the support period of the contract, following completion and acceptance of the system by BCAS.

7.3. Subject to the issuance of an Acceptance Certificate for a deliverable and subject to successful fulfilment of its other obligations under this Agreement, the Service Provider shall be entitled to payment with immediate effect.

7.4. The Service Provider’s invoice to BCAS shall be inclusive of all costs, charges, taxes and duties, excluding Service Tax which shall be paid separately by BCAS at the rate prevailing at the time of invoice.

Period of Payments

7.5. The Service Provider shall be entitled to payments only for the term of this Agreement. No payment shall be due to the Service Provider after the expiration or termination of this Agreement, unless agreed upon otherwise between the parties.

No Other Payment

7.6. The Service Provider shall be entitled to only the payments described hereinbefore and no other payments.

Invoicing

7.7. The Service Provider shall raise an invoice as soon as may be after a payment accrues. The invoices shall inter alia:

(a) Disclose the activity and the term for which payment is being claimed;

(b) Refer to the Certificate or Test Report (wherever applicable) which entitles the Service Provider to such payment. In case payment for an activity, in relation to a Milestone, is being claimed for the first

time, the Service Provider shall enclose copy of Certificate or Test Report which entitles Service Provider to payment.

(c) Indicate the:

(i) Gross amount payable;

(ii) Deduction towards liquidated damages if any;

(iii) Other deductions, if any; and

iv) Net amount payable.

7.8. All invoices will fall due for payment within thirty (30) working days of submission of the same to BCAS..

8. BREACH , RECTIFICATION & TERMINATION

8.1. The Parties acknowledge that it would be difficult to determine the actual damages that BCAS would suffer if the Service Provider breaches its obligations under this Agreement. The Parties therefore agree that liquidated damages in accordance with the provisions hereinafter are an estimate of the loss to BCAS in case of breach by the Service Provider.

Explanation: Liquidated Damages will be calculated with reference to the payment due for the Milestone or Service, in respect of which there has been a failure to meet the agreed milestone or service.

8.2. If the Service Provider fails to complete the STAGE 1 or STAGE 2 Acceptance Test within the time specified by BCAS for reasons substantially attributable to the Service Provider, the liquidated damages would be a sum equivalent to Rupees Fifty Thousand only for each week or part thereof of delay, until actual delivery of performance.

8.3. The maximum liquidated damages for the delay in STAGE 2 or STAGE 3 shall not exceed 5% of the payment due for that STAGE, beyond which, such delay shall constitute material breach of the terms of this Agreement.

8.4. Penalties to be imposed on the service provider on any account as mentioned in the RFP shall be adjusted against the payments to be released to the bidder. In case the same are not recoverable from the payments to be released to bidder, penalty amount shall be adjusted from the Performance Bank Guarantee submitted by the service provider.

8.5. During the Support period, any breach of the obligations of the Service Provider would constitute a default. The Parties acknowledge that notwithstanding the provisions relating to liquidated damages, the continual breach of obligations by the Service Provider shall constitute material breach of the terms of this Agreement BCAS shall, without prejudice to other remedies, have the right to terminate this Agreement.

8.6. Termination: This Agreement shall be terminated by either party upon the happening of all or any of the following events–

(a) After expiry of the period of this agreement;

(b) Upon either Party being declared insolvent or bankrupt;

(c) Upon either Party committing a material breach or being in default of all or any of the terms, conditions, covenants, under-takings and stipulations of this Agreement. In case the material breach is remediable, the aggrieved Party shall give notice in writing of such default in observance or performance of any of the terms or conditions of this Agreement, to the Party in default. If the Party in default effectively remedies such breach or default within the period not being less that 30 (thirty) days designated by such notice, then the Agreement shall remain in force.

8.7. It shall be material breach of this Agreement in case payments as hereinbefore provided are overdue to the Service Provider for more than 2 (two) quarters continuously. Furthermore, in the event either party chooses to terminate this Agreement for material breach then BCAS would pay to the Service Provider: The overdue payments till date of receipt of notice of termination;

8.8. Upon expiration or termination of this Agreement the Service Provider shall take action in accordance with the Article 11 relating to Exit Management:

8.9. Upon the Service Provider complying with the obligations enumerated hereinabove BCAS shall issue a certificate substantially in the form set forth in Schedule B and BCAS shall not unreasonably withhold issuance of such certificate.

9. PROTECTION AND LIMITATIONS

9.1 Representations and Warranties

The Service Provider represents and warrants that:

(a) It is a company duly organized and validly existing under the laws of India and has all requisite legal power and authority and corporate authorizations to execute this Agreement and carry out the terms, conditions and provisions hereof;

(b) It has in full force and effect all requisite clearances, approvals and permits necessary to enter into this Agreement and perform its obligations hereof;

(c) The Agreement and the transactions and obligations hereof do not contravene its constitutional documents or any law, regulation or government directive and will not contravene any provisions of, or constitute a default under, any other Agreement or instrument to which it is a party or by which it or its property may be bound or any of its obligations or undertakings by which it or any of its assets are bound or cause a limitation on its powers or cause it to exceed its authorized powers;

(d) It has signed this Agreement after having fully acquainted with the local conditions and factors which would have any effect on the performance of this Agreement and obtained all information that may be necessary for the performance of this Agreement.

(e) There is no pending or threatened actions, suits or proceedings affecting the Service Provider before a court, governmental agency, commission or arbitrator or administrative tribunal which affects the Service Provider's ability to perform its obligations under this Agreement; and nor the Service Provider have immunity from the jurisdiction of a court or from legal process (whether through service of notice, attachment prior to judgment, attachment in aid of execution or otherwise);

(f) All representations and warranties of the Service Provider set forth in the Agreement are true, complete and correct in all respects;

(g) No information given by the Service Provider in relation to this Agreement, project documents or any document comprising security contains any material mis-statement of fact or omits to state as fact which would be materially adverse to the enforcement of the rights and remedies of BCAS or which would be necessary to make any statement, representation or warranty contained herein or therein true and correct;

(h) In case of breach of warranty, without prejudice to other rights or remedies available to BCAS, BCAS shall also be entitled to obtain the re-performance of the Service. BCAS represents and warrants that:

(a) It has full legal right, power and authority to execute this Agreement and to enter into and perform its obligations under this Agreement.

(b) This Agreement has been duly authorized, executed and delivered by BCAS and constitutes valid, legal and binding obligation of BCAS.

(c) The execution and delivery of this Agreement with the Service Provider does not violate any statutory judgment, order, decree, regulation, right, obligation or rule of any court, government authority or arbitrator of competent jurisdiction applicable in relation to BCAS, its assets or its administration.

(d) That any data, information or other material provided by BCAS to the Service Provider will not infringe any Intellectual Property Rights of any third party, and BCAS shall, at its cost, indemnify the Service Provider against any such infringement claims brought against the Service Provider by any third party, provided that the Service Provider gives prompt notice to BCAS of such claim and BCAS controls the defense thereof.

(e) BCAS further indemnifies the Service Provider against and undertakes to pay all costs, damages and attorney fees, if any, finally awarded against the Service Provider in any action which is attributable to such claim, and it will reimburse the Service Provider with all costs reasonably incurred by the Service Provider in connection with any such action.

The Service Provider agrees, to defend and/or handle at its own cost and expense any claim or action brought against the BCAS claiming infringement of any intellectual property rights, based on the use of the deliverables / supplies furnished to BCAS pursuant to the terms of this Agreement. Service Provider further agrees to indemnify BCAS against all direct liabilities, losses, damages, costs and expenses (including but not limited to reasonable legal fees, costs and disbursements) associated with any such claim or action. PROVIDED HOWEVER (i) BCAS notifies Service Provider in writing within seven days of the claim, (ii) Service Provider has sole control of the defense and all related settlement negotiations, (iii) BCAS provides Service Provider with the assistance, information, and authority reasonably necessary to perform the above, and (iv) the BCAS does not make any statements, admissions or public remarks with respect to the claim without obtaining the prior written consent of Service Provider. Service Provider shall have no liability for any claim of infringement based on: (i) use of a superseded or altered release of some or all of the deliverables including, but not limited to, BCAS’s failure to use corrections, fixes, or enhancements made available by Service Provider; (ii) the combination, operation, or use of some or all of the deliverables or any modification thereof furnished under this Agreement with information, software, specifications, instructions, data, or materials not furnished by Service Provider if the infringement would have been avoided by not combining, operating, or using the deliverables or the modification thereof;

(iii) some or all of the deliverables or the modification thereof, which is based on BCAS’s material, data or design; (iv) any change, not made by Service Provider, to some or all of the deliverables or any modification thereof or (v) use of the deliverables/ supplies otherwise than for the purposes authorized hereunder If any of the deliverables is held or is believed by Service Provider to infringe, Service Provider shall have the option, at its expense, to (i) modify the deliverables so as to make it non-infringing, (ii) obtain for BCAS a license to continue using the deliverables, or (iii) terminate the license for the infringing part of the deliverables and refund a pro rata portion of the fees paid for that portion of deliverables. This clause provides for Service Provider’s entire liability and BCAS’s exclusive remedy for claims of infringement of intellectual property rights related to the deliverables. Similarly BCAS represents and warrants that all material or information provided by it to the Service Provider in connection with or for the purposes of this Agreement are either owned by it or under proper license and the use and possession thereof by Service Provider in connection with or for the purposes of this Agreement will not infringe the rights of any third parties. BCAS will defend, indemnify and hold the Service Provider harmless from and against all losses, damages or costs arising out of or resulting from the following:

(i) any action by a third party against Service Provider that is based upon any claim that the possession or use of any material supplied by BCAS in connection with the Services under this Agreement infringe a patent, copyright or other proprietary right or violate a trade secret of such third party; and

(ii) BCAS will defend, indemnify and hold Service Provider harmless from and against all losses, damages or costs arising out of or resulting from any action that is based upon any negligent act or omission or willful misconduct of BCAS including claims for death, personal injury or damage to any property arising out of the use or possession or location of the BCAS, in connection with the services.

9.3 Limitation of Liability

Notwithstanding anything contained in this Agreement:

(a) the total liability of either party under the terms of this Agreement shall not exceed the contract value; and in no event shall either party be liable to the other for any indirect, incidental, consequential, special or exemplary damages, nor for any damages as to lost profit, data, goodwill or business, nor for any reliance or cover damages even it was advised about the possibility of the same.

(b) Neither Party shall be liable to the other for delay in discharging its obligations, to the extent that such delay or failure is attributable to the other Party. In case of such delay, the delayed Party shall be entitled to an extension of time to perform its obligations and, unless otherwise agreed, the period of the extension will be equal to the amount of delay.

9.4 Force Majeure

(a) Neither Party shall be responsible to the other for any delay or failure in performance of its obligations due to any occurrence commonly known as Force Majeure which is beyond the control of any of the Parties, including, but without limited to, fire, theft, flood, explosion, lightning, thundering, acts of God or any Governmental body, public disorder, riots, embargoes, or strikes, acts of military authority, epidemics, strikes, lockouts or other labour disputes, insurrections, civil commotion, war, enemy actions.

(b) If a Force Majeure arises, the Service Provider shall promptly notify BCAS in writing of such condition and the cause thereof. Unless otherwise directed by BCAS, the Service Provider shall continue to perform his obligations under the contract as far as is reasonably practical, and shall seek all reasonable alternative means for performance not prevented by the Force Majeure event.

(c) The Service Provider shall be excused from performance of his obligations in whole or part as long as such causes, circumstances or events shall continue to prevent or delay such performance. Neither party shall have any liability to the other party in respect of the termination of this contract as a result of an Event of Force Majeure.

(d) However, Service Provider shall be entitled to receive payments for all services rendered by it till the effective date of termination of this Agreement.

9.5 Confidentiality

(a) The term “Confidential Information” for the purpose of this Article means any information, including information created by or for the other Party, whether written or oral (which is confirmed in writing by disclosing party within 15 (fifteen) days of such oral disclosure) , which relates to internal controls, computer or data processing programs, algorithms, electronic data processing applications, routines, subroutines, techniques or systems, or information concerning the business or financial affairs and methods of operation or proposed methods of operation, accounts, transactions, proposed transactions or security procedures of either Party or any of its Affiliates.

(b) Each party shall keep confidential any Confidential Information with the same degree of care as it would treat its own confidential information, which degree of care in no case shall be less than reasonable.

(c) Each party shall use the Confidential Information only for the purposes of this Agreement and not for any other purposes.

(d) Each party shall cause all its employees or agents who have been given access to the Confidential Information on a need to know basis are bound by the confidentiality obligations of this Agreement.

(e) The obligations of confidentiality under this section shall survive termination or expiration of this Agreement and for a period of 2 (two) years thereafter.

(f) Nothing in this Article shall prevent a Party from treating confidential information as non-confidential, if such information is:

(i) in the possession of, or was known to receiving Party prior to its receipt, without an obligation to maintain its confidentiality;

(ii) becomes generally known to the public without violation of this agreement by the receiving Party;

(iii) obtained by receiving Party from a person

(i) who such Party does not know to have violated, or to have obtained such information in violation of any obligation to another person or the other Party with respect to such information, (ii) who does not require such Party to refrain from disclosing such information and (iii) who has the right to disclose it, without the obligation to keep such information confidential; (iv) independently developed by the receiving Party without the use of confidential Information and without the participation of individuals who have had access to confidential information; (v) is required to be disclosed by receiving Party under the compulsion of law, or by order of any court or government or regulatory body to whose supervisory authority the receiving party is subject.

10. INTELLECTUAL PROPERTY

The Intellectual Property Rights (IPR) in all the deliverables and documentation developed solely and exclusively for BCAS under this agreement shall vest in BCAS subject to corresponding payment made by BCAS to Service Provider. BCAS shall have right to use the Deliverables during the term of this Agreement.

It is agreed between the parties that each party shall continue to retain all the ownership, the rights title and interests all its Pre Existing Intellectual Property

Rights, tools, technology and methodology used in execution of this Agreement and all new inventions, ideas, developments conceived or developed by it or its consultants/ employees while providing services hereunder. All the IPR in the Third Party Material / software used by the Service Provider in providing services including those forming part of or incorporated into the deliverables shall remain with the

respective third party owners/Service Provider’s licensor and the BCAS shall have use rights in accordance with the End User License Agreement or relevant third party agreement as applicable.

11. EXIT MANAGEMENT

11.1. Upon completion of the contract period or upon termination of the agreement for any reasons, the Service Provider shall comply with the following:

(a) Notify to BCAS forthwith the particulars of all Project Assets;

(b) Deliver forthwith actual or constructive possession of the BCAS Project free and clear of all Encumbrances and execute such deeds, writings and documents as may be required by the BCAS for fully and effectively divesting the Service Provider of all of the rights, title and interest of the Service Provider in the BCAS Project and conveying the BCAS Project;

(c) Comply with the Divestment Requirements set out in Section 11.2 except in case if Termination of this Agreement is due to BCAS Event of Default. In case of Termination due to Force Majeure Event, the Divestment Requirements shall be agreed between BCAS and the Service Provider; and

(d) Pay all transfer costs and stamp duty applicable on hand-back of project assets except in case the Project is being transferred due to Default of BCAS, where BCAS shall be responsible for transfer costs and stamp duty, if any. For clarification of doubt, transfer costs in this Clause relate to taxes and duties applicable at transfer of BCAS Project, if any.

11.2. Subject to clause 11.1 of exit management above, upon completion of the contract period or upon termination of the agreement, the Service Provider shall comply and conform to the following Divestment Requirements in respect of the BCAS Project:

(a) All Project Assets including the Portal Application and documentation shall have been renewed and cured of all defects and deficiencies as necessary so that the BCAS Project is compliant with the Specifications and Standards set forth in the RFP, Agreement and any other amendments made during the contract period;

(b) The Service Provider delivers relevant records and reports pertaining to the BCAS Project and its design, engineering, operation, and maintenance including all operation and maintenance records and manuals pertaining thereto and complete as on the Divestment Date;

(c) The Service Provider executes such deeds of conveyance, documents and other writings as the BCAS may reasonably require to convey, divest and assign all the rights, title and interest of the Service Provider in the BCAS Project free from all encumbrances absolutely and free of any charge or tax unto the BCAS or its Nominee; and

(d) The Service Provider complies with all other requirements as may be prescribed under Applicable Laws to complete the divestment and assignment of all the rights, title and interest of the Service Provider in the BCAS Project free from all Encumbrances absolutely and free of any charge or tax to BCAS or its nominee.

11.3. Not earlier than 3 (three) quarters before the expiry of the contract Period but not later than 30 (thirty) days before such expiry, or in the event of earlier Termination of the contract, immediately upon but not later than 15 (fifteen) days from the date of Issue of Termination Notice, the Independent Consultant as nominated by the BCAS shall verify, in the presence of a representative of the Service Provider, compliance by the Service Provider with the Divestment Requirements set forth in Section 2 in relation to the BCAS Project and, if required, cause appropriate tests to be carried out at the Service Provider's cost for determining the compliance therewith. If either Party finds any shortcomings in the Divestment Requirements, it shall notify the other of the same and the Service Provider shall rectify the same at its cost.

11.4. Upon the Service Provider conforming to all Divestment Requirements and handing over actual or constructive possession of the BCAS Project to BCAS in this regard, BCAS shall issue a certificate which will have the effect of constituting evidence of divestment of all rights, title and lien in the BCAS Project by the Service Provider and their vesting in BCAS Project pursuant hereto. BCAS shall not unreasonably withhold issue of such certificate. The divestment of all rights, title and lien in the BCAS Project shall be deemed to be complete on the date when all the Divestment Requirements have been fulfilled or the Certificate has been issued, whichever is earlier, it being expressly agreed that any defect or deficiency in any Divestment Requirement shall not in any manner be construed or interpreted as restricting the exercise of any rights by BCAS or its nominee on or in respect of the BCAS Project on the footing as if all Divestment Requirements have been complied with by the Service Provider.

BCAS's Event(s) of Default

If the payment to the Operator is due for more than 2 quarters consecutively

- If the termination occurs due to non payment by BCAS to the Service Provider for the two consecutive quarters then the operator would be paid those two quarters revenue. No operational charges would be paid to the operator for all those quarters for which his services have not been used by BCAS. In the event of such termination, BCAS will take over all technical items (without any liability) necessary for the proper and normal operation of the BCAS Project including but not limited to all Portal Application, technical designs, technical & operational manuals related to the BCAS Project.

12. MISCELLANEOUS

12.1 Independent Contractor

(a) For the purposes of the Agreement each Party thereto shall be deemed to be an independent contractor and not any other party's agent or employee. Nothing herein contained shall be construed as a Joint venture, a partnership or an agency nor shall any similar relationship be deemed to exist between the Parties expect as specifically provided herein.

(b) Without prejudice to the generality of the foregoing, the Service Provider shall ensure compliance with all laws relating to employment including the payment of provident fund, employees’ state insurance and other dues.

(c) In case of default in compliance as aforesaid the Service Provider shall be solely responsible for the consequences and that neither BCAS nor its Affiliates shall in any way be responsible or liable for such default.

(d) The Service Provider indemnifies and promises to keep BCAS and its Affiliates indemnified against

any and all losses, claims, damages, costs and reasonable expenses (including, but not limited to attorneys’ and experts’ fees, costs of investigation and costs of settlement) which may or are likely to result from the Service Provider’s default as aforesaid.

12.2 Trademarks, Publicity

Neither Party may use the trademarks of the other Party without the prior written consent of the other Party. Except as required by law or the rules and regulations of each stock exchange upon which the securities of one of the Parties is listed, neither Party shall publish or permit to be published either alone or in conjunction with any other person any press release, information, article, photograph, illustration or any other material of whatever kind relating to this Agreement or the business of the Parties without prior reference to and approval in writing from the other Party, such approval not to be unreasonably withheld or delayed.

12.3 Notices

No notice, acceptance, approval, consent or claim under or in pursuance of this Agreement shall be valid unless sent by registered mail or reputed courier to the under mentioned address and received by the other Party.

(a) No amendment, variation or other change to this Agreement shall be valid unless mutually agreed in writing and signed by the duly authorized representatives of the Parties to this Agreement.

(b) Each Party to this Agreement agrees to enter into or execute, without limitation, whatever other agreement, document, consent and waiver and to do all other things which shall or may be reasonably required to complete and deliver the obligations set out in this Agreement.

12.5 Severability

(a) The Parties hereto agree that in the event of one or more of the articles or provisions hereof being subsequently declared void or invalid for any reason the violability or invalidity or unenforceability of such articles or provisions shall not affect the validity or enforceability of other articles or provisions which can be clearly separated or disjuncted.

(b) In case the provisions or articles declared void or invalid are material to the operation of the Agreement, the Parties shall negotiate in good faith articles or provisions to replace the articles or provisions declared void or invalid.

12.6 Non-Waiver

Any failure of any party hereto to enforce any of the provisions of this Agreement or to require at any time performance by the other party of any of the provisions hereof during the term of this Agreement, shall in no way affect the validity of this Agreement or any part hereof, or the right of either party thereafter to enforce each and every such provision.

12.7 Compliance with Laws and Regulations

Each Party to this Agreement accepts that its individual conduct shall (to the extent applicable to it) at all times comply with all applicable laws, rules and regulations. For the avoidance of doubt, the obligations of the Parties to this Agreement are subject to their respective compliance with all applicable laws and regulations.

12.8 Ethics

Service Provider represents, warrants and covenants that it has given no commitments, payments, gifts, kickbacks, lavish or expensive entertainment, or other things of value to any employee or agent of BCAS, or its nominated agencies in connection with this agreement and acknowledges that the giving of any such payment, gifts, entertainment, or other things of value is strictly in violation of BCAS’s standard policies and may result in cancellation of this Agreement.

12.9 Headings and Schedules

(a) The headings for each Article in the Agreement have been inserted for convenience of reference only, and are not intended to limit or expand the meaning of the language contained in the particular Article.

(b) The Schedules to this Agreement form an integral part of this Agreement and will be interpreted in consonance with the article or provision referring to the Schedule.

12.10 Entire Agreement

This Agreement, together with the Schedules constitutes the entire agreement, and supersedes any previous agreements or understandings between the parties relating to the subject matter of this Agreement. Each party acknowledges that it has not relied on or been induced to enter into this Agreement by a representation or warranty other than those expressly set out in this Agreement.

To the extent permitted by Applicable Law, a party is not liable to another party in contract or tort or in any other way for a representation or warranty that is not set out in this Agreement.

12.11 Survivability

The termination or expiry of this Agreement for any reason shall not affect or prejudice any terms of this Agreement, or the rights of the Parties under them which are either expressly or by implication intended to come into effect or continue in effect after such expiry or termination.

12.12 Assignability

(a) BCAS may assign this Agreement or any rights granted under this Agreement to any person under intimation to the Service Provider.

(b) The Service Provider shall not assign this Agreement or any rights granted under this Agreement without the prior written consent of BCAS which consent shall not be unreasonably withheld or delayed.

(c) Subject to the aforesaid limitation on assignment, this Agreement shall be binding upon and inure to the benefit of any successors in interest and assigns of the Parties hereto, who shall expressly assume in writing the performance of all the terms and conditions of this Agreement to be performed by the Parties hereto.

12.13 Publicity

The Service Provider shall not use the name of BCAS in any of its promotional and advertisement materials without prior written approval of BCAS, which approval shall not be unreasonably withheld or delayed by BCAS.

13.DISPUTES AND AMENDMENTS

13.1 GOVERNING LAW & DISPUTE SETTLEMENT

(a) This Agreement shall be construed, governed and implemented in accordance with the law applicable in India.

(b) In case of any dispute or difference arising out of this Agreement on any issue, the same shall be settled amicably by the Parties. In case the Parties are unable to settle the dispute within 30 (thirty) days,

they shall refer the dispute to Arbitration under the provisions of Arbitration and Conciliation Act 1996 or any of its statutory modification or enactment thereof for the time being in force. Both the parties shall appoint one arbitrator each and the arbitrators so appointed shall further appoint a third arbitrator. The award shall be made either in concurrence or as majority award in the proportion of 2:1 amongst the arbitrators.

(c) The place of such Arbitration shall be at Delhi.

(d) The language of the Arbitration proceedings and that of all documents and communications between the Parties shall be in English.

13.2 Amendment

The Parties acknowledge and agree that amendments to this agreement shall be made through mutual agreement between the parties in writing in accordance with the procedure this Agreement is executed and signed.

BCAS and the Service Provider have caused this Agreement to be executed, in duplicate, by their respective duly authorized officers on the date, month and year and at the place indicated below.

PAYMENT SCHEDULE

1. IMPLEMENTATION CHARGES:

Total Implementation Charge for implementation quoted by the Service Provider

The Service Provider shall be paid the Implementation Period charges in three stages:

STAGE 1: Software Requirements Specifications (SRS) Acceptance by BCAS: 20% of the Implementation Period charge, which is <to be quoted>, shall be paid.

STAGE 2: Acceptance by BCAS of PHASE 1 Automation Functionality: 40% of the quoted Implementation Period charge shall be paid.

STAGE 3: Acceptance by BCAS of PHASE 2 Automation Functionality: 40% of the quoted Implementation Period charge shall be paid.

2. SUPPORT CHARGES:

Total Quarterly Charge for support quoted by the Service Provider: Rupees <to

The payment to the Service Provider shall be subject to the following terms and conditions:

1) The Service Provider’s charge shall be inclusive of all costs, charges, taxes and duties, except Service Tax which shall be paid on actual by BCAS.

2) All payments to the Service Provider shall be in accordance with the terms and conditions of this Agreement.

3) Penalty for delays caused by the Service Provider in the Implementation/ support Period shall be adjusted accordingly.

The Bank undertakes not to revoke this guarantee during its currency without previous consent of the Owner and further agrees that the guarantee herein contained shall continue to be enforceable till the Owner discharges this guarantee. The Owner shall have the fullest liberty, without affecting in any way the liability of the Bank under this guarantee, to postpone from time to time the exercise of any powers vested in then or of any right which they might have against the Contractor, and to exercise the same at any time in any manner, and either to enforce or to forebear to enforce any covenants, contained or implied, in the Contract between the Owner and the Contractor or any other course of or remedy or security available to the Owner. The Bank shall not be released of its obligations under these presents by any exercise by the Owner or by any other matters or thing whatsoever which under law would, but for this provision, have the affect of relieving the Bank. The Bank also agrees that the Owner at its option shall be entitled to enforce this Guarantee against the Bank as a principal debtor, in the first instance without proceeding against the Contractor and notwithstanding any security or other guarantee that the Owner may have in relation to the Contractors liabilities.

The performance guarantee shall also govern the following guarantees a. The Hardware/ Software supplied under the contract shall be free from all defects / bugs and upon written notice from BCAS, the successful bidder shall fully remedy, free of expenses to BCAS, all such defects / bug as developed under the normal use of the said hardware / software within the period of guarantee/Warranty.

The performance guarantee is intended to secure the performance of the entire system. However, it is not to be construed as limiting the damages stipulated in any other clause of tender Notwithstanding anything mentioned herein above our liability under this guarantee is restricted to Rs. _____________ and it shall remain in force upto and including _____________ and shall be extended from time to time for such period (not exceeding one year), as may be desired by M/s _____________ on whose behalf this guarantee has been given.
