This Notice (“Notice”) is being given pursuant to Sections 280(a)(l) and 280(b)(l) of the General Corporation Law of the State ofDelaware (the “DGCL”) on behalf of Parragon, Inc., a Delaware corporation (“Parragon”). Because this Notice may affect yourrights, please read it in its entirety.

Parragon filed a certificate of dissolution with the Secretary of State of the State of Delaware on June 25, 2018 pursuant to Section275 of the DGCL, which became effective on that date, and Parragon was dissolved, and the period for winding up its affairsthereupon began.

Parragon has elected to follow the notice procedures set forth in Section 280 of the DGCL. Under Section 280(a)(1) of the DGCL,a corporation or any successor entity may provide notice of its dissolution to all persons having a Claim (as defined below) againstthe corporation, other than a claim against the corporation in a pending action, suit or proceeding to which the corporation is aparty, to present their Claims against the corporation in accordance with such notice. Under Section 280(b)(1) of the DGCL, acorporation or any successor entity is also required to provide notice of its dissolution and of the procedures for filing claims toall persons with contractual claims contingent upon the occurrence or nonoccurence of future events or otherwise conditional orunmatured (other than any claim pursuant to an implied warranty as to any product manufactured, sold, distributed or handled bythe dissolved corporation).

THIS NOTICE CONSTITUTES THE NOTICE CONTEMPLATED BY SECTIONS 280(a)(1) AND 280(b)(1) OF THE DGCL.Accordingly, if you believe you have (i) a claim, or (ii) a contractual claim contingent upon the occurrence or nonoccurrence offuture events or otherwise conditional or unmatured (each a “Claim”) against Parragon, you must present each such Claim inaccordance with the following procedures: a. All Claims must be presented to Parragon in writing and must contain sufficientinformation reasonably to inform Parragon of the identity of the claimant and the substance of the Claim. b. Claims should be sentto the following address: Parragon Inc., C/O Richard F. McCormick, 63 Mill River Road, Oyster Bay, NY 11771. c. All Claimsmust be received at the address listed above on or before September 7, 2018. d. PURSUANT TO SECTION 280(a)(2) OF THEDGCL, ANY AND ALL SUCH CLAIMS WILL BE BARRED IF NOT RECEIVED BY September 7, 2018. e. As permitted by theDGCL, Parragon may make distributions to other claimants and to stockholders or persons interested as having been such withoutfurther notice to the claimant. f. THIS NOTICE does not revive any Claim barred or subject to a statute of limitations as of the date hereof or any date after thedate hereof, nor does it constitute acknowledgment by Parragon or any successor entities thereof that any person who receivesthis Notice is a proper claimant of Parragon. OAKLAND – The running jokearound the Athletics at this time of yearis that any veteran having a good seasonshould keep his bags packed.

On the way to finishing last in theAmerican League West each of the lastthree years, the A’s entered July with 35wins every time, a clear signal to theiralready trigger-happy management tostart moving assets.

That’s how the likes of Ben Zobrist,Rich Hill, Josh Reddick, Sonny Gray,Sean Doolittle, Ryan Madson, YonderAlonso and Scott Kazmir wound up fin-ishing their seasons elsewhere.

“We joke about that,” said infielderJed Lowrie, who’s making a case for hisfirst All-Star Game invite. “We’re notnaive to the track record of the organiza-tion.”

So it’s hard to bet on Oakland keepingvaluable players such as Lowrie andcloser Blake Treinen past the July 31trade deadline. But given their Junesurge and 48-39 record, the A’s could beopen for business again this month —this time as buyers.

General manager David Forst saidhe’s telling opposing clubs that Oaklandis looking to upgrade, though that couldbe subject to change depending on whattranspires in the next few weeks. Evenafter winning 14 of their past 16 games,the A’s trail the Mariners by sevengames for the second AL wild card.

Still, for a team that raised few out-side expectations coming into the sea-son and has six starting pitchers on thedisabled list, arriving at this point with afighting chance merits acknowledg-ment and perhaps extra support.

“This team has played well, and ifthere’s a chance to make them better

right now, we have to consider that,”Forst said. “We know how precious anyplayoff opportunity is. You don’t takethat for granted just because maybecoming into the year you weren’t ex-pected to be there. We will certainlyspend the month of July talking withother teams and looking to see what up-grades are possible for this team butalso keeping an eye on the future as wealways do.”

The A’s did not join the game’s wide-spread tanking trend in the offseasonbut didn’t make major acquisitions ei-ther, opting to continue building arounda young nucleus that features third

baseman Matt Chapman, first basemanMatt Olson and left-hander Sean Ma-naea.

All three have been factors in Oak-land’s improvement — Manaea’s eightwins lead the pitching staff, and theMatts have combined to hit 28 homeruns — but a good chunk of the contri-butions also have come from more es-tablished players.

DH Khris Davis has hit 20 home runsand driven in 57 runs, two fewer thanLowrie’s team-leading 59. Both rankamong the league’s top 10 in RBI. Low-rie, besides providing a stabilizing pres-ence as an 11-year veteran, has the high-

est OPS of any Athletic at .855.And Treinen, 30, is having the best

season of his career, not only converting22 of 24 save chances but boasting theAL’s best ERA among relievers at 0.84.He heads a solid late-inning corps thathas allowed the A’s to go 34-0 whenleading after seven innings, the majors’only unbeaten team in those situations.

No wonder, then, A’s players areready to move past the old joke and settheir sights on contending.

“Although I can see the comedy in it,”outfielder Mark Canha said, “I like tothink that right now we’re thinkingmore along the lines of, ‘Who are we go-ing to get?’ ”

The A’s could possibly upgrade with-out making any moves, consideringstarting pitchers Trevor Cahill, DanielMengden and Brett Anderson figure tobe back in the next couple of weeks.That would leave management enoughtime to assess whether the chances ofchallenging for a playoff spot are real orchimerical.

Lowrie, now in his second tour of du-ty in Oakland, played on the 2013 and2014 teams that reached the postseasonand says this is the most fun he’s everhad in baseball, partly because this mixof veterans and youngsters has bondedso well.

The never-say-die A’s have scoredthe winning run in the eighth inning orlater in eight of their last 17 victories,and they’re among the majors’ mostprolific clubs scoring from the seventhon.

So while aware of the possibility hemight get traded, Lowrie is not dis-counting an extended run.

“I’ve been here when we’re acquiringpeople at the deadline,” said Lowrie,who will be a free agent after the season.“In my experience, the front office iscognizant of that. I don’t think they’regoing to waste opportunities. I thinkthey’ll do what’s best if we’re in a posi-tion to compete at the deadline andwe’re in it. In the past they’ve given theclub a chance. I don’t think it’s out of thequestion.”

What to buy … and what not to

Lots of gadgets and tech accesso-ries will be discounted for the sale, butproducts from Apple and Google –from iPhones and MacBooks to Pixelphones and Google Home – probablywon’t see much love.

The three tech companies don’t al-ways play nice with each other, so it’stypical for Apple and Google not to doanything special those days. Greg Daco, head of U.S. economicsfor Oxford Economics, reckoned Chinawould suffer even more because traderepresents nearly 20 percent of itseconomy while it makes up about 14percent of the U.S. economy.

Yet the U.S., China and Europe allwould topple into recession if Trumpimposes all the tariffs he has threat-ened on top of those already levied – atotal $560 billion in duties – especiallysince the moves would decimatestocks and consumer and businessconfidence, Daco said.

Here’s a breakdown of the risks andrewards of the trade battle:

Jobs

Risks: American companies cutjobs as they move production to for-eign markets to avoid Chinese tariffson U.S. goods.

All of the tariffs already imposed orthreatened in the U.S.-China disputewould mean 700,000 fewer U.S. jobs,Zandi estimated.

Chinese companies could use thesame strategy, closing factories in thatcountry, laying off workers and mov-ing production into the U.S. to avoidtariffs and be closer to American cus-tomers. About 700,000 to 1 millionjobs could be lost in Chinese cities,said Daco of Oxford Economics.

Rewards: If Chinese tariffs onAmerican goods are lowered as a resultof successful negotiations, the long-

term effect could be positive for U.S.workers. That’s because lower costsshould translate into higher profits andhigher sales.

Investments

Risks: China retaliates by dumpingits massive holdings of U.S. governmentbonds, a move that would likely boostborrowing costs in the U.S. and causetumult in financial markets.

China is the No. 1 foreign investor inU.S. Treasuries, with holdings of $1.18trillion at the end of April, according tothe Department of the Treasury andFederal Reserve.

The problem, however, is that theChinese will also suffer financial pain,said Peter Hooper, chief U.S. economistat Deutsche Bank in New York.

Other risks: U.S. companies that dobusiness in China face increased re-strictions, damaging their sales andprofitability.

Rewards: China agrees to lower bar-riers to entry, enabling freer access forU.S. companies. This could include lift-ing requirements to share profits and in-

tellectual property with Chinese com-panies.

Geopolitics

Risks: China retaliates by refusing tohelp the U.S. negotiate a drawdown ofnuclear weapons in North Korea. Chinacould also bolster its economic ties toother Asian countries.

China has a political edge in this re-spect because President Xi Jinping canimpose sweeping unilateral actionwithout facing the political backlashthat might occur in the U.S.

“Xi is in for life; Donald Trump has amidterm election to worry about,” DavidRosenberg, chief economist and strate-gist at Toronto-based Gluskin Sheff,wrote in a report. “China plays the longgame in any event and at all times.”

Rewards: Other countries, fearingeconomic losses in their own trade warwith the U.S., agree to concessions un-der the premise that if the U.S. is willingto risk its lucrative relationship withChina, surely it will do the same withthem.

Schnatter made a serious blunderlast November when he blamed slow-ing sales on the NFL’s handling of blackplayers kneeling during the nationalanthem, noted Eric Schiffer, chairmanof Reputation Management Consult-ants, a firm that guides Fortune 500companies and senior leaders throughthe kinds of crises of which PapaJohn’s is now in the midst.

“This is public relations brand sui-cide, and it’s very serious to spew hatefrom the founder of the company. ... Hehas proven to be a dumb mouthpiece,”Schiffer said.

Crisis management

Papa John’s top leaders “are in thebunker now,” working on emergency

strategies to repair the company’s rela-tionship with consumers, particularlythose in minority communities, Schiffersaid.

The company has some work to do towin back African-American customerswho are bound to feel insulted bySchnatter’s remarks. It also faces thechallenge of reassuring employees thatthey work in an accepting environmentwhere diversity is celebrated, he said.

The company needs to own the prob-lem and be transparent about how it in-tends to make things right, Schiffer said,which may include reaching out to lead-ers in the African-American communityto forge new relationships. Scholarshipfunding and other philanthropic sup-port is one way to do that, but it’s mostimportant to be sincere. It’s a case of“what you do versus what you say.”

Starbucks recently found itself in hotwater over its managers’ handling ofblack customers in one of its Philadel-phia cafes. That was a problem with lo-cal management, in contrast withSchnatter as Papa John’s highly visible

spokesman and brand ambassador.That has a far more extensive effect.

Ties to a toxic boss

Craig Buffkin, managing partner atBuffkin/Baker, an executive recruitingagency, said Papa John’s is unique inmaintaining such a long connection tothe company’s roots. “You don’t havetoo many chairmen and founders thatcontinue as the face of the company foras long as he has,” Buffkin said.

Companies often pivot away fromtheir founders and bring in fresh leadersto remain nimble and aggressive, hesaid. “The velocity of change right nowis incredible,” Buffkin said. “It’s a chal-lenging process” for anybody walkinginto the executive offices.”

But while Schnatter is stepping downas chairman, he retains huge influencethrough his large stake in its stock. Andalthough the company may be goingthrough difficulty now, it likely will sur-vive the incident because “the publichas a short memory,” Schiffer said.

A RESOLUTION MAKING CERTAIN FINDINGS WITH RESPECTTO AND GIVING NOTICE OF THE INTENTION OF THE CAPITALAREA FINANCE AUTHORITY TO ISSUE ITS NOT TO EXCEED$30,000,000 MULTIFAMILY HOUSING REVENUE BONDS(ARDENWOOD FOREST PROJECT) IN ONE OR MORE SERIES,TAXABLE OR TAX-EXEMPT, ON BEHALF OF LDG MULTIFAMILY,LLC, OR AN AFFILIATE THEREOF, FOR THE PURPOSE OFFINANCING THE DESIGN, DEVELOPMENT, AND CONSTRUCTIONOF A MULTIFAMILY HOUSING COMPLEX IN BATON ROUGE,LOUISIANA; PROVIDING FOR THE PUBLICATION OF A NOTICE OFINTENT TO ISSUE THE BONDS; AUTHORIZING THE FILING OF ANAPPLICATION WITH THE LOUISIANA STATE BOND COMMISSION;AND OTHERWISE PROVIDING WITH RESPECT THERETO.

WHEREAS, the Capital Area Finance Authority (the “Authority”) isa public trust created pursuant to the provisions of Chapter 2-A of Title 9 ofthe Louisiana Revised Statutes of 1950, as amended (La. R.S. 9:2341-9:2347,inclusive) (the “CAFA Act”);

WHEREAS, the CAFA Act, the original Indenture of Trust dated August14, 1974, as last amended and restated in October 2014 pursuant to that certainAmended and Restated Capital Area Finance Authority Trust Indenture, Section1430 of Title 39 of the Louisiana Revised Statutes of 1950, as amended, andother constitutional and statutory authority (collectively, the “Act”) empowerthe Authority to issue bonds to provide funds to the beneficiary thereof to fulfilland achieve its authorized public functions or purposes as set forth in the CAFAAct;

WHEREAS, LDG Multifamily Housing, LLC (the “Developer”), a limitedliability company authorized to do business in the State of Louisiana (the“State”), is a developer of affordable housing in the State;

WHEREAS, the Developer, or an affiliate thereof (the “Borrower”)desires to cause the development, design, and construction of a 216 +/- unitapartment developer to be located at approximately 800 North ArdenwoodDrive in the City of Baton Rouge (collectively, the “Project”);

WHEREAS, the Developer has requested that the Authority issue itsnot to exceed $30,000,000 Multifamily Housing Revenue Bonds (ArdenwoodForest Project), taxable or tax-exempt, in one or more series (the “Bonds”), forthe purpose of (i) financing the development, design, and construction of theProject; (ii) funding a deposit to a debt service reserve fund, if necessary; (iii)funding capitalized interest on the Bonds, if necessary, and (iv) paying costs ofissuance of the Bonds;

WHEREAS, the Authority desires to authorize the filing of an applicationwith the Louisiana State Bond Commission (the “Commission”) requestingthat the Commission grant approval to the issuance of the Bonds in accordancewith the Act;

WHEREAS, the Authority desires to authorize the publication of one ormore notices of public hearing in accordance with the requirements of Section147(f) of the Code;

WHEREAS, the Authority desires to authorize the issuance of the Bondsunder the CAFA Act for the development of the Project;

WHEREAS, the Authority desires to set a public hearing relating to theissuance of the Bonds and to publish notices of its intent to issue the Bonds inaccordance with the requirements of the CAFA Act; and

WHEREAS, the Authority reasonably expects to reimburse expendituresof the Borrower incurred prior to the issuance of the Bonds, if any, for the Projectfrom proceeds of the Bonds and this resolution serves as a declaration of itsofficial intent under Section 1.150-2 of the United States Treasury Regulations.

NOW THEREFORE, BE IT RESOLVED by the Board of Trustees ofthe Capital Area Finance Authority, acting as the governing authority of saidAuthority, that:

SECTION 1. Pursuant to the Act, the Authority does hereby authorize theissuance of the Bonds, the proceeds of which shall be loaned to the Borrowerfor the purpose of: (i) financing the development, design, and construction ofa 216 +/- unit apartment developer to be located at approximately 800 NorthArdenwood Drive in the City of Baton Rouge; (ii) funding a deposit to a debtservice reserve fund, if necessary; (iii) funding capitalized interest on theBonds, if necessary, and (iv) paying costs of issuance of the Bonds. The captionof the Bonds shall be subject to change prior to the marketing and sale of theBonds. The Bonds shall mature not later than forty (40) years from the date oftheir issuance and shall bear interest at fixed or variable rates not to exceedtwelve percent (12.0%) per annum. The Bonds shall be secured by paymentsunder loan agreements or similar financing agreements (the “Payments”) byand between the Authority and the Borrower, which Payments will be payableby the Borrower to the Authority from certain revenues realized by the Borrowerfrom the operation of the Project.

SECTION 2. The Authority does hereby authorize the filing of anapplication with the Commission requesting approval of the issuance ofthe Bonds. By virtue of applicant/issuer’s application for, acceptance andutilization of the benefits of the Louisiana State Bond Commission’s approval(s)resolved and set forth herein, it resolves that it understands and agrees thatsuch approval(s) are expressly conditioned upon, and it further resolves thatit understands, agrees and binds itself, its successors and assigns to, full andcontinuing compliance with the “State Bond Commission Policy on Approvalof Proposed Use of Swaps, or other forms of Derivative Products Hedges,Etc.”, adopted by the Commission on July 20, 2006, as to the borrowing(s) andother matter(s) subject to the approval(s), including subsequent application andapproval under said Policy of the implementation or use of any swap(s) or otherproduct(s) or enhancement(s) covered thereby.

SECTION 3. The Authority hereby approves and authorizes thepublication of one or more notices of public hearing and does hereby furtherauthorize and approve the conduct of public hearings in accordance withthe requirements of Section 147(f) of the Internal Revenue Code of 1986, asamended.

SECTION 4. The Authority hereby approves the form of the Authority’sNotice of Intention to Issue Bonds (attached hereto as Exhibit A) and

authorizes and approves the publication of said Notice in accordance with theCAFA Act and does hereby further authorize and approve the conduct of suchpublic hearing in accordance with the requirements of the CAFA Act.

SECTION 5. The Authority hereby approves the form of the Authority’sNotice of Sale of Bonds (attached hereto as Exhibit B) and, in connectiontherewith, does hereby authorize and approve the publication of said Noticeof Sale of Bonds in accordance with the requirements of the CAFA Act. For aperiod of thirty (30) days from the date of publication thereof, any person orpersons in interest shall have the right to contest the legality of this Notice,the resolution or other proceedings authorizing the issuance of the Bondsand the legality of the Bonds for any cause, after which time no one shall haveany cause or right of action to contest the legality of the Notice of Sale, theresolution or other proceedings or of the Bonds authorized thereby for anycause whatsoever. If no suit, action or proceedings are begun contesting thevalidity of the Bonds within the thirty (30) day period prescribed by the CAFAAct, the authority to issue the Bonds and to provide for the payment thereof, thelegality thereof and of all of the provisions of the resolution or other proceedingsauthorizing the issuance of the Bonds shall be conclusively presumed, and nocourt shall have authority to inquire into such matters.

SECTION 6. This Resolution shall constitute the adoption of an officialintent of the Issuer to issue the Bonds in accordance with the United StatesTreasury Regulations, Section 1.150-2(e). The amount of the proceeds of theBonds expected to be used to reimburse the Borrower for expenditures relatingto the Project is not expected to exceed $30,000,000.

SECTION 7. It is recognized, found and determined that a real necessityexists for the employment of Bond Counsel in connection with the issuanceof the Bonds and accordingly, Foley & Judell. L.L.P., New Orleans, Louisiana,is hereby employed as Bond Counsel to the Authority to do and to performcomprehensive, legal and coordinate professional work with respect to theissuance and sale of the Bonds. Bond Counsel shall (i) prepare and submit tothe Authority for adoption all of the proceedings incidental to the authorization,issuance, sale and delivery of the Bonds, (ii) counsel and advise the Authoritywith respect to the issuance and sale of the Bonds, and (iii) furnish their opinioncovering the legality of the issuance thereof. The fee for bond counsel servicesto be paid Bond Counsel from Bond proceeds shall be an aggregate amount notto exceed the Attorney General’s then current Bond Counsel Fee Schedule andother guidelines for comprehensive, legal and coordinate professional work inthe issuance of revenue bonds applied to the actual aggregate principal amountissued, sold, delivered and paid for at the time such Bonds are delivered,together with the reimbursement of out of pocket expenses incurred andadvanced in connection with the issuance of the Bonds, said fee to be payableout of Bond proceeds subject to the Attorney General’s written approval of saidemployment and fee as required by the Act.

SECTION 8. The firm of Government Consultants, Inc. is herebyemployed as financial advisor to the Authority in connection with the issuanceof the Bonds.

SECTION 9. This Resolution does hereby incorporate by reference asthough fully set out herein the provisions and requirements of the Act.

SECTION 10. The Chairperson, Vice Chair, Secretary Treasurer,President and Chief Executive Officer, or Executive Assistant of the Authorityare hereby authorized and empowered to take any and all further action and tosign any and all documents, instruments and writings as may be necessary tocarry out the purposes of this resolution and to file, on behalf of the Authority,with any governmental board or entity having jurisdiction over the Bonds, suchapplications or requests for approval thereof as may be required by law.

SECTION 11. This Resolution shall become effective immediately uponits adoption.
