1.0 INTRODUCTION

The European Bank for Reconstruction and Development (the "EBRD") is an international financial institution. The EBRD was established by treaty in 1990 to foster the transition towards open market oriented economies and to promote private and entrepreneurial initiatives in Central and Eastern Europe, the Baltic States and the Commonwealth of Independent States that are committed to and applying the principles of multiparty democracy, pluralism and market economics.

Over time EBRD’s regions of operations have expanded to include new countries such as Mongolia, Turkey, Jordan, Tunisia, Morocco, Egypt, Kosovo, Cyprus, Greece and Lebanon. Furthermore, while the EBRD remains as committed to fulfilling its original mandate as ever, its understanding of what the transition to market economics actually entails has evolved in the light of recent history. At the beginning of 2017, for example, EBRD began applying a new transition concept which defines a well-functioning market economy as more than just competitive; it should be  inclusive, well-governed, green, resilient and integrated as well. 

The EBRD has 71 members (69 countries, the European Union and the European Investment Bank). Further information about the EBRD's roles and activities can be found on the EBRD's website: www.ebrd.com.

The Headquarters of the European Bank for Reconstruction and Development (the “EBRD” or the “Bank”) is situated at One Exchange Square, London EC2A 2JN. The HQ building forms part of the Broadgate Development adjacent to Liverpool Street Station, London EC2.

1.1 Definitions:

The terms ‘EBRD’ and ‘The Bank’ shall mean the European Bank for Reconstruction and Development.

The term ‘Consultant(s)’ shall mean a party that submits a proposal in accordance with this RFP.

The term “Tender” shall mean the process by which the Bank evaluates and selects a Consultant to provide the Services described herein.

The term ‘RFP’ shall mean Request for Proposal. The term ‘Proposal’ shall mean a combination of the documents defined in section

4.4 of this RFP. Specifically the Technical Proposal and the completed Quotation File.

2.0 PROJECT BACKGROUND

2.1 Purpose

The purpose of this document is to obtain proposals from suitably qualified and experienced companies for the provision of Structural Engineer Services for the EBRD HQ Project. The specific details of these services are contained in Annex A (Scope of Services).

2.2 Background

The European Bank for Reconstruction and Development (the “Bank”, “EBRD”) has recently signed the Lease Agreement with Canary Wharf Group for its new HQ building located in 5 Bank Street, Canary Wharf.

The HQ Project, leading to this signing, aimed to identify a suitable facility for the HQ building to be located in London. Phase 1 of the HQ Project identified 5 Bank Street in Canary Wharf as the Bank’s preferred option for its future HQ building in London.

Subsequently, Phase 2 of the HQ Project entailed, inter alia, the detailed due diligence of the 5 Bank Street building and the technical, commercial and legal negotiations with the Developer (Canary Wharf Group) for Levels 12 to 24, comprising c. 366,000 sq. ft. Phase 2 was concluded with the signing the Agreement for Lease in April 2019.

The target date for Practical Completion (PC) of the base building works at 5 Bank Street is August 2019 (the lower levels of the building will be ready for occupation by Société Générale before the end of 2019); thereafter the area demised to the Bank will remain vacant during the interregnum period until the Bank commences its fit out work in 2021 via an early access arrangement.

Phase 3 of the HQ Project has now commenced and the objectives of this Phase and subsequent Phases are outlined below.

2.3 HQ Project Vision

The vision of the HQ Project is to co-create and deliver a best in class working environment for staff and visitors with an emphasis on wellbeing, sustainability, diversity and inclusion and a community that fosters a culture of choice, collaboration and innovation; whilst at the same time offering a workplace that is functional, flexible and encourages full mobility to support the business needs in a fair and transparent manner and reflects the Bank’s cultural diversity.

2.4 HQ Project Objective

The Bank’s objective is to accomplish the vision by delivering the HQ Project on time and within budget. To achieve the objective of the Project, the Bank is seeking services of professionals as described hereafter.

2.5 HQ Project Aims for Phases 3 to 5

2.5.1 Phase 3 of the HQ Project includes the competitive tendering and appointment of the Consultant Teams to support the Bank as part of this Phase.

The high-level scope of works for Phase 3, in accordance with the RIBA Plan of Work 2013, comprises:

Defining the Strategic Brief and other core project requirements (Stage 0),

Developing initial project brief and project execution plan, including project objectives, outcomes, sustainability aspirations, project programme and the anticipated project budget (Stage 1),

Preparing the concept design and preliminary cost information, update project programme, final project brief and update project execution plan (Stage 2),

Preparing developed designs, including structural designs and building services system and update project programme (Stage 3), and

Preparing detailed technical coordinated design including all architectural, AV/IT infrastructure, structural and building services information, designs and specifications and

update project programme (Stage 4).

Following completion of the design, the competitive tendering and appointment of the Main Contractor and AV Contractor will be undertaken. It is expected that the Building Contract in the appointment of the Main Contractor will be the industry standard JCT form of contract1 with the appropriate legal wrap to ensure the Bank’s privileges and immunities are protected.

Furthermore, the competitive tendering and appointment of the furniture consultant/ vendor will be undertaken to support the lead time in the programme.

2.5.2 Phase 4 of the HQ Project is anticipated to commence in 2021, which will involve the fit out by the Bank’s demised premises in accordance with the final design, agreed programme and approved cost plan/budget.

In parallel with Phase 4, although delivered in Phase 5, the competitive tendering for a commissioning engineer, a moves management contractor will need to be undertaken.

2.5.3 Phase 5 of the HQ Project is due to commence in 2022 following Practical Completion of the fit out with adequate time allowed for commissioning, testing and handover to the facilities team, followed by the phase relocation of staff.

This phase will also include the rectification of any defects through to December 2023.

4.0 DESCRIPTION OF THIS RFP

4.1 Overview

Consultants wishing to participate in this Tender will be required to make a submission (the ‘Submission’) comprising of the following documents in accordance with the timetable outlined in section 4.2:

a completed minimum requirements check list, together with the documents requested and, a written technical proposal (together referred to as the ‘Technical Proposal’) as defined in section 4.4.

a completed quotation file (the ‘Quotation File/ Financial Proposal’) as defined in section 4.5.

4.3 Clarifications

The process for reception and resolution of queries shall be as follows:

the Consultants will send queries by e-mail to the following addresses: [email protected] there will be 1 (one) round of queries; the deadline for queries is shown in the timetable set out in section 4.2 of this RFP; the EBRD will circulate the responses to all queries to all participating Consultants in

accordance with the timetable set out in section 4.2 of this RFP; and the clarification document will make no reference to which Consultant made any particular

query.

4.4 Technical Proposal

The Minimum Requirements check list is the first stage of a two stage process. Consultants interested in this Tender process must fill in and return the Minimum Requirements Checklist, together with the documentation requested and their Technical Submission in accordance with the timetable set out in section 4.2 of this RFP.

Only Consultants that answer “yes” to all questions relating to the Minimum Requirements Checklist and provide the requested documentation as evidence will have their Technical Proposals evaluated by the Tender Evaluation Panel (TEP).

The Technical Proposal shall be prepared with reference to Annex A – Scope of Services and should contain the following Evaluation Criteria identified in Annex C – Technical Evaluation Criteria which should be understood as a minimum key criteria. The Consultant is encouraged to provide any other information they deem relevant for this submission.

The Technical Proposal must be submitted as per the following instructions; any submissions not in accordance with these instructions will be disqualified:

IF YOUR RESPONSE IS LIKELY TO EXCEED PLEASE SEND YOUR SUBMISSION OVER SEVERAL EMAILS; UP TO A MAXIMUM OF 3 EMAILS.

N.B. – All Financial Proposals (Quotation Files) must be submitted in a separate email as per the instructions in 4.5.

There must be no reference to pricing within your Technical Submission.

Responses shall be submitted in accordance with the timetable set out in section 4.2 of this RFP.

Please note:

o Submission of a Proposal by a Consultant implies acceptance of the terms described in this RFP.

o This document is a RFP sent by the EBRD to a number of Consultants. This document does not constitute a contract, nor may it be considered as such. Award shall be subject to the successful Consultant entering into a contract with the EBRD

o The Bank reserves the right to verify any information in the Proposal with the references provided by the Consultant.

o If, in the judgment of the EBRD, the information sent by any of the Consultants does not meet the technical or contractual requirements contained in this document, the EBRD reserves the right to disqualify this Consultant from the process.

4.5 Quotation File

All Consultants are required to complete the applicable quotation file (the ‘Quotation file’) attached as Annex B of this RFP. Prices are to be quoted in GBP net of VAT.

4.5.1 Financial Proposal (Quotation File) Submission

The Financial Proposal (Quotation File) must be submitted as per the following instructions; any submissions not in accordance with these instructions will be disqualified:

N.B. The Financial Proposal (Quotation File) titled “Annex B, Resource Fee Schedule” submission must only contain pricing, no technical response should be submitted in these envelopes.

4.5.2 Quotation File Validity

Quotes submitted shall be valid for ninety (90 days following date of receipt).

5.0 EVALUATION METHODOLOGY

5.1 Technical Evaluation

Consultants’ Technical Proposals will be evaluated and scored by a nominated Tender Evaluation Panel (TEP) of the Bank.

Technical Evaluation - Stage 1 – Minimum Requirements Check List and Technical Evaluation of Written Responses

Only Consultants that answer “yes” to all questions relating to the Minimum Requirements Check List and provide the requested documentation as evidence will have their Technical Proposals evaluated.

Evaluation of the written Technical Proposals and up to 3 (three) Consultants will be invited to the present to the Bank, based on the outcome of the Minimum Requirements Check List and Technical Evaluation of the written response.

Technical Evaluation - Stage 2- Presentation/Interview Evaluation

Up to three (3) shortlisted Consultants with the highest Technical Evaluation score will be invited to make a 1 hour presentation on the 28th May 2020, at the EBRD HQ in One Exchange Square.

This date is not negotiable and timings for the presentation/interview will be confirmed with the Consultants on the 9th April 2020.

Consultants to confirm in the Technical Evaluation response their first, second and third choice of preferred times for the presentation/interview based on the times indicated below:

The shortlisted Consultant will be required to make a 1 hour Presentation/Interview with a maximum of five (5) key members of the team who will be the members of the Consultant’s team actually providing the services for the HQ Project (one of which must be the Project Team Lead).

The Agenda will be issued on 21st May 2020.

5.2 Financial Evaluation

The Consultants’ Quotations File/Financial Proposal will be opened and evaluated completely independently the Procurement Operations and Delivery Department (PODD).

This Financial Evaluation will take place during the same period as Stage 1 and 2 of the Technical Evaluation.

Mathematical errors detected by the Bank in the submitted Quotation Files will be corrected in the following manner:

if there are errors in the mathematical extension of unit price items, the unit prices prevail and the mathematical extension is adjusted accordingly; and

if there are errors in the additional of lump sum prices or unit price extensions, the bid is not rejected but the total is corrected and the correct amount reflected in the total bid price.  

5.3 Selection of Preferred Consultant

The Consultant with the highest combined Technical Evaluation (Stage 1 and Stage 2) and the Financial Evaluation score shall be nominated as the preferred Consultant (the ‘Preferred Consultant’).

5.4 Checking of References

The Consultant is required to provide full contact details for a minimum of three (3) references based on the projects submitted as part of their Minimum Requirements submission (Question 1).

The Bank reserves the right to contact any of the references provided by the Preferred Consultant. The Bank reserves the right to speak to any company which has dealt with the Preferred Consultant, whether provided as a reference or not, without prior notification to the Consultant.

In the event that the Preferred Consultant’s references prove unsatisfactory, the Bank will consider the next highest scoring Consultant to be the Preferred Consultant and will repeat the procedure described above.

5.5 Negotiations

The Bank will move to negotiate a contract with the Preferred Consultant. In the event that a satisfactory conclusion to the contract negotiations cannot be agreed the Bank may consider the next highest scoring Consultant to be the Preferred Consultant and will commence the procedure described above.

5.6 Right to Reject

The Bank reserves the right to accept or reject any RFP response, or part thereof, and to annul the RFP process and reject all RFP responses at any time prior to award of contract without incurring any liability to the affected parties.

6.0 CONTRACT

The EBRD is an international organisation established by international treaty. As such, the EBRD possesses a special status under public international law which has been confirmed under English law through statute (Statutory Instrument 1991, No. 757, The European Bank for Reconstruction and Development (Immunities and Privileges) Order 1991), available at:

http://www.legislation.gov.uk/uksi/1991/757/contents/made.

Please also refer to the aforementioned establishment treaty of the Bank ("articles of incorporation") which lays out the immunities as found in Chapter VIII. These can be found at:

http://www.ebrd.com/pages/research/publications/institutional/basicdocs.shtml

The special status of the EBRD requires it to seek specific provisions relating to such status in all contracts with external Consultants and service providers. EBRD is unable to agree to terms that expressly contradict its special status and internal policies as an international organisation.

6.2 Contract Negotiation

The contract awarded shall be performed in accordance with the contract advertised as part of the pre-Qualification Notice.

6.3 Code of Conduct and Site Rules

The Consultant will be expected to comply with the Bank’s Code of Conduct for Contractors (see Annex D) and Site Rules (see Annex E) when performing these contractual services for the Bank.

6.4 Covenant of Integrity – Consultant Contact Sheet

The Consultant is requested to please print, sign and return the Covenant of Integrity document (see Annex F) as part of your Tender submission.

7.0 GENERAL TERMS AND CONDITIONS OF THIS RFP

7.1 Amendment

EBRD reserves the right to negotiate any or all terms and conditions, and to cancel, amend or resubmit this RFP in part or entirely at any time. None of the terms and conditions of this RFP can be revoked or amended in any way by Consultants without the prior written agreement of EBRD.

7.2 Consultant Costs

EBRD is not responsible for any Consultant costs associated with this RFP, Consultant responses or any contract discussions or negotiations. Nor is EBRD responsible for any indirectly related costs. No statement by EBRD should be viewed as a request by EBRD or justification for Consultants to increase or change inventory, staff, facilities, business relationships with its Consultants, or internal business processes. All actions by Consultants in response to this RFP or subsequent discussions or negotiations should be taken with the clear understanding that neither this RFP nor subsequent actions or omissions by EBRD obligate or commit EBRD to pay or reimburse Consultants for any costs or expenses they incur. This RFP is not an offer to enter into a contract.

Consultants shall absolutely rely on their own professional competence in evaluating and verifying the information contained in this RFP. Consultants must take every opportunity to inspect and verify the information contained or referred to in this document or subsequent to it, subject to the confidentiality restrictions as detailed in section 7.5 of this RFP.

7.4 Sole Response

Submission of a response as part of this process shall be deemed to be the Consultants’ only offer(s).

7.5 Confidentiality

Consultants shall treat the RFP and EBRD's process of evaluating Consultants as strictly private and confidential. The contents of this RFP, including specification, designs, drawings or other related documents shall be considered confidential and shall not be disclosed by the Consultant, the Consultant’s servants or agents to any persons, firm or corporation without the prior written consent of EBRD. Any such specifications, designs, drawings or other documents shall remain the property of EBRD and shall be returnable to EBRD within five (5) days of the Consultant receiving either, notification that it has been unsuccessful, or on written request from EBRD.

7.6 EBRD Logo Protection

Please be advised that EBRD logo is a registered service mark and as such should not be reproduced without the express written permission of the Bank.

7.7 General

Incomplete or inadequate responses, lack of response to an item or items, or misrepresentation in responding to this documentation may result in rejection of a Consultant’s Proposal.

After receipt of the RFP and until the award of any contract neither information relating to the examination, clarification, evaluation and comparison of the submissions nor recommendations concerning the award of a contract shall be disclosed to the Consultant, or to any other outside parties, until the RFP process has been concluded and a contract awarded.

Any effort by a Consultant to influence EBRD in the process of examination, evaluation and comparison of the RFP, or in decisions regarding the award of a contract, shall result in the rejection of the Consultant’s Proposal.

Ownership of documentation or other information submitted in the RFP will become the property of EBRD unless otherwise requested at the time of submission. Any materials submitted in response to the RFP, which are considered to be confidential, should be clearly marked as such by the Consultant.

Annex A - Scope of Services

Structural Engineer Services

1. The Services Generally

The Structural Engineer shall provide design and consulting services for the Works and have full design responsibility for, but not limited to:

1.1. Liaise and coordinate closely with the Bank’s Internal Project Team, Project Manager, Specialists and the Other Consultants;

1.2. The structural engineer shall perform all work necessary to produce a complete structural analysis and design for all the works to be carried out to the existing structure to accommodate the proposed configuration of the Auditorium and the Boardroom;

1.3. Structurally design and detail 12 new staircases including the openings in floors and loadings on floor slabs;

1.4. Review floor slab loads based on the location of the MER and design any required structural reinforcement required;

1.5. Work with the design team to develop the design to meet the Bank’s objectives;

1.6. Co-ordinate design and review design documentation produced by others within the design team from a structural perspective;

1.7. Attend fortnightly design team meetings and monthly progress meetings;

1.8. During the construction phase, visit the site at regular intervals to monitor the construction process and ensure that the works are being carried out in accordance with the design;

1.9. During the construction phase, should changes to the design require changes to the structural design, update the design as appropriate;

1.10. Provide monthly progress reports to the Project Manager.

Key Consultant responsibilities include, but will not be limited to:

2. RIBA STAGE 3 – DEVELOPED DESIGN

2.1. Working in conjunction with the design team, identify all elements of the design requiring structural intervention

2.2. For the selected concept design option, provide the Bank with structural calculations, drawings, design notes, sketches, details, etc. that may be reasonably requested for development of the design or costing purposes;

2.3. Work with the design team to produce structural performance specifications for all relevant architectural elements and building services.

2.4. Work with design team to develop relevant construction detail drawings and specifications related to the structural design

2.5. Provide advice and guidance to the design team as to the structural performance of elements of the construction,

2.6. If detailed structural analyses are needed, carry out those analyses and document the results in a report. Circulate the report to the Bank and the design team and incorporate any outputs from the analysis into the design as appropriate;

2.7. Consult with all relevant approving authorities: the Bank, building control/approved inspector, landlord, planning officers and other stakeholders as appropriate. Address any concerns they may have and co-ordinate with the design team to ensure that the design is modified as appropriate.

2.8. Issue Stage 3 Structural Engineering Report setting out key issues, basis of design, structural requirements, design criteria, design guidance, limitations/constraints, structural requirements for architectural and building services elements, testing criteria/requirements etc.

2.9. Obtain the Bank’s approval to proceed with Stage 4, including additional costs for any further structural engineering analyses required.

3. RIBA STAGE 4 – TECHNICAL DESIGN & TENDERING

3.1. Assist in the preparation of the technical design / tender documents including tender packages, specifications, designs and bid forms, as required.

3.2. Review the design and tender documentation produced by others to ensure that it complies with the structural design requirements. Identify any aspects of the design where changes would be required, or further structural analyses are needed. Ensure that the necessary structural requirements are clear and are included within the relevant tender documentation.

3.3. If any further structural analyses are required, or any which were not carried out earlier, these should be completed in this stage.

3.4. Continue consultation with all relevant approving authorities, e.g. the Bank, building control/approved inspector, landlord, planning officers and other stakeholders as appropriate. Address any concerns they may have and co-ordinate with the design team to ensure that the design is modified as appropriate. Assist the design team with the preparation of any relevant submissions to the approving authorities.

3.5. Liaise with the Bank and design team (attend design team meetings, email and telephone correspondence, use of project intranet systems, etc.) as reasonably required to deliver the Services and meet the project objectives

4. RIBA STAGE 5 – CONSTRUCTION

4.1. Carry out liaison, e.g. meetings, correspondence and use of project intranet systems, etc. with the project team as reasonably required to deliver the Services and meet the project objectives

4.2. Make periodic site visits to review compliance with intent of design.

4.3. Provide assistance to the main contractor / sub-contractors as they develop their specialist designs to ensure that they comply with the structural design requirements, performance criteria and regulations

4.4. Respond to any queries from the contractors in relation to the structural design.

5. RIBA STAGE 6 – HANDOVER & CLOSE-OUT

5.1. Carry out liaison, e.g. meetings, correspondence and use of project intranet systems, etc. with the project team as reasonably required to deliver the Services and meet the project objectives

5.2. Visit the site during construction and report to the Bank on compliance of the works with the structural design and, on completion of the works, comment on whether the works comply with the approved structural design

5.3. Co-ordinate with approving authorities in relation to any issues relating to the structural design

6. General Services

The Services to be performed by the Structural Engineer under and in accordance with this Agreement from time to time as required by the Bank’s Internal Project Team including inter alia the following:

6.1. Printing, reproducing or purchasing all documents, drawings, maps, photographs, specifications, information, data, Standards, calculations and other records reasonably required necessary for the proper performance of the Services.

6.2. Assist the Architect, the Project Manager and the Bank’s Internal Project Team to provide all information as may be required to enable the preparation of monthly reports.

6.3. In conjunction with the Sustainability Consultant and the Consultant Design Team (as necessary), support the Bank in achieving BREEAM Outstanding rating (when measured with the base build) and WELL Building Gold Standard.

6.4. Review and comment on Contractors/subcontractor’s designs, drawings and specifications for compliance with the Banks requirements and report to the Bank’s Internal Project Team and key stakeholders; provide copy of such advice to the Project Manager.

6.5. Fully support the variation and change control processes.

6.6. Providing information to the other members of the Consultant Design Team as required enabling them to carry out their respective duties.

6.7. Participating in a post project ‘Lessons Learned Workshop’ with other members of the Consultant Design Team, including any consultation necessary during the defects liability period.

7. Additional Requirements/Information

7.1. The Structural Engineer is requested to provide any additional information and/or requirements not already included above that they consider being relevant and beneficial in supporting the Scope of Services for this appointment and in delivering the Bank’s objectives for the Project.

Annex B – Quotation File/Financial Proposal (Resource and Fee Schedule)

1. Fees and Resource Schedule

The Consultant is required to complete the worksheet titled, “Quotation File” (the Resource Days per Month will form part of the Technical Evaluation) and the pricing fee schedule will be independently evaluated.

The Consultants fees shall be calculated as a fixed lump sum in accordance with the programme(s) defined in Annex G – Indicative Programme(s). The fee proposal should include all fringe benefits, mark-ups, expenses, overheads and profit and exclude VAT.

2. Additional Fees

Please identify separately any additional requirements deemed necessary and essential in the delivery of the HQ Project outside of what is already included in Annex A – Scope of Services.

For the purpose of this Covenant, the terms set forth below define Prohibited Practices as:

(i) a Coercive Practice which means impairing or harming, or threatening to impair or harm, directly or indirectly, any party or the property of any party to influence improperly the actions of a party;

(ii) a Collusive Practice which means an arrangement between two or more parties designed to achieve an improper purpose, including to influence improperly the actions of another party;

(iii) a Corrupt Practice which means the offering, giving, receiving or soliciting, directly or indirectly, of anything of value to influence improperly the actions of another party;

(iv) a Fraudulent Practice which means any act or omission, including a misrepresentation, that knowingly or recklessly misleads, or attempts to mislead, a party to obtain a financial or other benefit or to avoid an obligation;

(v) a Misuse of the Bank’s Resources or Bank Assests which means improper use of the Bank’s Resources or Bank's Assets , committed either knowingly or recklessly;

(vi) an Obstructive Practice which means (1) destroying, falsifying, altering or concealing of evidence material to a Bank investigation, which impedes the Bank’s investigation; (2) making false statements to investigators in order to materially impede a Bank investigation into allegations of a Prohibited Practice; (3) failing to comply with requests to provide information, documents or records in connection with a Bank investigation; (4) threatening, harassing or intimidating any party to prevent it from disclosing its knowledge of matters relevant to a Bank investigation or from pursuing the investigation; or (5) materially impeding the exercise of the Bank’s contractual rights of audit or inspection or access to information; and

(vii) a Theft which means the misappropriation of property belonging to another party.

Following the submission of our Expression of Interest, we grant the project financier, the Bank and/or persons appointed by them, the right of inspection of our, and any proposed subcontractors, accounts and records and permission to have any such accounts and records audited by auditors appointed by the Bank, if required by the Bank. We accept to preserve these records generally in accordance with applicable law but in any case for at least six years from the date of substantial performance of the Contract.

We further declare that no affiliate of the Recipient/Client is participating in our Expression of Interest in any capacity whatsoever.
