DUCATI SCRAMBLER CUSTOM RUMBLE

- 2019 Edition - Art. 1 - Definition and organisation of the art competition "Ducati Scrambler Custom Rumble" is an art competition ("Competition") organised by Ducati Motor Holding S.p.A., - Sole shareholder company, subject to the direction and coordination of Audi AG - with registered office in Via Cavalieri Ducati, 3 - Bologna, Italy, Italian VAT code 05113870967 (hereinafter "Organiser" or "Ducati") Art. 2 - Object and purpose of the Competition As better explained in the section "Participation in the Competition", the purpose of the competition is to reward the best so-called "customisation" of the motorcycles starting from one of the Ducati Scrambler versions ("Motorcycle"). The version to start from is at the discretion of the Competition participant, who can freely choose from the models of the Ducati Scrambler range ("Participant"). The winners will be given the opportunity to participate at a dedicated event in 2020 during which the Finalists will be presented, as described in the "Voting, Finalists, Winners and Prizes" (“Event”) section. The Competition provides for the participants to choose one of the following 5 categories, according to the motorbike customisation constraints indicated in article 3:

• Rocker (Café Racer style) Starting model: Scrambler 800 (all versions) and Sixty2

• Cut-Down (Bobber/Cruiser style) Starting model: Scrambler 800 (all versions) and Sixty2

• All-Terrain (Enduro style) Starting model: Scrambler 800 (all versions) and Sixty2

• Outsider (any style not included in the other previous categories) Starting model: Scrambler 800 (all versions) and Sixty2

• Bully Starting model: Scrambler 1100 and related versions

Ducati reserves the right to assign the motorcycle to a different category if it does not meet the constraints established for the category which the participant has applied for, or because the motorcycle is not representative of the style required from an aesthetic point of view. Art. 3 - Constraint for the participation in the competition for each category.

• ROCKER (CAFÉ RACER STYLE) Starting model: Scrambler 800 (all versions) and Sixty2 The motorcycle must have a Café Racer style, with reference to the classic 60s street sports bikes, typically with spoked wheels, semi-handlebars and single seat. It must use at least one of the following components:

o Front/rear wheel having the same size o Single seat with Café Racer style o Café racer headlight fairing o Semi-handlebars or low handlebar o Non-knobbed road wheels

• CUT-DOWN (BOBBER/CRUISER STYLE) Starting model: Scrambler 800 (all versions) and Sixty2 The motorcycle must be characterized with a Bobber/Cruiser style in which all non essential components are eliminated, typically with flat single seat, low and straight handlebar, and wheels of the same size. It must use at least one of the following components:

o Front/rear wheel having the same size o Flat single seat saddle o Low handlebar o Non-knobbed road wheels

• ALL-TERRAIN (ENDURO STYLE) Starting model: Scrambler 800 (all versions) and Sixty2 The motorcycle must be characterized by an Enduro style with a clear attitude to off-road use and equipped with aesthetic enduro components that amplify its use in this way, and must include the use of at least one of the following components:

o Wheel size: 21’’ front/17’’ rear or 19’’ front/17’’ rear o Engine protections o Knobbed wheels

• OUTSIDER (any style not included in the other previous categories)

Starting model: Scrambler 800 (all versions) and Sixty2 o No constraints on the type of components

• BULLY

Starting model: Scrambler 1100 and related versions o No constraints on the type of components or on the motorcycle style

Art. 4 - Target and Territorial Area. Depending on the category registered for, the following persons can participate in the Competition in any country they are located in ("Participants"), producing/presenting Motorcycles by the deadlines set by the Competition and according to the constraints established for each category:

• All employees and partners of the dealers belonging to the official Ducati dealer network; • All employees and partners of customisers/independent workshops not linked to Ducati by any commercial or business

relationship; • All Ducati customers who own a Ducati Scrambler model.

Art. 5 - How to participate. To participate in the Competition, it is necessary to:

- Fill in the application form available at the following link xxxxxxxx by 30/12/2019; - Open a new Instagram profile and in the Bio section add the words "customrumble ambassador" (or if you already have an

Instagram account add the words "customrumble ambassador" to your current Bio). The Instagram page linked to the Participant's profile may be used for Competition purposes exclusively for (i) documenting the experience of customising the Motorcycle for the duration of the period, which will run from registration until xxxxxxx ("Period"), through videos and/or images ("Material") and (ii) by sharing said Material using the hashtag #customrumble during the Period.

- Each Participant will customise just one Motorcycle. - For the purposes of online voting by users ("Users"), upon completion of the Motorcycle the Participant must access the page

xxxxxxxx using the code generated when registering for the competition and upload 7 photos of the customised Motorcycle: a right side view, a left side view, ¾ right and left views, a frontal view, a rear view, filling in all the information required in the registration form;

- The Motorcycle must be completed - and therefore the corresponding images sent - by 30/01/2020. - For dealers belonging to the official Ducati network it will not be possible to promote accessories that compete with Ducati. By

this it is meant that any visible brand marks must be Ducati or official Ducati partners. - By registering, each Participant declares to be the legitimate author of the customisation of the Motorcycle and that the

Motorcycle is original and unique.

Art. 6 - Acceptances The Motorcycle will remain the property of the Participant, who will bear the costs of the customisation.

By registering, Participants consent to the use of the Competition Motorcycles for display at events if so requested by Ducati. Ducati reserves the right to make changes to the photos submitted by the Participants if it deems, at its own unquestionable judgement, that their contents may be detrimental to any third-party rights or to the image of Ducati, its business partners or other stakeholders. Art. 7 - Voting, Finalists, Winners and Prizes Photos of the Motorcycles customised by the Participants and uploaded to the page scramblerducati.com/custom-rumble by and not later than 30/01/2020, will be added to a dedicated web page by Ducati to allow the Users to vote (indicatewebpage).

Throughout the Period of the competition, the "work in progress" photos will be promoted and posted on the Instagram profilehttps://www.instagram.com/customrumble. Voting will take place using an online voting procedure on the dedicated web page. Each User, of any nationality, can vote for any Motorcycle participating in the Competition regardless of where the Motorcycle is located. Voting will close on 16/03/2020 at 5:00 pm (CET). By 30/03/2020 the finalist Motorcycles will be named for each of the following categories in the exact ranking, as voted by the Users ("Finalists"):

1. “Best Rocker” 2. “Best Cut-Down” 3. “Best All-Terrain” 4. “Best Outsider” 5. “Best Bully”

The winner among the Finalists in each category will be the winner of its class ("Winner"). The Finalists (one for each of the above categories) will be notified via email and announced on the website www.scramblerducati.comand on Scrambler social channels by 15/04/2020. Once the Finalists have been contacted they have 48 hours to reply from the time of notification of the message, otherwise they may not participate in the Event and, therefore, the next Participant in the ranking will be invited. The five finalist Motorcycles of the Competition with their creators will be presented at the Event dedicated to this Competition in 2020. The best of the five will be voted by a special jury appointed for the occasion. Travel expenses and accommodation of the winning Participants will be borne by each Winner, while the cost of transporting the Motorcycle will be borne by Ducati as part of the prize for winning the Competition. The winner of first place among the five Finalists will be awarded a prize having a value of 2,000€, while the remaining four will be awarded surprise prizes during the Event. Art. 8 - Period and validity Registration for the competition begins on 16/03/2019 at 9:00 am (CET) and closes on 30/12/2019 at 11:59 pm (CET). Registrations received after that time will not be considered. The 7 photos of the completed Motorcycles must be received no later than 30/01/2020 at 11:59 pm (CET). Photos received after this deadline will not be taken into consideration and cannot be voted for the selection of the Competition winners. Art. 9 - Motorcycles and intellectual property rights By participating at the Contest, the Participant assumes all legal responsibilities related to the customisation of the Motorcycle and the Material sent to Ducati, including breach of copyright and/or third party industrial rights. By registering their Motorcycle to the Competition and submitting the Material, the Participant hereby assigns to Ducati all economic rights for the Material as well as providing consent to display the Motorcycle at future initiatives and/or events if requested by Ducati. It is understood that Ducati is under no obligation to use the Motorcycles even if they are Finalists in their events. Art. 10 - Treatment of personal information The company Ducati Motor Holding S.p.A. ("Ducati"), as data controller, hereby informs you that any personal data provided will be processed for the management of your participation in the "Custom Rumble" Competition, including the realization of exhibition events and publication on the siteswww.scramblerducati.com, www.scramblerducati.tumblr.com, Scrambler Ducati page on Facebook, @scramblerducati profile on Instagram and/or Scrambler Ducati profile on the www.vimeo.com, www.youtube.comwebsites, or for the fulfilment of any obligations arising from the Contract, the law, the community legislation or the provisions of the Guarantor for the protection of personal data, within the limits set out in the privacy notice available at www.ducati.com/it/it/home/privacy as provided for pursuant to and by effect of Art. 13 of the GDPR. Giving your personal data is necessary for the purposes indicated above, and any refusal would prevent you from participating in the Competition. Art. 11 - Applicable Law The rights and obligations arising from the Competition shall be governed by the Italian law.
