Option: PC operationIn keeping with the times, it is becoming more and more common to link up a PC to the 200 LS-N air jet sieve.The entire air jet sieve operation, plus all the control functions and documentation are carried out with the PC under WINDOWS®. The high-lighted on-line help functions make operation simple and comfortable.

PC operation with ALPINE LS-PRO softwareThe 200 LS-N has two serial interfaces. PC opera-tion is automatically detected by the 200 LS-N, no modifications are necessary (units later than 5/97).

1. Scope of Application; German Law1.1. Our General Conditions of Sale will not apply in respect of

contracts with consumers.1.2. We contract exclusively on the basis of these General

Conditions of Sale and hereby reject any General Conditionsof Purchase of our customers.

1.3. The contract of sale shall be governed by and construed inaccordance with the laws of the Federal Republic ofGermany. The applications of the UN Convention onContracts for the International Sale of Goods is expresslyexcluded in relation to contract with foreign customers.

2. Conclusion and Contents of the Contract2.1. Prospectuses, printed materials and price lists do not consti-

tute an offer.2.2. Our offers remain revocable until accepted by the customer.

Purchasing orders from our customers are, however, bindingon them for four weeks from the date of dispatch.

2.3. In determining the content and scope of the agreementsreached our written order confirmation shall prevail. Grossweight and box size have no binding force.

2.4. Transactions entered into by our representatives must be con-firmed by the Head Office.

3. Price3.1. Unless otherwise agreed in writing, our prices represent the

net price free at point of dispatch, excluding packaging andall incidental expenses.

3.2. The prices are subject to statutory Value Added Tax at the rel-evant statutory rate on the invoice date.

3.3. Should production costs for deliveries with an agreed deliv-ery deadline of at least six weeks change substantially in anunforeseeable and ascertainable way after the conclusion ofthe contract (due to substantial changes in the price of rawmaterials, production parts, labour costs, duties and taxes(inter alia), we shall have the right to request an appropriateprice adjustment.

4. Payment4.1. All amounts due shall bear interest as of their due dates (date

of receipt of the invoice, but not earlier than the date of dis-patch, or any expressly agreed later date) at the rate of 3 %(or 4 %) over the current basic interest rate announced bythe German Bundesbank, unless the customer proves thatwe have incurred no or a lower interest loss.

4.2. The customer may only offset against our claims for paymentor exercise a right of retention if its claim is recognised by usor it is res judicata. The customer may also offset counter-claims or base a right of retention on counter-claims whichare ready for judgement or relate to the same contractualrelationship.

4.3. In the event of a payment delay by a customer all claims aris-ing out of our business relations with the customer willbecome due and payable unless the customer has any validobjection to such claims; in such event, we are also entitledto request cash in advance.

4.4. Our written authority is necessary in all cases for collection ofpayment from customers.

5. Delivery5.1. The delivery deadlines specified in the contract will be rea-

sonably extended by us in the event of strikes, operationalstoppages (including a lack of raw materials), lockouts, warand other force majeure events. In such cases we are alsoentitled to withdraw from the contract without this givingthe customer a claim against us for damages.

5.2. The delivery deadline shall be deemed to have been met ifthe goods have left the factory or notice has been given thatthey are ready for delivery before expiry of the deadline.Deliveries in part are permissible to a reasonable extent.

5.3. Should we fail to deliver by an agreed original or extendeddelivery deadline, the customer shall have the right to with-draw from the contract after the expiry of a reasonableextended deadline of at least thirty days. The customer must,however, give written notice of the commencement of thisperiod.

5.4. The customer shall have no claim for damages in respect ofdelayed delivery unless the loss was caused by intent or grossnegligence of our representatives or persons employed forthe fulfilment of our duties or by breach of fundamental con-tractual obligations; the foregoing does not alter the burdenof proof to the detriment of the customer.

5.5. Should the dispatch be delayed at the request of or fault ofthe customers, he will be invoiced monthly in respect of thestorage costs - which, in the case of storage at the supplier’ssite will consist of a minimum of 0,5 % of the invoiceamount for each month - with effect from one month afternotification of readiness to deliver. It shall be open to the cus-tomer to show that no storage costs arose or that the stor-age cost were substantially lower.

5.6. Should the customer’s financial situation deteriorate signifi-cantly, we may suspend any outstanding deliveries or with-draw from the contract.

6. Dispatch, Passing of Risk and Insurance6.1. Disbursements will be invoiced separately. Packaging will be

charged at cost and will not be taken back.6.2. Subject to any written agreement to the contrary, the goods

will be dispatched for the account of the customer. Shouldthe customer require a particular form of dispatch, he mustmake the relevant instruction known sufficiently in advance.

6.3. Unless otherwise specified in the order confirmation, the riskof loss, deterioration or damage passes to the customerwhen the goods to be delivered leave our factory.

6.4. At the request and expense of the customer the goods willbe insured by us against the risk specified by the customer.We shall be entitled to take out transportation insurance atthe customer’s expense.

6.5. The customer hereby undertakes to assign to us any claimshe may have against the insurance company in the event ofdamage or loss. The customer shall do everything necessaryto maintain the insurance claim, in particular provide us andthe insurers with all necessary notices and documents ingood time.

6.6. For ease of transportation bulky machines or accessories mayalso be dispatched partly assembled. Unless otherwiseagreed the costs of assembly at the destination site are notincluded in the price.

7. Copyright and Ownership of Documents7.1. We reserve our copyright rights even after fulfilment of the

contract. Our documents (drawings, explanations, cost esti-mates, etc.) shall not be made available to third parties andwill be returned at our request. They remain our property.

8. Retention of Title8.1. The goods delivered by us shall remain our property and in

our absolute ownership until the customer has paid all sumsdue to us whether under this contract or under any prior orsubsequent contract with the customer. Until full paymenthas been made the customer shall hold the goods as ourfiduciary agent and bailee.

8.2. The customer shall, until payment in full has been made,a) keep the goods separate from those of the customer and

third parties so they can be identified as our property;b) keep the goods in good operating condition and shall

fully insure them on our behalf for not less than the pricepayable to us; and all the proceeds of such insuranceshall be held on trust for us; and

c) inform us in writing instantly if any of the goods suppliedby us are attached or seized by a third party.

8.3. In the event of a default of payment by the customer we mayrequire - without withdrawing from the contract -, the returnof any of the delivered goods which are in the possession orcontrol of the customer. The customer grants us an irrevoca-ble license to enter, without prior notice, the customer’spremises to recover any goods or other materials which areour property.Upon return of the goods we shall be entitled to dispose ofthem; the proceeds of a resale less reasonable selling costsshall be set off against the liabilities of the customer.

8.4. If goods are mixed or combined with goods belonging toanother person, the product shall be deemed to be owned incommon with that other person.

8.5. The customer shall be entitled to on-sell goods supplied by usin the ordinary course of his business and shall do so in hisown name as principal and without creating any legal rela-tionship between us and the sub-buyer but in his relationshipwith us he shall resell as our fiduciary agent. In the event ofsuch a resale, the customer shall, however, give promptnotice of such resale to us and, at our request, assign to ushis claims for payment of the price arising from such resale.Notwithstanding such assignment, the customer shall beentitled to collect the assigned amounts on behalf of us pro-vided that he will fulfil his payment obligations. The customershall, however, place the proceeds of such resale into a sep-arate bank account and hold them on trust for us. In theevent of a default of payment by the customer, we shall beentitled to collect payments on the assigned claims fromonward sales in our own name.

8.6. At the customer’s request we shall release security interestsretained by us to the extent that their realisable value exceedsthe claims to be secured by more that 10 %. The choice ofsecurity interests to be released shall be within our discretion.

9. Warranty9.1. The customer is obliged to promptly examine the goods fol-

lowing delivery by us and to give prompt notice of apparentdefects. Should the customer not give notice of an apparentdefect within three working days following delivery, the goodsshall be deemed to have been approved. These provisions willalso apply, if goods other than those ordered, or a quantity ofgoods other than ordered, are delivered. If a defect which wasnot perceptible during the examination becomes apparent at alater time, notice must be given promptly following the discov-ery; otherwise the goods shall be deemed to have beenapproved also with regard to this defect.

9.2. In case of a timely and justified notice of defect we shall atour discretion repair or replace all parts which have beendamaged as a result of faulty workmanship. The replacedparts shall be returned to us. In the event that it should notbe possible to repair or replace the part, or that such repairor replacement should not be carried out within a reasonableperiod or should fail through any other fault of our own, thecustomer may at his discretion withdraw from the contract ordemand a reduction in the purchase price.

9.3. The customer shall allow us the necessary time an opportu-nity to carry out all repairs which we in our reasonable opin-ion consider necessary; otherwise we shall not be liable forthe defects.

9.4. We give no warranty in respect of defects arising as a resultof natural wear and tear, inappropriate or incorrect employ-

ment or handling, excessive use, or faulty assembly or oper-ation by the customer or third parties.

9.5. Any further claims of the customer, including in particularclaims for compensation in lieu of performance, for compen-sation of expenses and for compensation of any direct orindirect damage, also on the grounds of culpa in contrahen-do, are excluded, unless our legal representatives or vicariousagents act intentionally or with gross negligence, or the dam-age is due to the breach of a guarantee given for the qualityof the goods or to the negligent breach of a contractual obli-gation leading to a loss of life or personal injury, or to thenegligent breach of fundamental contractual obligations.Liability for the breach of fundamental contractual obliga-tions shall, however, be limited in scope to the foreseeabledamage typical of the type of contract, unless there is inten-tion or gross negligence. The above provision does not alterthe burden of prove to the detriment of the customer.

9.6. The provisions of section 9.5 shall apply accordingly to directclaims of the customer vis-à-vis our legal representatives orvicarious agents.

9.7. All claims for defects asserted by the customer, including theclaims for compensation of damages and expenses pursuantto sections 9.5 and 9.6, shall become time-barred one yearafter delivery of the goods to the customer.

10. Safety Provisions10.1. Dangerous materials of work

The customer shall completely and truly answer the question-naire sent to him regarding the condition of the materials to beprocessed.

10.2. Production-line Alpine machines correspond to the relevantgenerally recognised rules of technology pursuant to sched-ules A Technical Working Materials (Appliances Safety Act) ofthe Federal Republic of Germany in the version dated 1January 1993.

10.3. If the safety installations offered such as door safety meas-ures, entry prevention measures on inlets and outlets, electri-cal equipment etc. are not part of the delivery (manufacturedto customer’s specifications), the customer shall ensure thatsafety is guaranteed in another way.

10.4. The production-line manufactured machines are built inaccordance with the progressive rules of reduction of noisetechnology which are observed in practice. Should the noisein the workplace nevertheless exceed the permissible soundlevel, the customer must carry out additional measures toreduce noise external to the machines. The planning andexecution of noise technology shall be undertaken by Alpinefollowing the order.

10.5. The customer is obliged to observe the safety advice and expla-nations in our operating instructions and other regulations.

10.6. In case of the sale of spare parts, the customer is obliged toobserve the technical safety device and explanations in ouroperating instructions and other regulations when assem-bling spare and working parts.

11. Final provisions11.1. Should any provision or part of a provision of these General

Conditions of sale be or become unenforceable, this shall notaffect the enforceability of the remaining provisions.

11.2. The customer may not assign claims and other contractualrights to third parties without our written consent.

11.3. Unless otherwise provided in our order confirmation, place ofperformance for delivery and payment shall be Augsburg.

11.4. Unless the customer is a consumer, it is agreed that all dis-putes arising out of or in connection with this agreementshall be submitted to the jurisdiction of the courts ofAugsburg, Germany. Insofar as we are plaintiff, we can atour discretion also bring proceedings in the domicile of thecustomer or at the place of the customer’s business.
