REQUEST TO APPROVE A FOURTH AMENDMENT TO CONTRACT DA~4363 WITH ROSS & BARUZZINI, INC. TO EXTEND THE TERM OF PERFORMANCE BY TWO YEARS FOR PROJECT MANAGEMENT AND TECHNICAL SUBJECT MATTER EXPERT SERVICES FOR VARIOUS INFORMATION TECHNOLOGY PROJECTS IN SUPPORT OF THE LOS ANGELES WORLD AIRPORTS

The Executive Director of the Los Angeles World Airports (LAWA; Department) requests approval to execute a Fourth Amendment to Agreement No. DA-4363 (copy attached) with the St. Louis, Missouri-based Engineering and Architectural Planning, Design, and Consulting firm of Ross & Baruzzini, Inc. (Ross & Baruzzini; Consultant) to extend an existing contract for two years (from June 30', 2012 to June 30, 2014) to continue project management and expert technical subject matter services in support of LAWA technology projects at the Los Angeles International Airport (LAX) and other LAWA airports. The Department also requests approval to increase the expenditure authority by $6,004,000, for a not-to-exceed $17,956,300 over the five-year contract term, to finance the contract extension. Pursuant to Charter Section 373, Council approval of the proposed Amendment is required in that the cumulative term of the contract exceeds three years.

Approval of the proposed Amendment will ensure continuity of project management, information technology (IT) construction management, and technical support for various information technology (IT) projects involving the Bradley West terminal, Tom Bradley International Terminal (TBIT) renovation, Apron construction, North and South Concourse demolition, and others. '

Approval of the two-year extension will permit Ross & Baruzzin i to continue providing the Department with specific aviation-related technology project management and support services including, but not limited to, the following:

~~~ Project Schedulers, Document Control Consultants, and Project Control Consultants to provide cost, schedule, and scope control for the projects, as well as to create project reports using the Clarity project management system (a web-based project and portfolio management software commonly used in the industry) and other types of reporting tools

~~~ Technical Subject Matter Experts to provide specialized knowledge for the implementation of IT systems

~~~ Cost Estimator to provide as-needed cost estimating services to help LAWA develop costs for specific scopes of work

Examples of LAWA completed projects for which Ross & Baruzzini's services have been used include the following:

o IT Infrastructure Project components that included upgrades to one of LAW A's data centers, installation of a fiber optics network, and a portion of the design for new information technology facilities and terminals at LAX

o Network Expansion Project that included implementing a new high speed network in the LAX domestic and international terminals to support voice, video, and data systems

o Trunked Radio System Project that included implementing a new digital radio system to replace the existing legacy analog system at LAX and Van Nuys airports

The above-referenced aspects of the proposed Fourth Amendment, and thislreport, incorporate revised information received from the Department subsequent to the initial request submittal.

Background

The original agreement with Ross & Baruzzini was executed on July 1, 2009, for two years for a not­to-exceed $2,521,000. The consultant was one of two selected through a competitive process to provide LAWA with project management services and technical support for information technology components of airport capital projects. The First Amendment, executed in June 2010, increased the contract authority by $1 ,299,300 (for a total not-to-exceed $3,820,300) and extended the term by one year to June 30, 2012. As part of the First Amendment, the Department included a plan to request the Board of Airport Commissioners and Council approval to (1) extend the agreement a second time in order to make the expiration date coincide with the conclusion of the Bradley West Project, and (2) allocate additional funding to maintain continuity in project management and technical assistance for the LAX Development Program. There are no plans at this time to extend the contract for the second project management consultant

A Second Amendment was approved in March 2011 increasing the expenditure authority by $1,942,000 for a total not-to-exceed $5,762,300. A Third Amendment was approved a few months later, in May 2011, increasing the expenditure authority by $6,190,000 for a total not-to-exceed amount of $11,952,300 over three years. The proposed Fourth Amendment will extend the time by two additional years and increase the total not-to-exceed amount for Ross and Baruzzini by $6,004,000 to $17,956,300 over five years, thus bringing the average annual expenditure to $3,591,260.

The Department established the original agreement in 2009 to obtain project management and subject matter expertise for projects that had been approved at the time of the solicitation. Subsequent amendments were needed to address new projects (e.g., the LAX Development Program, etc.) that were approved after the consultant selection process had concluded.

Approval of the Fourth Amendment will help LAWA avoid a disruption in project management and expert technical services for the LAX Development Project and other IT projects. With the help of Ross & Barauzzini, LAWA plans to complete various technology projects supporting the airport renovation in 2012, 2013, and 2014 to achieve the mid-2014 scheduled completion for the Bradley West terminal, Tom Bradley International Terminal (TBIT) renovation, Apron construction, and the North and South Concourse demolition.

Funding for the proposed Fourth Amendment will be requested in the Department's FY 2012-13 and FY 2013-14 Operating Budgets for $260,000 of the estimated $6,004,000 needed. The remaining $5,744,000 will be allocated from the LAX Airport Revenue Fund as noted below:

Alternatives to the Proposed Fourth Amendment

Using existing City staff to provide the required architectural and planning services is a logical consideration. However, the use of City staff is not feasible in that the level of expertise is not available; neither is there sufficient staff to manage the required tasks. And initiating another competitive selection process would be time consuming--especially during this critical, time-sensitive stage of the Bradley West, TBIT renovation, Apron construction, and Concourse demolition projects. Additionally, according to the Department, the importance of maintaining continuity in project management and the provision of technical assistance for these projects cannot be overemphasized given the scope, complexities, cost, and interdependencies.

As a consequence of the above, if Ross & Baruzzini are not retained for two additional years, LAWA and the LAX Development Program, as well as other airport capital improvement projects, could be negatively impacted, both in terms of scheduling and any costs attributable to delays.

Compliance with City Administrative Requirements

For the combined Minority/Women Business Enterprise level of participation, the Department's Procurement Services Division established a 15 percent combined participation level; the Consultant proposed a 33 percent participation level and has achieved a 27.82 percent participation to date. In May 2011, with the addition of new IT projects, subcontractor Creelman & Associates filled a number of positions; likewise, a second subcontractor, Serra, LLC, was added. Consequently, it is anticipated that the overall goal of a 33 percent participation level will be reached. Ross and Baruzzini are either in compliance with or LAWA will monitor and ensure compliance with the Living Wage Ordinances, Affirmative Action Program, the Child Support Obligations Ordinance, the City's insurance requirements, Contractor Responsibility Program, and the First Source Hiring Program for all non­trade airport jobs. The Department of Public Works, Office of Contract Compliance has determined that the Consultant is in compliance with the provisions of the Equal Benefits Ordinance. Ross & Baruzzini is not subject to the provisions of Bidder Contributions, City Ethics Commission Form 55 pertaining to the City's contract bidder campaign contribution and fundraising restrictions (Charter Amendment H) that became effective in April 2011.

With respect to the Charter Section 1022, the Department determined that the ~qui red work can be performed more feasibly or economically by an independent contractor than by City employees.

City Council approval of the proposed Amendment is required in accordance with Charter Section 373, "Long Term Contracts Approved by Council," and the Los Angeles Administrative Code Section 1 0.5, "Limitation and Power to Make Contracts," because the cumulative period of the awarded contract exceeds three years. Additionally, to become effective, the City Attorney must approve the Amendment as to form.

Compliance with California Environmental Quality Act Guidelines

The proposed professional services agreement is a continuing administrative and personnel-related activity and is, therefore, exempt from the requirements of the California Environmental Quality Act (CEQA) pursuant to Article II, Section 2(f) of the Los Angeles City CEQA Guidelines.

RECOMMENDATIONS

That the Mayor:

1. Approve, subject to Ross & Baruzzini's compliance with the City's Standard Provisions and City Attorney approval as to form, the proposed Fourth Amendment to Contract DA-4363 with Ross & Baruzzini to extend the contract term for two years, at a cost of $6,004,000, for a total term of five years and a not-to-exceed $17,956,300, to continue the provision of project management and technical subject matter expert services related to airport information technology for the Los Angeles World Airports; and

2. Return the proposed Fourth Amendment to the Department for further processing, including Council consideration.

FISCAL IMPACT STATEMENT

Approval of the Fourth Amendment will have no impact on the General Fund. Capital Funds financing in the amount of $5,744,000 is available in the LAX Airport Revenue Fund but will need to be allocated to the appropriate Work Breakdown Structure (WBS or "cost center") as illustrated in the table on page 3 of this report. Operating Funds financing in the amount of $260,000 will be requested in the Los Angeles World Airports Operating Budgets for Fiscal Years 2012-13 and 2013-14. Additional funding, if needed, will require another amendment to the contract authorized by the Board of Airport Commissioners. At this time, the Department does not anticipate future funding requests beyond the $6,004,000 that is being requested in the proposed Fourth Amendment This project complies with the Department of Airports' adopted Financial Policies.

Time Limit for Council Action

Pursuant to Charter Section 373, "Long Term Contracts Approved by Council," and the Los Angeles Administrative Code Section 1 0.5, "Limitation and Power to Make Contracts," the proposed Fourth Amendment must be approved by the Council before it can become effective. Unless the Council takes action disapproving a contract that is longer than three years within 60 days after submission to Council, the contract will be deemed approved. ·

WHEREAS, on recommendation of Management, there was presented for approval, Fourth Amendment to Contract No. DA-4363 with Ross & Baruzzini, Inc. to extend the term through June 30, 2014 and increase the contract authority by $6,004,000 for total not to exceed $17,956,300 for project management and technical subject matter expert services for Los Angeles World Airports; and

WHEREAS, Information Management and Technology Group (IMTG) staff identified the need to provide continuous Information Technology (IT) project management, IT construction management, and subject matter expert support for the IT scope of the Bradley West and other IT projects to help ensure completion on schedule and within budget and scope. Other projects include:

WHEREAS, in September 2011, Ross & Baruzzini presented a cost propo~al to provide additional project management and technical subject matter expert services for the continued support of the Bradley West Project IT Scope and for other IT projects through June 2014. The Bradley West Project, Tom Bradley International Terminal Renovation, apron construction, concourse demolition, and other IT projects are scheduled to be completed by mid-2014. IMTG will complete some projects in calendar years 2012, 2013, and 2014. Approval allows IMTG to ensure continuity of project management and technical support for the IT portion of these projects; and

Any conflicts that may exist between the terms and conditions of the Contract and exhibits to the Contract will be resolved in favor of the Contract.

Section 3.0. Subsection 4.1 of Section 4.0 of the Contract entitled "Contractor's Fee," is deleted in its entirety and replaced with the following:

4.1. The Compensation to Contractor shall not exceed Seventeen Million Nine-Hundred and Fifty-Six Thousand Three-Hundred Dollars ($17,956,300) for the term of the Contract. City shall pay Contractor for its performance under the Contract as set forth in Exhibit A-1, Exhibit A-2, Exhibit A-2B, Exhibit A-3 (Parts A & B), Exhibit 4 and Exhibit A-5. The Contractor's Fee is deemed to include all provisions for Contractor's compensation for services, including, without limitation, fringe benefits, all out of pocket expenses, and overhead costs except for the other direct costs set forth in Exhibit A-2B. All of Contractor's travel and related expenses shall be approved by the Executive Director and shall be reimbursed on submitted receipts and as set forth in Exhibit A -4. Exhibit 3-A and Exhibit A-4 are attached to the Second Amendment and incorporated by reference herein. Exhibit A-5 is attached hereto and incorporated by reference herein. Any conflict between the provisions in this Contract and the provisions in Exhibit A-2, Exhibit A-2B, Exhibit 3-A and/or Exhibit A-4 and Exhibit A-5 will be resolved in favor of this Contract.

Section 4.0. Section 28.0, entitled "Entire Agreement" is deleted in it? entirety and replaced with the following: .t

Section 28.0 COMPLIANCE WITH LOS ANGELES CITY CHARTER SECTION 470(c)(12).

28.1. The Contractor, Subcontractors, and their Principals are obligated to fully comply with City of Los Angeles Charter Section 470(c)(12) and related ordinances, regarding limitations on campaign contributions and fundraising for certain elected City officials or candidates for elected City office ifthe contract is valued at $100,000 or more and requires approval of a City elected official. Additionally, Contractor is required to provide and update certain infonnation to the City as specified by law. Any Contractor subject to Chatter Section 470(c)(12), shall include the following notice in any contract with a subcontractor expected to receive at least $100,000 for performance under this contract:

Notice Regarding Los Angeles Campaign Contribution and Fundraising Restrictions. As provided in Charter Section 4 70( c)( 12) and related ordinances, you are subcontractor on City of Los Angeles contract #DA~4363. Pursuant to City Charter Section 470(c)(12), subcontractor and its principals are prohibited from making campaign contributions and fundraising for certain elected City officials or candidates for elected City office for 12 months after the City contract is signed. 29.1 This contract contains the entire agreement between the parties hereto and supersedes any and all prior written or oral agreements between them concerning the subject matter contained herein. 4th Contract Amendment Proposal

Overview

Ross & Baruzzini has been engaged by LAWA to provide extension of staff services to the

Information Management and Technologies Group (IMTG) in the area of support for the Project

Management Office (PMO).

The initial contract amendments covered work through the end of June 2012. This amendment

will cover PMO activity from Julv.l, 2012 through the end of the contract in June 2014. The

scope, required positions, and fees are based on this timeline, as well as the experience learned from the previous PMO activities.

The PMO is required to provide management for the following IMTG projects:

Project Descriptions

Bradley West IT SCORe

This project includes design, development, and implementation of IT infrastructure and IT

systems for the new Bradley West North Concourse, the new Bradley West South Concourse,

the Interim West Bus Terminal (lWBTL and the core facility.

Access Control and Alarm Monitoring System (ACAMS)

The ACAMS project will allow LAWA to meet any existing and future TSA security mandates, operate and maintain the system with open standard technologies and maximize the resources to meet the ever changing security challenges and growing demands ofthe operational requirements. The existing physical security, also known as the Access Control Alarm Monitoring System (ACAMS) at LAX is more than 16 years old.

The ACAMS project will replace the existing contact card readers with new contactless card readers and will improve network communications between ACAMS microcontrollers and the main server.

Closed Circuit Television System Enhancement

The CCTV System Enhancement project upgrades the existing obsolete analog cc"fv System with a new high resolution and features rich digital CCTV System, a centralized Video Management System, & Digital Storage System.

The work consists of the following planning, design, installation, integration, testing, and system acceptance activities:

., lmplement a new video management system {VMS} and video storage system (VSS) to control and manage all CCTV cameras. The VMS/VSS will record and archive online playback/recording.

i1J Design and integrate pan, tilt, zoom (PTZ} camera controls to enhance the Airport Response Coordination Center (ARCC) Day~l operation.

e Integrate approximately 3,000 cameras and add new lP cameras.

IT Infrastructure

The IT infrastructure project provides necessary upgrades and new construction to support,the expansion of pu blk safety and other electronic communication systems anticipated by the continuing. development ofterminal facilities at lAX. The infrastructure work consists of completion of optical fiber loops, addition of communication distribution rooms/ replacement of underground structures and upgrading of various data centers around the LAX campus.

Facilities Management System

The Facilities Management System (FMS) is a software application that automates and

optimizes the processes of maintaining, repairing and replacing airport facilities. LAWA Is in a continuous state of facility planning, maintenance and upgrade to meet the changing needs of LAWA and its customers. Currently, the infrastructure is in various stages of physical condition,

reliability and suitability for performance of required functions. As facilities advance through

their lifecycle, maintenance requirements change, repair demands grow and, eventually,

replacement becomes necessary.

Document Management System

Based on OpenText architecture, the new document management system will manage, track

and store electronic documents/images. This new document management system will replace

the existing PC DOCS System and the Accounts Payable AP DOCS System and wiU be integrated

with Pro log to provide a document repository for LAWA users.

Automated Vehicle ldentification'system (AVll

This project replaces the existing system that has outlived its useful life and does hot meet current regulatory requirements governing electronic toll collection in California. The new AVJ

will provide Title 21 compliant hardware and software to register, track, monitor apd assess fees for all commercial vehicles serving LAX. lAW A expects increased accuracy and revenue

control, as well as improved reliability and user-friendliness from this project.

Security Badge Office Improvement

This project contains these project elements:

Replacing the legacy badging system with the new Credentialing System (managed by LAWA}

Office renovation to add new facilities, computer equipment, and electrical power to enhance

customer service and establish a more efficient training environment

Reconciling the discrepancies among various legacy databases and provide a new error free

database for the new Credentialing System

Computer based training (CBT) system

Perimeter Intrusion Detection System

The project definition is being created for a new perimeter intrusion detection system.

Required Positions

The basic organization of the PMO team has been established earlier in the program development and consists of functional teams assigned to each of the projects, with project control support across all projects. The positions described herein reflect current and future requirements for the PMO through June 2014. Not all of these positions are full time; many of them are specific to individual project durations or on-call positions. The tAW A IMTG PMO can add positions as required during the term of the contract.

1. Project Manager

The Project Manager for each project is responsible for the delivery of the LAWA IMTG project. The Project Manager will provide overall responsibility for scope, budget, and schedule control for the project. The Project Manager will act as the LAWA IMTG representative on the project, reporting to the Director of the PMO and will remain assigned to the project for the duration of the contract. The Project Manager will assign and direct internal subject matter resources as required to manage the project key outcomes.

Some project managers are from the rank of LAWA employees. For the project managers provided by Ross & Baruzzlni, below are additional job descriptions.

The Project/IT System Manager for Bradley West (IT scope) will have the responsibilities outlined below:

e Oversee construction activity related to Security (ACAMS and CCTV) and Paging systems.

o Coordinate input from the Security Systems and Paging System Subject Matter Expert {SME) and the Designer of Record to respond to RFI's and develop Field memos.

• Coordinate activation of doors and cameras, and paging (microphone stations and zones} with appropriate LAWA staff (IT Infrastructure, Airport Police, and Construction and Maintenance locksmith, Airport Operations).

*~ Work with Security Systems and low Voltage Inspectors to ensure that the Construction Manager at Risk (CMAR) has performed QC/OA on camera and door installation, paging equipment installation, and related devices in the Telecom Room in preparation for activation.

• Participate in Commissioning test with the CMAR, SME, and LAWA Infrastructure staff; and

@ Coordinate salvage activity, ACAMS door deactivation/closure with the CMAR and tAW A staff.

The Project Manager for Automated Vehicfe Jdentifkation System will provide overall responsibility -including technical function, budget and schedule, for the installation of the new Automated Vehicle Identification System at lAX. The Project Manager will assign and direct resources as required to deliver the new system and the project objectives.

The Project Manager for the Security Badge Office Improvement will have overall responsibility for the IT portion of the Security Badge Office renovation, for the data integrity during and after systems consolidation, and for the new computer based training (CBT) system.

The Project Manager for the Perimeter Jntrusion Detection System will provide over311 responsibility design and implementation of the Perimeter Intrusion Detection System as defined in the project scope. The Project Manager will assign and direct resources as required to deliver the system and the project objectives,

2. SME- Subject Matter Expert and/or Technical Consultant

The Subject Matter Expert or Technical Consultant will provide technical expertise for

the project during design and implementation.

The CCTV Project and the ACAMS Project have a wide variety of field installations within

the contractor's defined Scopes of Work. 450+ CCTV cameras requlre conduit, wiring

and connection points in new and existing telecommunications rooms. ACAMS will be installing new conduits and fiber optic cabling and copper wiring to improve network communications between ACAMS microcontrollers and its server while a!so modifying present card readers at 1000 operating doors.

The CCTV Project will increase the LAWA network transport and signal controt requirements to support the installation of 450+ new IP based cameras. Careful monitoring of how these cameras will be integrated into the .LAWA CISCO based family of routers, switches and processing points using MPlS transport software is critical to assure the video and audio requirements conform to all contracted specifications for security centric use.

The Infrastructure Project has a number of discrete sub projects requiring an SME who possesses strong writing skills to prepare SOW for contractor pricing, knowledge of

outside plant including manhole construction, fiber optic and copper data installation coupled with a background in power and HVAC design and installation pro!edures to support new and renovated data center construction activities. The SME will be responsible to review contractor RFPs, construction documents and assist in the responses to contractor RFis. These reviews will require vefificatlon with national, state

and local building codes to assure contract specifications are adhered to during the entire duration of the various sub project life cycles.

The JT PMO has a number of Projects requiring mechanical; electrical and plumbing designs to support the completion of facilities build outs. The contractor's designs for these elements of construction require reviews by PM team to assure proper contractor understanding and compliance. The SME will review and assure the PM all federal, state, local, and any Authority Having Jurisdiction are incorporated into the Contractor/AlE of record drawings and documentation.

3. SME Cost Estimator

· The broad spectrum of installation efforts being managed by PMO requites a highly trained professional estimating resource pool to validate project cost proposals and validate all Change Order Proposals. The Estimator will assist the Change Order Management team to determine true market value of proposed modifications to the

4. Contract Administrator /Technical Consultant

The Contract Administrator is responsible for helping the PMO manage contracts in support of projects.

Activities include, but are not limfted to, invoke review, contract review, contract documentation, preparing task orders and change orders, preparing back-up documentation for invoices, and enforcing contract provisions.

5. Project Controls Consultant

The Project Control Consultant is responsible for helping the PMO with project schedule/budget/scope control, project documentation, project change controL and project reporting.

Activities include, but are not limited to, preparing project report, prepari~ budget report, preparing project change requests, preparing change orders, creating meeting minutes & documents, preparing project documents, and filing project documents {both electronically and with paper documents).

6. Document Controllmplementation Specialist

The Document Control Implementation Specialist is responsible for helping the PMO with project document control.

Activities include, but are not limited to, recording all contractors delivered documentation with time stamp tracking, distributing delivered documentation to appropriate LAWA team members for processing, review and wh€re defined by the contract return to contractor within negotiated time limits. These documents indud~­sh0p drawings, contractor schedules, training programs, RFI and all other contract required materials. The materials will be recorded in Clarity or relevant data base far tracking and notification of status to the PM of record.

1. Project Scheduler

The Project Scheduler is responsible for creating and maintaining project schedules in Microsoft Project as well as in Clarity. Schedules shall be created and maintained based on inputs by the project manager, the project team, the contractor, and the stake holders. In some cases, the Project Scheduler is responsible for creating and maintaining the master schedule linking all relevant IT projects and important tasks.

Additional Reimbursable Costs

LAWA will reimburse Ross & Baruzzini for expenses incurred as a result of:

• Project related travel, such as may be needed for factory acceptance testing, in accordance with Reimbursable Guidelines set forth on Exhibit A-4.

<& Parking, should LAWA require that staff park in a pald area; and

e The cost to obtain:a US Customs Seal of staff LAWA security badges
