Los Angeles World Airports TM RESOLUTION NO. 26070 WHEREAS, on recommendation of Management, there was presented for approval, Second Amendment to Contract DA-4330 with SAP Public Services Inc. to extend term three (3) years, January 1, 2017 through December 31, 2019, to maintain software license agreements to continue using the Systems, Applications and Products (SAP) software and add funding for overall cost not to exceed $1,735,062; and WHEREAS, SAP software is the basis for Los Angeles World Airports' (LAWA) Financial Accounting Management Information System (FAMIS). The system provides LAWA with the ability to manage its overall financial portfolio and human capital. The major business functions at LAWA that are supported by SAP include: Financial Systems (general ledger, accounts receivable, accounts payable, fixed assets, funds management and special purpose ledger) Controlling (cost center accounting and internal orders) Budget Planning (planning, plan activity rates and monitoring) Human Resources (organization management, personnel administration, time management, travel, training and events management) Purchasing (materials and services, contracts fixed assets, warehouse inventory and vendor invoice automation) Project Systems (project planning and budget monitoring); and LAX LA/Ontario Van Nuys City of Los Angeles Eric Garcetti Mayor Board of Airport Commissioners Sean 0. WHEREAS, funding for this contract is currently available in Fiscal Year 2016-2017 LAWA Operating Budget in LAX Cost Center 1190011 - Financial Management Systems Division, Commitment Item 520 - Contractual Services. Funding for subsequent years will be requested as part of the annual budget process. To allow for additional California taxes, and slight pricing fluctuations based on the Consumer Price Index (allowable under the 2000 license agreement), staff is requesting a not-to-exceed amount of $1,735,062.00 for this period; and

WHEREAS, this action, as a continuing administrative activity, is exempt from the requirements of the California Environmental Quality Act (CEQA) pursuant to Article II Section 2(f) of the Los Angeles City CEQA Guidelines; and

WHEREAS, the Small Business Enterprise Program does not apply to Software License Agreements; and

WHEREAS, SAP Public Services, Inc. has been assigned Business Tax Registration Certificate 0002175085-0001-6; and

WHEREAS, actions taken on this item by the Board of Airport Commissioners will become final pursuant to the provisions of Los Angeles City Charter Section 373;

NOW, THEREFORE, BE IT RESOLVED that the Board of Airport Commissioners determined that this action is exempt from the California Environmental Quality Act requirements; adopted the Staff Report; exempted this contract from competitive bidding under Sections 371(e)(3) and 371(e)(7) of the Los Angeles City Charter. Section 371(e)(3) provides an exemption for contracts for the furnishing of articles covered by letters patent granted by the government of the United States. Section 371(e)(7) provides an exemption for contracts for equipment repairs or parts obtained from the manufacturer of the equipment or its exclusive agent. SAP Public Services Inc. retains proprietary and intellectual property rights to the licensed SAP software used by LAWA. As such, SAP Public Services Inc. is the only authorized provider of software maintenance and support; approved the second Amendment to Contract DA-4330, SAP software license agreement that extends the term for three years (January 1, 2017 through January 1, 2019) with SAP Public Services Inc., a sole provider in the industry, for LAWAs Financial Accounting Management Information System, and increases the contract authority in an amount not-to-exceed $1,735,062; and authorized the Chief Executive Officer to execute said Second Amendment upon approval as to form by the City Attorney and upon approval by the City Council.
