Kodak, tn defaults on any obligation to Kodak or to any iinancing company that has (i) a business relationship with Kodak, and (ii) a security interest in any products sold by Kodak. then Kodak may, in its discretion, h:rminatc: this Agreement or liuspcnd the pro\'isiun ofpmducts and services to Cu~10rner. Kodak agrees that Customer

has sixty (60) days to cure any breach of these terms and cnnditinns ur any other default hy Custumer, and if cur.:d Kodak may nut tenninatc this Agreement.

3. Confidenriality; lntdlcclual ProJ)t'rty.

(a) Each pany shall nnt discluse. dirt:ctly or indirectly, any Conlidcntillllnti.mnation tu any nun-employee, including such party's cunsultants, without the prior written

consent of the other party, unless {Jthcnvise required hy law including butnvtlimitcd to the Tcxa~ Public Information Act. Each pftrty shall usc the Confidential

Intonnation only lo usc, repair or maintain c4uipnw111 and software in accordance with the h:rms of this Agrccm~nt. and not in a manner which would be construed as

compctiti\'c to th~ other party or which would restrict the ltth~r pany's rights in any manner. Fur the purposes of this Section, ··cunfidcntial Jnfonnaliun" shall mean, (i)

the t~rms or ~xistence of this Agn:cm.:nt, including any Addendum, attachm.:nt or amcndm.:nt to this Agreement. and lii) any information disclosed by a party to the

(c) Subject to Sections 5 ofthesc General Terms and Conditions and 5 of the Equipment, Sollware And l'rofes~ional Services Terms And Conditions herein, Kodak shall defend CU!aomcr against any third party claim th<ll lhc Gouds infringe a US patent or ~·opyright, and pay the resulting costs and damages awarded against Customer by a coun of competent jurisdiction, prm ided Customer (a) notilies Kmh1k promptly in writing of such claim. (b) grants Kodak sole control over the defense

and ~etll~menlthcrcof(:mbjcct to O\'crsight and appro\'al by the Texas Atturncy General's uiTiec and other g\wcrnmcntal offices), and (c) reasonably cooperates in response tu K,HJak's rcqucst!~1r asl'istance.
