Girl Scouts of San Gorgonio Council Governance Structure Overview
As defined by Girl Scouts of San Gorgonio Council’s Bylaws, the voting members of the council include the members of the board of directors, the national council delegates, the region chairs, and the delegates. The number of delegates is determined by the level of membership in each region, as defined by the Bylaws. Delegates are nominated by the Region chairs and elected by their regions at each Annual Meeting. Delegates serve a term of two years. Delegates vote on the election of new members of the board of directors. Pink = voting member of the council

What A Delegate Does
Delegate Job Description:1. Adheres to council policies, standards and
procedures and council affirmative action policy2. Participate in delegate training3. Attend council Annual Meeting4. Get constituents reactions to issues5. Vote on election of board members and officers
and members of the nominating committee, vote on policy changes.
Bylaws
• The Bylaws are the key policy document that describes how Girl Scouts of San Gorgonio Council is governed.
• Council delegates must approve any changes to the Bylaws
Attending Council Annual Meeting
• It is very important that all delegates attend the annual meeting each year
• Delegates who don’t attend the annual meeting are not able to vote on changes to the Bylaws, and on the election of members of the board of directors
• All delegates receive a delegate packet in advance of the meeting detailing the slate of board members to be elected (if applicable), any policy changes (if applicable), and the agenda for the meeting.
Parliamentary Procedure at Annual Meeting
Standing Rules• Representation. Those members eligible to debate make motions and vote at the
business meeting are: the delegates elected by each Association, the chair of each Association, officers and members of the Board of Directors, delegates to the National Council and members of the Council Nominating Committee.
• Credentials. Delegates listed above must use their voting cards, issued at registration, in order to speak and vote during the business meeting.
• Motions and resolutions offered by delegates shall be in writing, signed by the maker and the second, both of whom shall be registered delegates, and shall be given to the Council Chairman of the Board/President.
Parliamentary Procedure at Annual Meeting
Standing Rules Cont.• Debate. No delegate shall speak in debate more than once on the same question, or
longer than two minutes, until all delegates who wish to speak have done so.
• Use of Cards. Delegates should use colored cards in the following manner:
GREEN to vote in support of a motion or resolution.
or to indicate that they wish to speak in support of a motion or
resolution.
RED to vote against a motion or resolution.
or to indicate that they wish to speak in opposition of a motion
or resolution.
YELLOW to indicate that they wish to raise a point of order or privilege.
Parliamentary Procedure at Annual Meeting
Standing Rules Cont.• Nominating. Nominations may NOT be made from the floor.
• Reports. All reports and materials for the permanent record of the Annual Meeting shall be sent in writing to the Council Secretary within one week following the adjournment of the Annual Meeting.
• Rules of Order. The parliamentary rules followed will be current edition of Robert’s Rules of Order, Newly Revised where applicable and not inconsistent with the Council Bylaws and Standing Rules as stated above.

Previous Statement
The Annual meeting of the council shall be held in October. In years where the
Girl Scout National Conference is held in October, the council Annual meeting will
be held within 45 calendar days of the close of the national conference. Notice of
the time, place, and purpose of the meeting, together with a description of the
general nature of the matters to be voted on and the slate and biographical sketch
of nominees for all offices or positions to be filled pursuant to these bylaws, shall
be handed personally, mailed or electronically transmitted to each voting member
of the council not more than 90 and not less than 30 calendar days before the
meeting. The only matters that may be voted upon at any regular meeting actually
attended by less than one-third of the voting power are the matters of which notice
of their general nature was given, as provided above in this Section 5.

Bylaws Change
RationaleThe stipulation that the Annual meeting be held each year in October was found to be too restrictive. A mandated October meeting meant that fiscal and council membership information being presented lacked relevance because it was over a year old when it was presented. Mandating that a meeting be held at least once per fiscal year instead provides the council with flexibility in meeting dates and allows the council to hold the meeting at a time of year when the data being presented will be more relevant to the voting membership.
