1. Prepare Minutes

• It’s a duty of secretary to draft the minutes of the meeting and get them signed by the chairman with in 30 days.

2. Deposit the amount of dividend in the separate bank account

• Account name should be “ dividend account for the year 2015-2016”

• Deposit the total amount of Dividend Payable

3. To make arrangements for the issue of dividend warrants• Secretary has to make arrangements for the issue of dividend warrants, if any.

• With in 30 days from declaration of dividend.

• Arrange banker for payment at prescribed branch at par.

4. Deposit the Corporate dividend tax

• 1 April 2003 dividend tax made non taxable for recipients.

• As per dividend distribution tax companies act 2013 and Union budget FY 2014-15 AY 2015. The Current dividend distribution tax (DDT) rates in India has beenincreased and dividend distribution tax rate has now been raised from 15% to17.65% (plus surcharge and cess) and the dividend distribution tax rate is alsoraised by about 3%.

• The secretary should pay tax within 7 days along with prescribed return.

5. To file copies of final accounts with the registrar.

• Secretary should file the copies of :-

Profit and loss account

Balance sheet

Special resolutions

• With in 30 days.

6. To prepare Annual return.

• Annual return is the de facto method for comparing the performance of investments

with liquidity, which includes stocks, bonds, funds, commodities and some types

of derivatives. Different asset classes are considered to have different strata of annual

returns.

• Secretary should prepare and file it to registrar of companies with in 60 days of meeting

7. To get special resolution registered.

• It is the duty of secretary to implement the resolutions passed.

• SR sections mentioned in section 117 shall be filled in the Form No. MGT.14 along with the fee to registrar with in 30 days.
