AN ACT TO REPEAL THE NIGERIAN SHIPPERS' COUNCIL ACT, CAP. N133 LFN,2004 AND PROVIDE TOR THE ESTABLISHMENT OF THE NATIONAL TRANSPORT
COMMISSION AS AN INDEPENDENT REGULATOR TOR THE TRANSPORT SECTOR
AND FOR MATTERS RELATED THERETO

BE IT ENACTED by the National Assembly of the Federal Republic ofNigeria as follows:
1 PART I — PURPOSE, APPLICATION AND SCOPE OF THE ACT
2 1.—(1) The purpose of this Act is to —
3 (a) establish the National Transport Commission, set out the objectives,
4 functions and powers of the Commission; and
5 (b) provide for an economic regulatory framework for the provision of
6 services and supply of goods in the transport sector or regulated industry;
7 (c) provide a mechanism for monitoring and providing advice to
8 Government on matters relating to the transport sector;
9 (d) provide for efficient operation and regulation of the transport sector
10 through consolidation, streamlining and removing the multiplicity, duplicity
11 of regulatory functions by Government and its Agencies.
12 (2) The purpose of this Act shall be achieved through —
13 (a) the establishment of a National Transport Commission which shall be
14 responsible for executing the provisions of this Act, the Nigerian Shippers'
15 Council Act and its subsidiary regulations and all other relevant Federal
16 legislation
17 (b) the transformation of Nigerian Shippers' Council into a National

1 (c) do and suffer all acts and things which a body corporate may by law do
'2 and suffer and which are necessary or convenient for the purposes of this Act;
3 (d) exercise all of the powers given to it under this Act, do and suffer all
4 acts and things which are necessary or convenient for carrying out of its
5 functions and duties under this Act.
6 (3) The common seal of the Commission must be kept in such custody as
7 the Commission directs and must not be used except as authorized by the
8 Commission.
9 (4) The Commission shall be structured into various industry specific
10 units as the Board may from time to time deem appropriate for the effective
11 discharge of its functions and operations.
12 (5) On the date of the commencement of this Act, the Nigerian Shippers'
13 Council established by the Nigerian Shippers' Council Act, Cap. N133 LFN
14 2004 shall be abrogated and the National Transport Commission established
15 under this Act become successor to the Nigerian Shippers' Council.
16 (6) Upon the date mentioned in subsection (5) of this section, all assets,
17 liabilities, rights and obligations of the Nigerian Shippers' Council shall vest
18 in the National Transport Commission.
19 (7) Any enactment, instrument or other document passed or made before
20 the commencement of subsection (5) of this section which refers to the Nigerian
21 Shippers' Council shall have effect, so far as necessary for the purpose of or in
22 consequence of anything being transferred as if any reference to the Nigerian
23 Shippers' Council were a reference to the National Transport Commission
24 established under this Act.
5.—(1) The Commission shall —Functions and Powers of the

1 (n) make such regulations as may be necessary under this Act to give full
2 force and effect to the provisions of the Act and the enforcement of such
3 regulations and the provisions of this Act generally.
4 (2) Subject to this Act, the Commission has the power to do all things
5 necessary or convenient to be done for or in connection with the performance of
6 its functions and to enable it to achieve its objectives under this Act and under
7 relevant legislation.
8 (3) Without derogating from subsection (2) of this Section, the Commission
9 shall have such powers as may be, conferred on the Commission by the relevant
10 legislation and regulations under which a regulated industry operates.
11 (4) The Commission shall at all times perform its functions and exercise
12 its powers in such a manner as the Commission considers best achieves the
13 objectives of this Act and any objectives specified in any relevant legislation
14 under which a regulated industry operates.
15 6.— (1) The Commission shall constitute industry sector specific units IndustrySector
16 which shall reflect the different regulated transport sectors including maritime, specificUnits.rail and land transports for the purposes of performing its regulatory role over

prescribed Agency:
(a) in the making of a determination; and
(b) in the conduct of an inquiry; and
(c) in preparing and reviewing industry regulations and regulatory practice.
(3) If required to do so by the Commission, a prescribed Agency shall
consult with the Commission —
(a) in relation to any matter specified by the Commission which is relevant
to the objectives or functions of the Commission under this Act and under
any relevant legislation; or
(b) in respect of any matter specified by the Commission which may
impact on a regulated industry.
(4) A prescribed Agency must ensure that consultation occurs as early as
practicable in the regulatory, advisory or decision making processes of the
prescribed Agency.
(5) The requirements under this Section are in addition to any other
requirements or processes under any other relevant legislation or regulatory schemes
to the extent that such legislation is consistent with the provision of this Act.
8.—(1) Subject to subsection (2) of this section, the Minister shall, in
writing, from time to time notify the Commission of the general policy direction
of Government in respect of the transport sector.
(2) Except as provided by or under this Act or any other legislation, the
Commission is not subject to the direction or control of the Minister in respect
of any determination, report or inquiry.
(3) In the execution of his functions and in relating with the Commission,
the Minister shall at all times ensure that the independence of the Commission,
in regard to the discharge of the Commission's functions and operations under
this Act, is protected and not compromised in any manner whatsoever.

(3) The Conflict of Interest provisions contained in the Third Schedule to
this Act shall apply to all employees of the Commission.
20. The Commission may, by instrument under its common seal, delegate
to —
(a) a person referred to in Section 18 of this Act; or
(b) a member of a department, committee or panel appointed or designated
by the Commission any function or power of the Commission under this Act or
the regulations or under any other relevant legislation other than this power of
delegation or the powers of the Commission under section 27 section 70 of
this Act.
PARTV — FINANCIALPROVISIONS
21.—(1) The Commission shall establish and maintain a Fund ("the
Commission's Fund") which shall comprise of—
(a) a charge of 2 % of freight on all inbound and outbound cargo.
(b) Income from supervision and monitoring of trade facilitation projects
such as the Inland Container Depots and Container Freight Stations
(c) all such monies as may be appropriated to the Commission from time
to time by the National Assembly
id) all charges, levies and fees collected by the Commission under this
Act or its subsidiary legislation;
(e) licence fees issued annually by the Commission;
(f) gifts, loans, grants, aids;
(g) all other assets that may from time to time be vested in or accrue to
the Commission in the course of performing its functions under this Act or
pursuant to this Act;
(h) any other source of income as the Commission may deem necessary. 22.—
(1) The Commission may, with the consent of, or in accordance with the
general authority given by the Minister of Finance, borrow such sums of money
or raise capital otherwise than from the Government as the Commission may
require in the exercise of its functions under this Act or its subsidiary-
legislation.

1 (2) The Commission may accept gifts or grants of money or aids or other
2 property from national, bilateral and multilateral organisations and upon such
3 terms and conditions, if any, as may be agreed upon between the donor and the
4 Commission, provided that, such gifts are not inconsistent with the objectives
5 and functions of the Commission under this Act.

(g) any other factors that the Commission considers relevant and which
will best meet the objectives specified in this Act and any relevant legislation.
(5) In exercising its powers under this Part the Commission must ensure that —
(a) wherever possible the costs of regulation do not exceed the benefits;
(b) the decision takes into account and clearly articulates any trade-off
between costs and service standards;
(c) tariffs are fair, reasonable and non-discriminatory;
(d) tariffs are cost-oriented and, in general, cross-subsidies not permitted;
29. Notwithstanding the provisions of section 28 of this Act, the Commission
may intervene in such manner as it deems appropriate in determining and
setting the tariff rates for any non-competitive services provided by a provider
mentioned in section 33 (1) of this Act in order to meet the objectives of this
Act or for reasons of national or public interest.
30.—(I) The Commission may from time to time make rules or regulations
on determination and publication of tariff rates for the prescribed services
specified in Section 27 of this Act.
(2) The regulations and rules made by the Commission under subsection
(1) of this Section may include —
(a) rules about the tariff and variation of tariff for specified or classes of
services;
(b) rules about the publication or disclosure of tariff for specified or
classes of services; or
(c) range of tariff applicable to specified or classes of services.
31. Notwithstanding any other provision of this Act, the Commission
shall prescribe and enforce appropriate penalties on any transport service
provider who exceeds the tariff duly approved by the Commission for the provision
of any of its services.

32. Notwithstanding the provisions of any other laws, the Commission
shall have exclusive competence to determine, pronounce upon, administer,
monitor and enforce compliance of all persons with competition laws and

an offence and shall on conviction be liable to a fine not less than N500.000.00
or to imprisonment for a term not exceeding 1 (one) year or to both such fine
and imprisonment and where a company is involved shall be liable to a fine not
less than Nl,500,000.00.
(3) A person must not —
(a) threaten, intimidate or coerce another person; or
(h) take, threaten to take, incite or be involved in any action that causes
another person to suffer any loss, injury or disadvantage because that other
person complied, or intends to comply, with a requirement made under this
Section.
(4) A person who contravenes the provision of subsection (3) of this Section
commits an offence and shall be liable on conviction to a fine of not less than
N500,0O0.00 or to imprisonment for a term not exceeding 1 (one) year or to
both such fine and imprisonment.
(5) A person is not liable in any way for any loss, damage or injury
suffered by another person because of the giving in good faith of any information
or a document to the Commission under this Section.
60. A person who is subject to this Act shall, if at any time called upon in
writing by the Commission to do so, produce to the Commission all such evidence
and provide all such information as the person may have relating to his
compliance with any of the provisions of this Act or its subsidiary legislation,
as the Commission may generally, or in relation to any particular case, require.
61. Notwithstanding the provisions of any other laws, a person who is a
member or employee of a statutory body is not to be found guilty of an offence
or to be in breach of a statutory duty by providing information or a copy of a
document to the Commission if the person provides information or a copy of a
document to the Commission in compliance with a requirement under this
section.
62.—(1) The Commission may take, and retain for as long as is necessary,
possession of a document produced under this Part. The person otherwise entitled
to possession of the document is entitled to be supplied, as soon as practicable,

4 (b) that although the disclosure of the information or document would
5 cause detriment to that person, the public benefit in disclosing it outweighs
6 that detriment; and
7 (c) the Commission gives the person-who supplied the information or
8 document a written notice —
9 (i) stating that the Commission wishes to disclose the information or
10 contents of the document, specifying the nature of the intended disclosure
11 and setting out detailed reasons why the Commission
12 wishes to make the disclosure, and
13 (ii) stating that the Commission is of the opinion required by subsection
14 (2) (a) of this section and setting out detailed reasons why It is of that
15 opinion, and
16 (iii) setting out a copy of this section and section 74 of this Act, and as
17 the case requires Sections 50 or 55 of this Act; and
18 (d) if the Commission is aware that the person who supplied the information
19 or document in turn received the information or document from another
20 person and is aware of that other person's identity and address the Commission
21 gives that other person a written notice —
22 (i) containing the details required by subsection (2) (c)of this Section,

(2) If one of the parties to the dispute has provided an undertaking that is
relevant to the subject matter of the dispute and the Commission in accordance
with Part XIX has registered the undertaking, the parties may adopt the conditions
of the undertaking for the purposes of resolving the dispute.
67.—(1) A party to a dispute may, in writing, notify the Commission of
the dispute. The Commission may only resolve a dispute under this Part if it is
notified in writing of the dispute and requested by either or both parties to
intervene.
(2) The Commission may publish guidelines setting out the principles and
procedures that it may take into account in resolving disputes or a class of
disputes under this Part.
(3) Upon receipt of the notification of the dispute referred to in subsection
(1) of this Section, the Commission shall, within 30 days of such receipt, convene
to resolve the dispute.
(4) The Commission shall convene to resolve a dispute if it is satisfied
that —
(a) an agreement will not be reached, or will not be reached within a
reasonable time;
(b) the notification of the dispute is not trivial, frivolous or vexatious; and
(c) the resolution of the dispute would promote the objects of this Act or
its subsidiary legislation.
68.—(1) Subject to the objects of this Act and any guidelines issued by
the Commission under this Part, the Commission may resolve the dispute in
such manner including Alternative Dispute Resolution processes and upon such
terms and conditions as it may deem fit.
(2) In carrying out its functions under subsection (1) of this Section, the
Commission shall always be guided by the objective of establishing a sustained
dispute-resolution process that is fair, just, economical and effective and that
shall not be bound by technicalities, legal form or rules of evidence and that
shall at all times act according to the ethics of justice and the merits of each
case.

person has in relation to the hearing such an interest —
(a) if the Chief Judge of the Federal High Court considers that the
person should not take part, or should not continue to take part, in the
hearing, the Chief Judge of the Federal High Court must give a direction to
the person accordingly; or
(b) in any other case, the Chief Judge of the Federal High Court must
cause the interest of the person to be disclosed to the parties to the hearing.
78.—(1) This Section applies where a hearing before an Appeal Panel has
been commenced or completed by the Appeal Panel but, before the matter has
been determined, one of the members constituting the Appeal Panel has ceased
to be a member of the Appeal Panel or has ceased to be available for the
purposes of the hearing.
(2) If the Chief Judge of the Federal High Court is satisfied that subsection
(1) of this section applies in relation to a hearing, the Chief Judge of the
Federal High Court may appoint a member of the Appeal Panel's pool to take
the place of the person referred to in subsection (1) of this Section for the
purposes of the hearing.
(3) If subsection (1) of this Section applies in relation to a hearing that
has been dealt with by an Appeal Panel, the Chief Judge of the Federal High
Court may, instead of appointing a member under subsection (2) of this Section,
direct that the determination of the hearing be completed by the Appeal Panel
constituted by the remaining members.
(4) An Appeal Panel as constituted in accordance with any of the provisions
of this Part for the purposes of a hearing may have regard to any record of
proceedings for the Appeal Panel as previously constituted.
79. The decision of the Appeal Panel under this Part shall be final on the
matter submitted to the Panel for resolution and binding on the parties.

(2) In performing its functions under subsection (1) of this Section, the

instituted against an official or employee of the Commission.
(2) Notwithstanding the provisions of any other laws, and subject to section
72 of this Act no suit shall lie against the Commission or a member of the
Board, or employee of the Commission for any act or omission done in pursuance
or execution of this Act or be instituted in any Court unless it is commenced —
(a) within three months next after the act, neglect or default complained
of; or
(b) in the case of a continuation of damage or injury, within, six months
next after the ceasing thereof.
(3) No Suit shall be commenced against the Commission, a member of
the Board, or employee of the Commission before the expiration of a period of
one month after written notice of the intention to commence the Suit shall have
been served on the Commission by the intending plaintiff or his agent.
(4) The notice referred to in subsection (3) of this Section shall clearly
and explicitly state the cause(s) of action, the particulars of the claim, the
name and place of abode of the intending plaintiff and the relief(s) which he
claims.
101.—(1)in any action or Suit against the Commission, no execution or
attachment of process in any nature thereof shall be issued, against the Commission
unless not less than1 three months notice of the intention to execute or attach has
been given to the Commission.
(2) Any sum of money Which may by the judgement of any Court be
awarded against the Commission,shall, subject to any direction given by the
Court where notice of appeal against the judgement has been given, be paid
from the Commission's Fund.
102. A member of the Board, file Secretary or any official or employee of
the Commission shall be indemnified out of the assets of the Commission against
any liability incurred by him in defending any proceeding, whether civil or
criminal, if the proceeding is brought against him in his capacity as a member
of the Board or employee of the Commission.

1 (g) Where any matter is not included in the said plan and the Commission
2 considers that it should be so included, the Commission may recommend
3 that the minister should consider its inclusion in the plan.
4 (3) Save as otherwise provided under this Act, all regulations, orders and
5 other subsidiary legislations made under the Nigerian Shippers' Council Act
6 Cap. N 133 LFN 2004 and in force immediately before the coming into force of
7 this Act shall so far as it is not inconsistent with the provisions of this Act,
8 continue in force thereafter as if they had been made under this Act and shall be
9 treated accordingly.
[0 (4) Any funds established by or under any of the provisions of enactment
11 repealed by this Act shall, notwithstanding such repeal and as from the date
12 thereof, continue in operation as if they had been established under the
13 corresponding provisions of this Act, and shall be treated
accordingly.
105. In this Act unless the context otherwise requires —
"access" means the making available of transport services and facilities by
one licensee to another, by a licensee to another lawful user for the purpose
of providing services, and includes access to physical infrastructure including
terminals, stations, tunnels, bridges, route and cargo handling equipments;
"agreement" means an agreement, whether formal or informal, written,
express or implied;
"appeal" means an appeal under Section 74 of this Act;
"appeal panel" means an appeal panel constituted under Section 75 of this
Act;
"authorities" means the relevant Government Agencies;
"board" means the Commission's Board of Directors constituted under
Part III of this Act;
"cargo" includes any substance or article, livestock, minerals, wares,
crude petroleum products, merchandise of every description, and any container or
other item used to contain any substance or article;
"channel" includes terminals, station, bridges, tunnels, swinging basin,

1 "tariff" or "charges" or "rates" includes port, station, terminal dues,
2 goods dues and pilot age dues and other charges levied by transport service
3 providers;
4 "terminal" means infrastructure, cargo-handling equipment, sheds and
5 other land-based structures used for the loading, storage and discharging of
6 cargo or the embarkation and disembarkation of passengers;
7 " termina l inf ras t ruc ture" means termina l bui ldings , workshops ,
8 substations, surfacing, rail sidings and terminal operations and water, lights,
9 power, sewerage, telecommunications and similar services within terminal
10 boundaries;
11 "terminal operations" means services provided at a port, rail or road
12 terminal or station consisting of handling cargo, storing cargo and delivering
13 cargo to vessels, rail and vehicles, handling of passengers howsoever and
14 services related thereto;
15 "this Act" means the National Transport Commission Act 2006, as
16 amended from time to time and includes the regulations;
17 "transport services" means s tevedoring, cargo handling, terminal
18 operations, storage of cargo within a port, rail station or terminal, road
19 vehicle station or terminal, tug services, floating crane services, berthing
20 services, fire fighting, security, radio and radar services, waste disposal,
21 repair facilities and any other services provided within a port, station and
22 terminal;
23 "transport services and facilities" means port, rail and road terminal
24 services and facilities for the handling, storage and transportation of goods
25 and passengers on land adjoining the fore shore of Nigeria or a floating
26 platform and for the handling of passengers carried by vessels, rail or road;
27 "transport service provider" includes the Government Agencies engaged
28 in providing transport services and shall include an operator.

FIRST SCHEDULE
SUPPLEMENTARY PROVISIONS RELATING TO THE BOARD OF DIRECTORS
Proceedings of the Board of Directors
1. Subject to the provision of this Act and section 27 of the Interpretation Act,the Board may make standing orders regulating its proceedings or that of any of itsCommittees.
2. The Chairman shall preside at every meeting of the Board and in his absence,the members present at that meeting shall appoint one of their numbers to preside atthe meeting.
3. The quorum for any meeting of the Board shall be a simple majority of theMembers for the meantime constituting the Board provided that, such simple majorityshall include a minimum of 2 (two) members.
4. The Board shall meet to transact its business pursuant to this Act wheneverit is summoned by the Chairman and if so required by notice given to him by not lessthan 4 (four) other members of the Board specifying, amongst others, an agenda forthe meeting, the Chairman shall summon a meeting of the Board that shall be heldwithin 14 (fourteen) days from the date on which the notice is served on him todiscuss the items specified in the notice Provided that, the Board shall for the purposesof this Act meet not less than 4 (four) times in each calendar year .
5. A member of the Board who directly or indirectly has an interest of apersonal nature including financial interests in any matter being deliberated upon bythe Board, or is personally interested in any contract made or proposed to be made bythe Board shall, so soon after the facts of the matter of his interests have come to hisknowledge disclose his interest and the nature thereof at a meeting of the Board.
6. A disclosure under paragraph 5 of this Schedule shall be recorded in theMinutes of meetings of the Board and the member concerned —
(a) shall not, after the disclosure, take part in any deliberation or decision ofthe Board or vote howsoever on the matter; and
(b) shall be excluded for the purpose of constituting a quorum of any meeting ofthe Board for any deliberation or decision, with regard to the subject matter inrespect of which his interest is so disclosed.
Committees
7.—(1) Subject to its standing orders,” the Board may appoint such number ofstanding or ad hoc committees as it thinks fit to consider and report on any matterwith which the Board is concerned:
(2) A committee appointed under this paragraph shall —
(a) consist of such number of persons who may not necessarily be members ofthe Board as may be determined by the Board, provided that, the appointment of anon-Board member as a Committee member shall be subject to such terms aswould be indicated in his letter of appointment; and
