Program Summary The Cisco ONE Partner Accelerator Program (the “Program”) is intended for Cisco Channel Partners (“Partners”) focused on selling Cisco ONE Software. The Program is one of the methods for meeting the specialization exit criteria for the Cisco ONE Software sub-tracks in Cisco’s Value Incentive Program (“VIP”) 25. The Program runs from May 15, 2015 through January 22, 2016 (the “Program Term”). 1.2. Policy Overview This document, as updated by Cisco from time to time and posted at http://www.cisco.com/go/one4partners (the “Terms and Conditions”), sets forth the terms and conditions for the Partner’s participation in the Program. Cisco reserves the right to audit, terminate, suspend, amend, modify, revoke or cancel the Program, in whole or in part, for any reason at any time without prior notice. 1.3. Process Summary 1.3.1. Program Participation: The Program is open to all Partners who meet the criteria outlined in Section 3 of these Terms and Conditions. 1.3.2. Enrollment: The Program requires Partners to submit an enrollment application through Cisco’s Partner Program Enrollment (PPE) tool http://www.cisco.com/go/ppe. To submit an application, follow the steps below: Choose Cisco ONE Partner Accelerator Program as the program. Select the country you would like to enroll in for Program. Confirm your contact details on the “Who Is Involved” tab. Enter contact information (Name and CCO ID) for two (2) pre-sales resources who have completed and passed the Cisco One Software COLT exam. Click to accept the Program Terms and Conditions. Review the final application, and submit the application. 1.3.3. Approval: All applications will be subject to review and approval by Cisco and Partner will be notified via email of Cisco’s decision. 1.3.4. Upon approval, Partner will receive the program designation for the appropriate Cisco One domain(s).

Terms and Conditions 1. Introduction and Background

1.1. Program Summary

1.3. Process Summary

2. Definitions

If a capitalized term is not defined in these Terms and Conditions, it shall have the meaning ascribed to it in the Resale Agreement. In the event of a conflict between the Resale Agreement and these Terms and Conditions, these Terms and Conditions will control as it relates to the subject matter set forth herein. 2.1. Direct Order: An order placed directly with Cisco.

2.2. Resale Agreement: The Cisco Indirect Channel Partner Agreement (ICPA), the Cisco Systems Integrator Agreement (SIA), or another similar Cisco agreement that authorizes the resale of Cisco Products and Services to End Customers.

2.3. Territory: The Americas, Europe, the Middle East, and Africa (“EMEAR”), and Asia Pacific, Japan, and Greater China (“APJC”).

3. Eligibility Requirements

Partner must meet the requirements listed below for the duration of the Program Term. If Cisco determines at any point that the requirements are not met, the Channel Partner will be removed from the Program.

3.1. Partner Eligibility

3.1.1. Partner must have a current and valid Resale Agreement in place, and must be in good standing with the Cisco Channels Partner Program.

3.1.2. Partner must send two pre-sales resources to the Cisco ONE Software online learning course (posted at http://www.cisco.com/go/one4partners).

3.1.3. Each resource must pass the associated COLT Exam.

3.1.4. To enroll for a Cisco ONE domain, Partner must meet the associated specialization requirements outlined in the table below:

Advanced Enterprise Networks Specialization

Or

Advanced Routing and Switching Specialization

Cisco ONE - Data Center Advanced Data Center Architecture Specialization

Or

Advanced Unified Fabric Technology Specialization

Or

Advanced Unified Computing Technology Specialization

3.1.5. Partner must have all the required Cisco certifications, specializations, and authorizations to sell and implement all of the Products and Services within the Channel Partner’s authorized Territory.

3.1.6. To protect Cisco Intellectual Property, Partner commits to keeping sales, marketing, and engineering resources dedicated to Cisco separate from resources that sell Huawei products, if those resources exist as part of the Partner’s business.

3.1.6.1. Partner must have separate personnel that are dedicated to Cisco; these resources cannot be shared.

3.1.6.2. Partner resources committed to Cisco cannot share Cisco information with personnel that support Huawei.

3.1.6.3. Partner must provide reasonable assurance that Huawei personnel do not have access to Cisco information via Partner’s internal tools or processes.

4. Program Enrollment

4.1. Partner must enroll in the Program through the Partner Program Enrollment Tool (PPE) (http://www.cisco.com/go/PPE).

4.2. Enrollment will be open from May 15, 2015 through July 17, 2015.

4.3. Partner must provide all requested information and accept the Program Terms and Conditions to participate in the Program.

4.4. Once approved, enrollment is valid through the end of the Program Term.

4.5. If a Partner has difficulty enrolling, a case must be entered with the Customer Service team prior to the closing of the enrollment period on July 17, 2015 for consideration. No enrollment exceptions will be made otherwise.

5. Program Benefits

5.1. Approved Partners will meet the specialization exit criteria for VIP 25 for the associated Cisco ONE Software sub-tracks.

5.2. Approved Partners will be identified in the Cisco Partner Locator as a Cisco One Partner (based on domain).

6. Confidentiality of Partner Plus Incentives Information

6.1. Any information shared between Cisco and Partner related to the Program is Confidential Information as defined under the Channel Partner’s Resale Agreement.

6.2. Breach of Confidentiality. If Partner breaches the confidentiality provisions contained in these Terms and Conditions, Cisco may reject the related enrollment and revoke access to future Program periods.
