FUTURE GROWTH

Infosys announced today that it will manage internal IT

services for Microsoft worldwide.

Infosys will manage Microsoft's internal IT services for

application, devices and data bases in 450 locations across

104 countries .

Infosys will established a dedicated service excellence office

to help Microsoft implement ISO 20000 and ITSM processes.

Infosys has partnered with Unisys to provide global desk –

side support and service. Unisys’ multi language service desk

integrated with desk side support will enabled end- user

productivity.

Corporate Governance

Policies Given below are the company’s policies on corporate governance -

1) Board composition:- The current policy is to have an appropriate mix

of executive and independent directors to maintain the

independence of the Board, and to separate the Board functions of

governance and management.

2) Board meetings :- The Board's policy is to regularly have separate

meetings with independent directors to update them on all business

related issues and new initiatives.

3) Board committees:- Audit committee, Compensation committee,

Nominations committee, Investor Grievance committee and Risk

Management committee

4) Code of ethics for principle executive & senior financial officer
