Dr. Spälti’s career at Winterthur Insurance began in 1958. He held various posts before his appointment as General Manager and Member of the Executive Board in 1978. Between 1983 and 1989 he was Managing Director and between 1989 and 1997 he acted simul- taneously as Chief Executive Officer and Chairman of the Board of Directors. He also found time for a political career, culminating from 1983 to 1991 with his membership of the Swiss National Council. When Winterthur Insurance merged with Credit Suisse Group, Peter Spälti joined the Credit Suisse Group Board of Directors as Vice- Chairman. Under Peter Spälti’s management, Winterthur developed into one of the world’s leading insurance companies. For the last three years, the Board of Directors and Executive Board of Credit Suisse Group have also been able to benefit from his experience and would like to express their sincerest gratitude for his service. Rainer E. Gut has dedicated himself to our company for almost 30 years. Under his aegis, our Group has developed into a leading global financial services provider. It is thanks to his initiative that our Group enjoys a strong position in global investment banking and in bancassurance and that Credit Suisse Group recognised early on the great importance of a strong position in our home market, Switzerland. Retirement of Rainer E. Gut

On the occasion of the Annual General Meeting, held on 26 May 2000, Rainer E. Gut is to retire from his post asChairman of the Board of Directors of Credit Suisse Group.

Rainer E. Gut joined our Group in 1971 as Chairmanand CEO of the Swiss American Corporation, New York. In1973 he was appointed to the Executive Board of the formerCredit Suisse (SKA), becoming spokesman in 1977. He wenton to become the President of the Executive Board in 1982,before being elected to the position of Chairman of the Boardof Directors of the former Credit Suisse in 1983. Changes in the Executive Board

After 33 years of service, Paul Meier, Member

of the Executive Board of Credit Suisse Group

and Chief Executive Officer of the Credit

Suisse business unit, stepped down at the end

of March 2000 for personal reasons. Paul

Meier occupied various functions within Credit

Suisse Group, including Member of the Execu-

tive Board of the former Schweizerische

Kreditanstalt and Chairman of the Executive

Board of Swiss Volksbank. From 1997 he was

responsible for the Group’s corporate and

individual customer business in Switzerland

which – under his management – succeeded

in returning to profit by means of systematic

restructuring and repositioning, particularly in

the area of e-commerce.

Paul Meier will retain his ties with Credit

Suisse Group as a Member of the Board of

Directors of Neue Aargauer Bank, Member of

the Swiss Advisory Board and other mandates.

The Board of Directors and the Executive

Board would like to express their sincere

gratitude to him for his many years of suc-

cessful commitment to the company and to

wish him all the best for the future.

Rolf Dörig, interim finance director of the

Swiss national exhibition (Expo.02) until the

end of January 2000 and former Chief of Staff

of Credit Suisse Group, has taken over from

Paul Meier as Chief Executive Officer of Credit

Suisse. Rolf Dörig also becomes a Member of

the Executive Board of Credit Suisse Group.

Credit Suisse, Winterthur and the ‘Personal

Financial Services Europe’ initiative were com-

bined to form the new ‘Financial Services’

management division as of 1 April 2000.

Thomas Wellauer has assumed responsibility

for this management division in addition to his

function as Chief Executive Officer of

Winterthur and Head of ‘Personal Financial

Services Europe’.
