GUIDELINES ON APPLICATION FOR NEW TOUR OPERATING/TRAVEL AGENCY BUSINESS LICENCE
1. Applicants must be private limited companies incorporated under the Companies
Act 1965.
2. Applicants must submit two (2) copies of Form 1 (Regulation 3) to the Licensing Division through the appropriate Regional Licensing Offices. All application forms must be signed by the director and bear the company’s stamp.
3. Application must provide supporting documents as required. 4. A processing fee of RM100.00 (non refundable) is required for each application in
the form of draft/money order/postal order payable to Pesuruhjaya Pelancongan (Commissioner of Tourism).
5. Applicants must not have any outstanding offer of compounds under AIP 1992 and APKP 1999 before any application could be processed.
If qualified or approved, the Ministry will issue a temporary granted in-principle letter valid for two (2) months to enable the preparation of the operating premises, which include:
- Office rental agreements - Floor plans - Photograph of the premise - Certificate of Membership with a recognised travel agent association.
6. The licence and sticker will only be issued when: - the requirements of the premises have been fulfilled - the necessary documents are provided - the licensing fee has been settled - The company must be a member of a recognised travel agent association.
INFORMATION ON SETTING UP A TOUR OPERATING/TRAVEL AGENCY BUSINESS 1. The name of the company must signify a tour operating company or travel agency.
Examples: Asia Travel, Asia Tours, Asia Travel & Tours, Asia Holidays, Asia Leisure, Asia Vacation, Asia Adventure, Asia Kembara
2. Types of businesses licensed:
• Tour operating business i) Inbound tourism ii) Outbound tourism
• Travel agency business (ticketing)
3. Applicant must provide a working paper which include: - Objectives of setting up the company - business target groups - marketing methods - background information on board of directors (with supporting documents) - tour packages offered - networking/business contact letters with foreign travel agencies (if applicable).
4. Total of paid-up capital held • Malaysians • Foreign equity (individuals/companies) is limited to a maximum of 30% (Non
ASEAN countries) or 49% (ASEAN countries). • However foreign companies (not individuals) are allowed to hold 100% equity for
inbound license only. • A company with shareholders and members of the board holding foreign equity
are not eligible for outbound tourism business.
5. Paid-Up Capital Requirements: • In major towns (Kuala Lumpur, Petaling Jaya, Putrajaya, Shah Alam, Johor
Bahru, Ipoh, Penang, Kota Kinabalu, Kuala Terengganu and Kuching) – RM200,000.00 for one or combination of any two or three different businesses
• Outside major towns - RM200,000.00 for a combination of three tourism businesses (inbound,
outbound & ticketing) and outbound only - RM150,000.00 for a combination of tourism businesses (inbound &
ticketing) - RM100,000.00 for travel agency (ticketing) - RM50,000.00 for inbound tourism business
• For inbound license (diving) RM50,000.00 paid-up capital is required for all locations
• Companies with foreign equity ownership are required to provide a minimum
paid-up capital of RM250,000.00.

GUIDELINES ON APPLICATION FOR ADDITIONAL SCOPE OF TOUR OPERATING/TRAVEL AGENCY BUSINESS
1. Application must use Form 1 (Regulation 3). Application must include objectives and the necessity for additional scope.
2. A processing fee of RM100.00 (non refundable) is required for each application in
the form of draft/money order/postal order payable to Pesuruhjaya Pelancongan (Commissioner of Tourism).
3. Application for licence for additional scope is allowed after a company has been in
active operation for more than 1 year. 4. Current license must be valid before applying for additional scope license. 5. Applicants must have satisfactory annual business turnover. For this purpose, an
audited financial statement is required. 6. Application for additional outbound scope is not allowed to companies with
foreigners as members of their Board of Directors or shareholders. 7. The company is required to increase paid-up capital to fulfil paid-up capital
requirement for companies holding multiple licenses. 8. Applicants must not have any outstanding offer of compounds under AIP 1992 and
APKP 1999 before any application could be processed 9. A licence fee will be charged upon issuance of new license. Original license must be
returned to be replaced with a new license.

GUIDELINES ON APPLICATION FOR ADDITIONAL BRANCH IN TOURISM OPERATING/TRAVEL AGENCY BUSINESS
1. Application must use Form 3 (Regulation 7). Application must include objectives
and the necessity for additional branch. 2. A processing fee of RM50.00 must be submitted for every application in the form of
bank draft/money order/postal order made payable to Pesuruhjaya Pelancongan (Commissioner of Tourism).
3. Application for licence for additional branch is allowed after a company has been in
active operation for more than 1 year. 4. Current license must be valid before applying for additional branch license. 5. Applicants must have satisfactory annual business turnover. For this purpose, an
audited financial statement is required. 6. Licence for additional branch will be considered based on the needs in the areas
concern.
7. Branch office(s) is not allowed to move outside operating area without the consent of the Commissioner of Tourism.
8. The company is required to increase paid-up capital to fulfil paid-up capital
requirement for companies holding multiple licenses. 9. Applicants must not have any outstanding offer of compounds under AIP 1992 and
APKP 1999 before any application could be processed. 10. If approved, the ministry will issue a conditional approval letter valid for two (2)
months to enable the preparation of the operating premises so that business can be carried out after office rental agreements, floor plans and operating premises have been prepared.
11. A licence fee will be charged upon issuance of new license. Original license must be
returned to be replaced with a new license.
GUIDELINES ON APPLICATION TO APPEAL FOR TOUR OPERATING/TRAVEL AGENCY BUSINESS LICENCE
1. Applications for appeal must be made within 14 days from the date of the rejection
letter/notification to the applicant. 2. Applicants must provide relevant documents based on reasons for rejection. 3. Applicants must not have any outstanding offer of compounds under AIP 1992 and
APKP 1999 before any application could be processed. 4. If approved, the ministry will issue a conditional approval letter valid for two (2)
months to enable the preparation of the operating premises so that business can be carried out after office rental agreements, floor plans and operating premises have been prepared.
5. A licence fee will be charged upon issuance of new license. Original license must be
returned to be replaced with a new license. 6. The decision of the minister is final and conclusive.
GUIDELINES ON APPLICATION FOR TOUR OPERATING/TRAVEL AGENCY BUSINESS LICENCE RENEWAL
1. Application must use Form 5 (Regulation 9) for main office or Form 6 (Regulation
9) for branch licence renewal. 2. All completed applications must reach the Licensing Division through the appropriate
Regional Licensing Offices within 30 days the expiry date of current license. All application forms must be signed by the director and bear the company’s stamp.
3. A processing fee of RM20.00 must be attached for every application in the form of
bank draft/money order/postal order made payable to Pesuruhjaya Pelancongan (Commissioner of Tourism).
4. Applicants must not have any outstanding offer of compounds under AIP 1992 and
APKP 1999 before any application could be processed. CONDITIONS ON APPROVAL FOR RENEWAL OF LICENCE. Licence is valid between 1 to 3 years. The number of years for licence approval will be considered as follows: i) 3 years :
• Current annual audit report has been submitted • Company has settled all penalties (if any) • Company has recorded a profit • Submit current membership certificate of a recognised travel agency association. • Company has complied with all other requirements for renewal.
ii) 2 years : • Annual audit report has been submitted. • Company has incurred a loss but does not exceed paid-up capital or 50% of
turnover/revenue. • Submit current membership certificate of a recognised travel agency association. • Company has complied with all other requirements for renewal.
iii) 1 year :
• Company did not submit annual audit report (however, the company must submit a verification letter from an appointed accredited auditor)
• Company has incurred a loss but does not exceed paid-up capital or 50% of turnover/revenue.
• Submit current membership certificate of a recognised travel agency association.
• Company has complied with all other requirements for renewal.

GUIDELINES ON APPLICATION FOR CHANGE OF STATUS (MEMBERS OF BOARD OF DIRECTORS / SHAREHOLDERS)
1. Application for licence for change of members of Board of Directors/shareholders is
allowed after a company has been in active operation for more than 2 years. 2. Applicants must submit a letter providing the followings;
• Justification for change of members of Board of Directors/shareholders • Details of the new members of the Board of Directors/shareholders (e.g.
names, citizenship, working experience) 3. Changes without the approval of the Commissioner of Tourism will be imposed a
penalty according to the Tourism Industry Act 1992. 4. Applicants must not have any outstanding offer of compounds under AIP 1992 and
APKP 1999 before any application could be processed. 5. Companies with outbound licences are not allowed to have foreigners as
shareholders and members of the Board of Directors. 6. Companies with inbound and ticketing licences must not allow more than 30%
foreign equity. 7. Application for change of status which reduces the percentage of bumiputera shares
and number of bumiputera members of Board of Directors are not allowed. 8. Members of Board of Directors/shareholders must not own shares in other tour
operating / travel agent businesses in the country. 9. Completed, signed and dated application forms must be submitted to the Licensing
Division through the appropriate Regional Licensing Offices.
GUIDELINE ON APPLICATION FOR CHANGE OF PAID-UP CAPITAL
1. Applicants must submit a letter stating purpose of change of paid-up capital in the
company. 2. Any change without the approval of the Commissioner of Tourism will be imposed a
penalty according to the Tourism Industry Act 1992. 3. Applicants must settle the penalty (if any) as required by the Tourism Industry Act
1992 before the applications can be processed. 4. Application for change of paid-up capital which reduces the percentage of
bumiputera shares is not allowed. 5. All applications must be submitted to the Regional Licensing Office.
GUIDELINES ON APPLICATION FOR CHANGE OF BUSINESS PREMISES
LOCATION 1. Applicants must submit a letter justifying change of business premise location and
provide new address. 2. Any change without the approval of the Commissioner of Tourism will be imposed a
penalty according to the Tourism Industry Act 1992. 3. Applicants must settle the penalty (if any) as required by the Tourism Industry Act
1992 before the applications can be processed. 4. Change of business premises location outside operating area without the consent of
the Commissioner of Tourism is not allowed. (To prevent a situation where a branch operates in a main town whereas the main office operates in small town. This situation must be controlled as the paid-up capitals for main towns and other towns differ.)
5. All completed applications must be submitted to the Regional Licensing Office.
GUIDELINES ON NEW APPLICATION FOR MALAYSIA MY SECOND HOME (MM2H)
BUSINESS LICENCE 1. Applicants must be private limited companies which have been incorporated under

Division through the appropriate Regional Licensing Offices. All application forms must be signed by the director and bear the company’s stamp.

INFORMATION ON ESTABLISHMENT OF MALAYSIA MY SECOND HOME (MM2H)
BUSINESS COMPANY 1. The name of the company must be appropriate and use the word (MM2H).
Example: Asia (MM2H) 2. Applicant must provide a working paper which include:
- Objectives of setting up the company - business target groups - marketing methods - background information on board of directors (with supporting documents)
3. Amount of paid-up share capital
• Malaysians : RM50,000.00 (Nationwide) • Foreign equity (individual/company, limited to a maximum 30%): RM250,000.00.

GUIDELINES ON TOUR OPERATING LICENCE RENEWAL – MALAYSIA MY SECOND HOME (MM2H)
1. Applications for renewal of main office licence is to be made using Form 5
(Regulation 9) (MM2H). 2. Renewals must be submitted to the Regional Licensing Office within 30 days from
the expiry of the licence. 3. The completed form must be submitted to the Regional Licensing Office together
with the necessary documents. 4. A processing fee of RM20.00 must be attached for every application in the form of
bank draft/money order/postal order made payable to Pesuruhjaya Pelancongan (Commissioner of Tourism).
5. Applicants must settle the penalty (if any) as required by the Tourism Industry Act
1992 before the applications can be processed. 6. Approval for renewal of MM2H licence is for 1 year only. CONDITIONS OF APPROVAL FOR MM2H LICENCE RENEWAL Licence is valid for 1 year. Renewal will be considered as follows :
a. Current annual audit report/letter of preparation of financial report from authorised auditors has been submitted
b. Company has settled all penalties (if any) c. Company has registered a profit d. Company must have at least 5 participants in the MM2H programme • If the company does not fulfil the condition of 5 participants in the MM2H
programme, renewal for 1 year can be considered. If the company still fails to meet this requirement after the second year, licence will be revoked.
GUIDELINES ON FAST TRACK ISSUANCE OF TOUR OPERATING/TRAVEL AGENCY BUSINESS/MM2H LICENCE
Documents required : 1. Office rental/purchase agreement letter 2. Photographs of office (exterior and interior) 3. Floor plan (office area 400-plus sq ft) 4. sijil persatuan The licence will only be issued if documents submitted are complete and information provided are true. Issued licence will be revoked, if during inspection of the premise, the information provided are false.
GUIDELINES ON NEW TOBTAB/MM2H INSPECTION 1. The company must provide a suitable premise within 2 months from issuance of the
granted-in principle letter. 2. Within 2 months, the company must submit the following documents:
i. 2 copies of the office rental agreement ii. 2 copies of the floor plan iii. 2 copies of photographs of the exterior and interior of the office
3. Licence can be issued immediately even before inspection of the premises is
conducted, provided that complete documents have been received and company fulfils all the necessary requirements.
4. Checklist on premises inspection:
i. Check the company information before the inspection is conducted. ii. Ensure that the company has a representative present during the inspection. iii. Take photographs of the premise (interior & exterior). Ensure that the
photographs submitted display the true physical condition of the premises. iv. Obtain the company stamp and signature of the representative after the
inspection is completed. v. Prepare a report of the premises after the inspection is completed. GUIDELINES ON RE-/FOLLOW-UP INSPECTION OF TOBTAB/MM2H PREMISES
1. Checklist of requirements for inspection of new premises:
vi. Check the company information before the inspection is conducted. Ensure that comments made on the earlier inspection have been rectified.
vii. Take photographs of the premise (interior & exterior). Ensure that the photographs submitted display the true physical condition of the premises.
viii. Ensure that the company has a representative present during the inspection. ix. Obtain the company stamp and signature of the representative after the
inspection is completed. x. Prepare a report of the premises after the inspection is completed.
GUIDELINES ON APPLICATION FOR LETTER OF SUPPORT OF NEW/EXTENSION OF EXPATRIATE
1. Tour operating companies must submit letter requesting for new/extension of
expatriates and justify the need for their services. (Applications for new expatriates must be made through tour operating companies. Personal applications will not be processed.)
2. Profiles of the tour operating companies must be attached with the applications.
3. Application must provide the followings:
i. Biodata of the expatriates ii. Photographs and passports of the expatriates iii. Profiles of the expatriates iv. Employment offer letters to the expatriates from the tour operating companies.
4. Application can only be considered for positions where local expertise unavailable.

8. After approval, request the company to return original licence for amendment of address and issue replacement licence. When ready and signed by the Commissioner of Tourism, the licence is sent to the company by the Administrative Assistant.
