ENFORCEMENT PROCEEDINGS
COURT APPOINTS TEMPORARY RECEIVER FOR BRYCAR FINANCIAL
CORPORATION
On November 13 the Honorable Lloyd George of the U.S District Court for the
District of Nevada entered an order appointing Las Vegas attorney John Ham as
temporary receiver for defendant BryCar Financial Corporation in the Commissions
action against BryCar its president Bryan Egan and relief defendant Carol Egan
The Commission alleges that BryCar and Egan engaged in fraudulent activities and
offered or sold securities while failing to be registered with the Commission as
broker-dealer Defendants consented to the appointment of the temporary receiver
The Courts order provides among other things that as temporary receiver Mr Ham
has the authority to take immediate custody and control of all assets of BryCar
Moreover the order empowers Mr Ham to search for any hidden or undisclosed assets
of BryCar By the terms of the order the temporary receiver shall file with the Court
summary report based upon his investigation and shall also report upon whether
continuance of the receivership is necessary The Court additionally ordered that no
defendant shall take any action which would interfere with the temporary receivers
actions to discharge his duties

PERMANENT INJUNCTION ENTERED AGAINST TAMARACK FUNDING CORP
AND GARRY ISAACS
The Commission announced that on September 20 2000 the United States District
Court for the Southern District of Florida entered final judgment of permanent
injunction against Tamarack Funding Corporation Texas corporation TFC of Texas
Tamarack Funding Corporation Florida corporation TFC of Florida collectively
TFC and Garry Isaacs lsaacs their president for fraud and for selling unregistered
securities TFC and lsaacs without admitting or denying the SECs allegations
consented to the Court Order that permanently enjoins them from violating Sections 5a
5c and 17a of the Securities Act of 1933 and Section 10b of the Securities
Exchange Act of 1934 and Rule lOb-5 thereunder
The Commission filed complaint on May 31 2000 alleging that the defendants
fraudulently raised approximately $4.7 million from investors nationwide by offering
and selling unregistered securities in the form of interest-bearing promissory notes
According to the complaint investors were told that their Rinds would be used to
purchase retail automobile installment loan contracts vehicle loans and that their
investment would be 100% collateralized Contrary to these representations the
complaint alleged that only $1.4 million was actually used by TFC to purchase vehicle
loans According to the SEC the remaining portion of investor funds was used to pay
TFCs operating costs and unrelated expenses The complaint further alleged that TFC
used some investor funds to repay interest to existing investors and was thereby engaged
in Ponzi scheme In addition the compliant alleged that investors funds were not
100% collateralized
As result the Commission charges TFC of Texas TFC of Florida and Isaacs with
violations of the registrationand antifraud provisions For relief the Commission
continues to seek accountings disgorgement of ill-gotten gains with prejudgment
interest and civil penalties
Also named in the lawsuit as relief defendants were two companies controlled and owned
by Isaacs that received over $4 million in investor funds These entities are Tamarack
Lenders Trust and Tamarack Capital Management Corp Tamarack Funding

CIVIL ACTION AGAINST STEPHEN COWLEY
The Commission today announced that on November 28 it charged Stephen Cowley
British subject and resident with insider trading in the securities of 4Front Technologies
Inc in advance of the August 2000 public announcement that NCR Corporation
would acquire 4Front At the same time that the complaint was filed the Commission
sought temporary restraining order freezing Cowleys assets located in the United
States The Honorable John Koeltl United States District Judge in the Southern
District of New York issued an order with Cowleys consent freezing all assets located
in the United States with the exception of $10000 that Cowley could use to retain

counsel The frozen assets include brokerage account maintained by Cowley at
Salomon Smith Barney that held assets worth over $280000 as of yesterday The
Commissions complaint alleges that in the three weeks immediately preceding the
4FrontINCR merger announcement Cowley purchased 8000 shares of 4Front common
stock and 460 call options at cost of over $250000 After the announcement on
August Cowley sold his entire position of 4Front securities realizing illicit trading
profits of $127288 The complaint alleges that Cowley had highly specific knowledge of
material nonpublic information which was revealed in series of tape-recorded
conversations Cowley had with his broker when he purchased the 4Front securities The
complaint alleges that in these conversations Cowley was concerned that his purchases
not generate scrutiny expressed his desire to purchase as many 4Front securities as he
could afford and revealed his knowledge of material nonpublic information concerning
the merger negotiations including information about the price of the proposed
transaction and the timing of the contemplated agreement and announcement The
Commission alleges that Cowley violated Section 10b of the Securities Exchange Act
of 1934 and Rule lOb-5 thereunder In its action the Commission is seeking
permanent injunction disgorgement prejudgment interest and civil penalties

An order has been issued pursuant to Section 26b of the Investment Company Act to

collectively Applicants approving the substitution of securities issued by certain
management investment companies and held by either the Annuity Account or the Life
Account to support variable annuity contracts or variable life insurance contracts issued

CPL ENERGY INC
The Commission has issued an order approving an application-declaration by CPL
Energy Inc CPL Energy North Carolina holding company exempt from
registration under Section 3a1 of the Act by Rule and Florida Progress Corporation
Florida Progress in connection with proposed acquisition of Florida Progress by
CPL Energy Following the acquisition CPL Energy will register as holding
company under Section of the Act The order authorizes CPL Energy following the
acquisition to retain ownership of certain of its and Florida Progress nonutility
businesses and reserves jurisdiction over others The order further provides that
investments in nonutility businesses made prior to the acquisition will not be counted in
the calculation of the 15% investment limitation of Rule 58 The order exempts Florida
