Kalb's Q&A for Contractors By David Kalb & Shauna Krause, Capitol Services, Inc.
Two licensed contractors are putting their heads together but can’t decide whose license will work for their anticipated joint venture. A general engineering contractor discovers if- and where- they can ‘park’. A follow up question on whether a li-cense is required to install a product helps contractors learn it’s not the size of the ‘fixture’ that makes the difference… Q: As always, I enjoy reading your column. A question regard-ing the Q&A from a few weeks ago: A license isn’t needed for installing some products, right? For instance, a supplier of blinds who also installs them does not need a license, right? As I recall, it turns on whether the item installed becomes a “fixture,” which is a legal concept equating to whether the product is large, heavy and integrated into the building to such an extent that it becomes “part of the building.” Do I have this right? A: No, not quite right but that’s why we’re here! Glad you enjoy the column. You’re referring to our prior question regarding the foreign manufacturer who wanted to install their product as part of a Southern CA building project. While the example given was a very large structure, it is actually not the size of the “fixture”; rather it is the amount of the project that determines whether a license is necessary. Using blinds as an example, a license WOULD be required if the supplier also installs this product and the job is $500.00 or more. The key is the dol-lar amount. Blinds, which may be considered “temporary”, are covered by the “C-61/D-52” (Window Coverings) classification. Other examples might include store fixtures covered by the “D-34” (prefabricated equipment); metal cable racks included in the “D-24” (metal products); and vinyl or canvas awnings covered by the “D-03” (awnings).
Q: I need to change my license from a Sole to a ‘S’ corp. Myself and another contractor are going to do a Joint Venture (JV) and need to apply for the JV license. How does that typically work? Should we each open another S Corporation and put our licenses together? I have yet to talk with my accountant.
A: You’ll need to first secure a new license for the ‘S’ corporation. If you wish, the Sole Owner license number can be transferred to this entity if you own at least 51% of the company. Once this license is issued (or reassigned), you can then apply for the JV license. By definition, a Joint Venture License consists of two or more licensed entities each of which is active and in good standing with the CSLB. It is up to the joint venture “partners” as to which entities they want as part of this license. I would suggest talking with your accountant first; then call us with any further questions or if you would like any help with the application process. Q: We’re an “A” contractor and have an opportunity to construct a new park. The project is mostly paving, grading, parking lots, etc.; however, there are a few small structures, such as the bathrooms. Are we permitted to build those structures as part of the overall project with our “A” license or does this need to be subcontracted? A: A park is expressly listed in 7056 as one of the projects that fall under the General Engineering (“A”) classification. Consequently, a contractor holding the “A” license class can do ALL of the work that is part of the park project, OR ANY PORTION thereof. In short you can build these structures with your “A” license or sub-contract the work if you wish.

Update on Workload & US Department of Labor Standards
Labor Enforcement Task Force Announces Public Hotline for Complaints and TipsCalifornia’s Labor Enforcement Task Force (LETF), a multiple agency collaborative effort to combat the underground economy and improve the state’s business environment, has announced a public hotline, 855-297-5322, for California workers and employers to call in documented complaints or provide enforcement tips. What makes this great is the fact that you now have a quick and easy way to submit complaints about competitors or others that you believe are not ‘playing by the rules!’ I also want to note that I have been working closely with the members of this task force for several years and this new hotline is an important next step in our efforts to combat the underground economy.
As my good friend DIR Director Christine Baker notes, “This LETF Hotline is another step towards ensuring that workers and employers have somewhere to report unlawful work activities, or if they suspect that a business is skirting the law in an effort to get a leg up on competition”. “The hotline will be a valuable tool to gather information to bring into compliance those employers who treat workplace safety and wage and hour laws as a nuisance.”
The LETF was formed to: • Ensure California workers receive proper payment of wages
and are provided a safe work environment;• Ensure California receives all employment taxes, fees, and
penalties due from employers;• Eliminate unfair business competition by leveling the playing
field;• Make efficient use of state and federal resources in carrying
out the mission of the Labor Enforcement Task Force• Ensure all employers pay the full costs for workers’
compensation
LETF members include: DIR’s Division of Labor Standards Enforcement (Labor Commissioner) and Cal/OSHA, as well as the Employment Development Department, Board of Equalization, Alcohol and Beverage Control and the Bureau of Automotive Repair.
Businesses operating underground generally violate those laws that are designed to protect workers and California’s economy. Skirting income taxes, not carrying workers’ compensation insurance, and paying employees less than what they are owed are common practices of underground businesses. These underground operations subsequently require lower overhead, giving an unfair advantage to the illegal businesses over legitimate, law-abiding employers.
California workers and employers can contact the LETF hotline at 855-297-5322. Complaints will be screened and prioritized in order to catch the most egregious offenders.

California Unemployment Insurance Appeals Board Update on Workload & US Department of Labor Standards
Another good friend of mine, Bob Dressler, was confirmed last year as the chair of the California Unemployment Insurance Appeals Board (CUIAB) after serving as interim chair since December of 2010. When Bob took over the reins, he was faced with a tremendous work backlog that was to the point that many in Sacramento were calling for the demise of the board. Bob sent me this update today which impressively demonstrates that he is truly “the man for the job!” While he still has a ways to go, the following results are quite impressive considering that he’s only been around for under 1 1/2 years.

CUIAB Workload Performance Improvements -I would like to update you and highlight some significant improvements over the past 15 months. We have a dramatic reduction of the backlog from December 2010 to March 31, 2012:
• First level Unemployment Insurance (UI) appeal backlog decreased by 29,472 (50%) to 29,603, the lowest balance since 2007.
• First level appeal backlog for all programs decreased by 31,378 (44%) to 39,388.
• The average time workers and employers waited for appeal decisions (all programs) fell to 46 days. This is an improvement of 31 days.
• If this performance trend continues, I believe we will eliminate the backlog of UI appeals by the end of summer 2012.
• In 2011, we processed about $227 million in tax audit appeals and upheld about $100 million in liabilities. When EDD collects these liabilities, a portion goes into the UI Fund to contribute towards fund solvency.
• Second level UI appeal backlog decreased by 927 (25%) to 2,785.
• Second level appeal backlog for all programs decreased by 955 (24%) to 3,018.
US Department of Labor Standards -We are demonstrating improvement in meeting the US Department of Labor (DOL) UI time standards over the past 15 months.
• The DOL standard for average age of the first level UI open appeal balance is 30 days.
• For the month ending March 31, 2012, our first level UI open balance average age was 23 days. Compared to December 2010, this is an improvement of 22 days. CUIAB has not met this standard in 11 years.
• The DOL standard for first level UI appeals completed within 30 days is 60%. For the week ending March 31,2012, we completed 16% of UI appeals within 30 days. Compared to December 2010, this is an improvement of 14 percentage points.
• The DOL standard for first level UI appeals completed within 45 days is 80%. For the month ending March 31, 2012, we completed 61% of UI appeals within 45 days. Compared to December 2010, this is an improvement of 49 percentage points.
For eight and a half years, the CUIAB has consistently met DOL quality standards. Recently, CUIAB scored 95% quality at the end of December 2011.
For second level UI appeals, the DOL standard for average age of the open balance is40 days. At the end of March 2012, our second level UI open balance average age is 30 days. Compared to December 2010, this is an improvement of eight days. The CUIAB Board has met and sustained compliance with this DOL standard since April 2010 and is the only measure that is not subject to corrective action.
These improvements are due to the hard work of our Administrative Law Judges and support staff. We have had record production on appeals during the last year. Each Board Member worked extremely hard to reduce workers’ and employers’ wait times for appeal decisions as well. Each member averaged about 50 appeals per day.
