emhhomesbeganitsworkasEastMidlandsHousingAssociationin1946,buildingasmallnumberofaffordablehomesforex-servicemenaftertheSecondWorldWar.Whileourvaluesmayhaveremainedthesame,wehaveevolvedthrough our history to thrive in challenging times.
emh homes was the result of an amalgamation of four registeredprovidersandwenowownandmanage20,000homes in more than 49 local authority areas across the region.
emhhomesisthemainbodyforthedeliveryofhousingserviceswithintheGroup.ItiscommittedtogrowinganddevelopingitsPropertyServicesfunction.Overthelastthreeyearsemhhomeshasundergoneafullreviewandrestructureofthewayinwhichservicesaredeliveredandhasmovedtomoreagileworking.

Key terms and conditions:
Remuneration Thesuccessfulcandidatewillreceive£3,642.52perannum,
paidmonthlyinarrears. Time commitment Thesuccessfulcandidatewillberequiredtodedicateatleast
twodaysamonth–thisincludesBoardmeetings,training,preparationforBoardmeetings,andattendanceatourcustomercoordinatingcommittee.MembersmayalsobeinvitedtojoincommitteeswithintheGroup.
Expenses ItisourpolicytoreimburseBoardmembersforpersonal
expensesincurredinconnectionwiththeirduties.Thismayincludethecostsofchildcareorthecareofadependentadultaswellasthenormalexpensesarisingfromattendinganymeetings,awaydays,sitevisits,conferences,andseminars.
Boardmeetingsandtrainingsessionswillbeheldbothvirtuallyvia‘MicrosoftTeams’andattheGroupHeadOffice.
PleasenotethatforthepurposesofexpensestheemhhomesBoard’splaceofworkisMemorialHouse,Coalville.Assuch,travelcoststoandfromhometoyourplaceofworkisexcludedfromexpensepayments.
Terms of office emhhomeshasadoptedtheNationalFederationCodeof
Governance.InaccordancewiththecurrentCode,thesuccessfulapplicantwillbeappointedforatermofnineyearswhichissubjecttorevieweverythreeyears.Thiscodeiscurrentlyunderreview.

Responsibilities TheBoardisresponsibleforthegovernanceandstrategic
directionoftheAssociation.
MembersoftheBoardofManagementareresponsibletotheChairoftheBoardofManagement.
TheBoardemhhomesofmustacknowledgeandacceptthecontroloftheGroupBoardinthegovernanceoftheGroup.ThesetermsofreferenceshouldbereadinconjunctionwiththeIntragroupagreementbetweenemhhomesanditsparent, emh group.
TheBoard’sapproachtodiversitysupportsitseffectiveness,leadershipanddecisionmaking.
Core functions 1. To ensure compliance with the values, vision, mission
andstrategicobjectivesoftheassociation,ensuringits long term success.
2. Tosetlongandshorttermstrategicplanstoachieve thoseobjectives.
3. Tosatisfyitselfastotheintegrityoffinancialinformation,approvingeachyear’sbudgetandbusinessplanand annualaccountspriortopublication.

Reserved responsibilities of the Board TheBoardretainsthefollowingresponsibilitieswhichwillnot
bedelegatedtoexecutivestafforcommittees:
1. Considerationofanyactionleadingtotheremovalofaboardmember;
2. Considerationandreviewofcasesandpoliciesinrespectofconduct,standards,ethicsorprobitywithintheorganisation;
3. Approvalofthefiveyearbusinessplanandthemonitoringofperformanceagainstbusinesscases;
4. Approvaloftheannualfinancialbudget
5. Approvaloftheannualaccounts,includingtheformalstatementabouttheassociation’ssystemsofinternalfinancialcontrol, prior to their presentation at the annual general meeting(AGM)
6. Establishmentoftheframeworkofdelegationtostaff;

Themembershipofanysub-committeesshallbedeterminedbytheboard.Everycommitteeshallincludeoneboardmemberorco-opteetotheboardoftheassociation.Theboardmayappointthechairofanysub-committeeandshallspecifythequorum.
Allactsandproceedingsofanycommitteeshallbereportedtoboard.
Nocommitteecanincurexpenditureonbehalfoftheassociationexceptinaccordancewithabudget fortherelevantexpenditurepreviouslyapprovedby theboard.
