Mission & PurposeEstablished in 1947, the Alabama Road Builders Association
is dedicated to serving the specific needs of businesses involved in Alabamas transportation construction industry. We serve contrac-tors, material suppliers, consulting engineers and other professional service firms. We are the industrys forum for open communication with the Alabama Department of Transportation and other gov-ernmental agencies. Conveniently located down the street from the Alabama Statehouse and Capitol, the Alabama Road Builders Association is housed in its own building at 630 Adams Avenue, Montgomery, Alabama. ARBA is considered the headquarters for our industry. Additionally, ARBA has a full time staff ready to serve you.
The Alabama Road Builders Association is a nonprofit orga-nization of individuals and business firms actively engaged in the construction of transportation systems or in furnishing materials, equipment or services for such construction. The Association is governed by its officers and board of directors, consisting of a President, Immediate Past President, Vice President, Treasurer and Secretary and directors from all over the state. Committees are also established to address certain needs of the Association and its membership.
The mission of ARBA is to foster and promote the finest in transportation for the state of Alabama.
To foster and promote public and legislative awareness of the advantages of a beneficial, efficient and effective transportation system.
To protect and enhance transportation revenues for construc-tion and maintenance of transportation facilities.
To apprise lawmakers with factual data so that legislation can be most accurately considered.
To investigate the feasibility and advance the application of new technology, equipment, techniques, procedures, and systems for planning, financing, designing, constructing, maintaining and operating transportation systems.
To investigate and promote alternatives for improvement to the economic, social, environmental, political and safety challenges surrounding the transportation needs of the state of Alabama.

GoVeRnMent LIAIson -
ARBA is the spokesman for the transportation construction indus-try, a stronger voice than that of a single member. When ARBA speaks with state and national legislators and officials, those elected and appointed public servants know that standing behind us are almost 200 tax-paying businesses and their thousands of employees, all influential contributors to Alabamas economic vitality. ARBA is constantly taking part in the lawmaking processes. We monitor legislation, take proactive positions on bills, both for and against, and we provide expert testimony and current information to law-makers. ARBA works with various agencies, including the Alabama Department of Transportation, Federal Highway Administration, and the Department of Revenue, as well as the executive branch to keep them informed of the needs and concerns of the transportation construction industry.
ALDot ContACt -
ARBA works continually with ALDOT to improve the contracting process and construction projects. ARBA has forged a strong part-nership with the Alabama Department of Transportation. Together, we address the many complex issues involved in constructing and maintaining Alabamas transportation facilities. As just one example, ARBA members are allowed to participate in the ARBA/ALDOT Liaison Committee meetings, held quarterly, which are responsible for specification changes of concern to the industry. Also, members are invited to the Annual Transportation Conference, which brings together ALDOT and the industry to discuss contractor issues.

CoMMIttees - ARBA has a very active committee structure. One of the most important to our members is the ARBA/ALDOT Liaison Committee, which works to address specifications and contract issues with ALDOT.

UPDAtes -
ARBA notifies its members of industry information and legislative reports by way of the Capitol and Washington Updates. These news-letters include information on proposed legislation and other items of interest to the industry. It is delivered at least weekly during the Legislative Sessions, and as needed throughout the remainder of the calendar year.
ARBA AnnUAL ConVentIon -
ARBA holds an annual convention, normally in the summer months. The convention lends the membership an excellent oppor-tunity for fellowship among industry members, ALDOT officials and legislators, in addition to social activities and recreational events.
AFFILIAtIons - The Alabama Road Builders Association is affiliated with the American Road and Transportation Builders Association (ARTBA) in Washington, D.C., and cooperates with it and other national and state organizations on behalf of a comprehensive and efficient trans-portation program. Every ARBA contractor member has the option of becoming a member of ARTBA. ARBA maintains liaison with the American Association of State Highway and Transportation Officials (AASHTO), Southeastern Association of State Highway and Transportation Officials (SASHTO), The Road Information Program (TRIP) and others with transportation construction interests.

Alabama Road Builders Association Anti-Trust and Conflict of Interest Statements: Alabama Road Builders Association members agree to engage in legal, moral and ethical business practices. September 28, 2000: ARBA Board of Directors.
ARTICLE 1 Meetings of the Members
Section 1. Annual Meeting. There shall be a meeting of the members of the Association held annually, either in the month of September or October of each year, at such time and place as may be determined by the Board of Directors. Notices of such meeting shall be given by the executive director, or his duly authorized agent, and shall be mailed to the last known address of each member as shown by the records of the Association at least ten days prior to the appointed date of the meeting. At this annual meeting, the newly elected officers and directors shall be installed and such other business conducted as may be deemed appropriate.
Section 2. special Meeting. Special meetings of the Association may be called by the president, or by a majority of the Board of Directors. Notice of any special meeting shall be given as provided for notice of the annual meeting and, in addi-tion, such notice shall state, in substance, the matter or matters to be brought before the meeting for consideration or action at such special meeting. Any matter not included in the notice of the special meeting may, nevertheless be considered and acted upon at a special meeting, at which a quorum is present, with the unanimous consent of the members present.
Section 3. Quorum. Twenty-five percent of the members entitled to vote shall constitute a quorum at any meeting of the Association, and any action required of the membership, unless otherwise provided in these bylaws, the articles of incorporation, or by law, may be taken by a majority vote of the members at any meeting at which a quorum is present. In case a quorum is not present, the presiding officer may adjourn the meeting from time to time until a quorum is present.
Section 4. order of Business. The order of business as determined by the chairman may be altered or suspended at any meeting by a majority vote of the members present. The usual parliamentary law as is laid down in Roberts Rules of Order shall govern all deliberations, when not in conflict with these bylaws.
ARTICLE II Membership
Section 1. The classes of membership of the association shall be as follows: (a) Contractor Member - A corporation, individual or partner-
ship whose business includes as one of its principal activi-ties, the execution and performance of contractors for the construction and/or maintenance of public highways, roads, streets, bridges, culverts, sewers, airports, grading, paving, aggregate applications, or other work associated therewith, which member is licensed by the Alabama State Licensing Board and is duly qualified by the Alabama Department of Transportation and Licensing Board for Contractors.
(b) Associate Member - A corporation, individual or partner-ship whose business includes as one of its principal activities the furnishing to contractors any material, equipment or service.
(c) Honorary Life Member - Any individual who has been active in association affairs and/or has substantially con-tributed to the highway industry may, upon invitation by the Board of Directors become an honorary life member with full membership privileges, except the right to vote. He shall not be required to pay dues.
(d) Life Member - All past presidents shall have bestowed upon them the honor of life membership. Upon retirement of active participation as a contractor member, life members shall become individual members for life with full member-ship privileges, except the right to vote, and shall not be required to pay dues. ARTICLE III Board of Directors
Section 1. The affairs of the Association shall be governed by the Board of Directors consisting of following: (a) The then current serving elected officers of the Association,
including the president, the vice-president, the treasurer, and the secretary, together with the immediate past presi-dent. In addition, there shall be eight directors elected by Association. All of said directors shall have full voting privileges.
(b) In addition to the directors provided for above, two direc-tors, with voting privileges, shall be appointed. Beginning October 1, 1991, the President shall appoint two directors from the associate class of membership, one to serve for a term of one year and the other to serve for a term of two years. Beginning October 1, 1992, the President shall appoint one director from the associate class of membership to serve for a term of two years.

(c) In the event that a resident Alabama contractor, not cur-rently serving as a member of the Board of Directors of the Alabama Road Builders Association, shall be serving on either the Board of Directors of the American Road and Transportation Builders Association and/or the Executive Committee of the Contractors Division of the American Road and Transportation Builders Association, then that member shall also serve as a member of the Board of Directors of the Alabama Road Builders Association with full voting privileges.
(d) Beginning April 1, 2015, any resident contractor member of the Alabama Road Builders Association shall be imme-diately entitled to serve as a voting member of the Board of Directors once paying at least $12,500 in percentage dues during a fiscal year. If a board member serving under this provision fails to reach $12,500 during a fiscal year, their term shall expire on September 30 of that fiscal year. No resident Alabama contractor member shall be eligible to serve on the Board of Directors under this provision if such contractor member is currently on the Board of Directors by virtue of Section 1(a) or Section 1(c) of this Article III. (1)
(e) In the event that two contractors from the same firm become members of the Board of Directors, serving con-current terms, then only one of such contractors shall be eligible to vote.
(f) All members of the Board of Directors of the Alabama Road Builders Association are encouraged to raise and/or contribute a minimum of $5,000 annually to be used toward the sustaining of RoadPAC in preparation for each election cycle.(2) (1)October1,2004 (2)September26,2008Section 2. elective Directors. At least four directors not
serving as officers shall be elected annually for a two year term and shall take office at the next annual meeting following their election. Such election shall be conducted as prescribed under Article V, Section 1 of these bylaws. The four nominees for elected directors receiving the highest number of votes shall be deemed elected. If for any reason it is necessary to elect a fifth director for less than the two year term, the nominee receiving the fifth highest number of votes shall fill such position. In like manner, if it should be necessary to elect six or more directors for less than a two year term, the nominee receiving the next successive highest number of votes shall fill such positions. In case of a tie vote for any such director, the nominee chosen to fill that office shall be determined by a vote of the tellers committee as provided in Section 1 of Article V of these bylaws.
Attendance at directors meetings shall be limited to the board members, the Association staff and invited participants.
The number of elected members of the Board of Directors may be changed from time to time by amendment to these bylaws, subject to the requirements of the articles of reincorporation.
Section 3. Powers. The Board of Directors shall have super-vision, control, and direction of the affairs of the Association, shall determine its policies or changes therein within the limits of the bylaws, shall actively prosecute its purposes and shall have discretion in the disbursement of its funds. It may adopt
such rules and regulations for the conduct of its business as shall by deemed advisable and may, in the execution of the powers granted, appoint such agents as it may consider necessary.
Section 4. Meetings. The Board of Directors shall meet at least once during each quarter of each calendar year, at such time and place as may be designated by the president, and if such meeting is not called by the president the such meeting may be called by a majority of the members of the Board of Directors to be held at such time and place as designated by them. Notice of all meetings of the Board of Directors shall by given by the executive director, or his agent, and shall be mailed to the last known address of each director as shown by the records of the Association at least ten days prior to the appointed time of the meeting; or such notice may be given by telegraph or by telephone, and if such means of communicating such notice is used, notice thereof shall by given a reasonable length of time prior to the time designated for such meeting.
Section 5. Quorum. A majority of the members of the Board of Directors entitled to vote shall constitute a quorum at any meeting of the Board. Any less number may adjourn the meeting from time to time until a quorum is present. Unless oth-erwise provided by law, by the articles of incorporation or these bylaws, any action taken by a majority vote at a meeting of the Board of Directors at which a quorum is present shall be valid.
Section 6. Vacancies. Should a vacancy occur among the elected directors during their term of office, as the result of death, resignation or otherwise, such vacancy may be filled by the Board of Directors, and such person so elected shall serve until the next annual meeting or until a successor be elected by the Association. In the event that such remaining directors do not constitute a quorum of the Board of Directors, then the remaining directors shall call a meeting of the members of the Association to fill the vacancies in the membership of the Board of Directors, or at the discretion of the remaining members, said vacancies may be filled by ballot by mail as provided in Article V, Section 1, of these bylaws. Should the number of elected directors be increased, then the directors to fill the additional positions on the Board shall be elected at a meeting of the members of the Association duly called and held as provided for special meetings or by ballot by mail, as provided in Article V, Section 1. Any individual director, or all directors, may, by a vote of the majority of the members of the Association having voting privileges, at a meeting duly called and held, be removed from office at any time without assigning any cause therefore.
ARTICLE IV Committees
Section 1. The President, subject to approval of the Board of Directors, shall, annually appoint such standing or special committees or subcommittees as may be required by the articles of incorporation, or these bylaws, or as he, in his discretion, may deem necessary for the efficient handling of the affairs of the association. (1)
Section 2. executive Committee. There shall be an execu-tive committee of the Board of Directors consisting of the president, the vice-president, the treasurer, and the secretary.

The president of the Association shall be chairman of the executive committee. The executive committee shall have full authority to exercise all the powers of the Board of Directors of the Association when the Board of Directors is not in session, and shall report to the Board of Directors at the next succeeding meeting of the Board any action taken by the executive commit-tee. Such action so reported by the executive committee shall be subject to review by the Board of Directors at such meeting, A majority of the members of the executive committee shall constitute a quorum for the transaction of business. The execu-tive committee may meet in regular or special session at any time called by the president, or by any two other members of the committee, upon reasonable notice of the time, place and purpose of the meeting.
Section 3. nominating Committee. There shall be a nominating committee which shall consist of the four immedi-ate past presidents then living and the current president of the Association. The past president on the committee who served second in point of time to the immediate past president shall serve as chairman of the committee. This committee shall meet annually in June at a time and place designated by the president. The duties of this committee shall be to make nominations from the contractor members of the Association, with the consent of those nominated, and to prepare, or cause to be prepared, ballots for the election of the officers and directors. The com-mittee shall nominate one nominee for the office of president, one nominee for the office of vice-president, one nominee for the office of treasurer, and one nominee for the office of secretary. This committee shall also nominate at least twice as many nominees to fill the positions of the remaining directors to be elected as there are positions to be filled. The nominating committee shall, immediately after its meeting, deliver to the executive director its report showing the list of nominees named by the committee. Such list of nominees shall be mailed by the executive director to all members of the Association entitled to vote, at their last known address shown by the records of the Association, not later than July 31. Additional nominees for any specified office or elected director may be made from among contractor members only by delivering to the office of the Association, prior to July 25, a written nomination of such person or persons, which nomination shall bear the signed endorsement of at least 50% of the members of the Association entitled to vote.
Section 4. Personnel Committee. The Personnel Committee shall serve as an advisory board for the Executive Director and any other association employee concerning mat-ters pertaining to their employment. It shall be the duty of the Personnel Committee to review the associations pension plan, the Executive Directors job description and recommend any bonuses or salary changes for the employees. Any committee-recommended changes must be approved by the Board of Directors. The Personnel Committee shall consist of the four most recent past presidents of the association, with the immedi-ate past president to serve as chairman. This new committee will become active beginning October 1, 2004. (2)

ARTICLE V election of officers and Directors
Section 1. The officers and directors of the Association shall be elected annually by a mail ballot conducted during the month of August to serve for the next succeeding fiscal year. Ballots listing the nominees for the elective officers and directors shall be prepared and mailed to the designated representative of each contractor member, at his last known address as shown by the records of the Association, between July 25th, and July 31st, which ballot shall be returned to the Association office in the sealed envelope provided prior to August 15th. The votes on any ballot not received at the office of the Association by that date shall not be counted. The ballots shall remain sealed until opened, counted and certified by a tellers committee consist-ing of the three most recent past presidents of the Association then living, with the past president having the earliest date of office acting as chairman of the committee. The nominee for each elective office of the Association receiving a majority of the votes cast for that office shall be deemed elected. The determination of the elective directors chosen shall be set forth in Article III, Section 2, of these bylaws. In the event of a tie for any office to be elected, the tellers committee shall, by secret ballot, determine the nominee elected to such office.
Section 2. Each elected officer shall take office at the next annual meeting following his election, but not later than November 1 following his election, and shall serve for a term of one year or until his successor is duly elected and qualified.
Section 3. Vacancies. Should a vacancy occur in any office as the result of death, resignation, or otherwise, such vacancy may be filled for the balance of the term thereof by the directors at any regular or special meeting, and such person so elected shall serve for the remainder of the term of such vacancy. Any office to be filled by reason of an increase in the number of officers shall be filled by election at a membership meeting, or by letter ballot, or at a special meeting of the members entitled to vote and called for that purpose. The members, by the vote of a majority of the Association, may at any time, at a meeting duly called and held, and without assigning any cause, remove any individual officer or all officers.
ARTICLE VI Duties of officers
Section 1. President. The president shall be the principal elective officer of the Association, shall preside at meetings of the Association and of the Board of Directors, and of the execu-tive committee, and shall be a member ex-officio, of all com-mittees. He shall also, at the annual meeting of the Association and at such other times as he shall deem proper, communicate to the Association or to the Board of Directors such matters and make such suggestions as may, in his opinion, tend to promote the welfare and increase the usefulness of the Association, and shall perform such other duties as are necessarily incident to the office of president or as may be prescribed by the Board of Directors. He shall not succeed himself in that office, except that if he is elected to fill a vacancy of an unexpired term of the preceding president, he shall be eligible for reelection for a full one year term.

Section 2. Vice-President. The vice-president shall, in the absence of the president, preside at all meetings of the Association and of the Board of Directors. He shall perform such other duties as may be assigned by the president or the Board of Directors.
Section 3. treasurer. The treasurer shall keep an account of all money received and expended for the use of the Association, and shall make disbursements authorized by the Board and may be approved by such other committee and such other officer as the board may prescribe. All sums received shall be deposited in the bank or banks, or trust company, approved by the Board of Directors, and the treasurer shall make a financial report a the annual meeting, or when called upon by the president. Funds may be drawn only upon the signature of the treasurer, or the executive director, or another person designated by the Board. The duties of the treasurer, under authority of the Board members, may be assigned in whole or in part to an executive director. The funds, books, and vouchers in his hands shall, with the exception of confidential reports submitted by members, at all times be subject to verification and inspection by the Board of Directors, or by any member thereof.
Section 4. secretary. The secretary shall attend all meet-ings of the members and al meetings of the Board of Directors, and shall record all proceedings of the Association and of the Board of Directors in a book to be kept for that purpose and shall perform like duties for the standing committees when required. He shall give, or cause to be given, notice of all meetings of the Association, of which notice is required, and shall perform such other duties as may be prescribed by the president or the Board of Directors. He shall keep a complete roll of the members of the Association at all times. The duties of the secretary, under authority of the Board of Directors, may be assigned, in whole or in part, to an executive director.
Section 5. executive Director. The Board of Directors may, if it deems advisable, appoint and employ an executive director of the Association whose duties shall include the general administration and management of the Associations affairs, pursuant to rules and regulations provided by the Board of Directors, and he shall be directly responsible to the Board of Directors. Subject to the approval of the Board of Directors, the executive director shall employ, and may terminate the employment of, members of the staff of the Association as may be necessary to carry on the work of the Association. He shall manage and direct all activities and functions of the Association and perform such other duties as may be specified by the Board. It shall be his duty to give notice of all meetings, to attest all documents, and to perform such other duties as may be assigned to him. The compensation of the executive director and other salaried employees of the Association shall be fixed by the Board of Directors.
Section 6. Bonding. Any person entrusted with the han-dling of funds or the property of the Association shall, at the discretion of the Board of Directors, furnish, at the expense of the Association, a fidelity bond approved by the Board of Directors in such sum as the Board shall prescribe.
ARTICLE VII Withdrawal, Resignation, suspension,
expulsion of Members
Section 1. Withdrawal or Resignation. Membership in the Association may terminate by voluntary withdrawal as herein provided, or otherwise pursuant to these bylaws. All rights, privileges and interest of a member in or to the Association shall cease upon the termination of membership. Any member may, by giving written notice of such intention, withdraw from membership. Such notice shall be presented to the Board of Directors at the next succeeding meeting of the Board of Directors. Withdrawals shall be effective upon fulfillment of all obligations to the date of withdrawal, including payment of all outstanding dues and assessments.
Section 2. suspension and expulsion. Any member may be suspended or expelled for cause. Sufficient cause for such suspen-sion or expulsion of a member shall consist of violation of the duties and obligations of membership as provided by the articles of incorporation or bylaws or any rule or practice duly adopted by the Association, or any other conduct deemed prejudicial to the interests of the Association. Suspension or expulsion shall be by two-thirds vote of the Board of Directors, provided that a statement of the charges shall have been mailed by certified or registered mail to the last known address of the member, as shown by the records of the Association, at least fifteen (15) days before the meeting of the Board of Directors to take action thereon. This statement of charges shall be accompanied by a notice of the time and place of the meeting of the Board of Directors at which time the charges will be considered and the member shall have the opportunity to appear in person and/or to be represented by counsel to present any defense to such charges before action is taken thereon.
ARTICLE VIII Dues
Section 1. The annual dues of each contractor member and each associate member shall be as prescribed by the Board of Directors. The Board of Directors shall notify the membership of the association of any change in the dues structure 30 days prior to the effective date of such change. (a) Membership dues not paid in full by December 1, by all
ARBA members, will result in that member not being listed in the membership directory for the coming year.
ARTICLE IX Amendment to Bylaws
These bylaws may be amended by appropriate action of the Board of Directors.
