As your new Chief Executive Officer, I appreciate this opportunity to review the year 2000 and explain the significant improvements

we have made to enhance the performance of our company.

By the start of 2000, after three years of rapid growth, primarily through acquisitions, we had reached a critical stage in our evolution.

Completing such a large number of acquisitions in a relatively short period of time was an enormous effort. As is often the case, the

infrastructure necessary to manage such a diverse and growing organization

does not always evolve at the same swift pace. This was the case at CBIZ.

The rapid growth the company experienced through 1999 resulted in the need

for greater corporate integration.

The challenge for our management team was to revise the management

structure, improve the management process and create an atmosphere that

fostered our working together as one business. This task was difficult, but made

easier by the fact that we had experienced and committed professionals working in business units that were well positioned in their industry.

When I arrived in the fourth quarter, substantial progress had already been made in the areas of expense and debt reduction, premises

consolidations and business unit rationalization. However, many of the business units were still not performing at expected levels. As a

team, we developed a plan to further stabilize the business, improve its financial performance and continue toward achieving our vision.

We have already accomplished a great deal. In December we hired a new chief financial officer, Ware Grove, who brings to us substantial

experience as a public company CFO with particular expertise in restructuring, integration and strategic planning. We implemented a

new organizational structure and management process, completed the consolidation of our accounting and cash management systems,

completed the divestiture of four non-strategic businesses and closed another which had lost money in 2000. Bank debt was reduced

from $158.5 million in March to $117.5 million by year end and the company adopted plans for significant further debt reduction.

Expense controls were revised and adjusted to be consistent with the operating plans for 2001.

As a result, the business is poised for very positive and profitable growth in 2001.

provides our scope of services to small and mid-market businesses.

At the core of our service offerings are those services that are used by

our clients on a regular basis and which are necessary for them to run

their businesses. These services, which we refer to as our core services,

include accounting and tax, employee benefits, property and casualty

insurance, payroll processing, wealth management, information technology

consulting, and human resource consulting.

In addition, through our National Practices division, CBIZ provides a broad range of services that were not readily available to

small and mid-sized market companies. These services include our ability to advise our clients on lobbying federal, state, and local

governments; the purchase, sale, and leasing of commercial real estate; the purchase and sale of businesses; capital raising;

business valuations; real and personal property valuations; medical practice management; health care industry consulting;

management consulting; and the installation and maintenance of computer equipment and supporting software.

With our structure, we can offer clients outsourcing capability for many functions that most small and mid-sized companies are

not equipped to handle themselves. This was CBIZ’s original vision. Our experience has enabled us to sharpen and refine it.

Business just got easier for Regina USA. This Cambridge, Maryland manufacturer was looking

for expert business services in a number of areas. It so happened that Regina USA’s consultant

for information systems was CBIZ relationship manager Jerry Newell, who had worked with

Regina USA for years and who was very familiar with the company and its operations. Jerry

explained to his client that his company, CBIZ unit Beatty Satchell Business Services, had a

number of resources to bring to the job. A call to CBIZ’s Steve Ochse to take care of Regina

USA’s tax accounting was just the first step in seeing to his client’s needs. Thanks to the well-

oiled CBIZ machinery in Maryland, this power transmission chain and conveyor belt maker now

relies on CBIZ for its tax accounting, benefits, payroll, 401(k), and HR outsourcing.

Business just got easier for Craftsman Press. This Cheverly, Maryland printing company’s

longtime business advisor Ron Kurtz, of CBIZ unit Kaufman Davis, knew that Craftsman’s

property and casualty insurance was up for renewal. Ron suggested his client look at a

more competitive source for its coverage and offered to bring in a P&C specialist out of

CBIZ Benefits and Insurance’s Cumberland, Maryland office. Craftsman liked what it saw.

Once Craftsman’s new P&C coverage was in place, Ron added 401(k) services to the mix.

Craftsman was so pleased with the one-source concept, Ron then called in CBIZ cross-serving

pro Jeff Blauvelt for an evaluation of all of Craftsman’s needs. With CBIZ now handling its bookkeeping, P&C, benefits, 401(k), and HR

outsourcing, Craftsman never needs to stop the presses to take care of the paperwork.

Business just got easier for Tidal Zone Associates, Inc. This information management consulting firm, located in Landover, Maryland,

had been a client of CBIZ’s Avis King. Avis knew that Tidal Zone was in the market for a number of services CBIZ offered. Knowing she

could count on CBIZ cross-serving pro Jeff Blauvelt to introduce these services to her client, Avis worked with Jeff to identify Tidal Zone’s

specific needs. Once Jeff showed the client everything CBIZ was capable of providing - expert service in every area through a single

point of contact - Tidal Zone was in. Now, Tidal Zone receives its benefits, property & casualty insurance and 401(k) services from a

single, seamless source - CBIZ.

Business just got easier for VidaMed, Inc. CBIZ business unit CMG Consulting started handling VidaMed’s 401(k) and investment services

for this Fremont, California-based medical device company in 1998. In his annual review, CMG’s Brian Blach identified an opportunity for

cost savings for VidaMed through CBIZ’s HR outsourcing services. Brian called Bob Maguire, an HR outsourcing expert at CBIZ unit SK

Consulting, to provide VidaMed with all of the capabilities of an HR department. At the same time, Brian noted that VidaMed was reviewing

its medical benefits provider, so Brian also brought CBIZ provider Hunt & Associates. With the 401(k) and medical program under one

provider, Brian showed them the CBIZsolutions.com website, which integrates these services for clients’ employees to access 24 hours

a day, 7 days a week. Once VidaMed saw the benefit of CBIZsolutions.com, they opted to use CBIZ for their payroll, COBRA, and Section 125

administration. Currently, via one relationship manager in Brian, VidaMed can rest assured that its business is in good hands.

Business just got easier for Turbine Technology, Inc. Referred to CBIZ by another CBIZ client, this Atlanta-based start-up manufacturer

and distributor of jet-engine parts was looking for support in just about every area - payroll, benefits, accounting, 401(k), and human

resources. Luckily, CBIZ Benefits and Insurance Services in Atlanta took its new client’s needs in stride. In CBIZ’s newly consolidated

Atlanta office, the client was able to meet with David Schuchmann for its bookkeeping, as well as with CBIZ representatives from benefits,

401(k), payroll, and accounting information systems. For the client, this meant one trip to take care of his company’s outsourcing needs,

only one day out of his schedule, and only one contact person going forward - CBIZ’s Lori Karriker - for all questions on any one of these

services, leaving him with lots of time to see to the launch of his aviation parts company.

Business just got easier for York Pharmaceuticals. This private-label drug producer in

Kansas City, Kansas uses one trusted CBIZ source for several of its administrative tasks.

CBIZ Benefits and Insurance relationship manager Jim Vigliaturo mentioned CBIZ’s payroll

and benefits capability to an acquaintance who was dissatisfied with his current payroll

service provider. The acquaintance, who was also the CFO of York Pharmaceuticals, was

intrigued. After a presentation from Leslie Sargent in CBIZ’s Kansas City payroll office,

York Pharmaceuticals was hooked. CBIZ now provides York with payroll, 401(k), and

medical, dental, long-term disability, and life insurance services.
