ORDER GRANTING MOTION FOR APPROVAL OF

REPAYMENT OF SECURED LOAN FROM PROCEEDS OF SALE

Having considered the Joint Motion For Approval Of Repayment Of Loan From

Proceeds Of Sale (the Motion)1

filed by the Debtors in the above-captioned jointly

administered cases and AesRx, and any opposition thereto, and all interested parties having had

the opportunity to be heard regarding approval of the Motion, and it appearing that the relief

requested in the Motion is in the best interests of the Debtor, its estate, its creditors, and all other

parties in interest; after due deliberation and good cause appearing therefore and for the reasons

stated on the record:

IT IS THEREFORE ORDERED, ADJUDGED AND DECREED THAT:

1. The secured claim of AesRx, as set forth in Internationals Schedule D, isallowed; and

2. Upon the closing of the sale of assets contemplated by the PurchaseAgreement and approved by this Court on December 30, 2008, Debtors

are authorized and directed to repay the Loan, plus any interest that is due

and payable on the Loan at the contract rate of interest, from the proceeds

of such sale; and

3. This Order shall not prejudice any other rights that AesRx may have underthe Loan and Security Agreement, Secured Note or Subordination

Agreement.
