Who is an Independent Director? As per SEBI, the expression independent director shall mean a non-executive director of thecompany who:

a. apart from receiving directors remuneration, does not have any material pecuniary

relationships or transactions with the company, its promoters, its directors, its senior management or its holding company, its subsidiaries and associates which may affectindependence of the director;

b. is not related to promoters or persons occupying management positions at the boardlevel or at one level below the board;

c. has not been an executive of the company in the immediately preceding three financialyears;

d. is not a partner or an executive or was not partner or an executive during the precedingthree years, of any of the following:

i) the statutory audit firm or the internal audit firm that is associated with the

company, andii) the legal firm(s) and consulting firm(s) that have a material association with thecompany.

e. is not a material supplier, service provider or customer or a lessor or lessee of thecompany, which may affect independence of the director; and

f. is not a substantial shareholder of the company i.e. owning two percent or more of the block of voting shares.

Explanation a. Associate shall mean a company which is an associate as defined in Accounting Standard

(AS) 23, Accounting for Investments in Associates in Consolidated Financial Statements,

issued by the Institute of Chartered Accountants of India. b. Senior management shall mean personnel of the company who are members of its coremanagement team excluding Board of Directors. Normally, this would comprise allmembers of management one level below the executive directors, including all functionalheads.

c. Relative shall mean relative as defined in section 2(41) and section 6 read withSchedule IA of the Companies Act, 1956..

Nominee directors appointed by an institution which has invested in or lent to the company shall be deemed to be independent directors.(Institution for this purpose means a public financialinstitution as defined in Section 4A of the Companies Act, 1956 or a corresponding new bankas defined in section 2(d) of the Banking Companies (Acquisition and Transfer of Undertakings)Act, 1970 or the Banking Companies (Acquisition and Transfer of Undertakings) Act, 1980[both Acts].

Indicative Independent Director Definition

International Finance Corporation

The purpose of identifying and appointing independent directors is to ensure that the board includesdirectors who can effectively exercise their best judgment for the exclusive benefit of the Company,

judgment that is not clouded by real or perceived conflicts of interest. IFC expects that in each casewhere a director is identified as independent the board of directors will affirmatively determinethat such director meets the requirements established by the board and is otherwise free of materialrelations with the Companys management, controllers, or others that might reasonably be expectedto interfere with the independent exercise of his/her best judgment for the exclusive interest of theCompany. An indicative definition follows. In each case, the Company and IFC should consider changes tailored to those sorts of relationships that would impair a directors independence, takinginto account the circumstances of the particular Company.

"Independent Director " means a director who is a person who:

1. has not been employed by the Company or its Related Parties in the past five years;

2. is not, and is not affiliated with a company that is an advisor or consultant to the Company or its Related Parties;

3. is not affiliated with a significant customer or supplier of the Company or its Related Parties;

4. has no personal service contracts with the Company, its Related Parties, or its senior management;

5. is not affiliated with a non-profit organization that receives significant funding from the

Company or its Related Parties;

6. is not employed as an executive of another company where any of the Company's executivesserve on that company's board of directors;

7. is not a member of the immediate family of an individual who is, or has been during the pastfive years, employed by the Company or its Related Parties as an executive officer;

8. is not, nor in the past five years has been, affiliated with or employed by a present or former auditor of the Company or of a Related Party; or

9. is not a controlling person of the Company (or member of a group of individuals and/or entities that collectively exercise effective control over the Company) or such persons

brother, sister, parent, grandparent, child, cousin, aunt, uncle, nephew or niece or a spouse,widow, in-law, heir, legatee and successor of any of the foregoing (or any trust or similar arrangement of which any such persons or a combination thereof are the sole beneficiaries) or the executor, administrator or personal representative of any Person described in this sub-

paragraph who is deceased or legally incompetent,

and for the purposes of this definition, a person shall be deemed to be "affiliated" with a party if such person (i) has a direct or indirect ownership interest in; or (ii) is employed by such party;

Related Party shall mean, with respect to the Company, any person or entity that controls, iscontrolled by or is under common control with the Company.
