WALNEY EXTENSION, UK Advising institutional investors on a £1.3bn investment-grade bond in relation to the acquisition by leading Danish pension funds PKA and PFA of a 50% stake in 659 MW Walney Extension offshore wind farm from Ørsted (formerly DONG Energy). The deal is valued at £2bn, of which £1.3bn is being funded through the issuance of the bond and won multiple industry awards (PFI Awards and IJ Global).

HAI LONG, TAIWAN Advising Enterprize Energy on the development of the Hai Long offshore windfarm project in Taiwan with Northland Power. The wind farm has a potential installed capacity exceeding 500 MW.

DEUTSCHE BUCHT, GERMANY Advising a consortium of banks as lenders on the €988m financing of the 252 MW Deutsche Bucht offshore wind farm project. The offshore wind project is owned by Canadian energy company Northland Power Inc.

LINCS, UK Advising Ørsted on the reorganisation of its Lincs offshore wind farm joint venture following the decision of partners Centrica and Siemens Project Ventures to sell their respective 50% and 25% stakes in the Lincs project. Ørsted retains its 25% stake in Lincs.

WESTERMOST ROUGH, UK Advising Westermost Rough Ltd, a joint venture between Ørsted and the UK Green Investment Bank plc and Marubeni Corporation, on the sale of transmission assets valued at approximately £157m to TC Westermost Rough OFTO Limited.

GLOBAL TECH I + II, GERMANY Advising a 16‐strong lending syndicate comprising banks and the EIB on the €1.0476bn debt package for the 400 MW Global Tech I offshore wind project in the German North Sea. WFW also advised Erste Nordsee-Offshore-Holding GmbH, a joint subsidiary of STRABAG SE and, indirectly, Etanax GmbH, on the legal and tax aspects of its sale of the offshore wind farm project Global Tech II to leading Swedish utility Vattenfall.

OFFSHORE WIND TENDER, FRANCE Advising the German developer, wpd offshore, member of a winning consortium comprising Energies Nouvelles and Ørsted, on the first and second French offshore wind farm tender (3,000 MW and 1,000 MW respectively) organised by the French authorities, including drafting and negotiation of contractual documentation.

C-POWER 2, BELGIUM Advising seven commercial lenders, two ECAs and The European Investment Bank on the financing of the second and third phases of C-Power’s offshore wind farm Thornton Bank.

ORMONDE, UK Advising Vattenfall on its disposal of a 49% stake in the 150 MW Ormonde offshore wind farm in England to Swedish pension group AMF for £237m (circa SEK 3bn).

BALTIC 2, GERMANY Advising Dutch pension fund manager PGGM on the acquisition of a significant interest in the German 288 MW offshore wind farm “Baltic 2”.

BURBO BANK EXTENSION, UK Advising Ørsted on its sale of a 50% stake in the 258 MW Burbo Bank Extension UK offshore wind farm project to Danish pension provider PKA and KIRKBI A/S, parent company of the LEGO Group.

VEJA MATE, GERMANY Advising an international banking consortium on the financing of the 400 MW offshore wind farm Veja Mate in the North Sea with a total investment of €1.8bn.

BELWIND, BELGIUM Advising as borrower’s counsel to Belwind on the €600m 165 MW offshore wind farm on Bligh Bank.

BORKUM WEST II, GERMANY Advising EWE AG on the formation of a joint venture (with Trianel GmbH and others) for developing and implementing the German 200 MW offshore wind farm Borkum West II − Phase 2.

COPENHAGEN INFRASTRUCTURE PARTNERS, US Advising Copenhagen Infrastructure Partners on the acquisition, on behalf of its Copenhagen Infrastructure II fund, of 100% of OffshoreMW LLC from leading US private equity firm Blackstone.

DUDGEON AND SHERINGHAM SHOAL, UK Advising Statkraft on the £558m divestment of its 40% stake in the 317 MW Sheringham Shoal Offshore Wind Farm to the UK fund manager Equitix, and the £555m divestment of its 30% share in the 402 MW Dudgeon Offshore Wind Farm to a consortium led by China Resources (Holdings) Company.

TELLENES, NORWAY Advising a BlackRock-owned project company on the EKF-backed construction financing for the 160 MW Tellenes wind farm in Norway, including the power purchase arrangements with Google.

BLUE ENERGY, UK Advising Blue Energy, a UK based renewable energy investor and developer, in connection with the disposal of a portfolio of windfarms with a total capacity of 149 MW to funds managed by Octopus Investments.

CRÉDIT AGRICOLE, FRANCE Advising on its acquisition of 50% of the share capital of GDF Suez Futures Energies Investissement Holding, owning a portfolio of 39 onshore wind farms with a total capacity of 440 MW.

PNE WIND, GERMANY Advising on the sale of an 80% share in its 142 MW wind farm portfolio to a fund managed by Allianz Global Investors GmbH.

GREENTECH ENERGY, POLAND Advising Greentech Energy Systems A/S, on the sale of all its Polish wind farms, Parnowo, Ustka and Smolęcin, with a total capacity of 108 MW, to EDF EN POLSKA SP. Z.O.O., a subsidiary of EDF Énergies Nouvelles.

KFW IPEX, SEB AND OTHERS, LITHUANIA Advising an international banking consortium on the €91.3m financing of a 60 MW wind farm located in Silute, Lithuania.

HSBC MADRID BRANCH, SPAIN Advising HSBC Madrid Branch on the Greek-law bond loan financing of one wind farm in Greece and possible financing of a further Greek wind farm, total 48 MW, owned by Spanish developer Acciona.

TERNA ENERGY, GREECE Advising three subsidiaries of Terna Energy on a €24m bond loan financing provided by the European Investment Bank and Eurobank Ergasias acting as co-lenders. This facility will be used for the development, construction, and operation of three Greek wind farms consisting of 18 wind turbines in total, with a combined installed capacity of 48.6 MW.

OLIVENTO, SPAIN Advising a syndicate of 10 lenders, led by Banco Santander, on the €528m financial restructuring of Olivento – Spain’s largest onshore wind portfolio with a total capacity of 422 MW.

EEN VIOTIA, GREECE Advising EEN Viotia on the negotiation and drafting for the project financing of three wind farms in Greece (totalling 38 MW) from Unicredit Bayerische HVB.

CIP, US Advising Copenhagen Infrastructure Partners on the acquisition, on behalf of its Copenhagen Infrastructure II fund, of two onshore wind projects in Texas from Tri Global Energy.

VELOCITA, FRANCE Advising Velocita Energy Developments Ltd on the disposal of its French business to Chinese turbine manufacturer Envision Energy.

AMP CAPITAL, FRANCE Advising AMP Capital on the subscription of green bonds for a total amount of €245m to finance a global 1.6 GW renewable energy portfolio developed by French renewable energy provider Neoen.

EFG HERMES, FRANCE Advising the private equity arm of EFG Hermes on all the legal and tax aspects of the acquisition of a 49% stake in EDPR France ‒ holding a portfolio of 33 operational wind farms with a combined capacity of 334 MW ‒ for €160m.

HSH NORDBANK, FINLAND Advising HSH Nordbank on the financing of the Finnish 26.4 MW Silouori wind farm.

CERBERUS, SPAIN Advising Cerberus on the acquisition of 100% of the share capital of Renovalia Energy, S.A. for €1bn (enterprise value). This represents one of the largest ever completed deals in the Spanish renewables sector to date.

KFW IPEX, FRANCE Advising KfW IPEX-Bank GmbH on the legal and tax aspects regarding the €65m financing of two French wind farms with a combined capacity of 45.6 MW.

DIF, GERMANY Advising DIF on its sale of a portfolio of operational French wind projects to Allianz Global Investors.

VORTEX, UK Advising Vortex, a European renewables platform managed by the private equity arm of EFG Hermes, on its acquisition of 365 MW UK solar PV portfolio with an enterprise value of c. £470m from TerraForm Power. We also advised Vortex on its subsequent £337m refinancing of the portfolio. Comprising 24 operational assets, this is one of the largest solar PV portfolios in the UK.

SUNSEAP, CAMBODIA Advising Sunseap Asset (Cambodia) Co. Limited on loan facilities of up to US$9.2m in aggregate to finance a 10 MW AC photovoltaic solar power plant.

BRIEST SOLAR FARM, GERMANY Advising HSH Nordbank AG and NORD/LB on the financing of two of the three solar projects that comprise one of Europe’s largest solar farms. Located in Germany, it has 91 MW capacity and involved investment of €200m.

CUBICO SUSTAINABLE INVESTMENTS, UK Advising Cubico Sustainable Investments on all three phases of its UK renewables portfolio financing provided by National Australia Bank.

EBRD, CYPRUS Advising EBRD on a €10m English-law, cross-border financing for the construction, development and operation of five solar photovoltaic parks in Cyprus, with a total capacity of 11.9 MW.

HSH NORDBANK, FRANCE Advising on the €272.7m financing for the construction, development and operation of a pipeline of solar projects in France with a total capacity of 175.6 MW developed by Solairedirect and sponsored by BlackRock, 123Venture or Capital Stage.

CANADIAN SOLAR, UK Advising Canadian Solar on its sale of a 142 MW solar PV portfolio with an enterprise value of c. £191.2m to Greencoat Solar Assets II Ltd, a fund managed by Greencoat Capital.

CAPITAL STAGE, ITALY Advising Capital Stage, Germany’s largest independent solar and wind park operator based in Hamburg and listed on the SDAX of the Deutsche Börse, on the acquisition from an Italian-German joint venture of five Italian solar parks financed by a major German Bank.

HSH NORDBANK, DENMARK Advising HSH Nordbank on the €23m financing of the Danish solar park project Vandel 2, as well as on the €64.5m financing of the solar park project Vandel 1.

EEN HELLAS, GREECE Advising EEN Hellas in the cross-collateralized financing of an 18 MW wind farm and a 6 MW PV facility in Greece.

MPS/BELENERGIA, ITALY Advising MPS Capital Services Banca per le Imprese S.p.A. on the approximately €21m refinancing and partial financing, on a project finance basis, of Belenergia S.A.’s photovoltaic portfolio.

SEQUOIA, POLAND Advising Sequoia Investment Management on the project financing of a 55 MW solar portfolio located in Poland. This transaction is the first large project financing under the newly implemented auction support systems in Central-Eastern Europe.

SUNTECHNICS, INDONESIA Advising SunTechnics on the acquisition of a solar manufacturing business in Indonesia which included the incorporation of a special purpose vehicle.

ACOFI GESTION, FRANCE Advising Acofi Gestion, an asset management company, in respect of the refinancing, by its fund, Predirect EnR 2030, of a portfolio of 154 solar installations located across the South of France which had been developed by Fonroche Investissements and together have a combined capacity of 82 MW.

RENOVALIA, SPAIN Advising three banking syndicates led by Santander on the €423m debt refinancing of Renovalia Solar’s photovoltaic portfolio: Renovalia 1 in Cuenca; Renovalia 2 in Ciudad Real; and Renovalia 3 in Albacete.

BANCO SANTANDER, SPAIN Advising Banco Santander as arranger on a €37.75m bond issue by Q-Energy for the refinancing of two photovoltaic plants with a total capacity of 7.1 MW located in Leon and Cordoba, Spain. With this third bond issue, Q-Energy becomes the platform of reference for renewables project bond issues in Spain.

PKA, UK Advising PKA, one of Denmark’s leading pension funds, on its acquisition of a 50% stake in the Teesside Renewable Energy Plant in the North-East of England. The investment bank Macquarie Capital holds the remaining 50%, and the total investment in the plant is anticipated to be in the region of £900m.

BANKING CONSORTIUM, UK Advising Deutsche Bank AG, London Branch and Deutsche Bank Luxembourg S.A. as sole lead arranger and lender on the project financing of a new 19 MW biomass project in Beckton, East London.

PLATINA PARTNERS LTD, ITALY Advising Platina Partners Ltd. on the acquisition of a biomass power plant located in Central Italy.

CONETWORK ERNEUERBARE ENERGIEN HOLDING GMBH, GERMANY Advising Conetwork Erneuerbare Energien Holding GmbH & Co. KGaA on a mezzanine finance facility and silent partnership regarding a major German wood pellet manufacturer.

FLS MILJO, UK Advising FLS Miljo on the EPC contract and financing for a straw-burning power plant in England.

COVANTA, IRELAND Advising Covanta (formerly Ogden Energy) on the acquisition of a 117 MW peat burning plant in Edenberry, Ireland from IVO.

UTILITIES INVESTMENT FUND, THAILAND Advising Utilities Investment Fund LP on the development of one of Thailand’s largest (22 MW) waste to energy power plants, using MSW as a fuel. Advice included conducting site and regulatory due diligence as well as providing advice on waste supply agreements, preparing finance security documentation and closing land transfers to the Project SPV. The project value is in excess of THB1.2bn.

ENERGY DEVELOPMENTS LTD, UK Advising Energy Developments Ltd, an Australian power developer, on the prospective acquisition of a UK waste to energy group.

ECO-BIOTECH, KOREA Advising Eco-Biotech on supply and installation contracts with Hefei Tiayan Green Energy of Davang, a Chinese industrial group, regarding renewable gasifier technology.

WASTE INCINERATION PLANT, GERMANY Advising as counsel on the financing of a waste incineration plant in Germany.

NOY WASTE TO ENERGY 2, UK Advising Noy Waste to Energy 2 LP with their investment in an energy from waste development project.

BPER BANCA AND MPS CAPITAL, ITALY Advising BPER Banca and MPS Capital Services Banca per le Imprese S.p.A. on the structuring of a €16m project financing for the construction and management of a portfolio of four hydroelectric plants with a total capacity of circa 7.5 MW. The financing provided a tailored structure designed to accommodate the different stages of development of the four plants: one operative, one under construction and two awaiting authorisation to begin production.

WEARNES INTERNATIONAL LTD, THAILAND Advising Wearnes International Ltd on the sale of a water reclamation plant concession in Thailand.

GOVERNMENT, SOUTHERN SUDAN Advising the Government of Southern Sudan on the feasibility of introducing hydroelectric power stations in Southern Sudan by means of private sector participation.

ELECTRICITÉ DE FRANCE, MALI & SENEGAL Advising Electricité de France on the greenfield hydro development at Manantali in Mali/Senegal.

AIRTRICITY, IRELAND Advising Airtricity on its purchase agreement with Scottish and Southern for the purchase of qualifying hydro renewable energy to be supplied in Ireland through the Moyle Interconnector. The contract had an initial value of over €100m.

OXARA ENERGY GROUP LTD, GREECE Advising Oxara Energy Group Ltd. on the proposed acquisition and leveraged financing of a portfolio of approximately 130 MW of existing and 900 MW of development onshore wind and hydroelectric assets in Greece.

OXENBRIDGE & CO/HUTTON COLLINS, ITALY Advising Oxenbridge & Co/Hutton Collins on the acquisition of run of river hydroelectric plants in Italy.

CARNEGIE, UK Advising Carnegie on due diligence and documentation issues in connection with its acquisition of certain wave energy power generation technology (CETO) from REH plc.

OTI ENERGY S.A., ITALY Advising OTI Energy S.A., on the sale of a 15 GW hydropower plant located in the Municipality of Tavagnasco, Turin. The hydropower plant is owned and operated by Prodena S.r.l., and has been acquired by Valdena S.r.l., an Italian company leader in the energy hydropower production.

LOCAL SPONSORS, IVORY COAST & CAMEROON Advising local sponsors in connection with the development, via a joint venture with a US investment fund and its MENA subsidiary, of hydroelectric projects in the Ivory Coast and Cameroon.

WÖLBERN PRIVATE EQUITY, GERMANY Advising on the acquisition of a stake in Triton Water AG in the course of a capital increase.

ORCHID BIOENERGY GROUP, USA Advising Arclight, a leading US energy fund, on its acquisition of Orchid Environmental, which designs, builds, owns and operates processing plants which convert municipal and commercial waste into higher value biofuel and recyclates.

BIOWISH TECHNOLOGIES, THAILAND Advising BiOWiSH Technologies, Inc on Thai import regulations for microbial fertilizer products containing Bacillus subtilis. This includes advice on registration and licensing requirements and on Thai FDA approval. We also advised on the proposed import of fertilizer products into Thailand, including dealing with the Department of Agriculture and Royal Thai Customs.

BIOBULLETS LTD, UK Advising a biotechnology company with a platform technology for environmentally friendly biofouling solutions with a consortium R&D agreement and related funding issues.
