approved our partnershipNovember 5, 2015

Governance• The WellStar Board

– Oversees the entire system– Elects all West Georgia Health Boards through nominations

from local board– Adds two WGH members to this parent board

• West Georgia Health Boards– Will expand from 9 to 11 members, with two appointed by

WellStar– Will continue community representation with one member

nominated ed by Callaway Foundation, Inc. and one member nominated by Fuller E. Callaway, Jr. Foundation

– Physician members will comprise at least 25% of board

WGH’s Management Structure

The current management structure in LaGrange will remain intact:

– Jerry Fulks will remain WGH’s senior leader – WGH Vice Presidents Charis Acree, Paul Perrotti, Tommy Britt, Liza Fritchley, Tracy Gynther and Tripp Penn will continue overseeing their current respective areas.

What this means to WGH team members

Once the agreement is final, all WGH employees will become WellStar team members.

– It’s anticipated that team members will remain in their current positions.– Each team member’s years of service will transition to equal status at WellStar.

What this means to WGH team members

Continued …– Health insurance/PTO/EI/Vitality® wellness program will not change in 2016.– PTO/EI will accrue at its current rate in FY’16. No decisions have been made regarding changes in FY ’17.– In keeping with its “Employer of Choice” designation, WellStar has pledged that all benefits, including retirement benefits, will be as good as or better than current WGH benefits.

WellStar’s Capital CommitmentWellStar has committed $84 million in capital improvements over the first 7 years of the agreement, with $30 million to be spent within the first 2 years. This money will fund:

– Building/renovating our Community Cancer Center– Facility & equipment upgrades and replacements

WellStar’s Commitment to West Georgia Health’s Debt Service

WellStar has agreed to “backstop” any payment that may be required of Troup County to pay for bonds related to South Tower construction debt

Next Steps

State approval is required before the partnership is official:

– Application will be submitted to the Attorney General by mid-November– Regulatory approval requires at least one public hearing to be held in Troup County– The process typically takes 90-120 days once the paperwork is submitted to the Attorney General
