Regeneron Wellness Facility Waiver of Liability

Regeneron Pharmaceuticals, Inc. with a business address at 777 Old Saw Mill River Road, Tarrytown, NY 10591 (“Regeneron”), the owner of certain property known as the Regeneron Blue Line fitness and associated fitness class centre/fitness classes or other programs and all equipment, machines and devices therein, rock walls, lockers and showers (the “Wellness Facilities”) with locations across all Regeneron owned or leased properties, grants Regeneron employees (“Employee”) the right to use and enjoy the Wellness Facilities on the terms and conditions of this waiver (the “Waiver”) and otherwise in accordance with such other rules and regulations which Regeneron may from time to time adopt. The right to use and access the Wellness Facilities may be revoked by Regeneron at any time.

1. Assumption of Risk . The Employee executing this Waiver (the “Undersigned”) understands that fitness activities, especially strength, running, aerobic training and rock walls involve a potential risk for physical injury and related damages. The undersigned understands that Regeneron does not manufacture the fitness and other equipment used in the Wellness Facilities, and that such fitness and other equipment is purchased and/or leased by Regeneron from third parties. The Undersigned further understands and agrees that Employee is solely responsible for safe and appropriate use of the Wellness Facilities, and that Regeneron may or may not directly or indirectly provide supervision or instructions with respect to use of the Wellness Facilities. The Undersigned expressly agrees to assume the risk that the Undersigned may suffer injury, damage, or even death, as a result of use of the Wellness Facilities, and agrees for the Undersigned and on behalf of the Undersigned’s personal representatives, successors and assigns, and that Regeneron (including its existing and former members, directors, managers, officers, employees and agents; hereinafter the same) will not be liable for any damages or injuries the Undersigned may suffer in or about the Wellness Facilities.

2. Waiver of Liability . The Undersigned further agrees to hold Regeneron harmless from any injuries or damages sustained by the Undersigned or the property of the Undersigned and to indemnify Regeneron from any claims, demands, actions, injuries, liabilities or damages whatsoever, including legal fees, which result, directly or indirectly, from the use of the Wellness Facilities by the Undersigned. The Undersigned agrees to release and discharge Regeneron from all such claims, demands, actions, injuries, liabilities, and damages.

3. Loss, Theft, Damage . The Undersigned agrees that Regeneron shall not be responsible or liable to the Undersigned for articles damaged, lost or stolen in or about the Wellness Facilities. The Undersigned agrees not to store any valuable items in lockers and to use the lockers solely for temporary clothing storage. Regeneron are not bailees and are not responsible for protecting the valuables of the Undersigned.

4. Physical Condition . The Undersigned warrants to Regeneron that they are over the age of 18 and in good physical condition and to the best of their knowledge has no physical impairment which would prevent the Undersigned from using the Wellness Facilities and that the Undersigned has no condition which might be aggravated by use of the Wellness Facilities. The Undersigned acknowledges that a complete physical examination by a medical doctor prior to beginning any work out program or strenuous new activity is recommended.

5. No Guests . The Undersigned acknowledges and agrees that guests, including family members, are not permitted in the Wellness Facilities and may not use the Wellness Facilities under any circumstances. Use of the Wellness Facilities is limited to Employees of Regeneron.

6. Attire and Equipment . The Undersigned agrees to wear proper attire when using the Wellness Facilities, and to wear a shirt and shoes in the Wellness Facilities and all common areas of the building. Attire must conform to reasonable standards of decency and safety. Only equipment provided by Regeneron in the Wellness Facilities may be used in the Wellness Facilities.

7. Lockers . Lockers are available for day use only on a first-come, first served basis. Locks, though recommended, are not provided by Regeneron.

8. Damages . The Undersigned agrees to pay for any damages to the Wellness Facilities caused by the Undersigned.

9. Severability . If any provision of this Waiver is ruled invalid or unenforceable as applied to any person or circumstance, all other provisions of this Waiver shall remain valid and enforceable as applied to all other persons and circumstances.

The Undersigned acknowledges that Employee has read and understands the terms and conditions of this Waiver and agrees to be bound by such terms and conditions. The Undersigned also agrees to read and comply with any other rules and regulations governing use of the Wellness Facilities which may be adopted or amended from time to time by Regeneron and posted or otherwise made available in the Wellness Facilities or to the Undersigned.
