Comprehensive Operation & Maintenance Contract
Scope Of O&M, Performance Guarantee, Machine Availability, Contract Validity, Terms of Payments, Liquidated Damages on failure to meet Machine Availability, Spares maintenance and other consumables inventory management, O&M Schedule includes weekly and monthly preventive Maintenance activities.

• Signed b/w Power Development Board or Energy Development Agency & Investor where PDB permits the Power Producer to set up Wind Energy based Power Project of mentioned capacity & power producer has taken responsibility to set up requisite power injection system into Grid and whereas PDB agrees to purchase such power.
1. Licenses & Permits Power Producer, at its sole cost and expense, shall acquire and maintain in
effect all clearances, consents, permits, licenses and approvals required from time to time by all regulatory / statutory competent authority(ies) in order to enable it to perform its obligations under the Agreement. PDB will render all reasonable assistance to the Power Producer to enable the latter to obtain such clearances.
2. Construction & operation Power producer ensures completion before scheduled date and for this purpose PDB and Power Producer shall together endeavor to ensure that all Approvals are cleared within the Scheduled Date of Completion.
3. Obligations of Power Producer – Obtaining Approvals, First priority to sell to Grid, seek approval for interconnection facilities, shall operate & maintain during the term of PPA at his cost .
4. Obligation of PDB- To allow Power Producer to the extent possible to operate the Project as a base load-generating station and to grant Must Run Status to the Project subject.

5. Rates & Charges - PDB shall pay a fixed rate of BDT_____ per kWh for delivered energy as certified
by SEA during the 20 life of the project as determined by the Commission. For each KVARH drawn from the grid, the Company shall pay at the rate of as determined by the Commission to PDB from time to time for each KVARH drawn.
6. Billing & Payment – Billing Cycle, Payment period, Late Payment, Rebate in Payment, Letter of Credit.
7. Metering & Communication – Reading & Correction of Meters, Sealing & Maintenance of Meter, Records
8. Force Majeure Conditions 9. Term, Conditions & Terminations – Term of an agreement, Events of default for both Power
Producer & PDB.
E n g i n e e r i n g , P r o c u r e m e n t & C o n s t r u c t i o n • In India, Manufacturer provide end to end solutions. • Crane package is on lease for the entire year which includes 1 Main Crane and 2
supporting cranes. • Activities needs to be performed at Site –
• Foundation Designing • Civil Construction – Includes Shoring, Excavation, Reinforcement, Form Work &
Concreting of Footing, Placing Anchor, Form Work, Concreting of footing, Backfilling & Preparation of Platform
• Construction of SCADA Building. • Approach Road & Internal Road Construction • Erection of Equipments and Material which includes Tower, Nacelle, Blades,
Control Panels, Unit Substation, Internal Overhead Lines, Metering Station. • Central Monitoring and Control System • Grid Interconnection • Commissioning
• Strict Quality Assurance Protocols are followed right from Manufacturing to Commissioning. All the tests results and calibration records can be shared with customer.
• TPIA is hired for overall inspection if required.
