to guide you through the establishment of your new fund or investment venture

and we will continue to support you during the ongoing day to day fund

Our services cover not only Gibraltar domiciled funds, but, through our professional

contacts in other jurisdictions, we can also assist with funds domiciled in other

jurisdictions including Cayman, BVI and Malta.

Fund establishment

Working in partnership with you and your

legal and tax advisors, our set up services

provide the complete project management

solution to help you get your fund up and

running. This includes determination of:

· Fund structure (e.g. Professional

or Private Fund, Multi cell structure,

master/feeder, limited partnership etc.)

· Domicile

In addition we can provide the

following services:

· Assistance with the selection of

other required fund counter-parties.

· Preparation of the offer document

or prospectus.

· Opening of bank and trading

Accounts.

· Company Incorporation and

Management.

Administration Services

Registrar and transfer agent:

· Processing all fund subscriptions and

redemptions

· Undertaking AML and KYC checks

on all investors in accordance with

EU Directives

· Maintenance of share register, issue

of contract notes and valuation

statements

Fund accounting:

· Maintenance of the fi nancial records

of the fund

· Processing trades and settlements,

dividend, rental and interest receipts

and accruals.

· Reconciliation of assets held with the

appointed independent custodian.

· Preparation of annual accounting

statements for audit.

· Calculation and settlement of fees and

expenses, including performance fees

Net Asset valuation:

· Determination of periodic NAV, using

independent price feeds

· Calculation of NAV per share,

including series accounting for

equalization purposes

for hedge fund managers seeking to set up as regulated

managers in Gibraltar.

Based in Gibraltar, Vista was established in May 2006

and is licensed by the Financial Services Commission

in Gibraltar to provide fund administration services to
