(3) Our sales terms and conditions shall apply only to entrepreneurs in accordance with § 310 Para. 1 BGB [German Civil Code]

§ 2 Bid– Bidding documents(1) If the order must be qualified as a bid in accordance with § 145 BGB, then we may accept this within two weeks. (2) We reserve the ownership rights and copyrights to illustra-tions, dreawings, calculations and other documents. This shall also apply to such written documents which are designated as being „confidential“. Before they are disseminated to third parties, the Customer requires our express written approval to do so.

§ 3 Pricee – Payment terms and conditions - Factoring(1) If nothing to the contrary is specified on the order confirmation form, our prices shall be considered to be „ex works“. (2) The statutory VAT is not included in our prices; it shall be separately indicated on the invoice in the statutory amount on the invoicing date. (3) The availment of discounts shall require a special written agreement. (4) If nothing to the contrary is agreed on the order confirmation form, then the net purchase price (without any discounts) shall become due for payment within 30 days from the invoicing date. The statutory provisions regarding the consequences of payment default shall apply. (5) If the Buyer is late with a payment of a substantial amount or does not pay a bill when it comes due or other circumstances arise which lead to the conclusion that there has been a substantial deterioration in the Buyer‘s financial circumstances after the cont-ractual conclusion and which put our payment claim at risk, then we shall be entitled to demand immediate payment for all payment claims which are not statute-barred and based upon the same legal relationship as well as to demand advance payment or sufficient security or any outstanding services and deliveries from the legal relationship. (6) The Customer shall be entitled to offset only if its counterclaims have been legally upheld, are undisputed or are acknowledged by us. Furthermore, it shall be authorised to exercise a right of retention if its counterclaim is based upon te same contractual relationship. (7) We shall be entitled to assign the claims from our business relationship.

§ 4 Delivery timeframe(1) The beginning of the delivery timeframe we specify shall require the clarification of all technical issues. (2) Furtheremore, the adherence to our delivery obligation shall require the timely and proper fulfilment of the Customer‘s obligations. The right is reserved to avail ourselves of the defence of the unfilfilled contractual agreement. (3) If the Customer enters into delivery acceptance default or culpably violates its other ooperation obliga-tions, then we shall be entitled to demand damage compensation for any damages which we incur, including any additional expenditures. The right is reserved to assert any more extensive claims. (4) If the reqirements specified in Para. (3) exist, then the risk of the accidental destruction or accidental deterioration of the purchased goods shall be transferred to the Customer at that point in time in which it enters into delivery accep-tance default or payment default. (5) We shall be liable in acordance with the statutory provisions if the underlying purchasing agreement involves a transaction for delivery by a fixed date in accordance with § 286 Parra. 2 No. 4 BGB or of § 376 HGB [German Com-mercial Code]. We shall also be liable in accordance with the statutory provisions if, as the result of a delivery delay for which we are responsible, the Customer shall be entitled to declare that it no longer has an interest in the continued fulfilment of the agreement. (6) Furthermore, we shall be liable in accordance with the statutory provisions if we are responsible for a contractual violation which is based upon intentional wrongdoing or gross negligence; we shall also be responsible for the negligence of our reprensentatives or vicarious agents. If the delivery delay is not caused by a contractual violation for which we are responsible that is based upon intentional wrongdoing, our liability to pay damage compensation is limited to the foreseeable, typically occurring damages. (7) We shall also be liable in accordance with the statutory provisions if the delivery delay for which we are responsible is based upon the negligent violation of an essential contractual obligation; in this case, however, the liability to pay damage compensation shall be limited to the foreseeable, typically occurring damages. (8) Otherwise, in the event of a delivery delay, we shall be liable to pay lump-sum default damage compensation in the amount of 3 % of the value of the delivery for each full week of the delivery delay, but nonetheless no more than 15 % of the value of the delivery. (9) The Customer shall be at liberty to assert other statutory claims and rights.

§ 5 Transfer of risk(1) If nothing to the contrary is specified on the order confirmation form, „ex works“ delivery is agreed.

§ 6 Liability for defects(1) Claims for defects of the Customer shall require that it has proberly fulfilled its obliga-tions to inspect and make notification of defects which are owed in accordance with § 377 HGB. (2) If the purchase goods have a defect, then the Customer shall be entitled to opt for either subsequent performance in the form of an elimination of defects or for the delivery of new flawless goods. In the event that the Customer chooses to have the defect eliminated, we shall be obliged to assume all expenditures which are required for the purpose of the elimination of the defect, particularly transport, infrastructure,, labour and material costs provided that such costs are not increased owing to the fact that the purchased goods were moved to another location than the place of performance. (3) If subsequent perfomance is unsuccsessful, then the Customer shall be entitled to choose either to withdraw from the agreement or demand a reduction in the purchase price. (4) We shall be liable in accordance with the statutory provisions if the Customer asserts damage compensation claims which are based upon intentional wrongdoing or gross

negligence, including the intentional wrongdoing or gross negligence of our representi-tives or vicarious agents. If we have committed no contractual violation which is based upon intentional wrongdoing, then the liability to pay damage compensation shall be limited to the foresseeable, typically occurring damages. (5) We shall be liable in accor-dance with the statutory provisions if we have culpably violated an essential contractual obligation; in this case, however, the liability for damage compensation shall be limited to the foreseeable, typically occurring damages. (6) If the Customer is entitled to a claim to damage compensation instead of performance, our liability schall also be limited to providing compensation for foreseeable, typically occurring damages in accordance with Para. (3). (7) Liability owing to negligence causing the loss of life, physical injury or damage to health shall remain unaffected; this shall also apply to mandatory liability in accordamce with de Product Liability Act. (8) If nothing to the contrary is stipulated in the aforementioned, liability is excluded. (9) The statute of limitations period for claims for defects shall be 12 months, based upon the point in time when risk is transferred. (10) The statute of limitations period shall remain unaffected in the event that recourse is sought from our own supplier in accordance with §§ 478, 479 BGB; it shall amount to five years, based upon the point in time when the defective goods were delivered.

§ 7 Joint and several liability(1) Any more extensive liability to provide damage compensation as stipulated in § 6 - without taking into consideration the legal nature of the claim asserted - is excluded. This shall apply particularly to damage compensation claims owing to negligence in the concluding o f the contractual agreement, owing to other violations or claims in tort to compenstaion for property damage in accordance with § 823 BGB. (2) The limit in accordance with Para. (1) shall also apply if the Customer, in lieu of a claim for damage compensation instead of performance, demands the reimbursement of futile expenditu-res. (3) If our liability to pay damage compensation is excluded or restricted, then this shall also apply to the personal liability to pay damage compensation upon the part of our clerical staff, workers, employees, representatives and vicarious agents.

§ 8 Retention of ownership(1) We reserve the rights of owernership to the purchased goods until we have received all payments from the supply agreement. In the event that the Customer commits a con-tractual violation, particularly in the event of payment default, we shall be entitled to take back the purchased goods. If we take back the goods, then the agreement shall be con-sidered to be rescinded. After taking back the purchased goods, we shall be entitled to dispose of them. The proceeds from such disposal of the goods shall be offset against the Customer‘s debts - less any appropriate disposal costs. (2) The Customer shall be obliged to treat the purchased goods with due care; in particular, it shall be obliged to sufficiently insure the goods at replacement value at its own expense against fire, water and theft. If maintenance and inspection work are required, the Customer must carry out such work at its own expense in a timely manner. (3) The Customer must immediately notify us in writing in the event of third-party seizures or other third-party interventions so that we may take legal action in accordance with § 771 ZPO [Code of Civil Procedure]. If the third party is not able to reimburse us for the court and extra-judicial costs incurred by taking such legal action in accordance with § 771 ZPO, then the Customer shall be liable to reimburse us for such costs. (4) The Customer shall be entitled to resell the purchased goods in ordinary business dealings; however, it shall already now assign to us all payment claims, in the amount of the invoiced final amount (including VAT) of our payment claim, which it is entitled to from its end customers or third parties owing to such resale and certainly regardless of whether the purchased goods have been resold without or after processing. Even after such assignment, the Customer shall be authorised to collect this payment claim. Our right to collect the payment claim ourselves shall remain unaffected by this. However, we shall be obliged to refrain from collecting the payment claim oursel-ves as long as the Customer fulfils its payment obligations from the proceeds received, does not enter into payment default and particularly no petition has been filed for the opening of composition or bankruptcy proceedings or no payments have been ceased. If, however, this is indeed the case, then we may demand that the Customer disclose to us the assigned payment claims and the debtors who owe such payment claims, pro-vide all information required for collection, submit the related documents and notify the (third-party) debtors of such assignment. (5) The processing or reworking of the purchased goods shall always be undertaken for us by the Customer. If the purchased goods are processed with other goods not belonging to us, then we shall acquire co-ownership to the new goods in the proportional value of the purchased goods (invoiced final amount, including VAT) to the other processed goods at the time that the processing was made. Furthermore, the same shall apply to the goods created by processing as applies to the purchased goods which are delivered subject to the reservation of ownership. (6) If the purchased goods are inseparably mixed with other goods not belonging to us, then we shall acquire co-ownership to the new goods in the proportional value of the purchased goods (invoiced final amount, including VAT) to the other combined goods at the time that they were combined. If the combining takes place in such a manner that the Custo-mer‘s goods are regarded as being the main goods, then it shall be considered to be agreed that the Customer shall assign to us proportional co-ownership. The Customer shall maintain the sole ownership or co-ownership rights which have thus been created upon our behalf. (7) The Customer shall also assign to us the claims for the securing of our payment claims against it which are created against a third party by the combi-ning of the purchased goods with real property. (8) We shall be obliged to release the security to which we are entitled upon the Customer‘s request if the realisable value of our security exceeds the payment claims to be secured by more than 10 %; we shall be entitled to selct the security to be released.

§ 9 Legal venue – Place of performance(1) If the Customer is an entrepreneur, our commercial residence shall be the legal venue; alternatively, Frankfurt am Main. (2) The law of the Federal Republic of Germany shall apply; the validity of the United Nations Convention on Contracts for the Interna-tional Sale of goods is excluded. (3) If nothing to the contrary is specified on the order confirmation form, our commercial residence shall be the place of performance.
