TheCityofCleveland(theCity),throughtheCityPlanningCommission,issolicitingproposalsfromqualifiedfirmstoprovideconsultingservicesforpreparationofaVisionZeroActionPlan.ThisPlaniscrucialtoactingontheCity'scommitmenttosystemicchangeleadingtotheeliminationoftrafficfatalitiesandseriousinjurieswhileincreasinghealth,safety,andequitablemobilityforall.
Theseservicesarebrokendownintotwocomponents:
1. ACitywideActionStrategytoaddressVisionZerogoalsthroughpolicyandsystemschange,especiallyindata/evaluation,streetdesign/engineering,communityeducation/engagement,enforcement,maintenance,andfleetdecisions;and
2. AHighInjuryNetworkActionStrategytoaddresslocation-specificsafetyissuesonhighinjurycorridorsthatisgroundedinadata-andpublic-informedprocess.
Proposersmustitemizeeachcategoryseparately.TheCitypreferstoselectoneprimevendortoimplementbothcomponents.Proposersmayincludein-kindservicesforanyportionofthisRequestforProposals(RFP).

IntroductionTheCityofCleveland(City),throughtheCityPlanningCommission,issolicitingproposalsfromqualifiedfirmstoprovideconsultingservicesforpreparationofaVisionZeroActionPlan(Plan).ThisPlaniscrucialtoactingontheCity'scommitmenttosystemicchangeleadingtotheeliminationoffatalitiesandseriousinjuriesfromacrossthetransportationsystemtocreatehealthy,safe,equitablemobilityforall.Theseservicesarebrokendownintotwocomponents:

ThePlanwillincludedata-andpublic-informedactionsandstrategiesthatreducefatalitiesandseriousinjuriesonroadwaystozero.Inadditiontotargetedactionsfocusedondata/evaluation,streetdesign/engineering,communityeducation/engagement,enforcement,maintenance,andfleetdecisions,thePlanwillrecommendpolicyimprovementsandsystemchangestoaligneffortsamongandacrossCitydepartmentsandexternalpartners,suchasthoserepresentedontheVisionZeroTaskforce,tocreateasafertransportationsystem.PrimaryobjectivesoftheVisionZeroActionPlanprocessinclude:
• IntroducingtheconceptandcoreprinciplesofVisionZerotothepublicandkeystakeholders,andcollectingdiverseinputtoinformPlanrecommendations;
• Creatingandvettingspecific,actionablestrategiesandassigningresponsibleparties,recommendedimplementationtimelines,andplanning-levelcostestimates;
• Informingtheongoingworkofexistingsubcommitteestoachievedesiredimpactsontransportationsafety;
• Establishingadata-drivenandtransparentframeworkforchangetoguidefuturelocalwork;
• Centeringvaluesofhealth;racial,socioeconomic,andmobilityequity;safety;sustainability;andaccountability;
• ConnectingVisionZeroworktocommunitygoalsofaccesstoopportunity,increasedqualityoflife,climatechangemitigationandresilience,andlanduseandhousingpatternsasrepresentedintheConnectingCleveland2020CitywidePlan;
• Incorporatinginnovativeremotecommunityengagementstrategies;and• InforminganupdateofCleveland’sComprehensivePlanwithrespecttomobility.
BackgroundFirstadoptedinSwedenin1997,VisionZeroisasystemsapproachtoeliminatingtrafficfatalitiesandseriousinjuriesthroughsaferstreetdesign,speedmanagement,andimprovementsinvehicularandroadusersafety.TheVisionZeroapproachemphasizesthat

roadwaydeathsandseriousinjuriesarepreventable,ifthetransportationsystemcenterssafetyindecision-makingwhileensuringaccesstosafe,healthy,andequitablemobility.IntheUnitedStates,over40citieshavemadeVisionZeropledgesandbeguntoinstitutetargetedchangestoimprovetransportationsafety.AdditionalinformationandresourcesaboutVisionZeroareavailableatwww.visionzeronetwork.org.Cleveland’sVisionZeroinitiativebeganinearly2018,whenClevelandCityCouncilpassedaresolutionoutliningplanstoestablishataskforce;createanActionPlan;andchangepoliciesrelatedtotransportation,enforcement,andlanduse.Shortlythereafter,CouncilmanMattZoneandChiefOperatingOfficerDarnellBrownconvenedamulti-sectoral,multi-disciplinarytaskforceandfivefocusedsubcommitteestoguidethecity’sVisionZerowork(Appendix1).Throughcrashreportanalyses,theVisionZeroTaskforceidentifiedaHighInjuryNetwork(HIN)ofroadwaysrepresentingcorridorswiththemosttransportation-relatedfatalitiesandseriousinjuriesoverthelastfiveyears(2014-2018).HighInjurySegments—standardizedone-mileportionswithintheHighInjuryNetwork—highlighttheareasofhighestprioritywithintheHighInjuryNetworkbasedonfatalityandseriousinjurystatistics(Appendix2).AdditionalinformationaboutCleveland’scrashanalysestodateisavailableatwww.visionzerocle.org.Inadditiontothesedatainsights,thefiveVisionZerosubcommittees—data/evaluation,design/engineering,education/engagement,enforcement,andfleet/maintenance—havespearheadedworkintheirrespectiveareastoinformthecreationofacomprehensiveActionPlan.ThisprogressissummarizedinAppendix3andwillbemadeavailableindetailtotheselectedconsultant.Inadditiontothecreationoftargeted,actionablestrategies,publiceducationandparticipationisanimportantcomponentoftheVisionZeroActionPlanprocess.PublicparticipationconceptsintheScopeofServicesarealignedwiththeInternationalAssociationforPublicParticipation’s(IAP2)SpectrumofPublicParticipation(Appendix4).ThelocalVisionZeroteamandselectedconsultantwillusethisframeworkinplanningandexecutingpublicparticipationopportunities.
ScopeofServices
GeneralOverviewTheCityofCleveland,throughtheClevelandCityPlanningCommission,seeksprofessionalservicesforpreparationofaVisionZeroActionPlan,assetforthbelowinthedescriptionofservices.TheCityprefersoneprimaryconsultant,withsub-contractorsasnecessary,toperformtheseservices.TheproposershoulduseitsexpertisetoadvisethedirectionofthePlanandthespecificgoals,strategies,andactionsitshouldincorporate.ThePlanshouldincludeanoverallassessmentofhowClevelandcaneliminatetrafficdeathsandseriousinjuriesfollowingthetwooutlinedPlan

components.ThePlanshouldencompassanyactionthatcanimprovetransportationsafetyandaccessibility,prioritizingthoseactionsthathavethegreatestimpact.TheprimarydeliverablewillbetheActionPlan.However,theprocessusedtocreatethePlanisequallyimportant:itwillhelpbuildconsensusandmomentumacrossCitydepartments,amongpartners,andwithinthecommunitytoimplementtheactionsdeveloped.ThePlanshouldbeguidedbyaninclusivedefinitionofsafemobilitythatincorporatestheCity'sgoalstoprovideavarietyoftransportationoptionsthatserveresidentsofallincomelevelsandtopromoteeconomicdevelopmentwhileprotectingthequalityoflifeinneighborhoods.WhilethePlanshouldbebold,itshouldalsobeachievableandbasedonanunderstandingoftheCity'schallengesandpotential.Inessence,thePlanwilloutlinethestepstheCityandthebroadercommunityneedtotaketorealizethecommitmentofVisionZero.Theproposershouldincorporatebestpracticesfromcomprehensivetransportation,mobility,andVisionZeroplansdevelopedbyothercities;existingplansdevelopedandadoptedwithintheCity,region,andStateofOhio;andworkdevelopedtodatebytheVisionZeroTaskforce.ThePlanwillofferanintegratedapproachtoinfusingsafetyconsiderationsintransportationdecisions,resultinginaframeworkformeasuringimpactunderacohesivesetofgoalsandmetrics.ThescopeofthisRFPencompassesalltasksassociatedwiththedevelopmentofthePlan.Proposersmustitemizeeachcategoryindividually.
DescriptionofServicesTheCityseeksaconsultantorconsultantteamtocollaborativelycreateaVisionZeroActionPlanfortheCityanditspartnerscomposedoftwomaincomponents:
1. ACitywideActionStrategytoaddressVisionZerogoalsthroughpolicyandsystemschange,especiallyintheareasofdata/evaluation,streetdesign/engineering,communityeducation/engagement,enforcement,maintenance,andfleetdecisions;and
2. AHighInjuryNetworkActionStrategytoaddresslocation-specificsafetyissuesonhighinjurycorridorsthatisgroundedinadata-andpublic-informedprocess.
CitywideActionStrategy:
1. DevelopandimplementapublicparticipationprocesstoinformthepublicaboutVisionZeroandconsultthemthroughoutthedevelopmentoftheActionPlanthatisbasedonIAP2’sSpectrumofPublicParticipation(Appendix4),includingataminimum:
a. AroundofatleastnineinformationaloutreachsessionsabouttheVisionZeroconceptandexistingtrafficsafetyconditionsinCleveland,andinitialconsultationaboutsafetyconcerns;and
b. AroundofatleastninedetailedconsultationsessionstovetthedraftPlanframeworkandrefinestrategiespriortoPlanrelease.
Althoughcitywideinscope,thesepublicparticipationactivitiesshouldbelocatedalonghigh-injurycorridorswhenpossibleandshouldincludeapproachesthatcanbe

conductedremotely.Ifsessionsareconductedinperson,venuesshouldbeaccessiblebypublictransitandofferminimumseatingfor50participants.
2. PerformanexistingconditionsanalysistoinformVisionZerostrategies,includingthefollowingcomponents:
a. Reviewexistinglocal,regional,state,andfederalplans(includingConnectingCleveland2020,theClevelandClimateActionPlan,theSafeRoutestoSchoolDistrictwideTravelPlan,NOACA’sSAVEPlan,andODOT’sStrategicHighwaySafetyPlan)andinitiatives(includingSustainableCleveland2019,HealthyCleveland,andODOT’sHighwaySafetyImprovementPrograms)torecommendalignmentopportunities.
b. Reviewthedata/evaluationsubcommittee’spriorworkandperformanynecessaryadditionalcrashreportanalysestodirectstrategiesandactions.
c. Identifypatternsincontributingfactorstofatalandhighinjurycrashesacrossthecity,suchasemphasisareas,roadwaycharacteristics,andvehicularmovements,toinformcitywideVisionZerostrategies.SummarizecontributingroadwaycharacteristicsinawaythatwillallowtheCitytoproactivelyandsystematicallyidentifyandaddressareasacrosstheroadnetworkthatarepotentiallyproblematic.
d. Analyzeexistingfederal,state,regional,andlocalpoliciesandprocessesaddressingrelevanttopicssuchasroaddesign,speedmanagement,andfundingopportunitiestoidentifygapsandbarrierstoVisionZeroimplementation.
3. Basedontheexistingconditionsanalysis,createcitywidestrategiesthatinclude:a. AguidingVisionZerostatementandprogressbenchmarks(2-,5-,and10-year
goals)withTaskforcebuy-in;b. Criteriatoevaluatepotentialactions/initiatives;c. Specificrecommendationstoachieveasafertransportationnetworkthat
addresspolicyandsystemschange,especiallyintheareasofdata/evaluation,streetdesign/engineering,communityeducation/engagement,enforcement,maintenance,fleetdecisions;
d. Identificationofresponsibleparties,costestimates,prioritylevels,andmetricsofsuccessforrecommendations;
e. Amethodologyforcrashanalysesthatidentifieshigh-injuryintersectionsandcorridorsandguidescountermeasureselection,potentiallymodeledonLosAngeles’VisionZeroTechnicalAnalysis;
f. BestpracticesforcollectingandsharingVisionZerodatawithkeystakeholdersandthepublic,buildingonexistingconceptssuchasclosecallforms,datadashboards,storymaps,androutinepublicprogressreports;and
g. IdentificationofexistingandfuturefundingopportunitiesforVisionZeroimplementation.
4. CreateaVisionZeropublicengagementtoolkitforongoingusebyCityofClevelandstaffandVisionZeropartnersthatincludessampleoutreachmaterials(infographics,factsheets,presentationslides,talkingpoints,andaglossaryofkeyterms)andanoutlineforanidealpubliceducationprocess,includingtimelineandremote/virtualengagementopportunities,toinformthepublicaboutVisionZero.

HighInjuryNetworkActionStrategy:1. Developapublicparticipationprocesstoinvolveandcollaboratewithresidentsand
otherstakeholdersalongHighInjurySegmentsasoutlinedbyIAP2’sPublicParticipationSpectrum(Appendix4),includingpublicsurveysandsitevisits,potentiallymodeledonprocessesusedinChicagoandPhiladelphia.Thisshouldincludeapproachesthatcanbeconductedremotely.
2. ImplementtheHighInjuryNetworkparticipationprocesswithresidentsandotherstakeholdersalongselectedone-mileHighInjurySegments.
3. Performanenhancedtechnicalroadwayanalysisofselectedone-mileHighInjurySegmentsontheHighInjuryNetwork,includingdetailedcrashevaluationsidentifyingnotabletrendsincrashpatternsandotheruniqueattributesofeachcorridor,andcreateatwo-pagesegmentsummary.
4. Recommendandprioritizecontextualsite-specificcountermeasuresalongselectedone-mileHighInjurySegmentstoimprovesafety.
ThequantityandlocationofHighInjuryNetworksegmentstobeincludedintheActionPlanagreementwillbedeterminedbytheCitypriortoenteringintocontractwiththeselectedconsultant,basedonavailableActionPlanfundingandfeeproposals.TheselectedconsultantwillperformthisworkincollaborationwiththeTaskforceandsubcommittees.TheconsultantisalsoexpectedtoleadaminimumoftwoworkshopswiththeTaskforceaspartoftheActionPlanprocess:1)apresentationoftheexistingconditionsanalysisand2)aninputsessiontoinformdraftactionstrategies.Taskforceworkshopplanningshouldincludethepossibilityofvirtualgatheringsthroughremotemeetingtools.TheClevelandVisionZeroTaskforcewillprovidethefollowingsupporttotheselectedconsultantaspartoftheActionPlanningprocess:
1. BodyofworkfromVisionZerosubcommittees,includingdataanalysestodateandamapoftheHighInjuryNetwork(seeAppendices2and3forsummarymaterials);
2. Inventoryofexistingsafetystudiesandroadsafetyaudits,aswellaspriorityroadsafetyrankingsfromODOTandNOACA;
3. Spatialdataofstreetcharacteristics,crashreports,andplannedcapitalinvestments;4. CoordinationandfacilitationofongoingTaskforceandsubcommitteemeetings;5. Provisionofmeetingspaceandschedulingassistanceforconsultant-ledActionPlan
gatherings;6. Assistanceinplanning,promoting,andhostingpublicparticipationopportunities;7. Hostingandpromotingaprojectwebsite;8. HostinganActionPlanworkshopforVisionZeroTaskforcemembers;and9. CompilationandsubmissionofActionPlandraftcommentsfromtheTaskforcetothe
consultant.

ScheduleandDeliverables
ProjectScheduleTheCityhasestablishedthefollowinggeneralprojectschedule.Theselectedconsultantshallsubmitamoredetailedprojectschedulewithinten(10)businessdaysoftheexecutionofthecontractoutliningexpectedperformanceofservices.
• September1,2020:Targetprojectstartdate• August31,2021:Targetprojectcompletiondate
Inaddition,thefollowingtermsapply:
A. TheCityreservestherighttomodifythelistofdeliverablesatanytimebeforeexecutionofacontracttoadd,delete,orotherwiseamendanyreportordeliverable,asitdeemsnecessaryinitssolejudgmentandinthebestinterestoftheCity.
B. Unlessotherwiseexpresslyprovided,thetermoftheagreementshallbeginuponitsdateofexecutionand,unlessextendedbyCityorsoonercanceledorterminatedundertheprovisionsoftheagreement,shallexpirewhenallrequireddeliverableshavebeensubmittedtoandapprovedbytheDirectorandallotherserviceshavebeensatisfactorilyperformedandacceptedbytheDirector.

ProposalRequirements
ProposerQualificationsEachproposer,regardlessoftheformofitsbusinessentity,mustmeetthefollowingrequirements.Failuretomeetallrequirementsmaybecauseforrejectionofaproposal.Ifproposerisapartnershiporajointventure,atleastonegeneralpartnerorconstituentmembermustmeettherequirements.Eachproposermust:
1. Provideevidenceofaminimumofthree(3)continuousyearsofexperiencewithinthelastfive(5)yearsofprovidingandimplementingconsultingservicesrelatingtotherequiredservicesanddeliverablesdescribedinthisRFP.
2. BeauthorizedtoconductbusinessintheStateofOhio,CountyofCuyahogaandtheCityofCleveland.
3. Possessordemonstratequalificationforallapplicablelicenses,certificates,permits,orotherauthorizationsrequiredbyanygovernmentalauthority,includingtheCity,havingjurisdictionovertheoperationsofthesuccessfulproposerandtheproposedservices.
4. Thesuccessfulproposer,atitsexpense,shallatalltimesduringthetermofthecontractresultingfromthisRFPmaintainthefollowinginsurancecoverage.Theinsurancecompany(ies)providingtherequiredinsuranceshallbeauthorizedbytheOhioDepartmentofInsurancetodobusinessinOhioandrated"A"orabovebyA.M.BestCompanyorequivalent.Thesuccessfulproposer,ascontractor,shallprovideacopyofthepolicyorpoliciesandanynecessaryendorsements,orasubstituteforthemsatisfactorytoandapprovedbytheDirectorofLawevidencingtherequiredinsurance,uponexecutionofthecontract.
a. Professionalliabilityinsurancewithlimitsofnotlessthan$1,000,000foreachoccurrence,andifnotwrittenonanoccurrencebasis,shallbemaintainedfornotlessthantwo(2)yearsaftersatisfactorycompletionandwrittenacceptanceoftheservicesunderthecontract.
b. Workers'compensationandemployer'sliabilityinsuranceasprovidedunderthelawsoftheStateofOhio.
c. Statutoryunemploymentinsuranceprotectionforallofitsemployees.d. Suchotherinsurancecoverage(s)astheCitymayreasonablyrequire.
ProposalContentsEachproposalshallincludethefollowingpartsinthespecifiedorder.Eachproposalshouldbeorganizedsoastofacilitateitsevaluation.
1. CoverLetter:Thecoverlettershallidentifyandintroducetheproposerandprovideothergeneralinformationaboutproposer'sbusinessorganizationincluding,ataminimum,proposer'sname,principaladdress,federalIDnumber,telephonenumber,ande-mailaddress.
a. Ifacorporation,providethestateofincorporationandthefullname,title,andexperienceofeachhighlevelcorporateofficer.IftheproposerisnotanOhiocorporation,pleasestatewhetherornottheproposerisqualifiedtodobusinessintheStateofOhioasaforeigncorporation.Aforeigncorporationmustprovide

evidence,priortoexecutionofacontract,ofqualificationtodobusinessintheStateofOhiooritmustregisterwiththeOhioSecretaryofState.
b. Iftheproposerisasoleproprietorship,statethenameoftheproprietordoingbusiness.
c. Ifapartnership,statethefullname,address,andotheroccupation,ifany,ofeachpartner;whetherthepartnerisageneralorlimitedpartner,andwhetheractiveorpassive;stateeachpartner'sexperienceandtheproportionateshareofthebusinessownedbyeachpartner.
d. Ifajointventure,statethenameofeachfirmparticipatinginthejointventureandeachprincipalofficerofeachfirm,eachofficer'sexperience,andtheproportionateshareofthejointventureownedbyeachjointventurepartner.
e. Ifusingsubcontractors,statethenameofeachfirmparticipatingintheproposal,eachsubcontractor'sresponsibilities,andeachsubcontractor'sexperiencerelatedtotheirproposedresponsibilities.
2. ExecutiveSummary:Theexecutivesummaryshouldprovideacompleteandconcisesummaryoftheproposer'sbackground,area(s)andlevel(s)ofexpertise,relevantexperience,andabilitytomeettherequirementsofthisRFP.Theexecutivesummaryshouldbrieflystatewhytheproposeristhebestcandidatefortheservices.Thesummaryshouldbeorganizedtoserveasastand-aloneoverviewapartfromtheremainderoftheproposal.
3. Exceptions:ProposershallitemizeanyexceptionsithastotheRFP.IfithasnoexceptionstoordeviationsfromanypartofthisRFP,itshallstatesoonanExceptionspage.Ifnodeviationsorexceptionsareidentified,proposerunderstandsthatiftheCityacceptstheproposal,itmustcomplywithandconformtoalloftherequirementsoftheRFP.
4. Qualifications:Inthequalificationssection,eachproposershouldstateindetailitsqualificationsandexperience,andhowitsservicesand/orproductsareuniqueandbestsuitedtomeettherequirementsandintentofthisRFP.Proposermayincludeasmuchinformationasneededtodifferentiateitsservicesandproduct(s)fromotherproposers.Ataminimum,includethefollowing:
a. Howproposermeetsorexceedsqualifications;b. Adescriptionofthenatureofthefirm'sexperienceinprovidingtheservice(s)
and/orproduct(s)soughtbythisRFPandthenumberofpersonscurrentlyemployedforsuchpurpose;
c. Resumesofkeypersonnelwhowillworkontheproject;d. ThetotalnumberofsuchengagementsandclientscomparabletotheCityfor
whichthefirmhasprovidedsimilarserviceswithinthelastfive(5)years;e. Thename,location,anddateofallproposer'sagreementsforlikeservicesthat
havebeenterminated,canceled,orsuspendedpriortocompletionoftheengagementorexpirationofthefulltermwithinthepastfive(5)years,andanyjudgmentterminating,oranypendinglawsuitsorunresolvedclaimsordisputesfordamagesorterminationofsuchagreementswithinthepastfive(5)years;and

f. Thenamesandaddressesofatleastthree(3)referencesforthefirm'sprofessionalcapabilities.Includethename,e-mailaddress,andtelephonenumberofacontactperson.
5. ProposedServices:ProposershalldescribeindetailhowitwilldeliverthespecifiedservicesandachievetheintentandgoalsofthisRFP.Initsresponsetothissub-section,proposershallprovide:
a. Anorganizationalchartspecifictotheproposedproject;b. Adetaileddescriptionofhowproposerwillachievetheintentandpurposesof
theActionPlanasdescribedintheScopeofServicessection;c. ExplanationofhowtheprojectteamwillinteractwiththeCityPlanning
Commission,otherkeyCitydepartments,externalstakeholders,communitymembers,andothersasdeemednecessary;
d. Projectmanagementtoolstobeusedinimplementation;ande. Anticipatedtimelineforcompletingtheprojectdeliverables.
Iftheproposer'sofficesarelocatedwelloutsideofCleveland,theproposershouldprovideanexplanationastohowtheywillreasonablyaccomplishtheactivitieslistedabove.TheconsultantwillreporttotheCityPlanningCommission.CityPlanningstaffwillbeinvolvedonadailybasis,orasrequired,andwillsupporttheconsultantthroughouttheproject.
6. FeeProposal:ProposershouldsubmitafeeproposalforallservicesinbothdollarsandpercentagesasaseparatePDFfromtheremainderoftheproposalfollowingtheFeeTableformatincludedinthisRFP.Thefeeproposalshallbeafirmandfinalamountincludingthecostsandexpensesforallanticipatedservices.

ProposalEvaluationandSelectionCriteriaEvaluationMethodology:TheCityPlanningCommission,alongwithrepresentationfromtheVisionZerosubcommittees,willevaluateeachproposalsubmitted.Theevaluationcommitteemay,butshallnotbeobligatedto,entertainoralpresentations.UndertheauthoritygrantedbyOrdinanceNo.1338-2019,theDirectorofCityPlanningwillpresentthecommittee’srecommendationstotheCity'sConsultantReviewCommittee(CRC;Appendix5).TheCRCmayapproveoneormorecontractstooneormorefirms.TheCitywillonlyconsiderproposalsthatarereceivedonorbeforetheproposalsubmissiondeadlineandwhichmeetalltherequirementsofthisRFP.TheCityreservestherighttorequestabestandfinalofferfromproposersmeetingtheminimumrequirements.ScoringofProposals.TheCitywillscoreeachproposalbythefollowingcategories:
1. Experienceonrelatedprojects2. Staffqualifications3. Proposedprojectdescription4. Anticipatedtimeline5. Feeproposal
Ratingsarenotintendedortobeinterpretedasareflectionofaproposer'sprofessionalabilities.Instead,theyreflecttheCity'sbestattempttoquantifyeachproposer'sabilitytoprovidetheservicessoughtbytheCityandtomeetspecificrequirementsofthisRFP,forcomparisonpurposes.

DisqualificationofaProposer/Proposal:TheCitydoesnotintendbythisRFPtoprohibitordiscouragesubmissionofaproposalthatisbaseduponaproposer'stradeexperienceinrelationtothenatureorscopeofwork,services,orproduct(s)describedinthisRFPortoprescribethemannerinwhichitsservicesaretobeperformedorrendered.TheCitywillnotbeobligatedtoaccept,however,significantdeviationsfromtheservicessoughtbythisRFP,includingtermsinconsistentwith,orsubstantiallyvaryingfrom,theservicesorthefinancialandoperationalrequirementsoftheRFP,asdeterminedsolelybytheCity.TheCityreservestherighttorejectanyproposalthatdoesnotfurnishorisunresponsivetotheinformationrequestedherein.TheCityreservestherighttorejectanyproposalortowaiveoracceptanydeviationfromthisRFPtoapprovetheawardofthecontractconsideredintheCity'sbestinterest,asdeterminedattheCity'ssolediscretion.AlthoughtheCityprefersthateachproposersubmitoneproposalincludingallalternativestheproposerdesirestheCitytoconsider,itwillacceptproposalsfromdifferentbusinessentitiesorcombinationshavingoneormoremembersincommonwithanotherproposer.TheCitymayrejectoneormoreproposalsifithasreasontobelievethatproposershavecolludedtoconcealtheinterestofoneormorepartiesinaproposal,andwillnotconsiderfutureproposalsfromaparticipantinthecollusion.Inaddition,theCitywillnotacceptaproposalfrom,orapproveacontractto,anyproposerthatisindefaultassuretyorotherwiseuponanobligationtotheCity,orhasfailedtoperformfaithfullyanypreviousagreementwiththeCity,oriscurrentlyindefaultunderanyagreementwiththeCity.TheCityreservestherighttorejectanyorallproposals.FailurebyaproposertorespondthoroughlyandcompletelytoallinformationanddocumentrequestsinthisRFPmayresultinrejectionofitsproposal.Further,theCityreservestherighttoindependentlyinvestigatethefinancialstatus,qualifications,experience,andperformancehistoryofanyproposer.

TheCityreservestherighttoselectalimitednumber(a"shortlist")ofproposerstomakeoralpresentationsoftheirqualifications,proposedservices,andcapabilities.TheCitywillnotifyproposersselectedfororalpresentationsinwriting.

Thesuccessfulproposershall,withinten(10)businessdaysafterreceiptofacontractpreparedbytheCityDirectorofLaw,executeandreturnthecontracttotheCitytogetherwithaFormW-9,anotarizednon-competitivebidcontractstatementform(providedbytheCity),andevidenceofproperinsurance.TheCityreservestherighttocanceltheapprovalorauthorizationofacontractaward,withorwithoutcause,atanytimebeforetheexecutionofacontractandtolaterenterintoacontractthatvariesfromtheprovisionsofthisRFP,ifagreedtobyanotherproposer.
City'sRightsandRequirements1. TheDirectorofCityPlanning,athissolediscretion,mayrequireanyproposerto
augmentorsupplementitsproposal,ortomeetwiththeCity'sdesignatedrepresentativesforintervieworpresentationtofurtherdescribetheproposer'squalificationsandcapabilities.Therequestedinformation,interview,meeting,orpresentationshallbesubmittedorconducted,asappropriate,atatimeandplacetheDirectorspecifies.
2. TheCityreservestheright,atitssolediscretion,torejectanyproposalthatisincompleteorunresponsivetotherequestsorrequirementsofthisRFP.TheCityreservestherighttorejectanyorallproposalsandtowaiveandacceptanyinformalityordiscrepancyintheproposalortheprocessasmaybeintheCity'sbestinterest.
3. ProposalasaPublicRecord:UnderthelawsoftheStateofOhio,allpartsofaproposal,otherthantradesecretorproprietaryinformationandthefeeproposal,maybeconsideredapublicrecordwhich,ifproperlyrequested,theCitymustmakeavailabletotherequesterforinspectionandcopying.Therefore,toprotecttradesecretsorproprietaryinformation,theproposershouldclearlymarkeachpage-butonlythatpage-ofitsproposalthatcontainsthatinformation.TheCitywillnotifytheproposerifsuchinformationinitsproposalisrequested,butcannot,however,guaranteetheconfidentialityofanyproprietaryorotherwisesensitiveinformationinorwiththeproposal.Blanketmarkingoftheentireproposalas"proprietary"or"tradesecret"willnotprotectanentireproposalandisnotacceptable.
4. CityofClevelandEqualOpportunityClause:Duringtheperformanceofthiscontract,ifselected,theproposeragreestotheEqualOpportunityClauseincludedinAppendix6.
5. ConflictsofInterest:TheproposeragreestocomplywiththeCityofCleveland'sstandardsofconductgoverningtheperformanceoftheiremployeesengagedintheawardandadministrationofcontracts,andagreestomakethisaconditionofallsubcontracts.Noemployee,officeroragentshallparticipateintheselection,award,oradministrationofacontractifaconflictofinterest,realorapparent,wouldbeinvolved.Theconsultant'sandsubcontractor'sagents,officers,oremployeeswillneithersolicitnoracceptgratuities,favors,oranythingofmonetaryvaluefromcontractors,potentialcontractors,orpartiestosub-agreements,exceptinaccordancewithlocalandStateethicslawandregulationsregardingitemsofnominalintrinsicvalue.

6. GeographicPreferences:Nopartofthisoranyotheragreementwillbeconstruedtoimposeanin-Stateorlocalgeographicpreferenceintheevaluationofproposals.NothinginthissectionpreemptsStatelicensinglaws.
7. Contractingwithsmallandminorityfirms,women'sbusinessenterpriseandlaborsurplusareafirms:Theconsultantshalltakeallnecessaryaffirmativestepstoassurethatminorityfirms,women'sbusinessenterprises,andlaborsurplusareafirmsareusedwheneverpossible.Affirmativestepsinclude:
a. Placingqualifiedsmallandminoritybusinessesandwomen'sbusinessenterprisesonsolicitationlists;
b. Assuringthatsmallandminoritybusinesses,andwomen'sbusinessenterprisesaresolicitedwhenevertheyarepotentialsources;
c. Dividingtotalrequirements,wheneconomicallyfeasible,intosmallertasksorquantitiestopermitmaximumparticipationbysmallandminoritybusiness,andwomen'sbusinessenterprises;
d. Establishingdeliveryschedules,wheretherequirementpermits,whichencourageparticipationbysmallandminoritybusiness,andwomen'sbusinessenterprises;
e. UsingtheservicesandassistanceoftheSmallBusinessAdministrationandtheMinorityBusinessDevelopmentAgencyoftheDepartmentofCommerce;and
f. Requiringtheprimecontractor,ifsubcontractsaretobelet,totaketheaffirmativestepslistedinthissection.
ItistheCity'spolicytotaketheseandotheraffirmativestepstoencouragetheparticipationofsmallandminorityfirms,women'sbusinessenterprises,andlaborsurplusfirms.
